STATEMENT OF EXCEPTION FROM THE
FULL SUBDIVISION PROCESS
JAMES ALEXANDER MERRIAM, JOAN ALEXANDER MERRIAM and GAIL
ANGOTTI (hereinafter "Merriams") own that parcel of real property
(and the improvements thereon) situated in the City of Aspen,
Pitkin County, more particularly described on Exhibit "A" attached
hereto and incorporated herein by this reference, also known as 850
Roaring Fork Road, Aspen, Colorado, (the "Property").
WHEREAS, Merriams have requested an exception from the
full subdivision process for the purpose of a lot split, lot line
adjustment and a GMP exception permitting construction of a single-
family house on the newly formed lot on the subject property; and
WHEREAS, the City Council determined at its meetings of
June 11, 1990, and August 26, 1990, that such exception was
appropriate and granted the same, subject, however, to certain
conditions.
NOW, THEREFORE, the City Council of the City of Aspen,
Colorado, does hereby determine that the Merriams' application for
exception from the full subdivision process for the purpose of a
lot split, lot line a?justment and an exception from GMP permitting
construction 0f a single-family house on the newly formed lot is
prope~ and hereby grants an exception from the full subdivision
process for such lot split, lot line adjustment and GMP exception
permitting construction of a single-family house on the newly
formed lot;

DECLARATION OF COVENANTS, RESTRICTIONS AND
CONDITIONS FOR MERRIAM SUBDIVISION
JAMES ALEXANDER MERRIAM, JOAN ALEXANDER MERRIAM and GAIL
ANGOTTI MERRIAM
(hereinafter collectively "Merriams"),
for
themselves, their heirs, executors, administrators, successors and
assigns, in consideration of the granting of an exception from the
full subdivision process for the purpose of the subdivision of the
fOllowing-described property, hereby covenant with the City of
Aspen, Pitkin County, Colorado, to restrict such property, and
hereby do restrict such property, as follows:
1. Merriams are the owners of property situated in the
City of Aspen, County of Pitkin, State of Colorado, known as the
Merriam SUbdivision, as shown on the Subdivision Exception Plat for
the Merriam Subdivision recorded in Plat Book '2.'5" at Page ~"t , of
the Pitkin County, Colorado real property records.
2. In the event that any municipal improvement or
improvements of a kind contemplated in Section 20-16 of the
Municipal Code of the City of Aspen, as amended, become, in the
sole judgment or discretion of the City Council of the City of
Aspen, necessary or desirable in an area including the property,
Merriams will make no objection to any special assessment or
special tax or proceeding therefor on the basis that the property
is adequately served by existing improvements and/or on the basis
that the premises will not be served or benefitted by the
improvement or improvements proposed. Merriams further agree to
join, upon the City's demand therefor, any improvement district

formed for construction of such improvements (including, without
limitation, drainage, underground utilities, paving, curbs,
gutters, sidewalks, street lights, etc.) in an area including the
property.
3. Pursuant to the provisions of Article 7 and 8 of the
Land Use Regulations of the City of Aspen, without first obtaining
a development allotment, no more than two (2) lots, regardless of
configuration, shall be permitted in the Merriam SUbdivision, and
Lot 2 shall not be improved with other than a single-family
residence, together with permitted accessory buildings.
4. These covenants may be changed, modified or amended
by the recording of a written instrument signed by the record
owners of the subject property and the Mayor of the City of Aspen
pursuant to a vote taken by the City Council.
5. These covenants shall run with the land and shall be
binding upon all parties having any right, title or interest in the
property or any part thereof, and their heirs, representatives,
successors and assigns, for the period of the life of the longest-
lived member of the presently-constituted Aspen City Council plus
twenty-one (21) years from the date these covenants are recorded.
6. These covenants shall not be released or waived in
any respect during the period they are binding without the prior
consent of the City of Aspen reflected by resolution of the City
Council of the City of Aspen.
7. In any legal proceeding to enforce the provisions
hereof, the prevailing party shall be entitled to recover its costs

accordance with applicable law.
9. . This easement is transferable, but Grantee may assign
its rights and obligatioris under . easement only to an organization that is a qualified
o~anization at the time of trans er under Section 170(h) of the Internal Revenue Code of
1954, as amended (or any su cessor provision then applicable), and the applicable
regulations promulgated there der, and authorized to acquire and hold conservation
easements under applicable law. As a condition of such transfer, Grantee shall require that
the conservation purposes that 's grant is intended to aqvance continue to be carried out.
10. SUBSE UE TRANSFERS, Grantors agree to incorporate the tenns
of this easement in any deed or ther legal instrument by which they divest themselves of
any interest in all or a portion qf the Easement. Grantors further agree to give written
notice to G,rantee of the transfer pf any interest at least twenty (20) days prior to the date

1. Merriams are the owners of that real property
situated in the County of Pitkin, Colorado, more particularly
described as Lots 1 an 2 of the Merriam Subdivision, as depicted
on the Subdivision Exc ption Plat, of the Merriam SUbdivision
recorded in Plat Book at Page , Reception No.

2. Merriamsl desire to grant to ACES an easement over
and across Lot 1, Merr~am Subdivision, for the use and purpose of
access aC,ross said Lot 1 as hereinbelow described, such right of
access to be defined, elineated and limited as set forth herein.
NOW, THEREFOfE, in consideration of the mutual benefit
to be derived therefrof' the parties hereby agree as follows:

1. Merriamslhereby grant and convey to ACES an ease-
ment over, across and through Lot 1, Merriam Subdivision, for the

use and purpose of acc,ss and egress to and from ACES's property,
which is adjacent to Lcpt 1, limited, however, only to anon-
defined area not more ~han twenty feet (20') in width in the
flood plain from the s~uthwestern boundary of the Roaring Fork
River, as such boundar is depicted on the Plat for the Merriam
,Subdivision., ,and subje t to the terms and ,conditions of this
Easement Agreement. ! '
2. During t e lifetime of the last to survive among
James 'Alexander Merria , Gail Angotti Merriam and Joan Alexander
Merriam, or until such t'ime as Merriams or any of them no longer
enjoy any right, title or interest in Lot 1 or Lot 2, as depicted
on the Plat for the Me riam Subdivision, such right of access
shall be limited only 0 such persons who are paid employees of
ACES.

3. At such ~ime as James Alexander Merriam, Gail
Angotti Merriam or Joa ~Ale xan, der Merriam are no longer living,
or at such time as Mer iams convey all right, title and interest
in Lot 1 and Lot 2, Mer iamSubdivision, whichever first occurs,
the right of access gra ted hereby shall be expanded to include
such paid employees of iCES, plus not more than ten (10) addi-

successors and aSSignS~The keys and/, or the combination for such
locked gate shall only be distributed to ACES's employees and
Merriams. A sign, app oved by Merriams, shall be posted at the
gate by ACES indicatin tha-t access is limited.
6. No trailtconstruction or other improvements shall
be installed or constr cted by ACES, unless and until such time
as Merriams agree in w iting.

7. Merriams!hereby reserve the right for themselves,
their heirs, successor and assigns to more specifically locate
or relocate ACES's rig t of access to not more than three feet
(3') in width across L t 1, and they further reserve to them-
selves, their heirs, s ccessors and assigns the right to utilize
Lot 1 for beneficial u es not inconsistent with the right of
access herein granted. I
8. ACES sha~l not cause or permit a bridge to be built
upon ACES's property w1ichprovides access to Merriams' property.

9. The righ~ of access herein granted shall be limited
for the purposes of maj'ntena,n,ce and scientific study conducted by
ACES's staff. Access y the general pUblic shall be specifically
prohibited. Further, he right of access herein granted shall
only be utilized by su h persons who have registered in ACES's

10. In the e~entthatMerriams' consent to ACES's entry
upon'Merriams' propert~ is required, ACES shall notify Merriams
or their authorized ag~nt by telephone or in person and shall
obtain oral or written~cons,ent P, r ior to such entry. If consent
to entry is given orall , it shall thereafter be confirmed by
ACES in writing. Any itten notice shall be sent by hand-
delivery or first-classl mail to Merriams as follows:
