DECLARATION OF COVENANTS
Alfred C. Nicholson, Elizabeth Ann Nicholson and Richard J.
Meeker (hereafter "covenantors"), for themselves, their heirs,
executors, administrators, and assigns, hereby jointly and
severally covenant with the City of Aspen, Pitkin County,
Colorado, that:
1. Covenantors are the owners of the following-described
property together with improvements thereon:
Park Central West Condominium Subdivision
City of Aspen, Pitkin County, Colorado
2. Residential Units 8, 9 and 10 shall be restricted to
a monthly rental for each unit of not more than $175.00, unless
the duly constituted Housing Authority of the City of Aspen shall
consent to an increased rental to reflect increased expenses of
the owner in operating the premises, adjustments in cost of
living indices and other similar factors.
3. At the time the residential units of the property are
offered for sale, in whole or in part, the tenant or tenants
which occupy the property on the date of this declaration shall,
if they remain as tenants until the time the property is offered
for sale, be given notice of such offer together with the
offered purchase price. Each such tenant shall have a ninety-
day non-assignable option to purchase the portion of the pro-
perty he has under lease at the price stated in the offer of
sale.
4. At the time a bona fide offer to purchase is made and
accepted, the same tenant or tenants shall have a ninety-day
exclusive non-assignable right of first refusal to purchase the
portion of the property which he has under lease. In the event
that such offer is made while the ninety-day option is still
in effect, the tenant may purchase the unit for the amount of
the bona fide offer Or offered price, whichever is less.
5. In the event that any improvement or improvements
required by Section 20-16 of the Code of the City of Aspen become,

in the sole judgment or discretion of the City Council of the
City of Aspen, necessary or desirable, no objection will be
made to any special assessment or special tax or proceeding
therefor on the basis that the property is adequately served
by existing improvements, nor on the basis that the premises
will not be served or benefited by the imp~~vement or im-
provements proposed.
6. The covenants contained herein specifically referring
to the monthly rental for Units 8, 9 and l~ contained in Para-
graph 2 are to run with the land and shall be binding on all
parties and all parties and all persons claiming under them
for a period of five (5) years. The remaining covenants con-
tained herein are to run with the land and shall be binding
on all parties and all persons claiming under them for a period
of twenty (20) years from the date these covenants are re-
corded, after which time, said covenants shall be automatically
extended for successive periods of ten (10) years, unless an
instrument signed by the City of Aspen and the then record
owners of the property has been recorded, agreeing to ~hange
said covenants in whole or in part or agreeing to release said
covenants.

SUBDIVISIONAGREEMENT
THIS AGREEMENT, made and entered into this
day of

MEEKER and ALFRED C. NICHOLSON & ELIZABETH ANN NICHOLSON
("Subdividers"), and THE CITY OF ASPEN, COLORADO, a
Municipal Corporation ("City"),

WHEREAS, Sbudividers are owners and subdividers
of a tract of land within Pitkin County, Colorado, con-
sisting of Lots K, L, M, Nand 0, Block 75, City and Town-
site of Aspen, and

WHEREAS, Subdividers have submitted to City for
~pproval, execution and recording a subdivision plat of
the above-described property, such subdivision to be known
and designated as .Park Central West Condominium Sub-
division"; and
WHEREAS, the City has fully considered such sub-
division plat, the proposed development and the improve-
ment of the subject property shown thereon, and is willing
to approve, execute and accept said plat for recordation
upon the agreement of Subdividers to the matters hereinafter
described, which matters are deemed necessary to protect,
promote and enhance the public welfare; and
WHEREAS, Subdividers and the City wish to reduce
said agreement to writing,
NOW, THEREFORE,i~cconsideration of the premises,
the mutual covenants herein contained, the parties hereto
hereby agree as follows:

1. Subdividers covenant and agree to and with the
City that they will affirmatively consent to and
jOin in the formation of any special improvement
district, encompassing all or any part of Park Central
West Condominium Subdivision, that may hereafter
be proposed or formed for the construction of
drainage improvements, or any other such utility,
or street improvements abutting Lots K, L, M, N
and 0, Block 75, City and Townsite of Aspen. Sub-
dividers hereby waive and further covenant and agree
to waive any right of protest against the formation
of any such district.
2. Subdividers covenant and agree to and with
the City that they will pave the unpaved portion
of the alley of Block 75 with asphalt (approximately
150 lineal feet) no later than October 1, 1979.
3. The City Engineer has estimated the cost of
the improvements provided for in Paragraph 2 above
to be $1,958.00 (One Thousand Nine Hundred Fifty-
Eight and no/100 DOllars). Subdivider agrees with
this estimate and further agrees to provide a guarantee
"for ~o'le~~ than ohe hundred(lOO)percent of the total
of this estimate prior to recordation of this instru-
ment. The guarantee shall be in the form of a
cash escrow with the City or a bank or savings and
loan association, or an irrevocable sight draft or
letter of commitment from a financially responsible
lender, such guarantee shall be completed prior to
recording the Final Plat. The guarantee shall give
the City an unconditional right, upon default by
Subdividers and after 30 days written demand to sub-
dividers, to withdraw funds upon demand to partially

or fully complete and/or pay for the improvements
provided for in Paragraph 2, or pay any outstanding
bills for work done with reference thereto by any
party.
4. Subdividers agree to execute a promissory note
in favor of the City of Aspen prior to issuance of
a Building Permit for the herein named subdivision
for the sum of $27,408.70 (Twenty-Seven Thousand
Four Hundred Eight and 70/100 Dollars) as full payment
for all obligations for payment of cash in lieu of
land dedication as required by the provisions of
Section 20-13 of the City of Aspen, as amended by
Ordinance 13, 1978. Such note shall bear interest
at the rate of 9% from the date of issuance of the
building permit, and the interest and principal sum
shall be due and payable on or before the date of
issuance of the Certificate of Occupancy for the
Park Central West Condominium Subdivision.
5. Upon execution of this Agreement by all parties
hereto, City agrees to approve and execute the final
plat of Park Central West Condominium Subdivision
and accept the same for recording in the real pro-
perty records of Pitkin County, Colorado, upon
payment of recording fees and costs to City by
Subdividers.
6. The Covenant of the Subdividers contained in
Paragraph 1 and agreements of the Subdividers herein
shall be deemed covenants that run with the land,
shall burden the land included within the Park Cen-
tral West Condominium Subdivision, and shall bind
and be specifically enforceable against all subsequent
owners thereof, including Subdividers, their heirs,
personal representatives, successors in interest and
assigns.

DATE: July 22, 1976
This is a request by Riverview Associates for conceptual subdivision
approval for the Park Central West Subdivision to be located on
Lots K, L, M, Nand 0 of Block 75, Aspen. The property is zoned 0-
Office. Pertinent facts of the project are as follows:
1. Land area - 14,949 square feet.
2. Building area
A. Offi ce , 11 ,211
B. Employee Housing 3,738
14,949 square feet
3. Parking spaces (3/1,000 sq.ft.) = 37
The comments of the planning office are as follows:
1. The property slopes to the west and north which will
present certain design contraints for the parking area.
2. We support the alternative of allowing the employee
housing units to be determined by the .25 F.A.R.
requirement rather than the RMF densities. This
would allow the construction of six (6) long term
housing units which would be constrained by minimum
six (6) month lease provisions.
3. We wish to further review the configuration of the
parking structure to visually soften its appearance
and provide more usable open space for the deveJop-
ment. This can be accomplished at the preliminary plat
review stager.
4. We are recommending a change to the parking require-
ments for the office zone which would allow by Special
Review the reduction of the parking requirement to
1.5 spaces per 1,000 square feet of building. Such
reduction would allow the parking structure design
to be significantly changed by the creation of open
additional park area adjacent to Aspen Street. This
amendment is part of a more comprehensive amendment
to the Office zone now pending before the Aspen P & z.
Since this is not a P.U.D. we have no ability to waive
the existing requirement of 3 spaces per 1,000 square
feet of building. The developer is willing to reduce
the parking to 23 spaces upon adoption of the Office
zone changes.
5. The Engineering Office recommends conceptual approval
with no conditions (letter in file).
6. The Planning Office recommends conceptual approval
of Park Central West conditional upon the above
considerations.

East on Hyman and Aspen Streets. The applicant has an additional
application pending Final Plat approval before Council for an office
complex on the same site. This application represents an optional plan
for the site.
The proposal consists of nine (9) one-bedroom apartment units (700-800
square feet) and three (3) studio units for a total of twelve (12) apart-
ment units. In addition-.a small office space of 524 square feeL is
proposed. The property is zoned "0" Office which allows multi-family
units by right and requires conformance with R/MF density standards. The
project would be subject to six month leasing requirements recently passed
by the P & Z. Fifteen parking spaces, as required by code, are shown on
the plan which will be available at the Council meeting for your inspection.
The Aspen Planning and Zoning Commission, on December 21, 1976 recommended
approval of the conceptual subdivision.
The City Engineer.'reserves his comments for Preliminary Plat submittal.
The Planning Office recommends approval of the Conceptual Subdivision
plan and defers more specific analysis of the site plan until Preliminary
Plat submittal. We also endorse this alternate use of the property for
multi-family housing as opposed to office use.

20-10 of the Aspen Municipal Code. Also enclosed find our check
in the amount of One Hunared Twenty Dollars ($120.00l per Section
20-20, Ordinance 22 (1975). Per Section 20-10, Paragraph A, we
are enclosing ten (10) copies of this Conceptual Presentation and
we ask that you schedule us before a regularly scheduled meeting
of the Planning and Zoning Commission as soon as possible.
This Conceptual Presentation is a completely different one from

This is a request for Final Plat Subdivision by Rickard Meeker for
Park Central West. Certain matters need yet be resolved by the
applicant to include conformance with the "Housing Plan" adopted by
the City; the Subdivision Dedication Fee; and the agreement on Sub-
division Dedication Fees. Mr. Meeker had submitted these plans on
October 20, 18 days prior to Council meedng on November 8. We feel
a November 22 Council meeting would be more appropriate.

Per Section 20-14 (a) Subdivision, Municipal Code of toe Cfty of
Aspen find enclosed four (4) copfes of the final plat for the Park
Central West Building Subdivision along with four (4) copies of the
landscaping plaM. Also enclosed is our chect 1n the amount of
$12.00 as required by Section 20-20 (2). Both the final pl~t and
1~ndsc8ping plan reflect the parking changes made by the Planning
Commission when they gave preliminary elat ap~roval on October 19th
as well 8S incorporating ch~nges/correctfons m~de by the Engineering
Department. Per Section 20-14 (a) please refer two (2) copies of
the plat and landscaping plan to the Engineering Department for
review.
If it is within your scheduling guidelines we would ask your
COoperation fn placing the subject plat on the agenda of the
NovemberBth City Council meeting for final plat approval. Before
that date we plan to have all necessary corrections made In the
final plat. the subdivision improvement agreement drafted and an
employee lIousing program worked out far this project.

This is a continued public hearing from September 7, 1976 to consider
the request by Riverview Associates for Preliminary Subdivision to be
located on Lots K, L, M, N, and 0 of Block 75, Aspen Townsite. The
property is zoned a-Office and consists of 14,949 squa~e feet. This
plat is prepared to reflect the alternate recommendations of the
Planning and Zoning Commission and also reflect the relevant"'~eqtiire",

Sandy Stuller, dated October 13, 1976, and attached hereto.
We have asked the developer to work out such a plan with
Brian Goodheim for your consideration at Tuesday's meeting.
3. We would recommend reducing the parking request from 26
to 23 spaces by the elemination of two spaces on the
corner of the alley and Aspen Street and the parking space

Three spaces should be included as landscaped areas and

4. The reduction of aprking spaces is justified due to the
improvement in the site plan by increasing landscaping
and by reducing the massing effect of the two level parking

Central West Office Building. This Plat Is intended to reflect
the alternate recommendations of the Planning and Zoning Commission

We have incorporated six accessory dwelling units (employee
housing units) Into this project and we have put 1n parking at
a 1 to 1 ratio for the accessory dwelling units and at a 1.78
to 1 ration for the office space. Tne office building is built
ata ration of .75 to 1 F.A.R. and the employee housing is built
at a ratio of .25 to 1 F.A.R. under the bonus provisions of the

The Landscaping Plan will be in your office on Friday, October 15,
1976. It is my understanding that we are to be scheduled for a
Public Hearing before the Planning and Zoning Commission on
October 19, 1976. This will be a continuation of our tabled
PUblic Hearing which was held in early September.

potential for a density bonus for "accessory dwelling units

2. The Council has not acted on the new Office Zone
which allows .75 FAR commercial and .25 accessory
housing units. However, the project is in compliance
with existing zoning requirements. Upon Council
adoption of the new office zone the parking require-
ment may be reduced from 39 to 23 spaces. We en-
dorse this reduction as it would eliminate the
second story parking structure and thereby soften
the visual appearance of the bUilding.
3. The developer must show compliance with our adopted
housing policies before compliance is obtained with
the new office zone.
4. Only 37 parking spaces are shown, while 39 are re-
quired by the present office zone regulations.
5. The Planning Office recommends Prelimina;ry"Plat
approval of Park Central West conditioned upon
the above considerations.

would allow the construction of six (6) Tong term
housing units which would be constrained by minimum,
six (6) month lease provisions.
3. We wish to further review the configuration of the
parking structure to visually soften its appearance
and provide more usable open space for the develop-
ment. This can be accomplished at the preliminary plat
review stage'.,
4. We are recommending a ~hange to the parking require-
ments for the office zone which would allow by Special
Review the reduction of the parking requirement to
1.5 spaces per 1,000 square feet of building. Such
reduction would allow the parking structure design
to be significantly changed by the creation of open
additional park area adjacent 'to Aspen Street. This
amendment is part of a more comprehensive amendment
to the ,Office zone now pending before the Aspen P & z.
Since this is not a P.U.D. we have no ability to waive
the existing requirement of 3 spaces per 1,000 square
feet of building. The developer is willing to reduce

zone changes.

and City Attorney worked so hard to adopt. As an example I call
your attention to the enclosed plot plan for the old VanGaevernitz
property across from the Crystal Palace which Riverview is attempting
to develop in two independent phases.
You will note we have 27,000 square feet of land in the half block.
Of this area less than 7000 square feet (25%) will be occupied by
buildings. The balance of 20,000 square feet (75%) will be devoted
to open space and landscaped parking. By way of comparison our
small development will have parking for over eighty automobiles, more
than now provided by City Market and the Durant Mall combined. The
Code wisely required this parking in the Office District and our owners,
tenants and their clients will appreciate this amenity more, and more
as the years go by.

For those of you who favor an immediate moratorium or think
building and growth should be brought to an absolute halt I really
cannot present a terribly strong argument. However, especially
for the newly elected council members, I think it should be noted
the City has had more than a passing interest in acquiring the
Von Gaevernitz property. We offered the land to the City before
and after acquiring it. We have proceeded expeditiously and with
direction from the City Attorney and Planning Office in planning
the land while strictly complying with all ordinances. 'For the
Council to now downzone the land, thus decreasing its economic
value and use, while perhaps a legal action, one could hardly view
it as equitable and fair in light of all that has preceded.
In conclusion let me just say that after the Planning Office has
presented you with a building inventory and all relevant data on
densities, build-out and growth you will be confronted with the tough
decision of what to do. However, please consider the Building
Code and Subdivision regulations under which we now operate have
yet to show you how effective they are. While they may now and then
need a little grease and oil I think you should at least give them
time to be broken in and tested before you go in lOr a major overhaul.
