HomeMy WebLinkAboutresolution.council.097-08RESOLUTION # ~~ (Series of 2008) A RESOLUTION APPROVING A CONTRACT BETWEEN THE CITY OF ASPEN, COLORADO, AND D&D ROOFING SETTING FORTH THE TERMS AND CONDITIONS REGARDING CITY HALL ROOF REPAIRS AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID CONTRACT WHEREAS, there has been submitted to the City Council a contract between the City of Aspen, Colorado, and D&D Roofing, a copy of which contract is annexed hereto and made a part thereof. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO: Section 1 That the City Council of the City of Aspen hereby approves that contract between the City of Aspen, Colorado, and D&D Roofing regarding City Hall roof repairs a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen to execute said contract on behalf of the City of Aspen. Kat n S. och, City Clerk CONTRACT FOR CONSTRUCTION T"EOxoF"~" THIS AGREEMENT, made and entered into on October 13, 2008, by and between the CITY OF ASPEN, Colorado, hereinafter called the "City", and D 8 D ROOFING, hereinafter called the "Contractor". WHEREAS, the City has caused to be prepared, in accordance with the law, specifications and other Contract Documents for the work herein described, and has approved and adopted said documents, and has caused to be published, in the manner and for the time required by law, an advertisement, for the project: Aspen City Hall Roof Replacement and, WHEREAS, the Contractor, in response to such advertisement, or in response to direct invitation, has submitted to the City, in the manner and at the time specified, a sealed Bid in accordance with the terms of said Invitation for Bids; and, WHEREAS, the City, in the manner prescribed by law, has publicly opened, examined, and canvassed the Bids submitted in response to the published Invitation for~Bids therefore, and as a result of such canvass has determined and declared the Contractor to be the lowest responsible and responsive bidder for the said Work and has duly awarded to the Contractor a Contract For Construction therefore, for the sum or sums set forth herein; NOW, THEREFORE, in consideration of the payments and Contract for Construction herein mentioned: 1. The Contractor shall commence and complete the construction of the Work as fully described in the Contract Documents. 2. The Contractor shall furnish all of the materials, supplies, tools, equipment, labor and other services necessary for the construction and completion of the Work described herein. 3. The Contractor shall commence the work required by the Contract Documents within seven (7) consecutive calendar days after the date of "Notice To Proceed" and will complete the same by the date and time indicated in the Special Conditions unless the time is extended in accordance with appropriate provisions in the Contract Documents. 4. The Contractor agrees to perform all of the Work described in the Contract Documents and comply with the terms therein for a sum not to exceed FORTY THREE THOUSAND EIGHT HUNDRED FIFTY ONE ($43,851.00) DOLLARS or as shown on the BID proposal. 5. The term "Contract Documents' means and includes the documents listed in the City of Aspen General Conditions to Contracts for Construction (version GC97-2) and in the Special Conditions. The Contract Documents are included herein by this reference and made a part hereof as if fully set forth here. CC1-971.doc Page 1 ~ "'CCt 6. The City shall pay to the Contractor in the manner and at such time as set forth in the General Conditions, unless modified by the Special Conditions, such amounts as required by the Documents. This Contract For Construction shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. Notwithstanding anything to the contrary contained herein or in the Contract Documents, this Contract For Construction shall be subject to the City of Aspen Procurement Code, Title 4 of the Municipal Code, including the approval requirements of Section 4-08-040. This agreement shall not be binding upon the City unless duly executed by the City Manager or the Mayor of the City of Aspen (or a duly authorized official in his/her absence) following a resolution of the Council of the City of Aspen authorizing the Mayor or City Manager (or a duly authorized official in his/her absence) to execute the same. This agreement and all of the covenants hereof shall inure to the benefit of and be binding upon the City and the Contractor respectively and their agents, employees. Successors, assigns, and legal representatives. Neither Contractor shall have the right to assign, transfer or sublet his or obligations hereunder without the written consent of the other party. representatives, the City nor the her interest or This agreement does not and shall not be deemed or construed to confer upon or grant to any third party or parties, except to parties to whom the Contractor or the City may assign this Contract For Construction in accordance with the specific written consent, any rights to claim damages or to bring suit, action or other proceeding against either the City or the Contractor because of any breach hereof or because of any of the terms, covenants, agreements or conditions herein contained. 10. No waiver of default by either party of any terms, covenants or conditions hereof to be performed, kept and observed by the other party shall be construed, or operate as, a waiver of any subsequent default of any of the terms, covenants or conditions herein contained, to be performed, kept and observed by the other party. 11. The parties agree that this Contract For Construction was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be kept exclusively in the courts of Pitkin County, Colorado. 12. In the event that legal action is necessary to enforce any of the provisions of this Contract for Construction, the prevailing party shall be entitled to its costs and reasonable attorney's fees. 13. This Contract For Construction was reviewed and accepted through the mutual efforts of the parties hereto, and the parties agree that no construction shall be made or presumption shall arise for or against either party based on any alleged unequal status of the parties in the negotiation, review or drafting of this Contract For Construction. 14. The undersigned representative of the Contractor, as an inducement to the City to execute this Contract For Construction, represents that he/she is an authorized representative of the Contractor for the purposes of executing this Contract For °cci Construction and that he/she has full and complete authority to enter into this Contract For Construction for the terms and conditions specified herein. Several variables will influence the height of ice dams and the membrane coverage required. 1. Climate-The annual snow fall will affect the amount of membrane needed. 2. Slope- On a low slope, ice dams will extend farther inwazd from the roof edge. 3.Overhang-A wide overhang will require more membrane to reach the appropriate point on the roof. 4.Insuladon and ventilation-Avery well insulated building with a cold, well ventilated attic will have smaller ice dams. 5. Valleys-Any valleys formed by projections such as dormers or roof direction changes are likely to trap more snow and cause larger ice dams. 6. Exposure-A northern exposure or shaded azeas will generally contribute to lazger ice dams. While gutters may make it easier for an ice dam to start, lazge dams can occur on roofs with no gutters. Removing snow from a roof edge or installing heat cables may not prevent ice dam formation, but may shift the location of the ice dam. Under certain conditions, a dam can form at the edge of the remaining snow. Local building codes should be consulted for specific requirements. Some suitable deck materials include plywood, wood composition, wood plank, metal, concrete, or gypsum sheathing. Remove dust, dirt, loose nails, and old roofmg materials. Protrusions from the deck area must be removed. Decks shall have no voids, damaged, or unsupported areas. Wood planks should be closely butted together. Repair deck azeas before installing the membrane. Prime concrete, masonry surfaces and DensGlass Gold® with Perm-A-Barrier® WB Primer. Prime wood composition and gypsum sheathing with Perm-A-Barrier WB Primer if adhesion is found to be marginal (refer to Technical Letter 12, Use on Oriented Strand-Board (OSB) Roof Sheathing). Apply Perm-A-Barrier WB Primer at a rate of 250-350 ftz/gal (6-8 mz/L). Priming is not required for other suitable surfaces provided that they aze clean and dry. Membrane Installation Apply Grace Ice & Water Shield in fair weather when the air, roof deck, and membrane aze at temperatures of 40°F (5°C) or higher. Apply roof covering material at tempera- tures of 40°F (5°C) or higher. Cut the membrane into 10-15 ft (3-5 m) lengths and reroll loosely. Peel back 1-2 ft (30000 mm) of release liner, align the membrane, and continue to peel the release liner from the membrane. Press the membrane in place with heavy hand pressure. Side laps must be a minimum of 3.5 in. (90 mm) and end laps a minimum of 6 in. (150 mm). For valley and ridge application, peel the release liner, center the sheet over the valley or ridge, drape, and press it in place. Work from the center of the valley or ridge outward in each direction and start at the law point and work up the roof. Alternatively, starting with a full roll of membrane, unroll a 3-6 ft (1-2 m) piece of membrane leaving the release liner in place. Align the membrane and roll in the intended direc- tion of membrane application. Carefully cut the release liner on top of the roll in the cross direction being cazeful not to cut the membrane. Peel back about 6 in. (150 mm) of the release liner in the opposite direction of the intended membrane application exposing the black adhesive. Hold the release liner with one hand and pull the roll along the deck with the release liner, leaving the applied membrane behind. Use the other hand to apply pressure on the top of the roll. Stop frequently to press the membrane in place with heavy hand pressure. When finished with the roll go back to the beginning reroll and pull the remaining release paper from the material, fmishing the installation. For successive membrane courses, align the edge of the release liner with the dashed line provided on the surface of the membme to achieve the 3.5 in. (90 mm) side lap. Consistent with good roofing practice, install the membrane such that all laps shed water. Always work from the low point to the high point of the roof. Apply the membrane in valleys before the membrane is applied to the eaves. Following placement along the eaves, continue application of the membrane up the roof The membrane maybe installed either vertically or horizontally. Use smooth shank, electro-plated galvanized nails for fastening shingles to get the best seal. Hand nailing gener- allyprovides abetter seal than power-activated nailing. If nailing of the membrane is necessary on steep slopes during hot or extreme cold weather, backnail and cover the nails by overlapping with the next sheet. `~ Extend the membrane on the roof deck above the highest expected level of water back-up from ice dams and above the highest expected level of snow and ice on the wall sheathing on vertical side walls (dormers) and vertical front walls for ice dam protection. Consider a double layer of membrane in critical azeas, such as along the eaves or in valleys and in climates where severe ice dams aze antici- pated. Apply the membrane to the entire roof deck for wind-driven rain protection. Apply a new layer of Grace Ice & Water Shield directly over the old Grace underlayment in retrofit applications following the standard membrane application procedure. Precautions 8 Limitations • Slippery when wet or covered by frost. • Consistent with good roofing practice, always wear fall protection when working on a roof deck. • Release liners are slippery. Remove from work azea immediately after membrane application. • Do not leave permanently exposed to sunlight. Cover within 30 days. • Place metal drip edges or wood starter shingles over the membrane. • Do not fold over the roof edge unless the edge is protected by a drip edge, gutter or other flashing material. • Do not install on the chamfered edges of wood plank. • Do not install directly on old roof coverings. • Certain product applications aze prohibited in hot desert areas in the southwestern United States. Check with your Grace Construction Products representative. • Check with the manufacturer of the metal roofing system for any special requirements when used under metal roofing. Do not install directly under roof coverings espe- cially sensitive to corrosion, such as zinc, without providing proper ventilation. • Do not install under copper, Cor-Ten®, or zinc metal roofing in high altitudes. These roofs can reach extremely high temperatures due to the low reflectivity, high absorp- tion, and high conductivity of the metals. Use Grace Ultra for these roof types. Check with your Grace Construction Products representative. • Provide proper roof insulation and ventilation to help reduce ice dams and to minimize condensation. Vapors from solvent-based primers and mastic are harmful and flammable. For these products, the best available information on safe handling, storage, persona] protection, health and environ- mental considerations has been gathered. Material Safety Data Sheets (MSDS) are available at www.graceconstruction.com and users should acquaint themselves with this information. Care- fullyread detailed precaution statements on product labels and the MSDS before use. All surfaces must be dry and free from dirt, grease, oil, dust or other contaminants. Bituthene Liquid Membrane maybe applied at temperatures of 25°F (-4°C) or above. Below 40°F (5°C), store in a warm place before application. Mixing Add the entire contents of the Part B container to Part A and mix for 3 to 5 minutes until uniform. Part A is black and Part B is clear. Take care to scrape material from the side and bottom of the containers to assure thorough mixing. A low speed (150 rpm) mechanical mixer with flat paddle blades is required. Do not apply any material if streaks can be seen due to insufficient mixing. Once mixed, Bituthene Liquid Membrane must be applied by trowel within 1.5 hours. More time is available at lower temperatures. At high tempera- tures, thickening and curing will be faster. Material [hat has thickened must be discarded. The material will cure to a very flexible robber-like material. Bituthene Liquid Membrane must be applied at a minimum thickness of 3/a~ in. (2.3 mm) unless otherwise noted on details. In fillet applications, the face of the fillet should be a minimum of 3/a in. (20 mm). In comer flashing application details, it should extend 6 in. (150 mm) in each direction from the comer. Bituthene Liquid Membrane will adhere to primed or unprimed concrete. Bituthene Liquid Membrane should be allowed to cure at least 24 hours before flood testing. Coverage As a fillet material, 1 gal (3.8 L) will cover approximately 100 linear feet (30 m). As a flashing material, 1 gal (3.8 L) will cover approximately 17 ft~ (1.6 mz).
