I am writing to portray to you the City of Aspen Community Development
Department's position regarding the amendment to the Cooper Avenue Victorian
Condominium Plat that was submitted to us on February 4, 2000. We will not
approve the condominium plat amendment until one of two actions occur. We will
approve the Condominium Plat Amendment if you either obtain an encroachment
license from the City of Aspen Engineering Department to maintain the fence in the
platted parking spaces or move/remove the fence. Unless extenuating circumstances
exist, the City Engineering Department is not likely to grant an encroachment license
for the public to park in the alley. The other option is to move/remove the fence so
that the platted parking spaces meet the City of Aspen Land Use Code requirements
for the size of platted parking spaces. The required size for a platted parking space
is outlined in section 26.515.020. of the City of Aspen Land Use Code and states that
each off-street parking space shall consist of an open area measuring eight and one-
half feet wide by eighteen feet long. A fence permit was granted but not for that
section of fence and not for a fence' that was constructed in the platted parking
spaces. The fence permit application shows nothing in the platted parking spaces at
the northern portion of the property. Any reconstruction of a fence also requires a

1. There is no indication of a book and page location for the utility and communication
easement. This must be indicated underneath the text labeling the easement.
2. There is no indication of any on -site trash storage. This must be labeled and
indicated in the existing location.
3. There are three symbols on the survey that are not identified in the legend.
4. The parking areas are not clearly defined and appear to have a fence traversing
through them. This needs to be more clearly identified. There are also a transformer
and a utility box that are being shown in the middle of a parking area. This needs to
be more clearly identified and labeled. If there is an easement for the transformer
and/ or utility box, then there should be note on the plat as follows:
"All easements of record as indicated on Title Policy No. _, dated _(within
the past 12 months) are shown hereon."
5. Show trees on the property that are subject to the tree removal ordinance or provide
a plat note stating that there are none.
6. Date of survey must be shown to have occurred within the last 12 months. This
information should be in the surveyor's certificate.
7. The Surveyor needs to include a statement on the plat stating the following:
"The proposed changes to Unit 1 and to the Condominium Association General
Common Elements have been approved by the homeowners. The approvals are
recorded at Book _, Page _ (or Reception No. _) at the Office of the Pitkin
County Clerk and Recorder."

I am contacting you on behalf of my clients Joseph and Marny
Nedlin, owner of Unit 1, Cooper Avenue Victorian Condominiums, and
as a follow up to our telephone conversation of earlier this week.
As we discussed, Mr. and Mrs. Nedlin recently remodeled their
condominium unit in order to expand its square footage. Prior to
commencing this remodel, the Nedlins, and the other owners of the
Cooper Avenue Victorian Condominiums entered into an agreement
titled "Amendment No. 1 to the Condominium Declaration for Cooper
Avenue Victorian Condominiums" recorded on November 5, 1999 as
Reception No. 437410, Pitkin County, Colorado (copy enclosed).
This document sets forth the agreement of all of the owners of the
Cooper Avenue Victorian Condominiums that, in the event that a unit
owner desires to expand the square footage of his or her unit, he
or she may do so subject to certain restrictions and may thereafter
record an amended condominium map reflecting such expansion,
without having to then go back and obtain the signatures of the
others on the amended condominium map.
Pursuant to the Amendment No. 1 to the Condominium Declaration
for Cooper Avenue Victorian Condominiums, I am hereby submitting

for the City of Aspen' s approval three draft copies of the proposed
First Amendment to the Condominium Map of Cooper Avenue Victorian
Condominiums reflecting the expansion of Mr. and Mrs. Nedlin's
condominium unit. Additionally, with this letter, I enclose this
firm's check in the amount of $435.00 as payment of the appropriate
filing and processing fees.
If you have any questions regarding this matter, please give
me a call. Otherwise, Mr. and Mrs. Nedlin would greatly appreciate
it if you could process this request as quickly as possible.

AMENDMENT NO. 1 TO THE CONDOMINIUM DECLARATION
FOR COOPER AVENUE VICTORIAN CONDOMINIUMS
This Amendment No. 1 ("Amendment") to the Condominium
Declaration for Cooper Avenue Victorian Condominiums, is made and
effective this day of 199_ by and among the
undersigned, constituting all of the Owners and Mortgagees of the
Cooper Avenue Victorian Condominiums (the "Condominiums").
This Amendment is made with reference to and in reliance upon
the following facts:
A. Marny B. Nedlin ("Nedlin") is the owner of Condominium
Unit No. 1 of the Cooper Avenue Victorian Condominiums.
B. Nedlin has determined that: (I) that the allowable floor
area ratio for the Cooper Avenue Victorian Condominiums
is 1:1; (II) the lot size is 7,000 square feet; (III) the
existing floor area associated with the Condominiums is
approximately 3,942.68 square feet; and (IV)
approximately 3,057.32 square feet are available for
potential expansion of the entire Condominium project.
C. The Condominium Declaration for Cooper Avenue Victorian
Condominiums recorded in Book 344 at Page 354 of the
records of Pitkin County, Colorado (the "Declaration")
and the Condominium Map of the Cooper Avenue Victorian
Condominiums recorded in Plat Book 6 at Page 88 of the
records of Pitkin County, Colorado (the "Existing Map")
contain certain limitations and designations of general
common elements that need to be amended in order to allow
Owners in the Condominiums to expand their Condominium
Units.
D. All of the Owners and Mortgagees recognize that the
ability to expand the Condominiums adds value to each of
the Condominium Units.
In consideration of the mutual promises and covenants set
forth herein, and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, the
parties agree as follows:

1. Defined Terms. The capitalized terms set forth in this
Amendment shall have the meanings ascribed in this Amendment, or if
no meaning is ascribed in this Amendment, the capitalized term
shall have the meaning ascribed thereto in the Declaration.
2. Approval for Expansion of Nedlin's Condominium Unit.
Nedlin is hereby authorized to expand Condominium Unit No. 1 as
shown on Exhibit A attached hereto and incorporated herein. The
total floor area (as defined by the City of Aspen Land Use Code) of
Condominium Unit No. 1 shall not exceed 1,540 square feet. Nedlin
is authorized to expand into or through the general common elements
(as shown on the Existing Map and as defined in the Declaration).
Upon completion of the expansion of Condominium Unit No. 1
Nedlin, on behalf of the Association, is authorized and directed to
file for record and record an Amended Condominium Map of the Cooper
Avenue Victorian Condominiums, substantially in the form attached
hereto as Exhibit B (the "Amended Map") but modified to reflect the
expansion of Condominium Unit No. 1 as authorized by this
Amendment.
Nedlin is authorized on behalf of the Association to submit
any necessary application(s) to the Aspen/Pitkin Community
Development Department and the City of Aspen to obtain any required
land use, building or zoning approvals prior to recording the
Amended Map. Upon recording of the Amended Map, all references to
the Existing Map in the Declaration or otherwise shall be deemed to
refer to the Existing Map as amended by the Amended Plat. In the
event of any inconsistency, the Amended Map shall control over the
Existing Map.
3. Revised General Common Elements. Nedlin is hereby
authorized to expand Condominium Unit No. 1 into the general common
elements comprising a portion of the north (rear) yard, the west
(side) yard, and the south (front) yard, as generally shown on
Exhibit A. Nedlin is also authorized to expand Condominium Unit
No. 1 through the existing general common elements comprised of the
perimeter walls, floors, ceilings, windows and doors of the
Condominiums, as generally shown on Exhibit A. The general common
elements currently shown on the Existing Map shall be revised by
Nedlin upon completion of Nedlin's expansion of Condominium Unit
No. 1, and the revised general common elements shall be set forth
on the Amended Map, which shall be recorded by the Nedlin under
Section 2 above.
Upon recording of the Amended Map, the former general common
elements that are then encompassed within interior surfaces of the
perimeter walls, floors, ceilings, windows and doors of expanded
Condominium Unit No. 1 shall be deemed to be a portion of
Condominium Unit No. 1, and the new perimeter walls, floors,
ceilings, windows and doors of expanded Condominium Unit No. 1

shall be deemed to be -general common elements. Otherwise, the
definitions of an "Apartment," "Apartment Unit," "Unit," and
"Condominium Unit" under the Declaration shall remain the same. For
purposes of calculating the pro rata share of common expenses
payable by the Owner of each Condominium Unit, upon recording of
the Amended Plat the Owner of any expanded Condominium Unit(s)
shall pay a pro rata share of common expenses equal to the floor
area of the Owner's expanded Condominium Unit(s) divided by the
floor area of all Condominium Units in the Cooper Avenue Victorian
Condominiums. In addition, each Condominium Unit shall be
separately assessed for real property tax purposes, and the
expansion of one particular Condominium Unit shall not affect the
assessed valuation of any other Condominium Unit.
4. Approval for Expansion of Other Condominium Units. Each
Owner shall likewise be permitted to expand such Owner's
Condominium Unit, subject to the floor area limitations imposed by
applicable City of Aspen land use codes or regulations. Each
subsequent Owner choosing to expand will be obligated to amend the
Condominium Map and to address any other items that may be
necessary or advisable to reflect the expansion of the Condominium
Unit(s) of the Owner. Any City of Aspen approvals necessary to
record any amendment to the Condominium Map shall be obtained by
the Owner responsible for the expansion, at such Owner's sole cost
and expense. Nedlin and any other Owner choosing to expand such
Owner's Condominium Unit shall take all other action that may be
necessary or advisable to completely update the Condominium Map to
reflect each expansion.
The Owners acknowledge and agree that the general common
elements will be reduced in order to accommodate the increase in
the floor area of each Condominium Unit arising from the additional
floor area available for the Condominium project. The Owners
acknowledge and agree that the total floor area currently available
to the Condominium project has been allocated to each of the
Condominium Units pro rata based upon the undivided interests in
and to the common elements of each Condominium Unit as follows:

The Owners acknowledge and agree that the foregoing figures are
based on the current City of Aspen Land Use Code, and that any
future reduction in allowable floor area will reduce, the Total
Allowable Floor Area available to each Condominium Unit and to the
Condominium Project-. "Floor Area" shall be as defined by the City
of Aspen Land Use Code.
5. Limited Common Elements. The limited common elements of
the Condominiums shall also be amended, as necessary to reflect the
actual expansion(s) of Condominium Unit (s), and set forth in the
amendment(s) to the Condominium Map.
6. Utilities and Indemnities. Any Owner who constructs any
expansion or addition to the Owner's Condominium Unit to take
advantage of the additional floor area associated with such
Condominium Unit as set forth above, shall be permitted to extend,
install, expand or repair, as necessary or advisable, utilities
servicing the Condominium Unit of the Owner who is expanding.
Nedlin is specifically authorized to install gas service to
Condominium Unit No. 1, in addition to the general authorizations
set forth in this Section 6. Each constructing Owner shall be
responsible for payment of all costs and expenses associated with
such utilities, and will indemnify and hold harmless the
Association and all of the other Owners and Mortgagees with respect
to any and all claims, demands, losses and liabilities, including
reasonable attorney's fees, that the other Owners or Mortgagees may
suffer or incur as a result of the extension, installation,
expansion or repair of such utilities.
Each Owner who constructs any expansion or addition to the
Owner's Condominium Unit (the "Indemnifying Owner") shall indemnify
and hold harmless the other Owners and their respective mortgagees
(the "Indemnified Parties"), from any and all costs, damages,
losses, expenses or claims, including reasonable attorneys' fees,
suffered or incurred by the Indemnified Parties resulting or
arising from the expansion or addition, or caused by the acts or
omissions of the Indemnifying Owner's or the Indemnifying Owner's
contractors, subcontractors, material suppliers, agents and
representatives.
7. Conflicts: No Other Amendments. In the event of any
inconsistency between the provisions of this Amendment and the
provisions of the Declaration, the provisions of this Amendment
shall supersede and control. Except as set forth in this
Amendment, there are no other amendments or modifications to the
neclaration or the Existing Map. This Amendment may be executed in
counterparts, each of which shall constitute an original, and all
of which shall constitute one and the same instrument.
IN WITNESS WHEREOF, the undersigned Owners have duly executed
this amendment to be effective upon execution by all Owners and the
consent of all Mortgagees.
