A RESOLUTION OF THE CITY COUNCIL OF ASPEN, COLORADO, APPROVING AN
AMENDMENT TO THE PROFESSIONAL SERVICE AGREEMENT BETWEEN THE
CITY OF ASPEN AND LORIS AND ASSOCIATES, INC., AND AUTHORIZING THE
CITY MANAGER TO EXECUTE SAID AMENDMENT TO THE AGREEMENT ON
BEHALF OF THE CITY OF ASPEN.
WHEREAS, there has been submitted to the City Council an Amendment to the
Professional Service Agreement between the City of Aspen, Colorado and Loris and
Associates, Inc., a copy of which is annexed hereto and part thereof.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ASPEN, COLORADO.
Section One
That the City Council of the City of Aspen hereby approves that an Amendment to the
Professional Service Agreement between the City of Aspen, Colorado, and Loris and
Associates, Inc., regarding the Truscott Project, a copy of which is am~exed hereto and
incorporated herein, and does hereby authorize the City Manager to execute said Amendment
to the Agreement on behalf of the. City of Aspen.

AMENDED AGREEMENT FOR PROFESSIONAL SERVICES
This Amended Agreement made and entered on the date hereinafter stated, between the
CITY OF ASPEN, Colorado, ("City") and L0ris and ..Associates Inc., Aspen, Colorado
("Consultant").
For and in consideration of the mutual covenants contained herein, the parties agree as
follows:
· 1. Scope of Work. Consultant shall perform in a competent and professional manner
the Scope of Work as set forth at Exhibit "A" attached hereto and by this reference incorporated
herein.
2. Completion. Consultant shall commence work mediately upon receipt of a
written Notice to Proceed from the City and complete all phases of the Scope of Work as
expeditiously as is consistent with professional skill and care and the orderly progress of the
Work in a timely manner. The parties anticipate that all work pursuant to this agreement shall be
completed no later than March 1, 2003. Upon request of the City, Consultant shall submit, for
the City's approval, a schedule for the performance of Consultant's services which shall be
adjusted as required as the pr6ject proceeds, and which shall include allowances for periods of
time required by the City's project engineer for review and approval of submissions and for
approvals of authorities having jurisdiction over the project. This schedule, when approved by
the City, shall not, except for reasonable cause, be exceeded by the Consultant.
3. Payment. In consideration of the work performed, City shall pay Consultant on a
time and expense basis for all work performed~ The hourly rates for work performed by
Consultant shall not exceed those hourly rates set forth at Exhibit "B" appended hereto. Except
as otherwise mutually agreed to by the parties the payments made to Professional shall not
initially exceed $28,420.00. Consultant shall submit, in timely fashion, invoices for work
performed. The City shall review such invoices and, if they are considered incorrect or untimely,
the City shall review the matter with Consultant within ten days from receipt of the Consultant's
bill.
All other agreements made in the original contract between the City of Aspen and Loris and
Associates, Inc. dated April26, 2000, not stated herein, shall remain the same.

IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their
duly authorized officials, this Agreement in three copies each of which shall be deemed an
original on the date hereinafter written.

Regarding: Additional Services
Truscott Entry Drive / S.I-I. 82 Intersection Design
Mr. Sadler:
As requested by the City of Aspen, Loris and Associates has prepared the following proposal
to provide additional services for the Truscott Entry Drive / S.H. 82 intersection and
underpasses. A description of the proposed additional services is shown below:
SHOP DRAWING REVIEW
· MSE retaining walls (six)
· Precast concrete 3-side culverts (two)
· Steel stairs (two)
SITE VISITS
· One site visit before back filling each underpass (2).
· One site visit before casting concrete anchor slabs.
· One addition site visit as needed.
MEETINGS
· Attend preconstruction conference.
· Attend substantial completion walk-through.
ADDRESS FIELD QUESTIONS
(Assume average 6 hrs per week)
· Address field questions as the arise.
Perform simple checks for requested changes.
Provide information and clarification as requested.
LIGHTING SUBCONSULTANT C.A. SERVICES
Clanton and Associates have proposed to provide shop drawing review and general C.A.
coordination as described in the attached proposal.

Re: Truscott Underpass
Lighting Consulting Proposal
Dear Pete,
Clanton and Associates agrees to provide construction administration services for the lighting
and electrical design for the'Truscett Underpass project, The total estimated add/tional fee for
this work is $2,000, plus $1,000 per site visit.
A bkeakdown of the $2,000 in additional design services shall include the following:
· ShOD drawing review: $900
o General coordination: $1,100
This scope of work is based upon normal project progress, without major redesign or change
order worl<. Tl~e scope is based on a phone conversation with Client and Randl Herdman on
February 16, 2001,
Reimbursable expenses st~all include printing costs, overnight delivery and travel expenses
associated with thb project and shall be charged in addition to the compensation for
professional services.
Additional services shall be charged at the folJowJng hourly rates:
Principal Enginee¢ $125/hr
Principal Architect 100/hr
Sr. Engineer 90/hr
Engineer 65/hr
CAD Technician 50/hr
Work shalI commence upon receipt of a signed copy of this agreement.

ADDITIONAL DESIGN EFFORT
In addition to the above listed extra services, we are requesting additional fees to cover
design services already provided which have exceeded our original and amended fee
estimates. The final design and site geometry was more complex than we had anticipated,
requiring many additional details and more plan sheets. Also, we made changes to the wall
and trail layout as required by CDOT (Washington Infrastructure) after the layout had
previously been approved. Furthemmre, additional coordination and research was required
to provide justification to CDOT for the proposed traffic signal. Finally, our office
coordinated the distribution of the contract documents to the subcontractors, which required
additional effort. The additional fees requested for the additional design effort will cover the
design services already provided and plan changes and addenda that will result from the final
CDOT review.
We are requesting $28,420 in additional fees to provide the additional services listed above.
A fee worksheet is attached. Please call if you have questions, or if you need additional
information regarding this request.
