A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO,
APPROVING A PROFESSIONAL SERVICE AGREEMENT, AND AUTHORIZING
THE MAYOR OR CITY MANAGER TO EXECUTE SAID AGREEMENT ON
BEHALF OF THE CITY OF ASPEN, COLORADO.
WHEREAS, there exists between the City of Aspen and ASPEN COATINGS
INC., a mutual interest in providing certain work to the Aspen Recreation Center which
would prevent further leaks from the mechanical penthouse;
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY
OF ASPEN, COLORADO:
That the City Council of the City of Aspen hereby approves this Professional
Service Agreement for the installation of a materials to the ARC mechanical penthouse
for the purpose of preventing leaks from migrating to other locations of the facility; and
does hereby authorize the Mayor or City Manager to execute said agreement on behalf of
the City of Aspen.

AGREEMENT FOR PROFESSIONAL SERVICES
This Agreement made and entered on the date hereinafter stated, between the CITY OF
ASPEN, Colorado, ("City") and Asaen Coatings Inc. , ("Professional").
For and in consideration of the mutual covenants contained herein, the parties agree as
follows:
1. Scone of Work. Professional shall perform in a competent and professional manner
the Scope of Work as set forth at Exhibit "A" attached hereto and by this reference incorporated
herein.
2. Completion. Professional shall commence work immediately upon receipt of a
written Notice to Proceed from the City and complete all phases of the Scope of Work as
expeditiously as is consistent with professional skill and Gaze and the orderly progress of the Work
in a timely manner. The parties anticipate that all work pursuant to this agreement shall be
completed no later than October 31.2009. Upon request of the City, Professional shall submit, for
the City's approval, a schedule for the performance of Professional's services which shall be
adjusted as required as the project proceeds, and which shall include allowances for periods of time
required by the City's project engineer for review and approval of submissions and for approvals of
authorities having jurisdiction over the project. This schedule, when approved by the City, shall not,
except for reasonable cause, be exceeded by the Professional.
3. Payment. In consideration of the work performed, City shall pay Professional on a
time and expense basis for all work performed and not to exceed $45,000.00. Except as otherwise
mutually agreed to by the parties the payments made to Professional shall not initially exceed F~
Five Thousand Dollars ($45,000.00). Professional shall submit, in timely fashion, invoices for
work performed. The City shall review such invoices and, if they aze considered incorrect or
untimely, the City shall review the matter with Professional within ten days from receipt of the
Professional's bill.
4. Non-Assignability. Both parties recognize that this contract is one for personal
services and cannot be transferred, assigned, or sublet by either party without prior written consent
of the other. Sub-Contracting, if authorized, shall not relieve the Professional of any of the
responsibilities or obligations under this agreement. Professional shall be and remain solely
responsible to the City for the acts, errors, omissions or neglect of any subcontractors officers,
agents and employees, each of whom shall, for this purpose be deemed to be an agent or employee
of the Professional to the extent of the subcontract. The City shall not be obligated to pay or be
liable for payment of any sums due which maybe due to any sub-contractor.
5. Tem~ination. The Professional or the City may terminate this Agreement, without
specifying the reason therefor, by giving notice, in writing, addressed to the other parry, specifying
the effective date of the termination. No fees shall be earned after. the effective date of the

termination. Upon any termination, all finished or unfinished documents, data, studies, surveys,
drawings, maps, models, photographs, reports or other material prepazed by the Professional
pursuant to this Agreement shall become the property of the City. Notwithstanding the above,
Professional shall not be relieved of any liability to the City for damages sustained by the City by
virtue of any breach of this Agreement by the Professional, and the City may withhold any
payments to the Professional for the purposes of set-off until such time as the exact amount of
damages due the City from the Professional maybe determined.
6. Covenant Aeainst Contingent Fees. The Professional warrants that s/he has not
employed or retained any company or person, other than a bona fide employee working for the
Professional, to solicit or secure this contract, that s/he has not paid or agreed to pay any company
or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gifts or
any other consideration contingent upon or resulting from the award or making of this contract.
7. Independent Contractor Status It is expressly acknowledged and understood by the
parties that nothing contained in this agreement shall result in, or be construed as establishing an
employment relationship. Professional shall be, and shall perform as, an independent Contractor
who agrees to use his or her best efforts to provide the said services on behalf of the City. No
agent, employee, or servant of Professional shall be, or shall be deemed to be, the employee, agent
or servant of the City. City is interested only in the results obtained under this contract. The
manner and means of conducting the work are under the sole control of Professional. None of the
benefits provided by City to its employees including, but not limited to, workers' compensation
insurance and unemployment insurance, are available from City to the employees, agents or
servants of Professional. Professional shall be solely and entirely responsible for its acts and for the
acts of Professional's agents, employees, servants and subcontractors during the performance of this
contract. Professional shall indemnify City against all liability and loss in connection with, and
shall assume full responsibility for payment of all federal, state and local taxes or contributions
imposed or required under unemployment insurance, social security and income tax law, with
respect to Professional and/or Professional's employees engaged in the performance of the services
agreed to herein.
8. Indemnification. Professional agrees to indemnify and hold harmless the City, its
officers, employees, insurers, and self-insurance pool, from and against all liability, claims, and
demands, on account of injury, loss, or damage, including without limitation claims arising from
bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of
any kind whatsoever, which arise out of or are in any manner connected with this contract, if such
injury, loss, or damage is caused in whole or in part by, or is claimed to be caused in whole or in
part by, the act, omission, error, professional error, mistake, negligence, or other fault of the
Professional, any subcontractor of the Professional, or any officer, employee, representative, or
agent of the Professional or of any subcontractor of the Professional, or which arises out of any
workmen's compensation claim of any employee of the Professional or of any employee of any
subcontractor of the Professional. The Professional agrees to investigate, handle, respond to, and to
provide defense for and defend against, any such liability, claims or demands at the sole expense of
the Professional, or at the option of the City, agrees to pay the City or reimburse the City for the

defense costs incurred by the City in connection with, any such liability, claims, or demands. If it is
determined by the final judgment of a court of competent jurisdiction that such injury, loss, or
damage was caused in whole or in part by the act, omission, or other fault of the City, its officers, or
its employees, the City shall reimburse the Professional for the portion of the judgment attributable
to such act, omission, or other fault of the City, its officers, or employees.
9. Professional's Insurance. (a) Professional agrees to procure and maintain, at its own
expense, a policy or policies of insurance sufficient to insure against all liability; claims, demands,
and other obligations assumed by the Professional pursuant to Section 8 above. Such insurance
shall be in addition to any other insurance requirements imposed by this contract or by law. The
Professional shall not be relieved of any liability, claims, demands, or other obligations assumed
pursuant to Section 8 above by reason of its failure to procure or maintain insurance, or by reason of
its failure to procure or maintain insurance in sufficient amounts, duration, or types.
(b) Professional shall procure and maintain, and shall cause any subcontractor of the
Professional to procure and maintain, the minimum insurance coverages listed below. Such
coverages shall be procured and maintained with forms and insurance acceptable to the City. All
coverages shall be continuously maintained to cover all liability, claims, demands, and other
obligations assumed by the Professional pursuant to Section 8 above. In the case of any claims-
made policy, the necessary retroactive dates and extended reporting periods shall be procured to
maintain such continuous coverage.
(i) Workers' Compensation insurance to cover obligations imposed by
applicable laws for any employee engaged in the performance of work under this contract, and
Employers' Liability insurance with minimum limits of FIVE HUNDRED THOUSAND
DOLLARS ($500,000.00) for each accident, FIVE HUNDRED THOUSAND DOLLARS
($500,000.00) disease - policy limit, and FNE HUNDRED THOUSAND DOLLARS
($500,000.00) disease -each employee. Evidence of qualified self-insured status maybe substituted
for the Workers' Compensation requirements of this paragraph.
(ii) Commercial General Liability insurance with minimum combined single
limits of ONE MILLION DOLLARS ($1,000,000.00) each occurrence and ONE MILLION
DOLLARS ($1,000,000.00) aggregate. The policy shall be applicable to all premises and
operations. The policy shall include coverage for bodily injury, broad form property damage
(including completed operations), personal injury (including coverage for contractual and
employee acts), blanket contractual, independent contractors, products, and completed
operations. The policy shall contain a severability of interests provision.
(iii) Comprehensive Automobile Liability insurance with minimum combined
single limits for bodily injury and property damage of not less than ONE MILLION
DOLLARS ($1,000,000.00) each occurrence and ONE MILLION DOLLARS ($1,000,00-
0.00) aggregate with respect to each Professional's owned, hired and non-owned vehicles
assigned to or used in performance of the Scope of Work. The policy shall contain a
severability of interests provision. If the Professional has no owned automobiles, the

requirements of this Section shall be met by each employee of the Professional providing
services to the City under this contract.
(c) The policy or policies required above shall be endorsed to include the City and the
City's officers and employees as additional insureds. Every policy required above shall be primary
insurance, and any insurance carried by the City, its officers or employees, or carried by or provided
through any insurance pool of the City, shall be excess and not contributory insurance to that
provided by Professional. No additional insured endorsement to the policy required above shall
contain any exclusion for bodily injury or property damage arising from completed operations. The
Professional shall be solely responsible for any deductible losses under any policy required above.
(d) The certificate of insurance provided by the City shall be completed by the
Professional's insurance agent as evidence that policies providing the required coverages, condi-
tions, and minimum limits aze in full force and effect, and shall be reviewed and approved by the
City prior to commencement of the contract. No other form of certificate shall be used. The certifi-
cate shall identify this contract and shall provide that the coverages afforded under the policies shall
not be canceled, terminated or materially changed until at least thirty (30) days prior written notice
has been given to the City.
(e) Failure on the part of the Professional to procure or maintain policies providing the
required coverages, conditions, and minimum limits shall constitute a material breach of contract
upon which City may immediately terminate this contract, or at its discretion City may procure or
renew any such policy or any extended reporting period thereto and may pay any and all premiums
in connection therewith, and all monies so paid by City shall be repaid by Professional to City upon
demand, or City may offset the cost of the premiums against monies due to Professional from City.
(f) City reserves the right to request and receive a certified copy of any policy and any
endorsement thereto.
(g) The parties hereto understand and agree that City is relying on, and does not waive or
intend to waive by any provision of this contract, the monetary limitations (presently $150,000.00
per person and $600,000 per occurrence) or any other rights, immunities, and protections provided
by the Colorado Governmental Immunity Act, Section 24-10-101 et seq., C.R.S., as from time to
time amended, or otherwise available to City, its officers, or its employees.
10. City's Insurance. The parties hereto understand that the City is a member of the
Colorado Intergovernmental Risk Sharing Agency (CIRSA) and as such participates in the CIRSA
Property/Casualty Pool. Copies of the CIRSA policies and manual are kept at the City of Aspen
Finance Department and are available to Professional for inspection during normal business hours.
City makes no representations whatsoever with respect to specific coverages offered by CIl2SA.

City shall provide Professional reasonable notice of any changes in its membership or participation
in CI1tSA.
11. Completeness of A.Qreement. It is expressly agreed that this agreement contains the
entire undertaking of the parties relevant to the subject matter thereof and there aze no verbal or
written representations, agreements, warranties or promises pertaining to the project matter thereof
not expressly incorporated in this writing.
12. Notice. Any written notices as called for herein may be hand delivered to the
respective persons and/or addresses listed below or mailed by certified mail return receipt
requested, to:

13. Non-Discrimination. No discrimination because of race, color, creed, sex, marital
status, affectional or sexual orientation, family responsibility, national origin, ancestry, handicap, or
religion shall be made in the employment of persons to perform services under this contract.
Professional agrees to meet all of the requirements of City's municipal code, Section 13-98,
pertaining to non-discrimination in employment.
14. Waiver. The waiver by the City of any teen, covenant, or condition hereof shall not
operate as a waiver of any subsequent breach of the same or any other term. No term, covenant, or
condition of this Agreement can be waived except by the written consent of the City, and
forbeazance or indulgence by the City in any regazd whatsoever shall not constitute a waiver of any
term, covenant, or condition to be performed by Professional to which the same may apply and,
unfil complete performance by Professional of said term, covenant or condition, the City shall be
entitled to invoke any remedy available to it under this Agreement or by law despite any such
forbearance or indulgence.
15. Execution of Agreement by City. This agreement shall be binding upon all parties
hereto and their respective heirs, executors, administrators, successors, and assigns. Notwith-
standing anything to the contrary contained herein, this agreement shall not be binding upon the
City unless duly executed by the Mayor of the City of Aspen (or a duly authorized official in his
absence) following a Motion or Resolution of the Council of the City of Aspen authorizing the
Mayor(or aduly authorized official in his absence)to execute the same.
16. Illegal Aliens -CRS 8-17.5-101 & 24-76.5-101.
a. Purpose. During the 2006 Colorado legislative session, the Legislature passed
House Bills 06-1343 (subsequently amended by HB 07-1073) and 06-1023 that added

new statutes relating to the employment of and contracting with illegal aliens. These new
laws prohibit all state agencies and political subdivisions, including the City of Aspen,
from knowingly hiring an illegal alien to perform work under a contract, or to knowingly
contract with a subcontractor who knowingly hires with an illegal alien to perform work
under the contract. The new laws also require that all contracts for services include
certain specific language as set forth in the statutes. The following terms and conditions
have been designed to comply with the requirements of this new law.
b. Definitions. The following terms are defined in the new law and by this reference
are incorporated herein and in any contract for services entered into with the City of
Aspen.
"Basic Pilot Program" means the basic pilot employment verification program
created in Public Law 208, 104th Congress, as amended, and expanded in Public Law
156, 108th Congress, as amended, that is administered by the United States Department
of Homeland Security.
"Public Contract for Services" means this Agreement.
"Services" means the furnishing of labor, time, or effort by a Contractor or a
subcontractor not involving the delivery of a specific end product other than reports that
aze merely incidental to the required performance.
c. By signing this document, Professional certifies and represents that at this time:
(i) Professional shall confirm the employment eligibility of all employees who aze
newly hired for employment in the United States; and
(ii) Professional has participated or attempted to participate in the Basic Pilot
Program in order to verify that new employees are not employ illegal aliens.
d. Professional hereby confirms that:
(i) Professional shall not knowingly employ or contract new employees
without confirming the employment eligibility of all such employees hired for
employment in the United States under the Public Contract for Services.
(ii) Professional shall not enter into a contract with a subcontractor that fails to
confirm to the Professional that the subcontractor shall not knowingly hire new
employees without confirming their employment eligibility for employment in the
United States under the Public Contract for Services.
(iii) Professional has verified or has attempted to verify through participation
in the Federal Basic Pilot Program that Professional does not employ any new

employees who aze not eligible for employment in the United States; and if
Professional has not been accepted into the Federal Basic Pilot Program prior to
entering into the Public Contract for Services, Professional shall forthwith apply
to participate in the Federal Basic Pilot Program and shall in writing verify such
application within five (5) days of the date of the Public Contract. Professional
shall continue to apply to participate in the Federal Basic Pilot Program and shall
in writing verify same every three (3) calendaz months thereafter, until
Professional is accepted or the public-contract for services has been completed,
whichever is eazlier. The requirements of this section shall not be required or
effective if the Federal Basic Pilot Program is discontinued.
(iv) Professional shall not use the Basic Pilot Program procedures to undertake
pre-employment screening of job applicants while the Public Contract for
Services is being performed.
(v) If Professional obtains actual knowledge that a subcontractor performing
work under the Public Contract for Services knowingly employs or contracts with
anew employee who is an illegal alien, Professional shall:
(1) Notify such subcontractor and the City of Aspen within
three days that Professional has actual knowledge that the subcontractor
has newly employed or contracted with an illegal alien; and
(2) Terminate the subcontract with the subcontractor if within
three days of receiving the notice required pursuant to this section the
subcontractor does not cease employing or contracting with the new
employee who is an illegal alien; except that Professional shall not
terminate the Public Contract for Services with the subcontractor if during
such three days the subcontractor provides information to establish that the
subcontractor has not knowingly employed or contracted with an illegal
alien.
(vi) Professional shall comply with any reasonable request by the Colorado
Department of Labor and Employment made in the course of an investigation that
the Colorado Department of Labor and Employment undertakes or is undertaking
pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S.
(vii) If Professional violates any provision of the Public Contract for Services
pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City of
Aspen may terminate the Public Contract for Services. If the Public Contract for
Services is so terminated, Contractor shall be liable for actual and consequential
damages to the City of Aspen arising out of Professional's violation of Subsection
8-17.5-102, C.R.S.

(ix) If Professional operates as a sole proprietor, Professional hereby swears or
affirms under penalty of perjury that the Professional (1) is a citizen of the United
States or otherwise lawfully present in the United States pursuant to federal
law,(2) shall comply with the provisions of CRS 24-76.5-101 et seq., and (3) shall
produce one of the forms of identification required by CRS 24-76.5-103 prior to
the effective date of this Ageement.
17. General Terms.
(a) It is ageed that neither this ageement nor any of its terms, provisions,
conditions, representations or covenants can be modified, changed, terminated or amended, waived,
superseded or extended except by appropriate written instrument fully executed by the parties.
(b) If any of the provisions of this ageement shall be held invalid, illegal or
unenforceable it shall not affect or impair the validity, legality or enforceability of any other
provision.
(c) The parties aclrnowledge and understand that there aze no conditions or
limitations to this understanding except those as contained herein at the time of the execution
hereof and that after execution no alteration, change or modification shall be made except upon a
writing signed by the parties.
(d) This ageement shall be governed by the laws of the State of Colorado as
from time to time in effect.
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their duly
authorized officials, this Ageement in three copies each of which shall be deemed an original on
the date hereinafter written.

High performance Epoxies offer yeazs of service. On the metal area of the floor we will install a Polyiso Insulation
foam, on top of which we will install a membrane composed of two waterproofing materials-an aggressive
rbberized asphalt adhesive backed by a layer of high density cross laminated polyethylene. The foam is designed
for light foot t[affic. We will use Sikafloor 265 as the liquid waterproofing membrane. Sikafloor 265 is a two
component, high solids elastomer and flexible epoxy for use as a seamless, waterproofing membrane. This system
maximizes flexibility and elongation to provide excellent crack bridging capabilifies. Work is to be completed by
September 25'" Prior to installing waterproofing membrane, a 24" Tempest Fan with explosion proof motors will be
sealed in the doorway leading to the roof. Attached to the fan will be 100 feet of smooth bore ducting. The Tempest
Fan moves 12,917 cubic feet per minute. There is approximately 28,000 cubic feet in Phase 1, therefore every 2.1
minutes the air is being replaced. This will insure to keep the OSHA exposure restrictions below the maximum limit
of 100 parts per million, and to help in proper material cure.
This floor is based more on function than aesthetics.

Scope: Water Prooftng Membrane System
Based on 2,950 square feet and 6381inear feet offour inch cove base
*Aspen Coatings will move small pipes and obstructions where possible and within reason.
1. Diamond grind the entire azea that will receive new coating to remove any existing coating and a fine layer
of concrete to leave a CSP 3 profile for correct product adhesion.
2. Sand blast metal azea to prepare to receive cove to a #10 bright fmish.
3. Patching: ACI will patch all voids and cracks in the concrete, as a measure the maximum thickness
untreated is 1/16" for cracking and %" in diameter for voids.
4. Vacuum floor to remove stray sand.
S. Install Polyiso insulation, AC FoamII, over the metal area of floor at 1" thick using `self tapping' screws
(see attached drawing)
6. Install water-proofing membrane, Grace Ice and Water Shield, rolled out at 40 mils thick and sealed around
edges using Lap Sealant
7. Install [emanation bars along the hansition point between metal and concrete and seal with Lap Sealant
8. Cut key ways around drains to reinforce coating at edges.
9. Coat 6381ineaz feet offour inch cove.
10. Install coat of a two component, high solids and flexible epoxy at 20 mils, for use as a flexible seamless
waterproofmg membrane.
11. Install top coat of a two component, high solids and flexible epoxy at 20 mils, for use as a flexible seamless
waterproofmg membrane, working coating up to a feather edge at the top of pads. Color to be Light Gray
or Oxford Gray
12. Backer rod and flexible joint material will be installed around the floor drains to prevent cracks there.
13. Aspen Coatings will provide all prep-work and warranty service inclusive for the proposed price below (no
optional items)..., and will be responsible for the removal and replacement of any small pipes or hardware
as necessary to complete the job in a workman like manner...
14. Start dates and completion dates will be specified in our contract as September 12 through September 25a'
with VOCs produced only during the second week.
15. Install flexible joint material around drains. Such as Sika 2CSL or equivalent.
16. Aspen Coatings will provide all prep-work and warranty service inclusive for the proposed price below (no
optional items)..., and will be responsible for the removal and replacement of any small pipes or hardware
as necessary to complete the job in a workman like manner...
17. Start dates and completion dates will be specified in our contract as September 12 through September 2S`s
with VOCs produced only during the second week.
On a later mobilization, Aspen Coatings will waterproof the pad under air handler #2. The lifting of Air Handler #2
will be done by others -Not Aspen Coatings.

• Terms of payment are 50% of contract to schedule project, remaining due upon completion

and upon Aspen Coatings Inc having unintertup[ed work. Interruptions or interference, from any source, which
cause a delay in work, will result in a change order to compensate Aspen Coatings Inc for extra time and expenses
incurred

• Owner or designated representative of owner (general contractor) is responsible for providing lights, water,
electricity, heat and 24 hour access to the project site.
• Power to be supplied by owner, 220 Volt, 50 amp, 3 phase or 480 Volt, 50 amp, 3 phase no farther than 100 feet
from area to be treated as well as 110 single phase. If Contractor is required [o bring in a generator, the generator
will be billed at a rate of $350.00 per 8 hours of mn time, plus diesel fuel cost.
• Concrete must be dry and broom swept
• Time frames are estimates, Aspen Coatings Inc. cannot be held responsible for unforeseen challenges identified
within the project
• General Contractor/Owner shall provide a dumpster for all non-hazardous waste
• General Contractor/Owner shall supply secure, covered storage of all materials to be delivered to [he job site
• General Contractor/Owner shall have area free of all hades and traffic during, and 24 hours after flooring and/or
coating installation. Aspen Coatings Inc. shall not beheld responsible for damage caused by traffic during
construction. If the floor and/or coating installation is damaged for any reason due to other trades [here is an
additional fee to re-apply the floor and/or coatings
• Quotation is subject to review after 60 days or if there is a substantial change in material cost, labor rates, or size
of area to be installed
• Coating systems are covered by a one-year wartanty against bond failure due [o peeling, lifting, or cracking.
Wartanty covers labor and materials only. Wartanty does not cover consequential damage
• The pricing includes all materials, freight, labor, tools, supplies, equipment, supervision, liability insurance and
workers compensation insurance.
• Concrete must be structurally sound and dry before application of the floor coating material. Concrete moisture
testing must occur. Relative Humidity Testing ASTMF2170 Test results must meet 75% - 80% Readings (Verify
with manufacturer of Each Product). Calcium chloride testing ASTM F 1869 readings must be below 3 pounds per
1,000 square feet on the calcium chloride test. •Although testing is critical, it is not a guarantee against future
problems. This is especially true if there is no vapor barrier or the vapor barrier is not functioning properly and/or
you suspect you may have concrete contamination from oils, chemical spills or excessive salts.
• This proposal does not include moisture testing. Testing for vapor emissions is the customer's responsibility, and
is required (at the customer's sole expense) for the Limited Warranty to apply Aspen Coatings can provide names
of testing companies in your area. Test results are to be famished to Aspen Coatings no less than forty-eight (48)
prior to install date.
• Protection of flooring; No satisfactory chemical or cleaning procedure is available to remove petroleum stains
from the concrete surface. Prevention is there for essential. All hydraulic powered equipment must be diapered to
avoid staining of the concrete. No trade will park on the slab. If necessary to complete [heir scope of work, drop
clothes will be placed under vehicles at all times. No pipe cutting machine will be used on the inside slab. Steel
will not be placed on the interior slab to avoid mst staining.
• Owner assistance in unloading materials or storing them if needed
• Cancellation or rescheduling less than seven (7) days before the scheduled start date will result in a charge of 20%
of the contract price, unless Aspen Coatings can fill the time slot with other work. Cancellations will also incur a
restocking charge if materials have been shipped to the jobsite prior to cancellation
• If a slip resistant texture is chosen Owner or Owner's agent is to be present during finish coat to approve texture.
If owner is not present the Owner will accept the texture provided by Aspen Coatings.
• Aspen Coatings warranty does no[ cover any damage to the floor coating orjoint filler materials caused, in whole
or part, by cracking of the slab/substrate orjoints, heaving of the joint filler material, expansion or contraction of

the slab/substrate, or any movement of the slab/substrate. Aspen Coatings will warranty cracking caused by
expansion or contraction at the drain castings for one year in [he installed joint azea.
• Aspen Coatings is not responsible for unforeseen conditions including but not limited to rain, cold temperature,
strong wind, hurricane, tornado, earthquake etc. Unforeseen conditions which cause delays, increased labor, or
increased material costs are the responsibility of the owner, and will be charged as a change order.
• If the concrete to be coated has a soft cap, this is considered an unforeseen condition, which cannot be identified
until shot blasting begins. When shot blasted, concrete with a soft cap tends [o have a much heavier profile. If a
soft cap is identified in all or part of the slab, the customer will have the option of putting more material in this
are; for an additional cost. As well, shot blasting can open up "cracks" [ha[ were not visible during prejob survey
and will require a change order to fill. This material will be charged as a change order. Failure to put this
additional epoxy on the floor will leave an aesthetically displeasing surface, for which Aspen Coatings will not be
responsible.
• If a solvent based product is chosen, Aspen Coatings will not be responsible for damages caused by solvent fumes.
• If Dye or stain is installed these products will not mask or hid imperfections in the floor, and may appear different
in areas that have received different pours or patches.
• Aspen Coatings does no[ warranty color match.
• Depending upon which product or system is chosen; slip resistance could be an issue. Aspen Coatings will not be
responsible for any slip and fall incidents.
• If concrete polishing or a clear system is installed, variations existing in the slab will show through to the finished
product.
• Warranty Limitations and Disclaimers. This proposal is subject to Aspen Coating's Money back warranty. Any
and all remedies Owner may have against Aspen Coatings for defects in workmanship are limited, as set forth in
[he Limited Warranty, and in no even[ shall Aspen Coatings be liable to the owner for incidental or consequential
damages, including, but not limited to, lost profits, business interruption expenses, and/or expenses incurred in
moving and/or strong occupants, equipment, or inventory which might be affected by repair operations. Aspen
Coatings does not warrant against, and specifically disclaims any liability for, any defect or failure ,including
blistering, peeling, cracking or delaminating caused in whole or in part by: hydrostatic pressure, osmotic ground
water pressure, vapor drive, hydration, or any other moisture or water related failure; ground movement or
settling; structural or substrate failure; Alkaline Silicate Reaction (ASR); cosmetic defects; scraping, gouging,
staining or discoloration; building alteration; improper design or construction of the substrate on which materials
are applied; acts of God, such as hurricane, tornado, earthquake, etc.; normal wear and tear, and any other cause
beyond [he control of Aspen Coatings.
• Owner is responsible for providing the building/area in a condition that is ready for Aspen Coatings work [o
begin, including but not limited to, the following
o The building to be coated should be kept at a controlled temperature (55 - 85 degrees Fahrenheit)
fourteen (14) days prior to installation of the coating.
o Sprinklers surrounding [he perimeter of the building must be tamed off ten (10) days prior [o the
installation of any floor and left off for seven (7) days after the Floor has been installed.
• This Agreement does not include, unless state in scope of work: 1, Removal of tape, ink, mastic, or adhesives,
paint over spray, existing sealers, coatings, or stains. 2. Removal of concrete spillage, splash or stains embedded
in or on the surface. 3. Repair of cracks, joints, concrete spillage, holes, divots, pitting or other surface defects.
• MOVE-INS: A minimum of $5,900 will apply for each additional move-in not in this Agreement.
• Acceptance of this proposal is acceptance of these Terms and Conditions, as well as the Scope of Work in this
proposal.
• Aspen Coatings will be responsible for all cleanup associated with their work.

Mule-Hide EPDM Lap Sealant is a one-part, black, elastomeric sealant designed for sealing the exposed
edge of field fabricated rubber membrane splices and laps.
BASIC USES
Mule-Hide EPDM Lap Sealant is required for sealing EPDM seams and flashings against the effects of
weathering when seam with Splice Adhesive or Single Seal Adhesive. Refer to the Mule-Hide EPDM
Manual for appropriate use of Lap Sealant when seams and flashings are completed with Mule-Hide Tape
Products.

MULE-HIDE EPDM BLACK LAP SEALANT
INSTALLATION INSTRUCTIONS
Remove all dust or other foreign material surtaces to be bonded. Clean the membrane thoroughly with
Mule-Hide Seam Cleaner prior to application of Lap Sealant. Bring sealant to room temperature prior to
use at temperatures below 70° F. Do not apply at temperatures below 20° F. Seams and flashings should
be completed at least 2 hours prior to application of Lap Sealant. Apply a 1/4" to 3/8" bead of sealant along
the exposed membrane edge. Do NOT trowel.
CLEANER
Toluene, Xylene or Trichloroethene maybe used.
Mule-Hide EPDM Black Lap Sealant contains ingredients which could be harmful if mishandled. Contact
with skin and eyes should be avoided and necessary protective equipment and clothing should be worn.

health and safety information for your development of appropriate product handling procedures to protect

product Description
Grace Ice & Water Shield" is a premier membrane
composed of two waterproofing materials-an
aggressive rubberized asphalt adhesive backed by
a layer of high density cross laminated polyethyl-
ene. The rubberized asphalt surface is backed with
a foldless release paper that protects its adhesive
quality. During application, the release paper is
easily removed, allowing the rubberized asphalt to
bond tightly to the roof deck. In addition, embed-
ded in the membrane is a split release on demand
feature called Ripcord".
The membrane is supplied in two roll sizes.

Membrane strips are also available in 75 ft (22.9 m)
long rolls at widths of 6 is (150 mm), 9 in.

Grace Ice & Water Shield is used as an underlay-
ment for sloped roofs to resist water penetration
due to water back-up behind ice dams or wind-
driven rain. Grace Ice & Water Shield also offers
leak protection irr [rouble prone spots like valleys,
skylights, protrusions and other flashing areas.
Ice Dams
Grace Ice & Water Shield should be used in conjunction
with designs which minimize ice dam formation. In cold
climates, it is particularly important to provide proper insu-
lation and ventilation [o reduce the size of ice dams and to
avoid interior condensation. Cathedral ceilings must include
ventilation between rafters to allow for air flow to a ridge
vent. Well ventilated cold roof designs are particularly
important in alpine regions to reduce the size of ice dams
which could contribute to structural damage.
Several variables will influence the height of ice dams and
the membrane coverage required.
i. Climate-The annual snow fall will affect the amount of
membrane needed.
2. Slope-On a low slope, ice dams will extend farther
inward from the roof edge.
3.Overhang-A wide overhang will require more
membrane [o reach the appropriate point on the roof.
4.Insulation and ventilation-A very well insulated
building with a cold, well ventilated attic will have
smaller ice dams.
5. Valleys-Any valleys formed by projections such as
dormers or roof direction changes aze likely to trap more
snow and cause larger ice dams.
6. Exposure-A northern exposure or shaded areas will
generally contribute to larger ice dams. While gutters may
make it easier for an ice dam to start, large dams can
occur on roofs with nu gutters.
Removing snow from a roof edge or installing heat cables
may not prevent ice dam formation, but may shift [he
location of the ice dam. Under certain conditions, a dam
can forrrt at the edge of the remaining snow.
Local building codes should be consulted for specific
requirements.

Installation Procedure
Surface Preparation
Install Grace Ice & Water Shield directly on a clean, dry,
continuous stmctmal deck. Some suitable deck materials
include plywood, wood composition, wood plank, metal,
concrete, or gypsum sheathing. Remove dust, dirt, loose
nails, and old roofing materials. Protmsions from the deck
azea must be removed. Decks shall have no voids, damaged,
or unsupported areas. Wood planks should be closely butted
together Repair deck areas before installing the membrane.
Prime concrete, masonry surfaces and DensGlass Gold'°
with Perm-A-Barrier'' WB Primer. Prime wood composition
and gypsum sheathing with Perm-A-Barrier WB Primer if
adhesion is found to be mazginal (refer to Technical Letter
12, Use on Oriented Strand Board (OSB) Roo(Sheathing).
Apply Perrrt-A-Barrier WB Primer at a rate of 250-350 ft2/gal
(6-8 m=/L). Priming is not required for other suitable
surfaces provided that they are clean and dry.
Membrane Installation
Apply Grace Ice & Water Shield in fair weather when the
air, roof deck, and membrane are at temperatures of 40°F
(5°C) or higher. Apply roof covering material at tempera-
tures of 40°F (5°C) or higher.
Cut the membrane into 10-15 ft (3-5 m) lengths and reroll
loosely. Pcel back 1-2 ft (300-600 mm) of release liner,
align the membrane, and continue to peel the release liner
from the membrane. Press the membrane in place with
heavy hand pressure. Side laps must be a minimum of 3.5 in.
(90 mm) and end laps a minimum of 6 in. (150 mm). For
valley and ridge application, peel the release liner, center the
sheet over the valley or ridge, drape, and press it in place.
Work from the center of the valley or ridge outward in each
direction and start at the low point and work up the roof.
Alternatively, starting with a full roll of membrane, unroll a
3-6 ft (I-2 m) piece of membrane leaving the release liner
in place. Align the membrane and roll in the intended direc-
tion of membrane application. Carefully cut the release liner
nn [op of the roll in the cross direction being careful no[ to
cut the membrane. Peel back about 6 in. (150 mm) of the
release liner in the opposite direction of the intended
membrane application exposing the black adhesive. Hold
the release liner with one hand and pull the roll along the
deck with the release liner, leaving the applied membrane
behind. Use the other hand to apply pressure on the top of
the roll. Stop frequently to press the membrane in place with
heavy hand pressure. When finished with the roll go back to
the beginning, rerol l and pull the remaining release paper
from the material, finishing the installation.
For successive membrane courses, align the edge of the
release liner with the dashed line provided on the surface of
the membrane to achieve the 3.5 in. (90 mm) side lap.
Consistent with good roofing practice, install the membrane
such that all laps shed water. Always work from the low
point to the high point of the roof. Apply the membrane in
valleys before the membrane is applied to the eaves.
Following placement along [he eaves, continue application
of the membrane up the roof The membrane maybe
installed either vertically or horizontally.
Use smooth shank, electro-plated galvanized nails for
fastening shingles to get the best seal. Hand nailing gener-
ally provides a better seal than power-activated nailing.
If nailing of the membrane is necessary on steep slopes
during hot or extreme cold weather backnail and cover [he
nails by overlapping with [he next sheet.
Extend the membrane on [he roof deck above [he highest
expected level of water back-up from ice dams and above
the highest expected level of snow and ice on [he wall
sheathing on vertical side walls (dormers) and vertical front
walls for ice dam protection. Consider a double layer of
membrane in critical areas, such as along the eaves or in
valleys and in climates where severe ice dams are antici-
pated. Apply the membrane to the entire roof deck for
wind-driven rain protection. Apply a new layer of Grace Ice
& Water Shield directly over the old Grace underlaymen[ in
rettofit applications following the standazd membrane
application procedure.
Precautions 8r Limitations
• Slippery when wet or covered by frost.
• Consistent with good roofmg practice, always wear fall
protection when working on a roof deck.
• Release liners aze slippery. Remove from work area
immediately after membrane application.
• Do not leave permanently exposed to sunlight.
Cover within 30 days.
• Place metal drip edges or wood starter shingles over the
membrane.
• Do not fold over the roof edge unless the edge is
protected by a drip edge, gutter or other flashing material.
• Do not install on the chamfered edges of wood plank.
• Do not install directly on old roof coverings.
• Certain product applications aze prohibited in hot desert.
areas in the southwestern United States. Check with your
Grace Construction Products representative.
• Check with the manufacturer of the metal roofing system
for any special requirements when used under metal
roofing. Do not install directly under roof coverings espe-
cially sensitive to corrosion, such as zinc, without
providing proper ventilation.
• Do no[ install under copper, Cor-Tenn, or zinc metal
roofing in high al[imdes. These roofs can reach extremely
high temperatures due to the low reflectivity, high absorp-
tion, and high conductivity of the metals. Use Grace Ultra
for these roof types. Check with your Grace Construction
Products representative.
• Provide proper roof insulation and ventilation to help
reduce ice dams and to minimize condensation. Grace Ice
& Water Shield is an air and vapor barrier.

• Repair holes, fishmouths, tears, and damage to membrane
with a round patch of membrane extending past the
damaged area 6 in. (150 mm) in all directions. if fasteners
are removed leaving holes in the membrane, they must be
patched. The membrane may not self-seal open fastener
penetrations.
• Do not install fasteners through the membrane over
unsupported areas of the stmctural deck, such as over the
joints between adjacent structural panels.
• Due to its slight asphaltic odor, do no[ apply where the
membrane is exposed to interior living space. Refer to
product literature for more complete information.
• Not compatible with EPDM or TPO; use Grace Ultra for
tie-ins (refer to Technical Letter 5, Chemical Compatibiiiry).
• Not compatible with polysulfides, flexible PVC, or high
concentrations of resin (pitch). For more information,
refer to Technical Letter 5.

INSTALLATION
8dore installation begins, the roof deck should he firm,
well attached, even, clean and dry. Proper attachment of
the insulation is necessary to prevent rout failures. Atlas
is not responsible for any damage caused by improper
attachment ACFaam° products can be attached to decks
that are approved by FM Approvals and local codes. Atlas is
not responsihlefor determining the suitahility of the deck.
ACFaam° shall be kept dry before, during and after
installation. Install only as much ACFOanf" as run
be rovered the same day with completed roofing.
Although A(Foam' has been designed to withstand normal
foot traffic, pro[ecion from damage by construaian

" Surface
Preparation
Surface must be clean, sound and dry. Remove dust, laitance, grease, curing compounds,
bond inhibiting impregnations, waxes and any other contaminants. All projections, rough spots,
etc. should be dressed off to achieve a level surface prior to the application. Concrete should be
cleaned and prepared to achieve a laitance and contaminant free, open textured surface by shot
blasting or equivalent mechanical means. (CSP-3 as per ICRI guidelines). Sweep and vacuum
any remaining dirt and dust with a weUdry vacuum. Removing residual dust will help ensure a
tenacious bond between the primer and substrate. Whenever "shot-blasting" is utilized, be careful
to leave concrete with a uniform texture. Over "blasting" will result in reduced coverage rates
of the primer and/or subsequent topcoats. The compressive strength of the concrete substrate
should be at least 3500 psi (24 MPa) at 28 days and at least 250 psi (1.7 MPa) in tension at the
Priming Waterproofing requires (2) coats of Sikafloor 265 at 40 total mils. This method does not require a
primer. If a single coat application of Sikafloor 265 is applied at 40 mils, a primer is necessary. In
this case Sikafloor 107 should be applied at 275-300 sq. ft. per gallon, over damp or dry wncrete.
Rough concrete surfaces will result in red uced coverage.

Packaging: Sikafloor 265 is packaged intuit 5-gallon (18.9 L) pails, both Resin and Hardener. Mix ratio is 1R:1H by
volume.
Description Sikafloor 265 is a two component, high solids and flexible epoxy for use as a flexible membrane.
Sikafloor 265 is a true elastomer for use as a seamless, waterproofing membrane. This unique,
flexible polymer system maximizes flexibility and elongation to provide excellent crack bridging
capabilities. Can be used alone as a Clear or with Sikafloor Epoxy Color Additive.
Where to Use Sikafloor 265 is ideal for mechanical equipment rooms, Floors in interior spaces where humidity
and temperature are micro-controlled, access Floor systems for computer rooms and offices
where liquid lines prevail, areas requiring an elastomeric water protection surface. Sikafloor 265
may be used as a waterproofing membrane.

Chemical. No Chemical Resistance Guide for this product, requires over coating with a Sikafloor
' Resistance s stem or topcoat.
Mixing For bulk packaging when not mixing full units each component must be pre-mixed separately to
' ensure product uniformity. It is important to remember that the Sikafloor 265 has a limited pot
life. Review that all surface preparation is complete and application equipment is in good working
- order, before starting the mixing sequence.
Color Additives: If color is desired, the appropriate Sikafloor Epoxy Color Additive is added
to the "Clear Part R resin at the specified rate. Refer to Epoxy Color Additive Data Sheet for
specific ratios. Mix at low speed for a minimum of two minutes.
1. The Part R Resin must be thoroughly mixed prior to the addition of Part H Hardener.
2. Mix ratio is 1 Part Resin to 1 Part Hardener by volume. Pour into an empty clean pail
correct amount of Resin and HaMener, 1 R:1 H.
3. Mix with a very low speed jiffy mixer, until completely blended. This will take about 2 to 3
minutes. Be careful not to introduce any air bubbles while mixing.
4. Due to the difference in viscosity between the Part "R" Resin and Part "H" Hardener, care
must be taken to ensure that both components are thoroughly mixed in order to avoid weak
or partially cured spots in the coating.
5. Since this product does not need any induction time, it should be used immediately
after mixing.
' Application This product should be applied by first pouring a bead of material in the form of a ribbon on the
surface to be coated. Using a serrated squeegee or notched trowel spread the bead of material
at a rate of approximately 40 sq. ft. per gallon (3.68 m~). Apply as evenly as possible. The
material should flow out and does not require back rolling in most cases.
Critical Recoat Apply subsequent coats of Sikafloor 265 and other Sikafloor products within 48 hours (under
Time normal curing conditions (75°F, 23°C, 50% RH). If the recoat window is missed abrade floor
usin 80 rtt screen, prior to subsequent scats.
Limitations ^ Minimum/Maximum substrate temperature: 60°F/85°F (15.5°CI30°C).
^ Minimum/Maximum relative humidity: 15%/85%.
^ Substrate temperature must be at least 5°F (3°C) above measured dew point.
^ Conduct quantitative anhydrous calcium chloride testing in accordance with ASTM-F1869.
Maximum acceptable test result is 3 pounds per 1,000 ft' per 24 hours. Determine the
surface moisture content by using an impedance moisture meter designed for use on
concrete as detailed in ASTM E-1907. Acceptable test results shall be 4% by mass or less.
If over, use Sikafloor EpoCem 81/82 or Sikafloor Vapor Block.
^ Freshly applied Sikafloor 265 should be protected from dampness, condensation and water
for at least 24 hrs.
^ Do not thin this product. Addition of thinners will slow down the wre and reduce the ultimate
properties of this product.
^ This product is not designed for exterior use, immersion, or any use where moisture can
reach the underside of the resurfacer.
- ^ Will discolor over time when exposed to sunlight (UV) and under certain artificial lighting
conditions. UV resistant, light stable topcoats are available where ultimate color/clarity
retention is re wired.
Caution COMPONENT R: WARNING: IRRITANT, SENSITIZER. Contains Epoxy Resins (Mixture).
Harmful if inhaled. May cause eye/skin/respiratory irritation. May cause skin/respiratory tract
sensitization. Harmful if swallowed.
COMPONENT H: WARNING: CORROSIVE, IRRITANT, SENSITIZER. Contains Amines
(Mixture). May cause respiratory irritation. Causes bums to eyes and skin. May cause skin/
respiratory trail sensitization. May be corrosive to mouth, throat, and stomach. May cause
irritation if swallowed. Deliberate concentration of vapors of'R' 8/or'H' components for purposes
of inhalation is harmful and can be fatal. Strictly follow all usage, handling and storage
instructions.
First Aid Eyes -Hold eyelids apart and flush thoroughly with water for 15 minutes. Skin -Remove
contaminated clothing. Wash skin thoroughly for 15 minutes with soap and water. Inhalation -
Remove to fresh air. Ingestion - Do not induce vomiting. Dilute with water. Contact physician.
In all cases contact a physician immediately if symptoms persist
Handling and Avoid direct contact. Wear personal protective equipment (chemical resistant goggles/gloves/
clothing) to prevent direct contact with skin and eyes. Use only in well ventilated areas. Open
doors and windows during use. Use a properly fitted NIOSH respirator if ventilation is poor.

Description Sikafloor 340 is atwo-component, reduced VOC chemical resistant aliphatic urethane that has
exceptional resistance to most chemicals. It cures through chemical reaction and therefore is
not dependent on atmospheric moisture.
Where to Use ^ Especially useful for floors in such areas as aircraft hangers, service bays, etc., where
light reflectance and chemical resistance to spills are required. Can be used alone as clear,
and is available in 18 additional colors by mixing the dear with Sikafloor Urethane Color

How to Use
Surface Surface must be clean, sound and dry. Remove dust, laitance, grease, curing compounds,
Preparation bond inhibiting impregnations, waxes and any other contaminants. All projections, rough spots,
etc should be dressed off to achieve a level surface prior to the application. Concrete -Should
be cleaned and prepared to achieve a laitance and contaminant free, open textured surface
by shot blasting or equivalent mechanical means. (CSP-3 as per ICRI guidelines). Sweep
and vacuum any remaining dirt and dust with a weUdry vacuum. Removing residual dust will
help ensure a tenacious bond between the primer and substrate. Whenever "shat-blasting"
is utilized, be careful to leave concrete with a uniform texture. "Over blasting" will result in
reduced coverage rates of the primer and/or subsequent topcoats. It is also passible that the
texture of the shot-blast pattern may show through the finish coat. This is known as "tracking".
The compressive strength of the concrete substrate should be at least 3500 psi (24 MPa) al
28 days and at least 250 psi (1.7 MPa) intension at the time of application of Sikafloor 107
primer.

Packaging Sikafloor 340 COATING is packaged in full containers. Part "H' Hardener
is packaged in a full five-gallon (18.9 L) pail or full oneyallon (3.8 L)
containers. Part "R" Resin is packaged in a full five-gallon pail.
Priming Sikafloor 107 primer should be applied at 275-300 sq. ft. per gallon, over damp or dry concrete.
Rough concrete surfaces will result in reduced coverage.
Mixing If clear coating is desired follow steps 1-4 below, use step 2a instead of 2b. If pigmented
coating is desired follow steps 1-4 below, use step 2b instead of 2a.
It is important to remember that this coating has a limited pot life. Therefore it is recommended
to check and make sure all surface preparation is complete and installation equipment is ready
before starting the mixing sequence. Color Additives: If color is desired, the appropriate
Sikafloor Urethane Color Additive is added to the "Clear' Sikafloor 340 Part "R° Resin at the
specified rate. Refer to the Sikafloor Urethane Data Sheet for specific retios. Mix at the
appropriate rate at low speed for a minimum of two minutes.

^ Substrate temperature must be at least 5°F (3°C) above measured dew point.
^ Conduct quantitative anhydrous calcium chloride testing in accordance with ASTM-F1869.
Maximum acceptable test result is 3 pounds per 1,000 ft' per 24 hours. Determine the
surface moisture content by using an impedance moisture meter designed for use on
concrete as detailed in ASTM E-1907. Acceptable test results shall be 4% by mass or less.
If over, use Sikafloor EpoCem 81/82 or Sikafloor Vapor Block.
^ Do not use on exterior, on-grade substrates.
^ Freshly applied Sikafloor 340 should be protected from dampness, condensation and
water for at least 24 hrs.
