(SERIES OF 2001) A RESOLUTION OF THE CITY COUNCIL OF ASPEN, COLORADO, APPROVING A CONSTRUCTION CONTRACT BETWEEN THE CITY OF ASPEN AND SHAW CONSTRUCTION LLC, AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID CONTRACT ON BEHALF OF THE CITY OF ASPEN. WHEREAS, there has been submitted to the City Council Construction Contract between the City of Aspen, Colorado and Shaw Construction LLC, a copy of which is annexed hereto and part thereof. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO. Section One That the City Council of the City of Aspen hereby approves that Construction Contract between the City of Aspen, Colorado, and Shaw Construction LLC, regarding the Iselin Construction Contract, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager to execute said Contract on behalf of the City of Aspen. Ko~, Qityfi~lerk CONSTRUCTION AGREEMENT (Cost of Work Plus a Fee with Negotiated Guaranteed Maximum Price) THIS AGREEMENT, rnada and *atered 23rd day of May, 2001, by and between the City of Aspen, Colorado, a home rule mtmicipality, herein after referred to as "the City" or "Owner" and Shaw Construction LLC, herein after referred to as the "Contractor." The Project Title is: Iselin Pool and Ice Facility The Architect is: Durrant Amhitects and DHM, Inc being the primary contact The Owner and Contractor agree as follows: ARTICLE ! THE CONTRACT DOCUMENTS 1.1 The Contract Documents and precedence of documents consist of this Agreement, General Conditions of the Contract (General Supplementary and other Conditions), Schedule A, Schedule B, Drawings, Specifications, Addenda issued prior to execution of this Agreement; these Documents which are initialed by the City and Contactor form the Contract, and are as fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations or agreements, either written or oral. An enumeration Of ;lie C0n~i~Ct Documents, other than Modifications, appears in Article 16. If anything in the other Contract Documents is inconsistent with this Agreement, this Agreement shall govern. ARTICLE 2 THE WORK OF THIS CONTRACT 2.1 The Contractor shall fully execute the Work described in the Contract Documents, except to the extent specifically indicated in the Contract Documents to be the responsibility of others. See Exhibit A, Scope of Work. AllTICLE 3 RELATIONSHIP OF THE PARTIES 3.1 The Contractor accepts the relationship of trust and confidence established by this Agreement and covenants with the Owner to cooperate with the Architect and exercise the Contractor's skill and judgment in furthering the interests of the Owner; to furnish efficient business administration and supervision; to furnish at all times an adequate supply of workers and materials; and to perform the Work in an expeditious and economical manner consistent with the Owner's interests. The Owner agrees to furnish and approve, in a timely manner, information required by the Contractor and to make paymcnta to the Contractor in accordance with the requirements of the Contract Documents. ARTICLE 4 DATE OF COMMENCEMENT AND SUBSTANIAL COMPLETION 4.1 The date of commencement of the Work shall be June 15, 2001, and subject to the issuance of all applicable permits, unless a different date is stated in a Notice to Proceed issued by the Owner. 4.2 The Contract Time shall be measured from the date of commencement. 4.3 The Contractor shall achieve Substantial Completion of the entire Work as follows: 19 Months from start date. ARTICLE 5 BASIS FOR PAYMENT 5.1 CONTRACT SUM 5.1.1 The Owner shall pay the Contractor the Contract Sum in current funds for the Contractor's performance of the Contract. The Contract Sum is the Cost of the Work as defined in Article 7 plus the Contractor's Fee. 5.1.2 The Contractor's Fee is: The Work will be performed for a fee of 3.75% on the total development costs which include labor, materials, subcontracted work, costs of permits, testing, inspections, and fees for design by Durrant Architects and, DHM, and pursuant to Article 5, Article 7 and Article 14. For Changes in the work, in accordance with Article 10 of the General Conditions, initiated Owner, or Owner Consultants, which result in increases to the Guaranteed Maximum Price, the Contractor's Lump Sum Fixed Fee shall be at the rate of 3:75%. Upon final completion of the Work, if the actual sum of the Cost of the Work (including the Cost of the Work and the Contractor's Fee) is less than the Guaranteed Maximum Price (not including any amounts for allowances which shall be paid as actuals), the difference ("Savings") shall be allocated as follows: · 30% of the difference shall be paid to Contractor · The remainder of the difference shall be a reduction to the Guaranteed Maximum Price 5.2 GUARANTEED MAXIMUM PRICE CC7-001.doc Page: 2 5.2.1 The sum of the Cost of the Work and the Contractor's Fee is guaranteed by the Contractor not to exceed Sixteen Million, eight hundred and eighteen thousand, eight hundred and thirteen dollars 1516,818,813.00) subject to Schedule A, and subject to additions and deductions by Change Order as provided ill thc toni;rani D0 umcnts. Such maximum sum is referred to in the Contract Documents as the Guaranteed Maximum Price (GMP). Costs which would cause the Guaranteed Maximum Price to be exceeded shall be paid by the contractor without reimbursement by the Owner. 5.2.2 Unit prices, if any, are as follows: See Schedule A, Scope of Work 5.2.3 Allowances, ifany, are as follows: See Schedule A, Scope of Work 5.2.4 Assumptions, if any, on which the Guaranteed Maximum Price is based, are as follows: See Schedule A, Scope of Work. 5.2.5 To the extent that the Drawings and Specifications are anticipated to require further development by the Architect, the Contractor has provided in the Guaranteed Maximum Price for such further development consistent with the Contract Documents and reasonably inferable therefrom. Such further development does not include such things as changes m scope, systems, kinds and quality of materials, finishes or equipment, all of which, if required, shall be incorporated by Change Order. ARTICLE 6 CHANGES IN THE WORK 6.1 Adjustments to the Guaranteed Maximum Price on account of changes in the Work may be determined by any of the methods listed in Article 11 of the General Conditions. ARTICLE 7 COSTS TO BE REIMBURSED 7.1 COST OF THE WORK The term Cost of the Work shall mean costs necessarily incurred by the contractor in the proper performance of the work. Such costs shall be at rates not higher than the standard paid at the place of the Project except with prior consent of the Owner. The Cost of the Work shall include the items set forth at Article 11.4 of the General Conditions and as set forth below. 7.2 The rate for performance and payment bond from Contractor shall be a reimbursable cost of the Work at the rate of 1.06% of the GMP. 7.3 Contractor's expenses for Warranty Liability Reserve are reimbursable cost of the Work at a rate of 0.41% of the GMP. CC7-001.doc Page: 3 7.4 Contractor's expenses for Umbrella and General Liability Insurance coverage applicable to this project are reimbursable costs of the Work at a rate of thirty-six hundredths of a percent (0.3 6%) of the GMP. 7.5 Costs for drug testing and screening of workers directly employed by the Contractor per Contractor's Drug Screening Program and if required, workers directly employed by subcontractors. 7.5 Cost of Safety Awards and Jobsite Incentive Programs paid to Contractor's field supervisors and subcontractors on the Project. 7.6 Labor and Equipment Rates and Items established in Schedule B ARTICLE 8 COSTS NOT TO BE REIMBURSED 8.1 The Cost of the Work shall not include items not set forth at Sections 11.4 of the General Conditions. 8.2 Items not established in Schedule B or enumerated above in Article 7. ARTICLE 9 DISCOUNTS, REBATES AND REFUNDS 9.1 Cash discounts obtained on payments made by the Contractor shall accrue to the Owner if (1) before making the paymem, the Contractor included them in an Application for Payment and received payment therefore from the Owner, or (2) the Owner has deposited funds with the Contractor with which to make payments; otherwise, cash discounts shall accrue to the contractor. Trade discounts, rebates, refunds and amounts received from sales of surplus materials and equipment shall accrue to the Owner, and the Contractor shall make provisions so that they can be secured. 9.2 Amounts that accrue to the Owner in accordance with the provisions of Paragraph 9.1 shall be credited to the Owner as a deduction form the Cost of the Work. ARTICLE 10 SUBCONTRACTS AND OTHER AGREEMENTS 10.1 Those portions of the Work that the Contractor does not customarily perform with the Contractor's own personnel shall be performed under subcontracts or by other appropriate agreements with the Contractor. Section 6.9 and 6.10 of the General Conditions sets forth the terms and conditions relating to the use of subcontractors. CCT-001.doc Page: 4 ARTICLE 11 ACCOUNTING RECORDS 11.1 The Contractor shall keep fuil and detailed accounts and exercise such controls as may be necessary for proper financial management under this Contract, and the accounting and control systems shall be satisfactory to the Owner. The Owner and the Owner's accountants shall be afforded access to, and shall be penuitted to audit and copy, the Contractor's records, books, correspondence, instructions, drawings, receipts, subcontracts, purchase orders, vouchers, memoranda and other data relating to this Contract, and the Contractor shall preserve these for a period of three years after final payment, or for such longer period as may be required by law. All information shall remain in Contractor's office, 11.2 Owner is encouraged to review Contractor's records, books, correspondence, instructions, drawings, receipts, subcontracts, purchase orders, vouchers, memoranda and other data relating to this project on a quarterly basis. ARTICLE 12 PAYMENTS 12.1 Progress Payments shall be made in accordance with Article 14 of the General Conditions. ARTICLE 13 FINAL PAYMENT 13.1 The Owner shall make final payments to the Contractor in accordance with Article 14 of the General Conditions. ARTICLE 14 MISCELLANEOUS PROVISIONS 14.1 Where reference is made in this Agreement to a provision of the General Conditions or another Contract Docttment, the reference refers to that provision as amended or supplemented by other provisions of the Contract Documents. 14.2 Payments due and unpaid under the Contract shall bear interest from the date payment is due I30 days after receipt of request, excluding disputed items'} at a rate of 1% per month. 14.3 Contractor contingancy is to cover unknown factors that may adversely affect costs such as bidding of subcontracts and major material supply items, estimating assumptions and ambiguities, construction scheduling problems, (manufacturer's delays, strikes, disruptions, work area conflicts), weather, labor and equipment availability and productivity. In generai, Contractor contingency is to be used for cost overruns not generated or initiated by the Owner or its agents. CC7-001.doc Page: 5 14.4 If either Owner or Contractor is required to commence an action of proceeding against the other in order to enforce the provisions of this Agreement, the prevailing party herein shall be entitled to recover all reasonable costs and expenses incurred in connection therewith, including reasonable attorney's fees. 14.5 Notwithstanding other provisions of this Agreement, claims or disputes will not be arbitrated. 14.6 The Owner's representative is: Name: Ed Sadler, Asset Manager Address: 130 S. ARTICLE 15 TERMINATION OR SUSPENSION 15.1 The Contract may be terminated by the Owner for cause as provided in Article 15 of the General Conditions; however, the amount, if any, to be paid to the Contractor under this Agreement shall not cause the Guaranteed Maximum Price to be exceeded. The GMP shown below represents the cost before capturing any savings from the VE Log. The Basis of Pricing The price is based on the plans and specifications unless clarified or excluded below. Division 02000 Sitework 2.1 The overlot grading will be performed by the City prior to mobilization of the Earthwork subcontractor. Overlot grading is assunSed to include excavation of all materials as directed by Shaw Construction, and to include subgrade prep below finished floor for gravel prep by others. An elevation transition occurs at gridline 4 where the city will provide a 1½:1 (or otherwise in compliance with OSHA) layback perpendicular to gridiine that will daylight at the finish floor elevation of the pool deck. All other laybacks required will be completed perpendicular to the building foundation, offset no less than 4' from the edge of the foundation, and will daylight to natural grade using a 1½:1 slope. 2.2 Overlot grading by the City will not disturb native soil areas required for footings. No allowances have been made to place structural fill in areas that require native, undisturbed soils. 2.3 Final contouring and topsoil placement will be by the City. Areas to receive topsoil will be graded bythe Earthwork subcontractor to +/- 0.5-feet for final grading by the City. 2.4 (2,400) 1.f. of temporary construction fencing. The construction fencing currently installed on the edge of Maroon Creek Road will be taken down in order to connect utilities. Upon completion of the utility tie-in scope of work, the fence will be re- installed. 2.2 The City will store excavated materials on site or on adjacent property as directed by Shaw Construction for backfill by the Earthwork subcontractor, (approximately (12,000) CY of cut materialsl to be used as structural and non-structural fill. The City will export or balance all excess earthwork materials including utility and pool spoils as required.
