RECITALS A. The City Council of the City adopted Ordinance No. 31 (Series of 2017) on December 11,2017 (the "Approval Ordinance"), which was recorded in the real property records of Pitkin County, Colorado on January 11, 2018 as Reception No. 644365. Pursuant to the Approval Ordinance, the City Council granted Major Public Project review approval and associated land use approvals for 488 Castle Creek Road, which property has been legally described as Lots 1 and 2, 488 Castle Creek Road Final P.U.D. and Lot Split Subdivision Exemption, according to the Plat thereof recorded September 27,2006 in Plat Book 81 at Page 48 as Reception No. 529046 (the "Property"). C. The Property is owned by the City. Developer or an affiliate of Developer formed for the purpose of developing the Property, if such assignment is approved by the City in writing pursuant to the terms of the Master Development Agreement, will be the ground lessor and developer of the Property pursuant to the terms of a ground lease and other associated agreements to be entered into with the City. The Major Public Project approval for the Property includes land use approvals for Rezoning, Planned Development, Growth Management 8040 Greenline Review, Subdivision and Residential Design Standards, subject to the conditions of the Approval Ordinance. Developer is willing to acknowledge, accept, abide by, and faithfully perform the conditions and requirements imposed by the City in the Approval Ordinance and this PDA in approving the development of the Property and the Plat. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants contained herein, and the approval, execution, and acceptance of this PDA for recordation by the City, the parties agree as follows: ARTICLE 1 PURPOSE AND EFFECT OF AGREEMENT 1.1. Purpose. The purpose of this PDA, along with the Plat, is to set forth the complete and comprehensive understanding and agreement of the parties with the respect to the development of the Property and to enumerate all terms and conditions under which such development may occur. 1.2. Zoning and Regulatory Approvals. Pursuant to the Approval Ordinance, the City Council granted land use approvals of the planned development and subdivision of the Property for: (a) merging the two-lot subdivision into one lot; (b) rezoning of the Property to the Affordable Housing/Planned Development (AH/PD) zone district; and (c) development of eighteen (18) 1- bedroom affordable housing units and ten (10) 2-bedroom affordable housing units, subject to conditions and requirements set forth in the Approval Ordinance (collectively, the "Project"), which matters the City determined are necessary to protect, promote, and enhance the public health, safety and welfare. 1.3. Effect on Prior Approvals and Agreements. It is the intent of the parties that, upon recording of this PDA, this PDA, the Approval Ordinance and the Plat shall effectively supersede and replace in their entirety, as they apply to the Property, all previous planned unit development and related land use approvals as listed on Exhibit A attached to this PDA. If there is a conflict within the Approval Ordinance, this PDA and the Plat, the Approval Ordinance shall control. ARTICLE 2 RECORDING; REQUIREMENTS; VESTED RIGHTS 2.1. Recording. Developer and the City shall record this PDA in the office of the Pitkin County Clerk and Recorder in accordance with the requirements of the Aspen Land Use Code. 2.2. PD Plan Set. To accompany this PDA and the Plat, Developer has submitted, and the City has approved, a set of drawings consisting of 1,5 sheets, including a title/index sheet, entitled "488 Castle Creek - AH Planned Development" (the "Plan Set"). The Plan Set includes, among other items, landscape design drawings, civil engineering design drawings and architectural design drawings as required for Planned Development. The Plan Set as been recorded on the same day as this Agreement in Plat Book _12*at Page Dll , as Reception No. AA€ 4- 8-\ Developer is committing to develop the Project as described in the site plan, landscape drawings and civil engineering drawings included in the Plan Set. However, the parties acknowledge that the construction of a new public trail along Castle Creek Road along the west side of the Project may conf[ict with some of the Project elements proposed along with western boundary of the Property. If the improvements along the western property boundary are removed from the construction scope with the City' s approval as a result of the construction of the Castle Creek Trail, then Developer will contribute a capital amount towards the construction of the trail improvements CA0123431/4} Page 2 .. in the form of a TIA / Mobility Enhancement Fee that is equivalent to the applicable construction budget line items of cost as prepared by the Project' s General Contractor. This capital contribution amount will include the budgetary costs associated with the improvements that will be eliminated from the Project (including, without limitation, the site retaining wall proposed along the edge of the Property and various landscape improvements in the public right-of-way between the site wall and the edge of pavement), in the area of the Property depicted on the attached Exhibit B. If a trail is not to be constructed on the east side of Castle Creek Road, then Developer will construct the site wall and various related improvements as proposed and approved in the Plan Set. 2.3. Dimensional Requirements. The approved dimensional requirements for the Project are attached as Exhibit A to the Approval Ordinance and are incorporated into this PDA by this reference. 2.4. Design and Material Palette. The approved design and material palette for the Project is attached as Exhibit B to the Approval Ordinance and is incorporated into this PDA by this reference. Section 3 of the Approval Ordinance permits a variation from the Principal Window Standard, as depicted in Exhibit B to the Approval Ordinance. Minor design changes as a result of refinement to internal programming or to meet Building, Engineering, or Utility code requirements may be approved as part of the building permit review. Minor changes to material and fenestration arrangements or other insubstantial changes may be approved as part of the building permit review. Minor Changes shall not change any dimensional standards associated with the Project. A land use review, dependent on the scope of changes, may be required by the city. 2.5. Affordable Housing Requirements. All 28 of the units in the Project will be required to be affordable housing units. Pursuant to the Approval Ordinance, the proposed units have been granted a reduction in the "Minimum Net Livable Square Footage" pursuant to the Aspen/Pitkin County Housing Authority (APCHA) Employee Housing Guidelines (the "Guidelines"). Any further reduction in Minimum Net Livable Square Footage for any of the units shall require approval from APCHA. All units shall meet the requirements of the Guidelines regarding closets, kitchen appliances, etc. in place at the time of building permit. Each unit shall be individually metered for utilities. The Project is approved as rental affordable housing units with the future option to convert to ownership affordable housing units, as more specifically provided in Section 5 of the Approval Ordinance, and the terms and conditions of such Section 5 are incorporated into this PDA by this reference. Prior to a Certificate of Occupancy being issued for the completed Project, deed restrictions for the units that reflect the requirements of the Approval Ordinance shall be approved by the City Attorney and APCHA and recorded in the real property records of Pitkin County. Final "Category" designations according to the Guidelines for all units not subject to Low Income Housing Tax Credit requirements shall be memorialized as part of the recorded deed restrictions. 2.6. Parking. The project is required to provide 34 parking impact units. Changes to parking to meet the requirements of the Americans with Disabilities Act (ADA) or the Federal Fair Housing Act (FHA) may be reviewed and approved administratively. A minimum of 30 on-site parking spaces are approved and the four (4) remaining impact units may be met by one of the following or a combination thereof, at the discretion of the applicant: (A0123431/4} Page 3 .. (a) One (1) Transportation Impact Analysis (TIA) credit, and three (3) physical parking spaces provided in a shared parking agreement at a location within the Urban Growth Boundary (UGB). (b) One (1) TIA credit, and three (3) additional TIA credits that match or exceed a monetary value of $114,000 (3 spaces x $38,000), to be approved by the Engineering and Transportation Departments. (c) One (1) TIA credit, and a cash-in-lieu payment of $114,000 (3 spaces x $38,000). (d) One (1) TIA credit, and provide an additional three (3) parking spaces on- site. (e) Four (4) physical parking spaces in shared parking agreement at a location within the UGB. 2.7. ADA Pedestrian Connection. Pursuant to the Approval Ordinance, the Project is required to provide a multi-modal, eight (8) foot wide, ADA-accessible path connecting the Project to the existing Marolt Bike Path, as approved by the Parks Department and the Engineering Department (the "Project ADA Path"). The Project ADA Path obligation shall be satisfied in accordance with the following terms, which have been approved by the Parks Department and the Engineering Department as required by the Approval Ordinance: The Developer will contribute the amount of $ 30,786.21 (as adjusted below) to the City' s Open Space and Trails Department as a TIA/Mobility Enhancement Fee for the design and construction of a multi-modal trail that traverses the Marolt Open Space to the north and connects to the Marolt Trail in proximity to the Castle Creek Road cross walk. The amount of this contribution has been established by the Project Engineer' s Opinion of Probable Costs (EOPC) for a typical curb and gutter and 6-foot wide concrete sidewalk that extends from the Property to the Castle Creek Road crosswalk to the north, as attached to this Agreement as Exhibit C. The contribution amount will increase by an amount equal to the percentage increase in the Consumer Price Index for All Urban Consumers (CPI-U) for the Denver-Aurora-Lakewood, CO metropolitan area from the date of this Agreement until the contribution amount is paid. The payment of this TIA/Mobility Enhancement Fee will satisfy the Developer' s equivalent points towards the Project' s TIA requirements as an in-lieu fee for creating the required pedestrian connectivity, and therefore require no additional responsibility from the Developer to satisfy said TIA requirements. 2.8. Other Zoning, Design and Development Requirements. Sections 7 through 17 of the Approval Ordinance set forth additional zoning, design and development requirements for the Project, which are specifically incorporated herein by reference. Developer agrees to comply with all such obligations, requirements and limitations set forth in the Approval Ordinance. 2.9. Vested Rights. The Approval Ordinance and the Plat, when recorded, all as amended, and this PDA between the parties, collectively granting and defining the final approvals for the Project ("Approvals") constitute an approved "site-specific development plan" pursuant to C.R.S. § 24-68-101, et seq. (the "Vested Rights Statute"), and shall establish and extend vested property rights to develop the Project in the manner contemplated by the Approvals pursuant to { A0123431 /4 } Page 4 .. the Vested Rights Statute for a period of five (5) years from issuance of the final Development Order for the Project (the "Vesting Period Expiration Date"). The Development Order for the Project was issued on December 12, 2017. The Vesting Period Expiration Date is December 13, 2022. The Approvals for the Project shall be vested against any changes in the City of Aspen Municipal Code which may be contrary or in conflict with those rights described herein above, through the Vesting Period Expiration Date. This PDA shall be considered a "development agreement" as that term is used in § 24-68-104, C.R.S., and shall include the right to develop and use the Project in the manner permitted under the Approvals. ARTICLE 3 DISPUTE RESOLUTION 3.1. Notice. In the event that the City Council determines that Developer is not acting in substantial compliance with the terms of this PDA, the City Council shall notify Developer in writing specifying the alleged non-compliance and ask that Developer remedy the alleged non- compliance within such reasonable time as the City Council may determine, but not less than thirty (30) days. If the City Council determines that Developer has not complied within such time, the City Council may issue and serve upon Developer a written order specifying the alleged non- compliance and requiring Developer to remedy the same within thirty (30) days. Within twenty (20) days of the receipt of such order, Developer may file with the City Council either a notice advising the City Council that it is in compliance or a written petition requesting a hearing to determine any one or both of the following matters: (a) Whether the alleged non-compliance exists or did exist, or (b) Whether a variance, extension of time or amendment to this PDA should be granted with respect to any such non-compliance which is determined to exist. 3.2. Action on Petition. Upon the receipt of such petition, the City Council shall promptly schedule a hearing to consider the matters set forth in the order of non-compliance and in the petition. The hearing shall be convened and conducted pursuant to the procedures normally established by the City Council for other hearings. If the City Council determines by a preponderance of the evidence that a non-compliance has not been remedied, it may issue such orders as may be appropriate, including the imposition of daily fines until such non-compliance has been remedied, the withholding of permits and/or certificate of occupancy as applicable; provided, however, no order shall terminate any land use approvals. The City Council may also grant such variances, extensions of time, or amendments to this PDA as it may deem appropriate under the circumstances. The City Council shall not unreasonably refuse to extend the time periods for performance hereunder if Developer demonstrates by a preponderance of the evidence that the reasons for the delay(s) which necessitate said extension(s) result from acts of God or other events beyond the reasonable control of Developer, despite good faith efforts on Developer' s part to perform in a timely manner. {A0123431/4} Page 5 .. ARTICLE 4 GENERAL PROVISIONS 4.1. Binding Effect. The provision of this PDA shall be binding upon and inure to the benefit of Developer and City and their respective successors and assigns. 4.2. Governing Law. This PDA shall be subject to and construed in accordance with the laws of the State of Colorado. 4.3. Invalidity. If any provision of this PDA or any paragraph, sentence, clause, phrase, word, or section or the application thereof in any circumstance is invalidated, such invalidity shall not affect the validity of the remainder of this PDA, and the application of any such provision, paragraph, sentence, clause, phrase, word, or section in any other circumstance shall not be affected thereby. 4.4. Entire Agreement. This PDA contains the entire understanding between the parties hereto with respect to the transactions contemplated hereunder. Developer, its successors or assigns, may on its own initiative, petition the City Council for an amendment to this or for an extension of one or more of the time periods required for performance hereunder. The City shall not unreasonably deny such petition for amendment or extension after considering all appropriate circumstances. Any such amendments or extensions of time shall only become effective upon the execution by all parties hereto that are affected by the proposed amendment. 4.5. Section Numbers and Headings. Numerical and title headings contained in this PDA are for convenience only, and shall not be deemed determinative of the substance contained herein. As used herein, where the context requires, the use of the singular shall include the plural and the use of any gender shall include all genders. 4.6. Notice. The terms, conditions, provisions and obligations herein contained shall be deemed covenants that run with and burden Property and any and all owners thereof or interests therein, their respective successors, grantees or assigns, and further shall inure to the benefit of and be specifically enforceable by or against the parties hereto, successors and assigns. If any affiliate of Developer becomes the actual ground lessor and developer of the Property as contemplated by Recital C of this Agreement, then such entity shall be the "Developer" as defined and used in this Agreement for all purposes under this Agreement. 4.9.
