CERTIFICATE
The undersigned, City Clerk of the City of Aspen,
Colorado, Coes hereby certify that the attached is a true and
accurate copy of an agreement between the City of Aspen and
Donald J. Fleischer acting on behalf of the Aspen Arcades
Building, authorizing a subsurface encroachment into the public
right -of -way; which revocable license was granted for the
benefit of the Arcades Building located on Lots A, B and C of
Block 95, City and Townsite of Aspen, Colorado.

Re: Aspen Arcades Encroachment Agreement
Dear Don:
This letter, and its acceptance by someone on behalf
of Aspen Arcades, is a prerequisite for your reliance on the
Aspen City Council action taken yesterday, July 28, 1975,
granting the requested license to encroach on the city
right -of -way. It is understood that the provisions of this
agreement apply to the subsurface encroachment adjacent to
the Aspen Arcades Building under the Hyman Street sidewalk.
The conditions imposed on this grant of license to en-
croach are as follows:
1. Aspen Arcades agrees that this license is
given solely at the discretion of the City Council,
and permission to encroach may be withdrawn for any
reason and at any time. Aspen Arcades further agrees
that it will, on receiving such request, remove the
structure from any city right -of -way, and all costs
of removal and /or demolition will be assumed by it.
2. Aspen Arcades agrees that it will be solely
responsible for any maintenance and repairs of the
encroachment necessary to keep the same, and the
right -of -way, in a safe condition, all as determined
by the City of Aspen.
3. Aspen Arcades agrees to indemnify and hold
the City harmless from any and all claims or liability
by reason of death, injury, or property damage suffer-
ed by any person as a result of the retention of the
improvements in the public right -of -way. In addition,

if the City Council shall ever so require, Aspen
Arcades agrees to obtain comprehensive public
liability insurance covering property loss and
bodily injury or death in an amount at least
equal to the comprehensive liability insurance
maintained by the City of Aspen at that time.
4. It is understood that this grant of
right to encroach does not exonerate Aspen Arcades
from full compliance with all construction, build-
ing and zoning regulations applicable to the pro-
posed construction.
Please have an agent for Aspen Arcades indicate acceptance
of these conditions by signature below and return this original
to us. The copy is for your files. Thank you.
