WHEREAS, there has been submitted to the Aspen/Pitkin County Housing Authority (hereinafter "APCHA") a contract (Statement of Work) for the Phase 1 HIMS project between APCHA and Antero, through the Statewide Internet Portal Authority (SIPA) to perform the following duties: 1) Perform a Customer Relationship Management (CRM) Requirements Analysis; 2) Develop a CRM Implementation Plan; 3) Support Development and Evaluation of an Implementation Request for Proposal (RFP); 4) Provide I.T. Project Management and Guidance; 5) Serve as a trusted technical advisor. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, That the City Council of the City of Aspen hereby approves that Contract for Phase 1 of the Housing Information Management System between the APCHA, SIPA and Antero, a of which is annexed hereto and incorporated herein, and does hereby authorize the APCHA Executive Director to execute said agreement on behalf of the APCHA. SIPA's signature is required for work to be agreed to and performed under this Statement of Work. All work provided under this SOW is listed as Services and is provided subject to the terms and conditions as described in this SOW. Any changes to the scope or terms of this SOW shall be submitted and approved in writing by all parties.The Aspen Pitkin County Housing Authority("APCHA") is contracting through SIPA for the Services described herein. All capitalized terms used and not expressly defined in this Statement of Work will have the meanings given to them in the Agreement. 1. Overview of Services to be Performed. APCHA intends to design, implement, deploy and license a customized Housing Information Management System (RIMS) using Salesforce or an equivalent CRM product. HIMS will serve as a 360- degree, systems hub for APCHA's operations to simplify processes, operations, and third-party interactions with the Agency. HIMS functionality for internal staff and external third parties may include, but not be limited to: • Self-service portal enabling customers, applicants, tenants, owners, landlords, and others the ability to conduct business with APCHA • A centralized system for performing staff operations, data collection, and program reporting • Sales and rental management including lottery process, application/qualification process, compliance and enforcement, maintenance requests, etc. • Property management and maintenance—leasing, maintenance, upgrades, and repairs, tenant relations, property turnover, and contracting APCHA does not have a technical project manager on staff, who can guide and manage the HIMS project. Antero's role hereunder is to assist APCHA as needed in all technical aspects regarding the HIMS project. Antero will provide technical input and oversight to APCHA for the purpose of insuring APCHA's best interests are met during the HIMS project, and, specifically,for the tasks described in this SOW. The purpose of this engagement is for Antero to provide APCHA with CRM consulting services ("Services") as follows: • A CRM Requirements Analysis to identify and prioritize HIMS technical requirements for development in Salesforce or an equivalent CRM product APCHA—SIPA—Antero SOW #1 2 • Development of a CRM implementation plan following an agile or similar development approach for inclusion in a RFP. (Note: Antero will not develop a functional or technical design hereunder. This tasks(s) will be the responsibility of the implementer.) • Author technical components of the RFP • Support APCHA in the RFP process including evaluation of the proposals to reach a decision regarding an implementer • Support contract negotiations as appropriate • Provide general technical support and guidance representing APCHA's best interest This SOW #1 represents the first phase (Phase 1) in a multi-phase project where Antero will serve on behalf of APCHA as a technical advisor and implementation project manager/owner's representative. 2. Detailed Description of the Project and Services to be Performed. Antero will serve as a trusted technical advisor to APCHA during the term of this SOW. In this role, :Antero shall provide general technical guidance/support as well as provide specific support and deliverables as delineated in this Section. Stated tasks for this project include: • Serve as APCHA's technical advisor. • Meet with appropriate management, stakeholders and key users to solicit HIMS requirements and to identify all pain points via a series of iterative interviews. • Re-use existing APCHA RFI and RFP documentation and requirements, as appropriate. • Evaluate the compatibility of YARDI property management software with HIMS. • Gain an understanding of: 1) processes including those recently re-engineered, 2) operations and 3) applicable software systems/integrations, and 4) data migration to develop CRM requirements. Process modifications may be suggested if needed to fit with how Salesforce or a similar CRM works. • Develop a high-level, CRM implementation roadmap for inclusion in the RFP following an agile or phased approach to development. • Author the technical sections of the RFP. • Support APCHA in review and analysis of bidders. • Support contract development from a technical perspective. 2.1 Technical Advisor/Owner's Representative Role Antero will serve throughout this SOW as APCHA's trusted technical advisor/owner's representative related to the HIMS project. In this role, Antero shall provide general technical support and advisory services to APCHA in support of defining the HIMS application and taking it through the award process. 2.2 CRM Systems Requirements Analysis Antero will perform a technical requirements analysis to identify and document major requirements for the HIMS project. The objective of this task is to develop a System Requirements Document (SRD) or the equivalent for inclusion into the RFP. The SRD will enable: APCHA—SIPA—Antero SOW#1 3 • APCHA to have a solid requirements list of functionalities required by HIMS for inclusion in the RFP. Antero shall re-use existing APCHA RFI and RFP documentation and requirements, as appropriate. • Bidder's to gain an understanding of technical and users requirements for HIMS allowing for comparable bid responses • Antero to guide APCHA on a best approach for implementation based on sprints and/or development phases • Antero and APCHA to confirm if Salesforce is the best fit CRM product given the City of Aspen's adoption of it for various departments • Antero to identify major concern areas about Salesforce's ability to address the requirements • Antero to gain an adequate understanding of HIMS to write the technical RFP • Antero to identify process areas or processes which may need to be modified. Antero will use the process developed by APCHA from the Lean Six Sigma analysis as the foundation for evaluating and identifying HIMS requirements. Antero does not intend to re-invent the wheel by repeating any component of the Lean Six Sigma process. However, Antero will identify processes which may not fit well into the CRM and/or may need to be modified for Salesforce. Process re-engineering is not the goal of this project step. Instead, Antero needs to gain an understanding of the identified processes to determine how these will translate into CRM requirements and into Salesforce. For any identified gaps, Antero will work with APCHA, and any of their process improvement consultants, if necessary, to determine how best to proceed with requirements analysis and process changes if indicated specifically for writing the RFP. Note: Antero has not seen any results of the APCHA's Lean Six Sigma efforts, and as such, cannot guarantee that the processes as re-engineered will work in concert well with Salesforce. • Structuring the RFP in such a manner as to gain comparable bids Requirements will be gathered in such a manner as to be consistent with a Salesforce and/or CRM development effort and to solicit bids specifically for Salesforce or CRM. System requirements will be gathered and identified in such a manner to provide bidders with a solid understanding of the HIMS application and its associated features. The goal is to provide adequate information to bidders for a CRM development effort without tying their hands to a specific design. The System Requirements identified in this project step will serve as the general basis for design of the CRM. Deep dive requirements will not be gathered hereunder as a technical system design will need to be completed during implementation. 2.2.1 Interviews Antero will perform a series of iterative interviews following its proprietary requirements gathering methodology with key stakeholders and users from within APCHA and outside of APCHA, as appropriate, to solicit information for developing the SRD. First interviews will be longer in length followed by shorter, subsequent interviews. Prior to the requirements sessions, Antero will work with APCHA to formulate an interview strategy and to identify all key functional groups for interviews. Interviews will be performed by APCHA functional areas. For example, different functional areas may include: lottery, leasing, maintenance, real estate sales,etc. APCHA—SIPA—Antero SOW##1 4 The number of required interviews has not been identified. The number of functional groups, which need to be interviewed, will partially drive the cost of the Requirements Gathering component of this project. APCHA will assist Antero in coordinating all interview sessions and in identifying key functional groups including participants for the interviews. If desired, Antero can coordinate the interview sessions with guidance from APCHA's project manager. It will be APCHA's responsibility to make interviewees available for interviews per the project timeline. Delays to scheduling interviews may result in project delays. Antero will prepare pre-interview questionnaires for the interview groups. These questionnaires have three objectives: • Provide the SME's(subject matter experts), who will be in the interviews, with an overview of what to expect from the sessions; • Ask questions prior to the face-to-face sessions to provide users and stakeholders adequate time to gather their thoughts, compile information, and bring along pertinent information to the onsite sessions; and • Provide Antero time to assimilate data and formulate interview plans and questions prior to the design sessions. We recommend that questionnaires are sent out at least 1 week prior to the start of the onsite process sessions. Interview sessions can be held onsite or remotely depending upon the location and availability of team members. During these sessions, Antero will employ a variety of techniques to gather the system requirements. These techniques include: pre-interview questionnaires (as previously discussed), white boarding sessions, brown paper sessions, prototypes and interview discussions. A brown paper session is an interactive session where users are given sticky notes and markers and are asked to help build the exact requirement flows on brown paper that is [lung on the walls. As necessary, Antero will build prototypes directly in the system to show how certain requirements can be handled and to provide users with a visual representation of what is being discussed in the design sessions.These prototypes provide users a visual representation of how a requirement may work or flour through the CRM and do not have any custom development. Prototypes insure that requirements are being structured in the correct fashion so that users are not surprised by how an item is developed later on in the implementation project. Antero uses a team of two people for requirements gathering sessions. A team is more effective at capturing the data. One member of this team normally leads the sessions, while the other is transcribing the processes and requirements. 2.3 APCHA Checkpoint Antero will meet with APCHA after gathering and analyzing requirements. The purpose of this Checkpoint is to: APCHA—SIPA—Antero SOW#1 5 1) Provide a synopsis of the Requirements Gathering sessions 2) Determine how requirements and processes fit Salesforce without extensive custom development? 3) Discuss Salesforce as a best-fit CRM or if other CRMs need to be considered 4) Identify any major"red flags" 5) Identify high priority items that simply cannot be handled by Salesforce? 6) Discuss different ways the requirements and processes can be structured to work better with Salesforce from a high-level perspective? 7) Discuss how requirements fit with an agile and/or phased development approach? 2.4 Completion of SRD and CRM Implementation Roadmap Antero will complete analysis of the requirements and compile them into a final System Requirements Document (SRD) for APCHA.This document will be in the form of a spreadsheet. Requirements will be analyzed by their importance to APCHA and prioritized. This document will be used in whole, or part, in the RFP. The SRD is not a technical design of the CRM. RFP bidders will be expected to provide technical designs as part of bids. Antero will develop potential models of implementation via a high-level CRM project Implementation Plan. This plan will be structured in either an agile or phased approach, unless otherwise indicated.This plan will divide the project into general sprints or phases with the requirements and/or functions to be completed in each phase. Requirements by sprint or phase will be structured based on their value to APCHA. The Implementation Plan will be provided in either a PowerPoint or Word format. The Plan will be structured in such a manner that it can be used, in whole or part, in the RFP. Antero will provide ballpark cost and hour estimates for the implementation by sprints or phases, at APCHA's discretion. Antero will use its methodology for developing these estimates, which will vary from how bidders will develop estimates.Antero's estimates will be as accurate as possible assuming Antero were to develop the CRM. Bidders' estimates may vary substantially. 2.5 APCHA Checkpoint Antero and APCHA will meet to review the SRD and CRM Implementation Plan. Changes to the plan will be made if required based on APCHA's input. 2.5 Author RFP Technical Components Antero will use the findings from the project to author the technical components of the RFP following contracting guidelines. APCHA is responsible for providing the contracting guidelines to Antero. Antero assumes that the technical sections will be reviewed by APCHA and Purchasing. Antero will work iteratively with APCHA and Purchasing until a final technical version is complete. 2.5 RFP Evaluation Support Antero will develop guidelines against which bidders' responses can be evaluate in a fair and equal manner. Antero will work with APCHA to follow guidelines which have been used by Purchasing. APCHA—SIPA—Antero SOW#1 6 Changes may be made to these guidelines. Antero will work on these guidelines while the RFP if out for bid. Antero will respond to bidders' technical questions and will support a bid conference if held. Antero will work in concert with APCHA and contracts to evaluate all the final bids. Antero will make a technical recommendation on the top 3 contractors for implementation. 2.6 Technical Contract Negotiation Support During contract negotiation, Antero will be available to support APCHA as required to make certain that contract terms from a technical perspective are favorable to APCHA. 3. Project Assumptions • A technical design (functional and architectural) will not be developed hereunder unless otherwise desired by APCHA. Additional budget will be required if a design is completed. • Antero has not seen the result of the APCHA's Lean Six Sigma efforts, and as such, cannot guarantee that the processes as re-engineered will work in concert well with Salesforce. • Antero assumes that Salesforce will be the selected CRM given the City of Aspen's recent adoption of it for certain departments and business functions. If requirements indicate a different CRM should be evaluated or if Salesforce is not a best-fit, Antero will support APCHA with a best approach forward in a timely manner to support release of the RFP. • The number of functional groups to be interviewed has not yet been determined. The number of groups and number of interviews will drive the price of the Requirements Analysis. • Services will be provided on a Time & Materials basis, but not to exceed $80,000. • All deliverables provided hereunder will be the intellectual property of APCHA. 4. Deliverables Antero shall provide the following deliverables: • System Requirements Document(SRD) in a spreadsheet format • CRM Implementation Plan via a PowerPoint or Word document to be mutually decided. See Appendix B for an example. • Technical section for the RFP. • Written responses to technical questions. • Input, as requested, into the technical components of the contract. 5. Work Schedule,Staffing and Location. 5.1 Work Schedule Figure 1 depicts a possible timeline for this project. A delayed start date may cause the timeline to slip. KComb Kt NpIXu_ 5.2 Staffing Once the SOW is signed,Antero will require approximately 3 weeks to staff this project. Antero will staff this project with a team of 4 individuals. All assigned Antero consultants will have deep CRM and I.T. experience. At a minimum, each project team member will have 5 years of CRM expertise, applicable certifications and many years of 13. experience. At any time, APCHA can request that a team member be removed from the project. Antero's team will be led by a Project Manager, whose responsibility it is to coordinate all activities on behalf of Antero. This PM will also be actively engaged in the project as the principal analyst. Antero's project team will consist of the Project Manager/Lead Analyst, a Senior Analyst, a Salesforce Solution/Technical Architect, and the Executive Project Manager. With the exception of the Project Manager and Executive Project Manager, Antero team members will be rotated in and out of the project on an as-needed basis. S.3 Location Services will be provided at APCHA facilities and remotely. 6. Service Commencement and End Date (Estimated). Start: Date: Estimated start date is April 2, 2018, which is subject to change based on the close date of this contract. Antero requires approximately three (3) weeks to staff a project after contract signature. End Date: December 31, 2018 APCHA—SIPA—Antero SOW#1 8 7. Phone Number: 720.464.6008 iv. Email Address: tpratte@anterocrm.com 9. Project Approval Process and Authorities. APCHA's Project Manager shall direct Antero throughout this engagement. Antero's objective is to support Mike Kosdrosky, APCHA, the City of Aspen and Pitkin County as a trusted advisor. Antero is amenable to changing projects tasks, flows and deliverables as directed by Mike Kosdrosky. 10. Project Communications. Antero shall provide APCHA with a weekly written status report assuming Services were provided during that week. The report will include major tasks completed during the week, tasks slated for the next period, assigned actions items, identification of any concerns, open task items and a summary of hours expended to-date vs. budget. Antero and APCHA shall have a standing weekly conference call with the APCHA Project Manager and any other key APCHA team members to review the project. This call, on average, will take 30 minutes or less time. If there are no topics for discussion, the call will be cancelled. APCHA—SIPA—Antero SOW#1 9 11. Time Estimates & Fees. 11.1 Time Estimates. Table 1 presents Antero's estimated time estimates for completion of this project. In full consideration for Antero's timely and satisfactory performance of the Services and providing of the Deliverables,Antero will be compensated as follows: 11.2.1 Time & Materials. This is a Time and Materials agreement. Fees will be invoiced on an hourly basis rounded to the nearest quarter hour. 11.2.2 Rates. SIPA discounted rates will apply hereunder as follows: • General consulting rate including daily project management: SIPA discounted rate: $177.50/hour Antero's price outside of SIPA is $185/hour • Executive Project Management: - SIPA discounted rate: $ 207/hour - Antero's price outside of SIPA: $210/hour The majority of the Services hereunder will be invoiced at the lower rate. Executive Project Management rates will apply for executive reviews of the project and deliverables and for project input by a senior Salesforce architect. APCHA can expect, on average, 2 hours per week will APCHA—SIPA—Antero SOW#1 10 be billed at the higher rate. Exceptions may occur to the 2 hours/week for architecture work, deliverables reviews, project implementation strategy and other similar Services. 11.2.3 Total Services Fees. Estimated fees hereunder are $66,500-$80,000. Antero will not exceed $80,000 of Services without Customer's prior written approval 12. Expenses. When Services are provided in Aspen,Antero will be reimbursed for actual travel expenses including hotel, mileage and/or a trip charge,food per diem and parking costs. Mileage will be invoiced following standard P.R.S.guidelines. 13. Invoicing Procedures. Invoices will be provided monthly by SIPA. Payments terms are net 30 days from receipt. 14. Change Order. If one of the parties wishes to change the scope or performance of the SOW, it shall submit details of the requested change to the other in writing. Antero shall, within a reasonable time after such request (and, if such request is initiated by Customer, not more than 5 business days after receipt of Customer's written request), provide a written estimate to Customer of in the form attached hereto as Exhibit A. 15. Additional Terms and Conditions a. Customer Obligations. Customer shall (a)cooperate with Antero in all matters relating to the SOW and appoint a Customer employee to serve as the primary contact with respect to this Agreement and who will have the authority to act on behalf of Customer with respect to matters pertaining to this SOW; (b) provide, such access to Customer's premises, and such office accommodation and other facilities as may reasonably be requested by Antero and agreed with Customer in writing in advance,for the purposes of performing the SOW; and (c) respond promptly to any Antero request to provide direction, information, approvals, authorizations or decisions that are reasonably necessary for Antero to perform in accordance with the requirements of this SOW; b. Delays Caused by Customer. If Antero's performance of its obligations under this SOW is prevented or delayed by any actor omission of Customer,any authorized recipient of the services(as mutually agreed upon by the parties)or its agents,consultants or employees outside of Antero's reasonable control, Antero shall not be deemed in breach of its obligations under this SOW or otherwise liable for any costs, charges or losses sustained or incurred by Customer, in each case, to the extent arising directly or indirectly from such prevention or delay. APCHA—SIPA—Antero SOW#1 11 c. Marketing. Notwithstanding anything contained herein to the contrary, neither SIPA and Antero may use the Customer's name and logo or other identifying information without the expressed approval of the Customer's community relations office. d. Non-Solicitation. During the Term of this Agreement and for a period of eighteen (18) months thereafter, neither Antero,SIPA or the EGE shall, directly or indirectly, in any manner solicit or induce for employment any person who performed Services under this Agreement, who is then in the employment of the other party. e. Ownership of Intellectual Property. All materials developed hereunder, including but not limited to documents, analysis findings and developed software, will be works made for hire and owned in whole by Customer. APCHA's Technical Project Manager(Phase 2 SOW #2). Under a separate SOW following this project, and at APCHA's discretion, Antero may serve as APCHA's technical project manager throughout implementation. Definition of this role will be determined after the RFP is released. The intent of APCHA and Antero is to negotiate and complete SOW #2 during the time the RFP is released and contract negotiations are occurring with the selected bidder.
