This Lease Agreement made July 14 1986, between the
Roaring Fork Transit Agency (hereunder "RFTA") and the City of
Aspen, Colorado, a home -rule municipal corporation (hereinafter
"City") .
In consideration of the mutual promises herein contained,
the parties agree as follows:

' The City, as Lessor, hereby grants to RFTA, as Lessee, �e
non-exclusive right to use the City -owned "Rubey Park", descri;ez
' in Exhibit "A" annexed hereto, for the purpose of opera_.
' transit related activities such as an information ce-: er,
stop, and bus staging for the lease term.

' LEASE TERM
The lease granted hereby shall be for a period of one (I
Iyear, commencing on the date this agreement is duly executed b;•

shall continue in full force and effect for successive one-year
periods unless otherwise terminated in accordance with the
' provisions of this agreement.

CONSTRUCTION OF I-SPROVEIMENTS
The parties acknowledge and agree that the existing
improvements on the Rubey parcel are as depicted on Exhibit "A",
P

and consist of the bus shelter, bricks, and grass walkways. No
additional improvements shall be constructed by RFTA without
prior written consent of City.
IV.

CONSIDERATION
As
consideration for this agreement the parties agree t�

provide
the following:

RFTA at its own expense shall perform or provide t-e

services under the direct supervision of the Direct ., r

of Leisure Services:
a)
Maintain and repair the Bus Shelter.
b)
Provide trash removal, in addition to the City's parks
barrel trash containers, sufficient to handle debris
by
generated transit activities.
c)
Provide snow removal in areas other than sidewalks and
parking lot.

d)
Pay all utility associated with the Rubey Park Bus
Shelter.
2.
The
City shall perform or provide the followina
services
as consideration for the lease payment:
a)
Provide trash removal from the parks barrels.

b)
Provide snow removal from parking lo` and sidewal's
adjacent to Rubey Park.

c)
Maintain landscaping within Rubey Park.

LIMITATION TO DESCRIBiED PURPOSE'S

RFTA shall use Rubey Park solely for the purpose of
' operating transit related activities such as an information
Center, bus stop, and bus staging.

' INDEMNIFICATION AND LIABILITY INSUZANCE
RFTA shall defend, indemnify, and hold the City harmless
' from any and all claims, suits, costs and liability occasioned by
the acts or neglects of RFTA, or its agents, employees, or
invitees. In this regard, RFTA shall procure, at RFTA's own.
' expense, public liability coverage for the benefit of RFTA and
City (naming the City as co-insured) with limits of not less than.
' those specified by Section 24-10-114, C.R.S., as it may to
amended from time to time. RFTA shall maintain such coverage
' full force and effect during the term of this agreement and sha_-

furnish City with a copy of such insurance policy or a
certificate

All insurance policies maintained pursuant to this

TERMINATION

(a) This agreement may be terminated upon sixty (60) days
written notice of termination; provided, however, that if notice
of termination is given by City after October 1 of any year, this
agreement shall terminate on the next succeeding April 15 or
sixty days from the date of written notice, whichever period is
longer.
(b) In the event of breach of any material provis; on, this
agreement may be terminated upon ten (10) days' written notice.
VIII.
NO ASSIGN
RFTA shall not assign this lease or any rights granted
pursuant to this agreement without the prior written consent oZ
City.
IX.
NOTICE
All notices required pursuant to this agreement shall be in
writing and shall be deemed to have been given if either
delivered personally or mailed by certified or registered mail to
either party, at the address below or to such other address as
either party may so notify the other of in writing:

INTRODUCTION:

The purpose of this application is to request review
and approval
of an Insubstantial Amendment to an Original Approval
for the
following:

1. SPECIALLY PLANNED AREA (SPA) Plan for Rubey
Park Transit.
Facility Addition
'
The Roaring Fork Transit Agency (RFTA) and the City
of Aspen as
Landowner bring this application as co -applicants.
'
DESCRIPTION OF PROPOSED DEVELOPMENT:
The proposed development is located at 419 South Mill
Street which
consists of Lots K,L,M,N,O,P,Q,R and S in Block 90.
It will be an
'
addition to Rubey Park Transit Facility. Expansion
of the north
side of the terminal will add approximately 9'-0" to
the existing
building. Within this expansion there will be a stair
added to
'
access a new loft area which will expand into the attic
space over
the existing offices. All of the expanded area will
only be used
by RFTA personnel for offices and locker space.
The total
'
additional square footage is approximately 440 S.F.

I NS UB S TANT I A L AMENDMENT TO AN
ORIGINAL APPRO V A L
' STATEMENT OF INTENT:
The intent of the proposed addition to the Rubey Park Transit.
Facility is to provide a much needed increase of square footage to
the private driver's lounge. This addition will provide an area
' for the employees in a sheltered area to relax and wait between bus
trips and to keep personal items if they need to do business in
town. It will also provide more area for administration of the bus
service.
TYPE OF DEVELOPMENT:
' An addition to the north elevation of the existing transit facility
will have an increase of 260 square foot of lounge and
administration area on the grade level which includes a stair to a
' 180 square foot loft. The addition is to maintain the features of
the present north elevation, including the large circular window,
and all materials and colors are to match existing. There is to be
a slight. increase in glass area for natural light, but the privacy
' of this space is to endure

' No additional landscaping is planned for the area.
PEDESTRIAN:
Pedestrian circulation and waiting is maintained as existing and
remains unimpaired by this proposed addition.
SITE OPEN SPACE:
' The total site square footage is 27,000 SF. Of this area, 11,200
SF (41.5%) remains asphaltic area for bus storage and travel, 1196
SF is existing building coverage and 260 SF is proposed additional
building coverage for a total building coverage of 5.4%, and 14,345
' SF (53.1%) remains as planted open space and pedestrian area. This
is a reduction in open space of 1% (see chart).
WINTER DAILY DEPARTURES:
The daily departures (during the winter high season) of buses from
Rubey Park increases from 259-419 departures in 1987 to 307-467
departures in 1991. The increase comes from Airport departures and
Down Valley departures (see chart).
' SUMMER DAILY DEPARTURES:
The daily departures of buses during summer high season from Rubey
Park increases from 208 departures in 1987 to 275 departures in
1991. The increase comes from airport departures and down valley
departures (see chart). The 12 parking spaces existing during the
' summer remain.
OFF SEASON DAILY DEPARTURES:
The daily departures of buses from Rubey Park during off season
increases from 158 departures in 1987 to 160 in 1991. The increase

Historic overlay. The setbacks proposed are 0' for structures and
the height is limited to the existing roof line, which has been

INTERIM OPERATIONAL PLAN
It is the intent of RFTA to keep the Transit Facility operational

WHEREAS, the Roaring Fork Transit Agency submitted to the
Planning Office an application for GMQS Exemption for an Essential
Public Facility, Insubstantial Amendment to a Final SPA Plan and
vesting of development rights in order to expand the Rubey Park
Transit Center by 440 square feet; and
WHEREAS, the Historic Preservation Committee granted
Final Development Plan approval without conditions on April 24,
1991; and
WHEREAS, the Planning Director granted approval for an
Insubstantial Amendment to the Final SPA Plan without conditions
on May 30, 1991 pursuant to Section 24-7-804 E. of the Aspen
Municipal Code; and
WHEREAS, pursuant to Section 24-8-104 C.l.b. of the Aspen
Municipal Code, the City Council may grant approval to GMQS
Exemption for an Essential Public Facility; and
WHEREAS, pursuant to Section 24-6-207 of the Aspen Municipal
Code, the City Council may grant vested rights to a development
plan for a total of three years from the date of approval; and
WHEREAS, the Planning Office recommends approval of the
expansion of the Rubey Park Transit Center as a Growth Management
Exemption and Vesting the development rights; and
WHEREAS, the Aspen City Council having considered the Planning

office's recommendation, does wish to grant GMQS Exemption for an
Essential Public Facility and Vesting of Development Rights for
three years for the addition of 440 square feet to the north side
of the Rubey Park Transit Center conditioned upon the planting of
trees as shown on the original landscape design of the building.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF ASPEN, COLORADO:
Section 1•
That it does hereby grant GMQS Exemption for an Essential
Public Facility for the addition of 440 square feet to the Rubey
Park Transit Center with the following condition:
1. Tree plantings shall be installed as per the original landscape
plan for the Ruby Park Improvements Landscape Plan.
Section 2.
That it does hereby grant Vested Rights for the additional
square footage as approved. The rights granted by the site
specific development plan shall remain vested for a period of three
(3) years from the effective date hereof.
Section 3•
That the City Clerk be and hereby is directed, upon the
adoption of this ordinance, to record a copy of this ordinance in
the office of the Pitkin County Clerk and Recorder.
Section 4•
A public hearing on the Ordinance shall be held on the
day of 1991 at 5:00 P.M. in the City Council Chambers,
Aspen City Hall, Aspen Colorado, fifteen (15) days prior to which

a hearing of public notice of the same shall be published in a
newspaper of general circulation within the City of Aspen.

SUMMARY: The Planning Office recommends Second Reading of
Ordinance 19, Series 1991 which is for the approval of GMQS
Exemption for Essential Public Facilities and vested rights for the
440 sq. ft. expansion of the Rubey Park Transit Center. First
reading was held on June 10, 1991.
COUNCIL GOALS: This project seeks to expand the Rubey Park Transit
Center which is consistent with Goal No. 3.
PREVIOUS COUNCIL ACTION: First reading was held on June 10, 1991.
Council requested that staff contact the Parks Department to
determine if three (3) trees could be installed along Durant Avenue
in front of the Rubey Park Transit Center.
BACKGROUND: The current configuration of the Rubey Park Transit
Center was granted SPA approval in 1987. It has functioned as a
bus terminal since its construction. This project recently
received Historic Preservation Committee approval without
conditions on April 24, 1991. Please see attachment "B".
PROJECT DESCRIPTION: The Roaring Fork Transit Agency requests
Growth Management Exemption for the expansion of their bus terminal
at Rubey Park. This request enables RFTA to provide more adequate
employee lounge and locker space by adding approximately 440 sq.
ft. to the existing 1195 sq. ft. structure. The footprint of the
building will be expanded on the north side by 9'-011. A stairway
will be included to access an expanded attic space. The bulk of
the new floor area will be used as employee lounge space. Please
see Attachment "A" for site plan and floor plans.
PROBLEM DISCUSSION: Section 8-104 C.l.b allows City Council to
approve Growth Management Exemption for construction of Essential
Public Facilities. An Essential Public Facility is considered to
serve an essential public purpose, provides facilities in response
to growth, is not itself a growth generator, is available for the
•
•
general public, and serves the needs of the City. The Rubey Park
Transit Center satisfies this definition.
City Council shall consider whether the proposal's impacts will
be mitigated, whether there will be any adverse impacts to the
City's air, water, land and energy resources, and whether the
project is visually compatible with the surrounding area.
The application states that the new floor area created will be used
for expanded employee locker and lounge space for drivers waiting
for their next departure. The current space available is very
cramped and overcrowded. Staff feels that these expanded uses will
not create additional impacts from employees, parking, transit and
roads, or basic utility services. Other than actual construction
activity, this project will create no impacts to water, air or
energy resources. As referenced above, the HPC reviewed the
project and approved the architecture without conditions. Staff
is satisfied that the addition is compatible with the neighborhood.
Section 7-804 E. of the Land Use Code allows the Planning Director
to grant approval of insubstantial amendments to an SPA project.
This insubstantial amendment has been processed by staff. Please
see Attachment "C".
ADVISORY COMMITTEE VOTE: The Planning Commission approved the
proposal by a 6-0 vote.
KEY ISSUES: An issue raised by the Planning Commission is that
the existing landscaping at the Rubey Park Transit Center is not
representative of the landscaping plan that was included in the
approval of the Specially Planned Area (SPA) in 1987. The Planning
Commission directed staff to address the concerns raised at the
meeting regarding the landscaping at the Rubey Park Transit Center.
The Commission also requested that a condition be added which
states:
Prior to issuance of the Certificate of Occupancy for the
expansion of the RFTA Rubey Park Transit Center, RFTA will
demonstrate compliance with the previous SPA Landscaping
Plan.
In response to the concern raised by the Planning Commission, staff
accompanied the project representative, Patrick Stuckey
of Gibson & Reno Architects, to visually inspect the existing
landscaping at the site and compare it to the approved landscape
plan. The approved landscape plan also reflects the planting of
ground cover and flowers in the landscaped areas. There is a slight
variation in the amount of plant materials utilized on the site.
The approved landscape plan depicts seven (7) deciduous trees
adjacent to Durant Avenue but only four (4) deciduous trees were
installed along Durant Avenue. These three (3) cottonwood trees

were eliminated on purpose as they interfered with the passenger
circulation at the transit center. Please see Attachment "E".
Additionally, thirty six (36) shrubs were installed within the
landscaped areas and these were not required in the approved
landscape plans. The approved landscape plans also state that the
evergreen trees shall be 3" caliper or larger and the deciduous
trees shall be 2 1/2" caliper or larger. The existing trees onsite
meet or exceed this requirement. Staff has determined that the
existing landscaping on the site is sufficiently representative of
the approved landscape plan.
It should be noted that on July 14, 1986, a lease agreement was
made between RFTA and the City of Aspen regarding the Rubey Park
Transit Center whereby the City granted RFTA the non-exclusive
right to use Rubey Park. The City agreed to perform numerous
services for the lease payment and one of them is to maintain the
landscaping within Rubey Park. Please see Attachment "F".
Council requested that staff contact the Parks Department to
determine whether three other types of trees could be planted along
Durant Avenue in front of the transit center. This was discussed
with George Robinson of the Parks Department and the existing
cottonwoods were the most appropriate tree but the installati
on of the three additional trees would still interfere with
pedestrian circulation on this busy site.
Staff would recommend to Council that they remove the condition
requested by the Planning Commission. However, in order to enhance
the Rubey Park Transit Center, the Parks Department will be
removing the weeds and mulching within the landscaped islands and
the tree wells along Durant Avenue.
RECOMMENDATION: Staff recommends approval of the GMQS Exemption
for Essential Public Facilities for the expansion of the Rubey Park
Transit Center and vested rights.
PROPOSED MOTION: I move to have the second reading of Ordinance
19 Series of 1991 for the approval of the GMQS Exemption for
Essential Public Facilites and vested rights for the Rubey Park
Transit Center.

SUMMARY: The applicant wishes to amend the 1987 SPA Plan to
reflect a 440 s.f. expansion to the Transit Center to accommodate
employee lounge and locker areas. This qualifies as an
insubstantial amendment to the SPA Plan and shall be approved by
the Planning Director.
STAFF COMMENTS: The Ruby Park SPA Plan was approved in 1987.
The structure has been in use as a bus terminal since its
construction. With the ever increasing rise in ridership and
increasing need for expanded service, the existing employee
lounge is very overcrowded with drivers who wait for their next
departures.
Section 7-804(E) of the Land Use Code reads:
1. An insubstantial amendment to an approved final development
plan may be authorized by the planning director. An
insubstantial amendment shall be limited to technical or
engineering considerations first discovered during actual
development which could not reasonably be anticipated during the
approval process. The following shall not be considered an
insubstantial amendment:
a. A change in the use or character of the development.
Response: The character and use of the terminal will not change.
b. An increase by greater than three (3) percent in the overall
coverage of structures on the land.
Response: The footprint will be enlarged by 260 s.f. The site
size is 27,000 s.f. This represents an increase in site coverage
of less than 1%.
c. Any amendment that substantially increases trip generation
rates of the proposed development, or the demand for public
facilities.
Response: The expansion will not increase trip generation or
demand for public facilities.
d. A reduction by greater than three (3) percent of the approved
open space.
Response: The new footprint area is to the rear of the structure
and is therefore debatable whether it affects "open space" as
defined by the Land Use Code. However, the expansion affects
less than 1% of land area not currently covered by structure.
e. A reduction by greater than one (1) percent of the off-street
parking and loading space.
Response: Parking and Loading space is not affected by this
proposal. The remaining sidewalk will be approximately 8' wide.
f. A reduction in required pavement widths or rights -of -way for
streets and easements.
Response: This condition does not apply to this proposal.
g. An increase of greater than two (2) percent in the approved
gross leasable floor area of commercial buildings.
Response: This condition does not apply to this proposal.
h. An increase by greater than one (1) percent in the approved
residential density of the proposed development.
Response: This condition does not apply to this proposal.
i. Any change which is inconsistent with a condition or
representation of the project;s original approval or which
requires granting of a further variation from the project's

CONSIDERATION
As consideration for this agreement the parties acree

written notice of termination; provided, however, that if notice
of termination is given by City after October 1 of any year, this
agreement shall terminate on the next succeeding April 15 or
sixty days from the date of written notice, whichever period is

Dan, I've worked with our schedule book and the City Clerk to hasten
to process as much as humanly possible. Kathryn will "pre -notice"
the second reading at Council in an effort to move this along. The
P&Z will look at the project on May 21. Council's first reading will
occur on May 28, with second reading (public hearing) on June 10. I
asked Patrick Stucky to send me a short note to include this review
with the SPA Amendment review, for my file. I feel that this is a
slam dunk proposal, and should sail through the P&Z and C.C. No
other info is needed from you guys at this time. I'll keep in touch.

RE: Ruby Park Expansion Schedule
Dear Patrick,
As per our conversation. this morning, this project must be
approved by the City Council as a Growth Management Exemption for
an Essential Public Facility in addition to the SPA Amendment
review currently in progress. I have cleared the. following
schedule through the City Clerk and Planning office: May 21,
Planning Commission; May 28, first reading of approval ordinance
at City Council; and June 10, second reading at City Council. I
am very optimistic that this project will proceed through these
reviews with no hitches.
No additional file information is needed specific to the
GMQS Exemption, but I do ask that you return to me a letter
requesting that this process be added to the original SPA
amendment application. I'll keep you and Dan Blankenship
informed on how things are going. I'm sorry for any
inconvenience this process change may cause. Please call'me if
you have any questions on this matter.

SPECIAL EVENT PERMITS - Eagle's Club; Aspen Theater Co.
Councilman Reno moved to approve the special event permits for the
Eagle's Club and Aspen Theater Co; seconded by Councilwoman
Pendleton.
Jed Caswall, city attorney, told Council the state statutes require
a special event permit be posted for 10 days before the hearing in
order to allow the public a chance to comment. Caswall told
Council this event was only posted for 5 days. City Clerk Kathryn
Koch told Council this event for July 10th is with the French
National Rugby Club. There was not enough time to post for 10
days, get Council approval and get this to the state for the to
issue a license. Mayor Bennett said he is willing to take a risk
in not having this posted for 10 days.
All in favor, motion carried.
REQUEST TO MODIFY PREMISES - Legends of Aspen
Councilwoman Richards moved to approve the request to expand the
liquor licensed premises and have outdoor seating; seconded by
Councilman Peters. All in favor, motion carried.
ORDINANCE #25, SERIES OF 1991 - RFTA GMQS Exemption
(Councilman Reno stepped down due to conflict of interest). Dianne
Moore, planning office, recommended approval of this ordinance
approving a GMQS exemption for essential public facilities and
vested rights for the 440 square foot expansion of the Rubey Park
Transit center. Ms. Moore reminded Council at first reading they
requested staff to investigate whether other types of trees could
be planted on Durant avenue. George Robinson, parks department,
said the installation of 3 more trees would impede the movement of
pedestrians about the transit center. The parks department will
enhance the other landscaped areas. Councilwoman Richards said on
the plat of Rubey park and the hearing before the citizens, urban
treescape was very important to the program. Councilwoman
Richards pointed out this is the view of Aspen for many guests
getting off at Rubey park.
Patrick Stuckey said the concern is getting a tree that could live
in this area. Councilwoman Richards asked if there is adequate
irrigation to the tree wells. Councilwoman Richards said the plan
approved by the public has a line of tall willows and is a major
feature. Councilwoman Richards said she is not willing to let
these trees go. Stuckey told Council the circulation problem is

one reason the trees were not planted in the first place.
Councilman Peters agreed with planting some trees and see if they
grow.
Mayor Bennett opened the public hearing.
Bil Dunaway agreed the trees are valuable and should be planted.

Councilwoman Richards moved to adopt Ordinance #25, Series of 1991,
amending it to include planting of trees as shown on the original
landscape design of the building; seconded by Councilman Peters.

Peters, yes; Mayor Bennett, yes. Motion carried.
ORDINANCE #26, SERIES OF 1991 - Aspen Mountain Lodge PUD Section M
Amendment
Jed Caswall, city attorney, told Council this formally ratifies the
extensions on the construction schedule for the Ritz Carlton hotel
and other aspects of the Aspen Mountain Lodge.
Mayor Bennett opened the public hearing. There were no comments.
Mayor Bennett closed the public hearing.
Councilwoman Pendleton moved to adopt Ordinance #26, Series of
1991, on second reading; seconded by Councilman Reno.
Councilman Peters said the second whereas addresses the reasons for
the extensions and asked if this should say "some of the reasons".
Caswall pointed out the findings are attached to the ordinance and
show that some but not all of the reasons were found. Caswall said
he does not feel this is necessary in the ordinance. Councilwoman
Richards asked if there is a more clear cut answer as to what will
happen to the Ritz. Joe Imbriani told Council there is nothing
more known than what has been reported in the newspapers. Caswall
told Council one of the first conditions is that Savanah is to come
to an agreement with staff the form of the security to insure
demolition of the hotel if that is necessary. Caswall told Council
he and the applicant have agreed in principal to the form of the
security.

yes; Peters, yes; Mayor Bennett, yes. Motion carried.
