We are still working on the Condominium Declaration for the free market condominiums, and I will forward a copy of it to you shortly. I am also enclosing the Easement Agreement which will run to the benefit of the Qualified Residences Condominium Association. The Easement Agreement is referenced as a map note and shown on the "free market" condominium map. Todd of Holland & Hart LIP TJT:sm Enclosures EASEMENT AGREEMENT DRAFT THIS EASEMENT AGREEMENT is made and entered into this day of , 2000, by and between BELL MOUNTAIN CONSTRUCTION 08/09/00 9: 44 AM COMPANY LLC, a Colorado limited liability company ("Bell Mountain") and BELL MOUNTAIN QUALIFIED RESIDENCES CONDOMINIUM ASSOCIATION, INC., a Colorado corporation ("QR Association"). RECITALS A. Bell Mountain is the "Declarant" under the Condominium Declaration for Bell Mountain Residences Condominiums recorded on , 2000 under Reception No. (the "Bell Mountain Declaration") and the Condominium Map for Bell Mountain Residences Condominiums (the "Bell Mountain Condominium Map") recorded on ,2000. B. QR Association is the non-profit corporation organized pursuant to the QR Declaration (as defined below) to manage the affairs of the Residential Community created by the QR Declaration. The Bell Mountain Qualified Residences Condominiums (the "Qualified Residences") have been created, defined and described in the Condominium Declaration for Bell Mountain Qualified Residences Condominiums, recorded on , 2000 under Reception No. (the "QR Declaration") and the Condominium Map for Bell Mountain Qualified Residences Condominiums recorded on , 2000 under Reception No. (the "QR Condominium Map"). AGREEMENT In consideration of the foregoing recitals, mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. DEFINITIONS 1.1 "Residences Association" shall mean Bell Mountain Residences Condominium Association, a Colorado nonprofit corporation. 1.2 "QR Association" shall mean Bell Mountain Qualified Residences Condominium Association, a Colorado corporation which manages the affairs of the Qualified Residences. 1.3 "Benefited Area" shall mean the dominant real estate interest for and appurtenant to which, or for the Owners or Occupants of which, a particular easement upon, across or through a Burdened Area is granted or exists. 1.4 "Burdened Area" shall mean the servient real estate interest over, under, upon, across or through which an easement in favor of a Benefited Area runs. 1.5 "The Bell Mountain Building" shall mean the real property and improvements located thereon, exclusive of the Qualified Residences, as defined and described in the Bell Mountain Declaration and the Bell Mountain Map. 1.6 "Easement" shall mean that portion of a Burdened Area, including the land area thereof, over or through which there exists an easement created by this Agreement and "Facilities" shall mean all equipment and facilities utilized in connection with any such easement granted herein. 1.7 "General Common Elements" or "GCE' s" are shown and described on the Bell Mountain Condominium Map and shall mean the structural elements, roofs and facade of the Bell Mountain Building, the garage area, all stairways in the Bell Mountain Building, exterior sidewalks and landscaping, and the land upon which the Bell Mountain Building is located, the obligation of repair and maintenance for which belongs to the Residences Association, some of which areas shall be used in common by the Owners and Occupants of the Qualified Residences and the Residences, as provided for in this Agreement. 1.8 "Occupants" shall mean Owners and any lessees or sublessees of any portion of the Project and all licensees, permittees, invitees, employees or agents thereof. 2 .. 1.9 "Owners" shall mean the members of the QR Association and the members of the Residences Association. 1.10 "Permanent Lender" shall mean, with respect to the Project, any lender making a loan which is secured by mortgage or deed of trust on part or all o f the Proj ect. 1.11 "Project" shall mean all ofthe Bell Mountain Building and the Qualified Residences. 2. DECLARATION OF EASEMENTS 2.1 Upon and subject to the terms and conditions set forth herein, Bell Mountain does hereby declare and establish that the Bell Mountain Residences shall be burdened by and held, transferred, sold, conveyed, encumbered, leased and occupied by the covenants, easements, restrictions and rights hereinafter set forth. 2.2 Upon and subject to the terms and conditions set forth herein, Bell Mountain and the QR Association do hereby declare and establish that the Qualified Residences shall be benefited by and held, transferred, sold, conveyed, encumbered, leased and occupied subject to the covenants, easements, restrictions and rights hereinafter set forth. 2.3 The easements established, created and granted hereby shall be for the benefit of the Qualified Residences, but enforcement thereof shall be restricted solely to QR Association and the Residences Association. All Owners of individual Bell Mountain Residences or Qualified Residences shall be restricted to acting through their respective condominium associations with regard to their rights and remedies under this Agreement. Any Owner may grant the benefit, but not the right of enforcement, of such easements to Occupants of the Residences or the Qualified Residences, as the case may be. 2.4 To the extent that the QR Association or the Residences Association reasonably requires an easement or other rights not contained herein for the use and operation of the Qualified Residences or the use and operation of the Project, the Residences Association or QR Association, as applicable, shall grant such rights. 3. AcCESS EASEMENTS 3.1 Bell Mountain does hereby establish for the benefit of QR Association a perpetual non-exclusive easement for pedestrian ingress and egress into, over and across the light wells serving the Qualified Residences together with those portions of the alley and sidewalk grade level and the garden level floor of the Bell Mountain Building designated as light well easements and private access easements for the benefit of the QR Association as shown and described on 3 .. the Bell Mountain Condominium Map. This access easement expressly includes the right to access and use the elevator serving the qualified residence contained within Unit A of the Qualified Residences. 4. STRUCTURAL SUPPORT EASEMENT 4.1 Bell Mountain does hereby establish for the benefit of QR Association a perpetual non-exclusive easement in and over those portions of the Bell Mountain Building necessary for the horizontal and lateral structural support of the Qualified Residences. 5. RADIANT HEATING SYSTEM AND DOMESTIC WATER TRANSMISSION EASEMENT 5.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of installation, maintenance, operation, replacement, servicing, repair and use of Facilities for providing radiant heating and domestic water and domestic water transmission for and to the Qualified Residences. Said Easement for radiant heating to be located in the boilers, ducts, lines and cables extending from the mechanical rooms in the garage level of the Bell Mountain Building, then extending through the Bell Mountain Building to serve the Qualified Residences. Said Easement for domestic water transmission to be located in the water line extending from the point of connection to the City of Aspen water main to the water meter serving each Qualified Residence, and then from said water meter into and through the water lines and water heaters in, over and through the Bell Mountain Building to serve the Qualified Residences. 5.2 QR Association, at its cost and expense, shall cause to be installed a meter or meters on the radiant heat boilers as well as the water lines and hot water heaters serving the Qualified Residences to measure and provide separate utility billings for the radiant heat and water supply serving the Qualified Residences and QR Association shall pay for 100% of the cost for same. 6. ELECTRICAL EASEMENT 6.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of installation, maintenance, operation, replacement, servicing, repair and use of Facilities for providing electrical service for the Qualified Residences. Said Easement extends from the connection with the electrical power source of the City of Aspen into such Transformer Vault so designated on the Bell Mountain Condominium Map and from such Transformer Vault through the existing wires, conduits and chases in the Bell Mountain Building to the electrical panels or sub-panels serving the Qualified Residences, such Easement to include the right to connect to, upgrade and continuously use said electrical panels or sub-panels. QR Association, at its 4 .. cost and expense, shall install a meter or sub-meters to measure the actual electric use in the Qualified Residences, and QR Association shall pay for 100% of the cost for such actual use. 7. SANITARY SEWER EASEMENT 7.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of the maintenance, operation, replacement, servicing, repair and use of Facilities providing for sanitary sewer service to the Qualified Residences. Said Easement to be located in sanitary sewer piping, branch piping, outlets, stacks and clean- outs located horizontally and vertically through and across the Bell Mountain Building to connect with the City of Aspen sanitary sewer line located in the right of way abutting the Bell Mountain Building. 8. TELEPHONE LINE EASEMENT 8.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of the maintenance, operation, replacement, servicing, repair and use of Facilities providing for telephone service for the Qualified Residences. Said Easement to be located in telephone lines and telephone line chases from the Qualified Residences, then extending horizontally and vertically through and across the Bell Mountain Building to connect with the U. S. West Communications telephone lines abutting the Project, and any other alternate service lines, if available. QR Association shall arrange with the telephone carrier to be billed separately for the actual cost of telephone use in the Qualified Residences and QR Association and/or occupants of the Qualified Residences shall pay for 100% of the cost for such actual use. 8.2 Nothing herein contained shall be construed to prohibit QR Association from contracting with any telephone servicer, whether or not such servicer is servicing the Bell Mountain Building, and QR Association is hereby granted a perpetual non-exclusive easement (i) over, in and to the existing connections described in Subsection 8.1 above, and (ii) elsewhere in the Bell Mountain Building, as necessary, subject to the prior approval of the Residences Association, which will not be unreasonably withheld, for the purpose of installation, maintenance, operation, replacement, servicing, repair and use of Facilities providing for telephone service to the Qualified Residences from any such servicer as is reasonably necessary therefor. 9. CABLE TELEVISION EASEMENT 9.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of the maintenance, operation, replacement, servicing, repair and use of Facilities 5 .. providing for cable television service to the Qualified Residences. Said Easement to be located in cable television lines from the Qualified Residences, then extending horizontally and vertically through and across the Bell Mountain Building to connect with the cable television lines abutting the Project. 9.2 QR Association shall arrange with the cable television servicer to be billed separately for the actual cost of cable television use in the Qualified Residences and shall pay for 100% of the cost for such actual use. 9.3 Nothing herein contained shall be construed to prohibit QR Association from contracting with any cable television servicer, whether or not such servicer is servicing the Bell Mountain Building, and QR Association is hereby granted a perpetual non-exclusive easement (i) over, in and to the existing connections described in Subsection 9.1 above and (ii) elsewhere in the Bell Mountain Building, if necessary, subject to the prior approval of the Residences Association, which will not be unreasonably withheld, for the purpose of installation, maintenance, operation, replacement, servicing, repair and use of Facilities providing for cable television service to the Qualified Residences from any such servicer as is reasonably necessary therefor. 10. AIR VENTS AND EXHAUST EASEMENT 10.1 Bell Mountain does hereby establish for the benefit of the QR Association, a perpetual non-exclusive easement for the purpose of installation, maintenance, operation, replacement, servicing, repair and use of Facilities for providing for the intake and exhaust of air and exhaust fumes emanating from or through the Qualified Residences. Said Easement to be located in air vents and exhaust ducts from the Qualified Residences then horizontally and vertically through the Project to the outside air. 11. MECHANICAL ROOM EASEMENT 11.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive access easement for the purpose of the maintenance, operation, replacement, servicing, repair, and use of all of the mechanical and electrical Facilities and other systems serving the Qualified Residences, any portion of which are housed in one or more of the shafts, areas or rooms for providing access to the mechanical and electrical Facilities or other systems. Said Easement to be located on, in and through all of the mechanical or electrical or other systems shafts, areas or rooms which presently exist or are shown on the Bell Mountain Condominium Map. 12. TRASH RECEPTACLES 12.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of the 6 .. maintenance, operation, replacement, servicing, repair and use of Facilities for providing trash disposal, receptacles, and related equipment for the Qualified Residences. 13. SIGNAGE AND MAILBOXES EASEMENT 13.1 Bell Mountain does hereby establish for the benefit of QR Association, a perpetual non-exclusive easement for the purpose of locating, securing and maintaining: (i) permanent unit number signs or letters on the Bell Mountain Building, all in locations, sizes and form to be mutually agreed between the parties hereto, and subject to the prior approval of such signs by all applicable jurisdictions having control thereover, including without limitation, the City of Aspen, and (ii) mailboxes at or around or in public rights of way adjoining the ground level of the Bell Mountain Building. 14. EMERGENCY AND RESTORATION EASEMENT Bell Mountain does hereby establish for the benefit of QR Association and the Residences Association, a reciprocal perpetual non-exclusive easement for ingress and egress to the Residences Association and the QR Association for all police, sheriff, fire protection, ambulance and other similar emergency agencies or persons to enter upon and pass through the Bell Mountain Building to access the Qualified Residences or vice versa to perform their duties. This reciprocal easement for ingress and egress includes but is not limited to the right of QR Association or the Residences Association to engage in restoration activities as contemplated in Section 15 hereof. 15. CONSTRUCTION ACTIVITIES EASEMENT 15.1 Bell Mountain does hereby establish for the benefit of QR Association, a non-exclusive easement for ingress and egress to all construction employees or contractors of QR Association to enter upon, cross over and access so much of and those portions of the Bell Mountain Building as is necessary to repair, remodel or reconstruct the Qualified Residences in the event of their obsolescence or damage. Such Easement shall include without limitation the right, if necessary for the completion of any such repairs, remodels or reconstruction, to expand, upgrade or attach similar add ons to any system, facility, hardware or other component in the Project, provided any such upgrade is at QR Association's expense. 15.2 In connection with any repair, remodel or reconstruction activities, QR Association covenants and agrees (i) to maintain its construction site on the Easement in orderly fashion consistent with the prudent practices of the construction industry, (ii) to repair any damage to the Bell Mountain Building which is caused by such construction, (iii) to use its best efforts to minimize interference to the Owners and Occupants of the Bell Mountain Building resulting 7 .. from construction noise, and in connection therewith, to regularly coordinate with a representatives of the Bell Mountain Building, and (iv) to use its best efforts to diligently pursue construction to completion (subject to delays beyond the reasonable control of QR Association). QR Association shall do all acts required to comply with all applicable laws, ordinances, regulations and rules of any public authority relating to its construction activities. QR Association shall not alter, demolish, repair or otherwise modify any portion of the Qualified Residences or Bell Mountain Building in violation of any applicable federal, state and local laws, rules, regulations and policies. 15.3 Prior to commencement of its construction activities, QR Association shall deliver to the Residences Association copies of certificates issued by insurance companies qualified to do business in the State of Colorado, evidencing that Workmen's Compensation in an amount required by Colorado law, commercial general liability insurance and property damage insurance, in the amount of not less than $3,000,000.00 per occurrence, $3,000,000.00 aggregate, are in force and effect and maintained by all contractors and subcontractors engaged by QR Association to perform such work. All such policies shall name the Association as an additional insured and loss payee, and shall provide a contractual liability endorsement. Each such certificate shall provide that the insurance policy may not be canceled or modified without thirty (30) days' prior written notice to the Association. 15.4 The Residences Association shall have the right to post notices in the Bell Mountain Building in locations which will be visible by persons performing any work on the Project stating that the Residences Association is not responsible for the payment for such work and setting forth such other information as the Residences Association may deem necessary. QR Association shall pay or cause to be paid all costs for work done by QR Association or caused to be done by QR Association on the Project of a character which will or may result in liens on the Bell Mountain Building Owners' interests therein. QR Association will keep the Bell Mountain Building free and clear of all mechanic' s liens and other liens on account of work done or claimed to have been done for QR Association or persons claiming under it. QR Association hereby agrees to indemnify the Residences Association for, save the Residences Association harmless from, and defend the Residences Association against all liability, loss, damage, costs or expenses, including attorneys' fees and interest incurred on account of any claims of any nature whatsoever, including lien claims of laborers, materialmen, or others for work actually or allegedly performed for, or for materials or supplies actually or allegedly furnished to QR Association or persons claiming under it. Should any such liens be filed or recorded against the Bell Mountain Building or should any action affecting the title thereto be commenced, QR Association shall cause such liens to be removed of record within thirty (30) days. If QR Association desires to contest any claim of lien, QR Association may do so only if within such thirty (30) day period QR Association posts adequate security with a court of competent jurisdiction and obtains an order 8 .. discharging the lien of record, as then provided by the Colorado mechanics' lien statute. If a final judgment is entered establishing the validity or existence of any lien for any amount which lien has not been discharged or bonded off as hereinabove required, QR Association shall pay and satisfy the same at once. 15.5 Each party hereby releases the other and waives its entire right of recovery against the other for loss or damage arising out of, or incident to, the perils insured against under policies required to be carried under this Section 15 whether or not due to the negligence of either party or its agents, employees, contractors and/or invitees. To the extent practical, any insurance policies procured by either party on the Project shall contain an express waiver of any right of subrogation by the insurer against the other party. 15.6 QR Association hereby indemnifies and holds harmless the Residences Association, the Owners of the Bell Mountain Residences, and their officers, directors, employees and agents (collectively, the "Indemnified Party") from and against any and all claims, demands, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) of any and every kind or character, contingent or otherwise, known or unknown, foreseeable or unforeseeable, made, incurred, or suffered at any time and from time to time (collectively, "Claims") by the Indemnified Party, and arising from QR Association's construction activities in the Project, excluding however Claims to the extent arising from the negligence or intentional misconduct of the Indemnified Party. 16. INSURANCE REOUIREMENTS - CASUALTY DAMAGE - MAINTENANCE 16.1 It shall be the obligation of the parties to obtain and maintain appropriate insurance coverage for casualty losses as they determine or may otherwise be required to carry under the terms and conditions of their respective Condominium Declarations. 17. CONDEMNATION 17.1 In the event of a total or partial taking of all or any portion of one or more Easements and Facilities in condemnation proceedings or by any right of eminent domain (including a deed or other transfer in lieu of eminent domain), that portion of the total aggregate award for said taking, including severance damages, attributable to the value of the Easement and Facilities so taken shall be payable only to the Residences Association on behalf of the owners of the real estate interest on or over which the Easement and Facilities lie (Burdened Area) and no claim for such award shall be made by the owners of any Benefited Area which had benefited from an Easement over such Easement and Facilities. 17.2 The provisions of Section 17.1 above shall not prohibit the owners of a Benefited Area which benefited from Easements on or over the Easement and 9 .. Facilities so taken from filing collateral claims with the condemning authority, for recovery over and above the value of the Easement and Facilities so taken, to the extent of any damage suffered by the owners of such Benefited Area resulting from the taking of the Easement and Facilities; provided such claim or recovery does not reduce or diminish the amount of the award which the owners of the condemner parcel would otherwise receive. 17.3 To the extent that doing so is reasonably necessary to allow the exercise of Easement rights therein created by this Agreement, and to the extent that proceeds from such award are sufficient to complete repair and restoration, the Residences Association or QR Association, as applicable, on behalf of the owner(s) of the Easement and Facilities, a portion of which are so condemned shall, if reasonably economically feasible, provide a substitute Easement or promptly repair and restore the remaining portion thereof as nearly as practicable to the condition they were in immediately prior to such condemnation, unless the Owners owning eighty percent (80%) of the units in the Residences Association and QR Association vote not to restore and repair. 18. DURATION OF EASEMENT The Easements, restrictions, benefits and obligations hereunder shall be deemed to create mutual and reciprocal benefits and servitudes upon the Benefited and Burdened Areas, running with the land thereof, for a term commencing on the date of recordation of this Agreement, and continuing in perpetuity. 19. AMENDMENT OR TERMINATION 19.1 The provisions of this Agreement may be abrogated, modified, amended, rescinded or terminated in whole or in part only with the consent of the Residences Association and QR Association, or its designated successor or assignee and each of the Permanent Lenders, by a writing executed and acknowledged by all of said parties, duly recorded in the office of the Clerk and Recorder of the County of Pitkin, State of Colorado. 19.2 This Agreement may be amended or supplemented by Residences Association with the consent of QR Association if such amendment is for the purpose of adding an additional easement right for the benefit of QR Association, clarifying an existing easement, or more specifically locating an easement at such time as the precise location of the Easements created hereby, or some of them, become known, or for such other non-substantive purpose as may reasonably be required. 20. REMEDIES ON DEFAULT In the event of the failure of the Residences Association or QR Association to perform its obligations under this Agreement, including, without limitation, the 10 . 4 obligations to maintain Easements or access, or its obligations to pay or share costs or expenses, after notice of such failure from QR Association to the Residences Association or from the Residences Association to QR Association, the non-defaulting party shall be entitled to any and all remedies, legal or equitable, which may be available (but not including termination of this Agreement) including, without limitation, the following: 20.1 The specific performance of any such obligation. 20.2 Damages. 20.3 Reasonable attorneys' fees, expenses and costs incurred in connection with enforcement of any remedies. 21. CONDOMINIUM MATTERS No amendment to the Bell Mountain Condominium Declaration, or the QR Condominium Declaration, shall abrogate or affect either the Residences Association's or QR Association's obligations under this Agreement. 22. FIRST-CLASS BUILDING QR Association and the Residences Association hereby covenant for the benefit of the other to operate each's portion of the Project in a first-class manner, consistent with other first-class residential buildings located in the downtown Aspen, Colorado area. 11 . 4 23. MISCELLANEOUS 23.1 Notice. Any notice or demand to be given or to be served upon the Residences Association or QR Association in connection with this Agreement shall be deemed to have been sufficiently given and served for all purposes by being in writing and being personally served on such party or sent by Registered U.S. Mail, postage prepaid, return receipt requested, addressed to such party at its address hereinafter specified or at such other address as such party may from time to time designate by notice to such other party and any such notice or demand shall be deemed conclusively to have been given or served on the date of such personal service or on the fifth day following the date of such mailing. If any term or provision of this Agreement or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of this Agreement or the application of such term or provision to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby, and each term and provision of this Agreement shall be valid and be enforced to the fullest extent permitted by law. 23.4 Relationship of Parties. This Agreement is not intended to create a joint venture, partnership or agency relationship between the Residences Association and QR Association or among the Owners with respect to the Project. 23.5 Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. 23.6 Waiver. No failure to exercise any power given by this Agreement or to insist upon strict compliance with obligations required hereunder, and no custom or practice at variance with the terms of this Agreement shall constitute a waiver of the right to demand exact compliance with the terms hereof. 23.7 Reservation. Except for the specific rights granted herein, QR Association does not have any legal, beneficial, or equitable rights in the Bell Mountain Building. Further, the Residences Association or Owners of the Bell Mountain Building may at any time and from time to time, change or expand the Bell Mountain Building, modify, remodel, or reconstruct the Bell Mountain Building and change or expand an existing use of the Bell Mountain Building, provided that any such action does not interrupt the rights or services of the Owner of the Benefited Area with respect to an Easement. 23.8 Right of Relocation. The Residences Association may at any time and from time to time relocate, in whole or in part, any Easements and Facilities relating to any Easement created by this Agreement provided that such relocation does not diminish or interrupt the rights or services of the Owner of the Benefited Area with respect to such Easement nor increase the costs to be incurred by such Owner. The Owner of the Burdened Area is, with respect to an Easement creating such burden, entitled to the same right to relocate as provided above to the Residences Association. 23.9 No Dedication. Nothing contained herein shall be deemed to vest in any party other than the Residences Association, Owners, QR Association, its successors and assigns and the Permanent Lenders any legal rights in the Project or any right to enforce the terms of this Agreement. Nothing herein is intended to dedicate or reserve to the general public or the public at large, or to permit any member of the public to acquire any right, by adverse possession, prescription, grant, dedication or otherwise, to possess, use or occupy the Project or any 13 . 4 portion thereof, said grant, dedication, reservation, or prescriptive rights being expressly denied. 23.10 Delegation. The performance of any obligation or requirement imposed by this Agreement upon the Residences Association or QR Association may be delegated by the Residences Association or QR Association to a manager and the enjoyment of any right or benefit granted by this Agreement to the Residences Association or QR Association may be transferred to licensees, permitees, invitees, employees and agents of such party. 23.11 Inurement. The covenants, agreements and conditions herein contained shall bind and inure to the benefit of the parties hereto, and their respective legal representatives, successors and assigns, except as otherwise provided herein. Utility meters and service connection points will be accessible to service personnel in the completed project and will not be obstructed by garbage or recycling containers, other structures or vegetation, Any new surface utilities requiring a pedestal or other above ground equipment will be installed on an easement provided by the Owner and not located within the public rights-of-way. The cost o f relocating, re-wiring and energizing the electrical switch gear shall be borne by the Owner. The subdivision plat shall include easements for the relocated switch gear and all the vaults, pedestals and above and below ground appurtenances for these utility structures. c. Trash/Recycling Removal. An easement for the placement of a bus stop bench has been granted along the East Cooper Avenue right-of-way, as shown on the Plat. - , G MS<4, f. Driveway. Sidewalk: Curb and Gutter Improvements. As determined necessary by the City Engineering Department, the existing sidewalks, curbs and gutters shall be repaired or replaced to meet the sidewalk standards before issuance of any Certificate of Occupancy for the project. Any improvements or areas disturbed during construction will be restored to existing condition or better, The existing driveway curb cuts onto South Spring Street and East Cooper Avenue shall be replaced with curb and gutter matching the existing profile. Driveway slopes shall not exceed 12% where meeting a public right-of- way. - €e. g. Alley Improvements. A concrete apron with design standards acceptable to the City Engineer shall be constructed at the westerly end of the alley serving Block 105, although the alley itself shall not be paved. "Slow, Pedestrian Crossing" signs shall be installed by Owner at each end of the alley in a manner that will not inhibit routine maintenance of the alley but will ensure visibility to vehicles before crossing the sidewalks when exiting the alley. , G.05. h. Fence Line Relocation. The existing fence along the East Cooper Avenue frontage will be removed from the right-of-way. i. Street Lights. If the existing street lights are disturbed or damaged during construction, they shall be replaced in kind and in alignment with the other street lights along the subject street. 0 G:v~ % j. Excavation Plans. Excavmon and stabilization plans shall be submitted to and approved by the City Engineering Department prior to the issuance of any building permits. k. Construction Parking/Staging. Prior to the issuance of building permits, Owner shall submit a traffic and parking plan acceptable to the City Engineer, Parking and Transportation Departments, Streets Department, and Utilities Department, The plan shall describe traffic detouring, parking, and staging areas for the several stages of construction of the project. Owner shall be required to rent on-street parking spaces if, due to the construction activities: any such spaces will be temporarily impacted or unusable for public parking. These plans and permits will also be coordinated with the Rights-of-Way permit for the utility and street frontage work. Prior to the issuance of any building permits, Owner shall oblaill fluin the Cky approval of a Fugitivc Dual Control Permit and provide an Erosion and Construction Drainage Plan. The Fugitive Dust Control Plan will include, as a minimum, plans for fencing, watering of roads and disturbed areas, daily cleaning of adjacent paved roads to remove mud that has been carried out, speed limits, or other measures necessary to prevent windblown dust from crossing the property lines or causing a nuisance. m. Separate Utilities for Each Dwelling Unit. For purposes of operation, maintenance and administration, each dwelling unit will have separate utility services, metering and isolation valves and switches. The general common elements and limited common clements shall be clearly labeled, dimensioned and identified on a condominium plat to be recorded after substantial completion of the buildings and site development. As contemplated in Paragraph 7, below, the condominium plat shall be recorded prior to the issuance of any Certificates of Occupancy for the completed project. n. Future Improvement District(s). Owner agrees to join any future improvement district(g) formed for the purpose of constructing public improvements which benefit the property under an assessment formula; the agreement shall be executed and recorded concurrent with the recording of the subdivision plat. o. As-Built Drawings. Prior to the issuance of any Certificates of Occupancy for the project, Owner shall submit as-built drawings of the project showing property lines, building footprints, easements, any encroachments, entry points for utilities entering the property boundaries and any other improvements to the Aspen/Pitkin County Information Systems Department in accordance with City GIS requirements. p. In the event required, Owner must receive approval from: · The City Engineer for design of improvements, including landscaping, within public rights-of-way; . The Parks Department for vegetation species, tree removal, and/or public trail disturbances; The Streets Department for mailboxes and street cuts; and · The Community Development Department to obtain permits for any work or development, including landscaping, within the public rights-of-way. q. Fireplace and Woodstoves. Asbestos Testing/Abatement. Prior to obtaining a building or demolition permit, Owner will have the existing building tested for asbestos, and if any is present, it must be removed by a licensed asbestos abatement firm. s. Hours of Construction. During construction, noise will not exceed maximum permissible sound level standards, and construction will not occur between the hours of 10 p.m. and 7 a.m. t. Deciduous Tress and Vegetation. Owner shall provide sufficient depth to the foundation wall and proper drainage to allow the aspen trees on the east side of the lot to survive and grow properly. The water line will enter the property from Spring Street so as not to conflict with the trees. The four proposed spruce trees will be replaced with deciduous trees. There shall be no vegetation within ten (10) feet of the electrical switch gear or in front of the garage entrances. The tree proposed near the Spring Street/alley intersection shall be relocated to a site that is acceptable to both the City Engineer and the Parks Department. u. Donation of Coniferous Trees. Owner shall donate to the City those evergreen trees that must be removed from the site, and Owner shall work with the City toward identifying a location within the City to which said trees can be moved. Once a location(s) is found, Owner will pay the costs associated with the relocation(s). v. Tree Removal Permits. In the event required, a tree removal permit must be obtained from the Parks Department for any tree(s) that is/are to be removed or relocated; also, no excavation can occur within the dripline of the tree(s) to be preserved and no storage of fill material can occur within this/these driplines(s). w Height Restriction. The building improvements shall have a ~ height limit of twenty-eight (28) feet, as measured to the one-third point along the roof; this represents a variance allowing for three (3) additional feet of height beyond the maximum allowable height in the RMF zone district. x. Open Space. The Project shall have a minimum open space requirement of 33%; this represents a variance allowing for two percent (2%) less open space than the minimum allowable open space in the RMF zone district. y. Exterior Lighting. All outdoor lighting within the PUD will \~ not cause glare or hazardous conditions. Cash in Lieu of School Land Dedication. Prior to and on a proportional basis to the issuance of any building permit for the residential units, Owner shall pay a cash fee in lieu of School Land Dedication to the City of Aspen. Such cash in lieu payment totals $13,252.80 for all units. 4, Construction Schedule and Phasing. The City and the Owner mutually acknowledge that exact construction schedules cannot be determined at this time. However, it is anticipated that construction of the Project will begin no later than three years from the vesting of the Owner' s property rights in the Project. The anticipated construction on schedule is as follows: a. Complete demolition of existing structure by October 1, 1998, b. Commence excavation for foundation by October 1,1998. c. Commence construction of improvements by November 1, 1998. d. Substantial completion of improvements by September 1,2000. e, The public improvements identified in Paragraph 3 of this Agreement are expected to be under construction on or before November 1, 1998, and completed by September l, 2000, and each element thereof shall be installed as soon as possible consistent with adjacent Project constructions. All such public improvements shall be completed by Owner and accepted by the City prior to issuance of any certificates of occupancy for the Project or within three years of the date hereof, whichever first occurs. 5. Landscaping Improvements. In accordance with the Code, the landscaping improvements shall be installed as represented and shown on the plan attached hereto as Exhibit kl which plan shows the extent and location as well as the type of plants to be installed, and alllandscape features, flower and shrub definition, proposed treatment of all ground surfaces (e.g. paying, sod, gravel, etc.) and other elements of the landscape plan. The landscaping shall be installed as soon as possible, no later than the first planting season following the completion o f the construction adjacent to the area of planting. The Owner shall promptly replace any plants which have not survived for a period of two growing seasons following the issuance of a certificate of occupancy for the Project. 6. Securitv for Public Improvements and Landscaping. Said guarantee will be delivered to the City prior to the issuance to the Owner of a building permit for the Project. Exhibit "5_" provides a list of the improvements that are being guaranteed and the cost of such improvements as estimated by the Owner' s engineer and landscape architect and as accepted by the City. The guarantee documents shall give the City the unconditional right, upon clear and unequivocal default by the Owner in its obligations to complete the public improvements by the date specified in Paragraph 4(e), to withdraw funds against such security sufficient to complete and pay for installation for such public improvements or Project landscaping. As portions of the improvements are completed, the City Engineer shall inspect them, and upon approval and acceptance, he shall authorize the releases of the agreed estimated costs for that portion of the improvements, except that ten-percent of the estimated costs of the improvements shall be withheld for the benefit of the City until the completion of all o f the described public improvements, and the retainage for the landscaping shall be withheld until two growing seasons following the issuance of a certificate of occupancy for the Project. The Owner shall require all contractors to provide a warranty to the City that all improvements were constructed to accepted standards of good workmanship for the installation of the public improvements described herein for one year from the date of acceptance. In the event that any existing municipal improvements are damaged during Project construction, on request by the City Engineer, a bond or other suitable security for the repair of those municipal improvements shall be provided by Owner to the City, 7. Condominiumization. As soon as construction ofthe Project allows, 4- al.osk Owner anticipates submitting the Project to a plan for condominiumization. The d-2- City agrees to process for approval and for recordation a condominium plat prepared in accordance with the Code. As the Owner has provided affordabte housing pursuant to the Code, the Project is exempt from paying the Affordable Housing Impact fee. Owner shall record a condominium declaration and shall create a corporate non-profit condominium association and articles of incorporation and by-laws. The association shall be responsible for the perpetual maintenance of the Project common elements and keeping the open space in good repair and in a clean and attractive condition. Membership in the condominium association shall inure to a Unit owner on the transfer of title. The association board of directors shall consist of at least three unit owners in the Project. The association shall be required to ensure continued compliance with this PUD and Subdivision Agreement. 8. Notices.
