RESOLUTION # (Series of 2012) A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, APPROVING A CONTRACT FOR CONTRACT AMENDMENT #5 BURLINGAME PHASE II OWNER'S AGENT SERVICES BETWEEN THE CITY OF ASPEN AND RIDER LEVETT BUCKNALL AUTHORIZING THE CITY MANAGER TO EXECUTE SAID CONTRACT ON BEHALF OF THE CITY OF ASPEN, COLORADO. WHEREAS, there has been submitted to the City Council a contract for contract Amendment #5 Burlingame Phase II Owner's Agent Services, between the City of Aspen and Rider Levett Bucknall, a true and accurate copy of which is attached hereto as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, That the City Council of the City of Aspen hereby approves that Contract for contract Amendment #5 Burlingame Phase II Owner's Agent Services, between the City of Aspen and a copy of which is annexed hereto and Rider Levett Bucknall incorporated herein, and does hereby authorize the City Manager to execute said agreement on behalf of the City of Aspen. Koch, City Clerk July 19, 2012 Amendment No. 5 To the AIA Document B801 CMa -1992 Agreement between Owner and Construction Manager for the Burlingame Ranch Phase II Project dated January 25, 2010 The Agreement between Owner and Construction Manager for the Project is amended effective August 01, 2012, as follows: 1. The Construction Manager shall continue to provide Services as described the Agreement, AIA Document A801 and AIA Document A295, for the Construction Administration and Pre- construction Services from April 01, 2012 until December 31, 2012. At the request of the City of Aspen, the level of effort for construction management has increased from approximately three days per week, to five days per week. Calculated as 40 hours per week. Preconstruction management has been revised for the amended schedule. 2. Section 13.2.1 of the Agreement is hereby amended to increase the Basic Compensation paid to the Construction Manager by $62,963, from $803,880 to, for this 2012 Construction Administration and revised Pre-construction phase, as follows: Original Contract, approved 2/8/10 $301,400 Amendment No. 1, approved 9/27/10 $119,750 Amendment No. 2, approved 5/27/11 $ 24,000 Amendment No. 3, approved 6/27/11 $145,770 Amendment No. 4, approved 4/10/12 $212,960 Previous Contract Value $803,880 Amendment No. 5 (this amendment) $ 62,963 Proposed New Contract Value $866,843 3. We are confident that the IPD team's efforts, well informed by the extensive public outreach program, have contributed to a design that achieves a balance between many competing interests and will deliver a fantastic community. We are excited that Aspen City Council gave the green light to the Access-Infrastructure construction in 2012 and we feel we have diligently worked on the project to make this construction season a success. As you are aware, our Amendment 4 fee proposal allowed for approximately three days per work for Construction Management/Construction Administration for the months May to November, as well as one day per week for Preconstruction, Budgeting, Planning and Contract compilation for the 2013 construction program for the vertical phase. This proposed contract amendment is in response to the CoA request to provide five full days per week for RLB CM/CA as well as some additional effort for the vertical Preconstruction phast to meet the revised design, permitting and bidding schedule and level of resource needed. Given the time based nature of our consultancy services, RLB confirms that we will dedicate Craig Roth full time to the project from August to November and commit at least three days per week on site in Aspen. We note that this role requires ongoing support from CoA staff to approve direction/decisions, approve invoices, approve Pay Applications and the like. RLB will continue to provide services as an extension of the City of Aspen to enable the successful and timely completion of the Phase Ila Access Infrastructure Package. We see that our increased service can immediately benefit the project to mitigate new additional personnel joining the project when the momentum is high, where a new learning curve could mean that the initial value gained is less and the responsibility matrix could be confusing. Work beyond December 31, 2012 is excluded from this Amendment 5. PERSONNEL We propose to continue with Craig Roth as the site based CA/CM, and Rob Taylor for oversight and the 2013-2015 Preconstruction focus. FEE To provide the additional requested level of service, we propose a fee of$62,963 to carry through to December 31, 2012. We understand that this will be a modification to our prior Contract and that given the cost magnitude, approval is required from the City Council. Starting August 01, 2012, we will work at the proposed level in good faith, in anticipation that this modification will be accepted. Please let me know if you have any questions or concerns.
