A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN,
COLORADO, APPROVING A CONTRACT AMENDMENT BETWEEN THE
CITY OF ASPEN AND OZ ARCHITECTURE AUTHORIZING THE CITY
MANAGER TO EXECUTE SAID CONTRACT ON BEHALF OF THE CITY OF
ASPEN, COLORADO.
WHEREAS, there has been submitted to the City Council a contract
amendment for Burlingame Phase II OZ Architecture Contract Amendment #20,
between the City of Aspen and OZ Architecture, a true and accurate copy of which
is attached hereto as Exhibit "A";
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF ASPEN, COLORADO,
That the City Council of the City of Aspen hereby approves that Contract
amendment for Burlingame Phase II OZ Architecture Contract Amendment #20,
between the City of Aspen and OZ Architecture, a copy of which is annexed
hereto and incorporated herein, and does hereby authorize the City Manager to
execute said agreement on behalf of the City of Aspen.

The purpose of this memo is to summarize the proposed OZ Architecture Contract Amendment#20 and
offer Rider Levett Bucknall's opinion as Owners Agent on the way forward.
The memo should be read in conjunction with the OZ Architecture Proposed Contract Amendment#20
(dated Jan 08, 2013). This was discussed with OZ and CoA staff on Dec 3, 2012.
Background
The original 2009 OZ proposal for Burlingame totaled $1,675,686, broken down as follows:
Initial Design Phase $814,759
Implementation Design Phase $386,357
Construction Phase $474,670
Total $1,675,786
To date, the first two"base services" phases have been approved by the City Council.
The$474,670 for Construction Phase Services was for a single construction phase of all 167 units and
this has been partially awarded, reflecting the phased construction approach. Amendment VIII was
accepted by City Council in April for Access and Infrastructure construction administration (CA)for
$207,211. The construction phase is now anticipated to be significantly longer than the initially proposed
single phase and this has meant that fees are"drawn out" somewhat over a longer duration and less
intensive phases.

Given annual CoA budgets and the anticipation of further vertical phases in 2014, this OZ proposal is for
the 2013 calendar year only. In Q4 2013 we will present the CA for 2014 and beyond for further council
review and approval.
This CA fee represents scope from all key design consultants and is at a level commensurate with the
level of service anticipated as the housing takes shape. RLB takes no exception to CoA accepting this
fee proposal from OZ.
Budget Status
The approved 2013 budget anticipated this fee and no further funding request is required to enable this
contract amendment#20.'

Recommendation
RLB recommend amendment#20 for$315,594 is accepted. This fee was anticipated and is within
budget.

Proposed Amendment to AIA Document B195-2oo8 Agreement between Owner and Architect for Integrated Project
Delivery for the Burlingame Ranch Phase II Project Dated January 25,2010.
Description of Service
At the request and direction of the Owner's Representative,OZ Architecture and its Consultants shall provide the
following services for the Burlingame Ranch Phase II Project: Add CA Services for 2011 only for Base Bid of Phase 21B
Buildings 1.to 4)including completion of CA Services on Access&Infrastructure portion of the Work deferred to
Spring Of 201.-4. On 1.1./13/2012,approval in principal was granted by City Council to proceed with permitting and
construction for Buildings 1.through 4 as Phase 2b,and expenditures in that regard were authorized for the Calendar Year
2013. Approval of this proposed amendment would add the CA Services for Base Bid and completion of A&I to be provided
during Calendar Year 2013 fees to the Owner-Architect agreement.
Per the attached exhibits,we have organized the CA fees for Phase 2B into a Base Fee(for Buildings 1.thru 4)and an Add-
Alternate Fee(for Buildings 5,6&7)as directed. As requested,we have broken down the fees'By Consultant','By Phase',
and`By Year'so that the attached exhibit maybe used to monitor cash flow by the Owner. Approval for Base Fees to be
incurred in 2014 and all fees associated with the Add-Alternate will be sought under separate cover at a later date if
requested.
NOTE-Due to a number of unforeseen circumstances beyond the control of the Architect,the Contractor's
Schedule for completion of construction for the Access and Infrastructure(A&I)improvements initially scheduled
to conclude in Calendar Year 2012 have been deferred to Spring of 2013,however a final invoice for Amendment 8
(CA Services for A&I in 2012)has been submitted. Accordingly,fees for the completion of CA Services for A&I for
the A/E Consultant Team have been included in these proposed CA fees for Phase 2B in 2013 and therefore no
additional fees shall be requested in relation to Amendment 8.
