WHEREAS, there has been submitted to the City Council a contract for the renovations of certain identified areas of the Aspen Ice Garden, between the City of Aspen and Crystal Springs Builders, a true and accurate copy of which is attached hereto as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, That the City Council of the City of Aspen hereby approves that Contract for renovations of certain identified areas within the Aspen Ice Garden, between the City of Aspen and Crystal Springs Builders, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager to execute said agreement on behalf of the City of Aspen. Koch, City Clerk LM en CONTRACT FOR CONSTRUCTION 811TI flefflMse THIS AGREEMENT, made and entered into on May 13, 2013, by and between the CITY OF ASPEN, Colorado, hereinafter called the "City", and CRYSTAL SPRINGS BUILDERS, hereinafter called the "Contractor". WHEREAS, the City has caused to be prepared, in accordance with the law, specifications and other Contract Documents for the work herein described, and has approved and adopted said documents, and has caused to be published, in the manner and for the time required by law, an advertisement, for the project: 2013-001 Aspen Ice Garden Remodel, and, WHEREAS, the Contractor, in response to such advertisement, or in response to direct invitation, has submitted to the City, in the manner and at the time specified, a sealed Bid in accordance with the terms of said Invitation for Bids; and, WHEREAS, the City, in the manner prescribed by law, has publicly opened, examined, and canvassed the Bids submitted in response to the published Invitation for Bids therefore, and as a result of such canvass has determined and declared the Contractor to be the lowest responsible and responsive bidder for the said Work and has duly awarded to the Contractor a Contract for Construction therefore, for the sum or sums set forth herein; NOW, THEREFORE, in consideration of the payments and Contract for Construction herein mentioned: 1. The Contractor shall commence and complete the construction of the Work as fully described in the Contract Documents. 2. The Contractor shall furnish all of the materials, supplies, tools, equipment, labor and other services necessary for the construction and completion of the Work described herein. 3. The Contractor shall commence the work required by the Contract Documents within seven (7) consecutive calendar days after the date of "Notice to Proceed" and will complete the same by the date and time indicated in the Special Conditions unless the time is extended in accordance with appropriate provisions in the Contract Documents. 4. The Contractor agrees to perform all of the Work described in the Contract Documents and comply with the terms therein for a sum not to exceed Two Hundred Fifteen Thousand Eight Hundred Two ($215,802.00) DOLLARS or as shown on the BID proposal. 5. The term "Contract Documents" means and includes the documents listed in the City of Aspen General Conditions to Contracts for Construction (version GC97-2) and in the cc1-971.doc Page 1 "cc1 Special Conditions. The Contract Documents are included herein by this reference and made a part hereof as if fully set forth here. 6. The City shall pay to the Contractor in the manner and at such time as set forth in the General Conditions, unless modified by the Special Conditions, such amounts as required by the Documents. 7. This Contract for Construction shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. Notwithstanding anything to the contrary contained herein or in the Contract Documents, this Contract for Construction shall be subject to the City of Aspen Procurement Code, Title 4 of the Municipal Code, including the approval requirements of Section 4-08-040. This agreement shall not be binding upon the City unless duly executed by the City Manager or the Mayor of the City of Aspen (or a duly authorized official in his/her absence) following a resolution of the Council of the City of Aspen authorizing the Mayor or City Manager(or a duly authorized official in his/her absence) to execute the same. 8. This agreement and all of the covenants hereof shall Inure to the benefit of and be binding upon the City and the Contractor respectively and their agents, representatives, employees. Successors, assigns, and legal representatives. Neither the City nor the Contractor shall have the right to assign, transfer or sublet his or her interest or obligations hereunder without the written consent of the other party. 9. This agreement does not and shall not be deemed or construed to confer upon or grant to any third party or parties, except to parties to whom the Contractor or the City may assign this Contract For Construction in accordance with the specific written consent, any rights to claim damages or to bring suit, action or other proceeding against either the City or the Contractor because of any breach hereof or because of any of the terms, covenants, agreements or conditions herein contained. 10. No waiver of default by either party of any terms, covenants or conditions hereof to be performed, kept and observed by the other party shall be construed, or operate as, a waiver of any subsequent default of any of the terms, covenants or conditions herein contained, to be performed, kept and observed by the other party. 11. The parties agree that this Contract for Construction was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be kept exclusively in the courts of Pitkin County, Colorado. 12. In the event that legal action is necessary to enforce any of the provisions of this Contract for Construction, the prevailing party shall be entitled to its costs and reasonable attorney's fees. 13. This Contract for Construction was reviewed and accepted through the mutual efforts of the parties hereto, and the parties agree that no construction shall be made or presumption shall arise for or against either party based on any alleged unequal status of the parties in the negotiation, review or drafting of this Contract for Construction. The undersigned representative of the Contractor, as an inducement to the City to execute this Contract for Construction, represents that he/she is an authorized representative of the Contractor for the purposes of executing this Contract For Construction and that he/she has full and complete authority to enter into this Contract for Construction for the terms and conditions specified herein. Not included on plans but reflected in pricing are the following items: 1. Windows at door and to ice rink will be replaced with frosted glass. 2. Pricing assumes flooring will be removed and replaced by Owner's flooring contractor. 3. Door to office/reception will be filled with drywall, not new block. This will save cost. 4. Perforated lockers will be moved from room for Ice Garden Staff to do what they want with them. 5. The grey metal lockers from locker 4 will be moved to this room (they will be re-finished if that option is selected) 6. One of the removed doors will be re-used at the skate sharpening to office door. 7. The electrical panel will be flipped to the opposite wall. 8. The benches included in pricing are supplied by the company which installs the new rubber flooring. (cost is included by CSB for purchase and install) 9. Light fixtures are recessed LED can light fixtures. See attached fixture specifications. 10. No new insulation will be installed at ceiling. 11. Flooring will be by others. 12. Painting will be required in the office 100 as well as the changing room. Included in pricing. 13. Sound equipment is to be moved by City Staff. CSB's electrical contractor will re-locate wires to opposite wall. City Staff will need to re-hook up all equipment. CSB's electrician can hook up line voltage electrical. 14. Small allowance was included for Fire Alarm Modifications. 15. No exhaust fan will be installed in this room. 16. No plumbing/no tile/no wall paneling is included. 17. No new lockers. - ITEM 2 RE-FINISH LOCKERS FROM LOCKER 4 Using same product and method used at Aspen Rec Center, Re-finish all grey lockers from locker room#4. Re-locate to Changing Room. Color to be selected. Product to be Sherwin Williams Industrial Enamel. Masking will be required around hardware which cannot be removed. Finish will be better than existing but cannot be like new. - ITEM 3 LOBBY COSMETIC UPGRADES Provide cosmetic upgrades to Lobby. Remove old carpet wainscot material and trim. Furnish and install new wood grain marlite panels. See attached picture for representation. Re-paint all drywall walls and ceilings. Includes patching all the holes in the drywall ceiling. ITEM 4 MEN'S RESTROOMS UPGRADE No upgrades noted on architectural plans. Generally the scope in this room will be to upgrade everything to match the new finishes and fixtures in the Women's restroom. To include. 1. New vanity solid surface top with undermount sinks and faucets as indicated by Brad. 2. Pricing assumes flooring will be removed by Owner's contractor. 3. New wall mounted polished edge framless mirrors. 4. New vertical fluorescent fixtures(one each side of mirror)see attached picture. 5. New LED ceiling fixtures for better efficiency. 6. New bathroom partitions to be decorative powder coated steel (see attached color chart) 7. New ceramic tile or Marlite wall coating to a level of 4ft high. Code requires cleanable surface in commercial bathrooms to 4ft high. CSB WILL INSTALL CERAMIC TILE WITH DARK GROUT,SEALED,TO HELP WITH MAINTENANCE. CSB BELIVES THE MARLITE PANELS WILL NOT BE AS ATTRACTIVE AS CERAMIC TILE. 8. New heavy duty paint. 9. New plumbing fixtures with matching flush valves to those used by City, per Brad. Includes 2 American Standard no flow urinals. 10. New exhaust fan. (existing appears to be non-functioning.) 11. Exhaust fan and lights tied to occupancy sensor for operation only when bathroom is in use. 12. New fire alarm device BY ALLOWANCE. 13. New bathroom accessories as specified. CSB believes existing towel dispenser is new and can be re-used. New accessories include recessed trash receptacle(assuming we can locate in a framed drywall wall) Or will be surface mounted to CMU wall. - ITEM 5 WATER BOTTLE COMBO WATER FOUNTAIN Remove and replace existing water fountain with water bottle filler version. (see attached spec). The existing fountain will be removed and provided to City Staff for re-use on other projects or for spare parts. Other options for bottle filler were considered, but determined to be prone to breakage. - ITEM 6 WOMEN'S RESTROOM &LOCKER ROOM#4 Make modifications to Women's Restrooms and Locker Room#4 per plans. Items not indicated on plans but included in pricing include: 1. New%"drywall ceiling in locker 4 to cover existing plywood. Joints in plywood are in bad shape. 2. CSB will remove flooring in these rooms. All other rooms assume flooring removal by Owner's flooring contractor. 3. Will require some wall firring in locations defined by CSB to allow for new plumbing lines to be run. 4. Showers will be tile floor and walls to 8ft high. No ceilings will be tiled. Showers do not include shower doors or curtains. Assumed by Owner. 5. Cutting and grouting will be required for new structural members. Also field welding will be necessary as structural members are steel. 6. CSB assumes no responsibility for unknown, or unforeseen issues with concrete foundations,CMU walls, wood structure,existing plumbing, and existing electrical. 7. A contingency has been included to help try to deal with these items, but CSB recommends the City carry additional contingency. Items of concern include, underground plumbing, concrete foundations,existing electrical wiring and it's condition. Other items not code compliant. 8. Showers will include cement backer board and a full coating of waterproofing membrane. 9. New walls will be wood framed with pressure treated sill plates. 10. Shower valves and trims are very costly. Alternate items,of less expense are available but they may not provide the durability needed for a high use public facility. 12. The exterior of the"vestibule" extension of locker room 4 will be clad in T-111 wood siding,which is the same as used elsewhere inside the ice rink. 13. The existing Plexiglas windows will be filled with insulation and a sheet metal panel to screen them from the outside. 14. The door to the Women's restroom will need to be replaced as it is believed to have a grouted frame which will be damaged in removal. 15. Mechanical upgrades are as described on associated pricing spreadsheets. Should it be determined that existing furnaces do not have capacity or ability to heat spaces adequately,they may need to be replaced. 16. A larger furnace return will be installed on the furnace above this area,to help provide more supply. 17. The existing thermostat, located in the women's restroom will be moved to the lobby and will swapped to a programmable version for energy efficiency. 18. All fixtures will be fluorescent and/or LED see drawings for indication of location. 19. All drywall surfaces will be painted with specified paint See attached. 20. ITEM 7 AND 8 Items 7 and 8 include upgrades to Lockers 2 and 3. Locker 3: New light fixtures, new paint, re-finish lockers, minor drywall, new plumbing fixtures. Flooring assumed by others. Locker 3 also includes an ALLOWANCE for structural repairs in front of shower. It is unknown what the current deterioration extent is. Once flooring is removed a better assessment can be provided. Assume benches remain. Assume flooring by Owner's contractor. Locker 2: Construct wall around electrical panels. (this will mean the loss of the Urinal) The wall must provide clearances required by code. It is recommended that the City construct the wall for safety reasons,even though it means a loss of the urinal. Install new light fixtures, plumbing fixtures. New paint and re-finish lockers. Assume benches remain. Assume flooring by Owner's contractor. GENERAL NOTES: -City must provide lockers unlocked and free of items. -City is responsible for removing any fixtures,furnishings,etc. This includes the sound equipment in the first aid room,first aid equipment,skate sharpening machine,loose items in the office,shelving and other loose equipment in the existing changing room. -Engineering is excluded. The parties agree that the City, at its sole discretion, may proceed with the construction identified in the Contract in two separate phases. 2. Phase I would consist of work on items#1 thru#6 and#8 identified in the Summary of project menu. 3. Phase II would consist of work on item#7 of the Summary of project menu for the Aspen Ice Garden and be considered an added alternative. 4. If the work is approved and commences on Phase I in the year 2013, Phase II,the added alternative, item#7 identified in paragraph 3, above, may be commenced and completed in the year 2013 at the discretion of the City. Completion of Phase II in 2014 shall be contingent upon the appropriation by City Council within the 2014 budget of such funding as is necessary for the completion of this Phase II and the agreement of Contractor. Contractor reserves the right to negotiate an amendment to the price of such Phase II, if Phase II is delayed beyond August 1, 2013. If Phase II is delayed beyond August 1, 2014 and the project does not receive the appropriate budgetary approval of the City or if the parties cannot reach a mutual agreement regarding the costs of Phase II, then the contract shall be terminated with regard to Phase II. 5.
