A RESOLUTION APPROVING AN AME~ED AGREEMENT BETWEEN
THE CITY OF ASPEN, COLORADO, AND THEODORE K. GUY AND
ASSOCIATES, P.C., SETT~ FORTH THE TERMS AND CONDITIONS
REGARDING ARCHITECT~L SERVICES FOR TRUSCoTT pROJECT
AND AUTHORIZING THE CiTY.MANAGER TO EXECUTE SAID
CONTRACT
WHEREAS, there has been submitted to the City Council an amended
agreement between the City of Aspen, Colorado, and Theodore K. Guy and
Associates, P.C., a copy of which contract is annexed hereto and made a part
thereof; and
WHEREAS, Theodore Ki Guy and AssoCiates, P.C. will provide
professional architectural services for the Truscott Redevelopment Project.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY cOUNciL OF
THE CITY OF ASPEN, COLO~DOi
Section 1
That the City Council Of the City of Aspen hereby approves that amended
agreement between the City of Aspen, Colorado, and Theodore K. Guy and
Associates P.C; for professional architectural services for the Truscott
Redevelopment Project, a copy of which is annexed hereto and incorporated
herein, and does hereby authorize the City Manager of the City of Aspen to
execute said contract on behalf of the City of Aspen.

AMENDED AGREEMENT FOR PROFESSIONAL SERVICES
Truscott Affordable Housing Project
Theodore IC Guy and Associates
This Agreement made and entered on the date hereinafter stated, between the CITY OF
ASPEN, Colorado, ("City") and Theodore K. Guy and Associates, P~C., Box 1640, 23280 Two
Rivers Road, Basalt, Colorado 816211 ("Professional").
For and in consideration of the mutual covenants contained herein, the parties agree as
follows:
1. Scope of Work. Professional shall perform in a competent and professional manner
the Scope of Work as set forth at Exhibit "A" attached hereto and by this reference incorporated
herein.
2. Completion. Professional shall conuuence work immediately upon receipt of a
written Notice to Proceed from the City and complete all phases of the Scope of Work as
expeditiously as is consistent with professional skill and care and the orderly progress of the Work
in a timely manner. The parties anticipate that all work pursuant to this agreement shall be
completed no later than March 1, 2003. Upon request of the City, Professional shall submit, for thc
City's approval, a schedule for the performance of Professional's services which shall be adjusted as
required as the project proceeds, and which shall include allowances for periods of time required by
the City's project engineer for review and approval of submissions and for approvals of authorities
having jurisdiction over the project. This schedule, when approved by the City, shall not, except for
reasonable cause, be exceeded by the Professional.
3. Payment. In consideration of the work performed, City shall pay Professional on a
time and expense basis for all work performed. The hourly rates for work performed by
Professional shall not exceed those hourly rates Set forth at Exhibit "B" appended hereto. Except as
otherwise mutually agreed to by the parties the payments made to Professional shall not initially
exceed $455,302.00 . Professional shall submit, in timely fashion, invoices for work performed.
The City shall review such invoices and, if they are considered incorrect or untimely, the City shall
review the matter with Professional within ten days from receipt of the Professional's bill.
All other agreements made in the original contract between the City of Aspen and Theodore K. Guy
and Associates, P.C. dated in May, 2000, not stated herein, shall remain the same.

RE: Truscott A.H. Project-Phase II, Scope of Work Modification
Dear Jay:
You have requested architectural services for additional rehabilitation to the 200 and 300
buildings at the Truscott A. H. Project. This work will be performed as part of our Phase
services.
At this point we have prepared the following drawings:
1, Exterior EIevations and Building Plans for all but the middle floor of 300. Plans
were referenced to indicate the HWH's to be replaced, new crawl space drainage,
and stairs to be reconstructed.
Existing and proposed stairs for the two different exterior replacement stairs as
steel
3. As-builts for each of the fourteen exterior stairs including rise and run.
We will prepare the following additional drawings and specifications for construction and
observe the general progress of the construction through completion:
1. Building Plans for the missing floor of 300
2. Detailed survey of repairs needed to siding, soffits, and balconies. Prepare details
of repairs to be made
3. Prepare photos keyed to exterior elevations indicating required work areas
4. Survey gutters and diverters and modif7 to reduce future water damage
5. Survey balconies to key to balcony and soffit repairs or replacement
6. Specifications for crawl space, stair, sfding, trim, window, and deck repairs.
7. Revise details of replacement stairs as wood to reduce original estimated cost
8. Four Site visits during preparation of the scope of work and sixteen site visits
during the performance of the work.
9. Survey Windows to identify window and/or frame replacements. Pro~4de details.
1 0, Provide modified site drainage to carry roof drainage to existing storm drains.
We estimate that the fees for the services provided to date are approximately $5000.

For the modification to our scope of work we propose to be compensated for our modified
secvices at the standard hourly rat:es Jn our exJs£ing agreement t:o a maximum of Twenty Six
Thousand Dollars ($26,000). We wfll bill you for reimbursable expenses such as
reproduct:ion, long distance communication, miteage, postage, and similar costs at one and
one tenth their cost to us. This is the same arrangement: as the existing agreement.

RE: Truscott A.H. Project- Fee Adjustment-Change in Scope of Work
Dear Jay:
The original fee of $401,217 was based on 92 units, 17,000 square feet, $12,000,000 and
4.5%. The project now has 99 units, 28,000 square feet and costs $14,000,000. These
increases are 7% in units, 64% in area and 17% in cost respectively.
The impact of the expanded project scope is primarily felt in the size or number of square
feet. A 7% increase in our fee would be acceptable. That amount is 7% x $401,217 =
$28,085.
We have made changes which have reduced the project cost. We would like a percentage of
that savings to offset our increased architectural costs.
