•RESOLUTION OF THE CITY OF ASPEN, COLORADO,APPROVING
•PROCUREMENT AGREEMENT,BETWEEN THE CITY OF ASPEN,COLORADO,
AND SUPREME CORPORATION DBA STARTRANS BUS SALES CO TO
PURCHASE ONE REPLACEMENT SHUTTLE VEHICLE USING A STATE
FASTER GRANT,AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID
DOCUMENT ON BEHALF OF THE CITY OF ASPEN,COLORADO.
WHEREAS, the City of Aspen seeks to improve air quality, reduce congestion and improve the
quality of life by encouraging the use of public transportation;
WHEREAS the purchasing agreement between the City of Aspen and the Supreme
Corporation dba Startrans Bus Sales Co are annexed hereto and made a part hereof;
NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN,
COLORADO:
That the City Council of the City of Aspen hereby approves the attached purchasing
agreement between the City of Aspen and the Supreme Corporation dba Startrans Bus Sales
Co copies of which are annexed hereto and incorporated herein, and does hereby authorize
the City Manager of the City of Aspen to execute said purchasing agreement on behalf of
the City of Aspen.

The City and Vendor agree as set forth below.
1. Purchase. Vendor agrees to sell and City agrees to purchase the items on Exhibit A
appended hereto and by this reference incorporated herein as if fully set forth here for the sum
set forth hereinabove.
2. Delivery. (FOB: RFTA, Aspen Maintenance Facility, 0051 Service Center Road,
Aspen, CO, 81611)

3. Contract Documents. This Agreement shall include all Contract Documents as the
same are listed in the Invitation to Bid and said Contract Document are hereby made a part of
this Agreement as if fully set out at length herein.
4. Warranties. See attached warranty information
5. Successors and Assigns. This Agreement and all of the covenants hereof shall inure
to the benefit of and be binding upon the City and the Vendor respectively and their agents,
representatives,employee, successors, assigns and legal representatives. Neither the City nor the
Vendor shall have the right to assign, transfer or sublet its interest or obligations hereunder
without the written consent of the other party.
6. Third Parties. This Agreement does not and shall not be deemed or construed to
confer upon or grant to any third party or parties, except to parties to whom Vendor or City may
assign this Agreement in accordance with the specific written permission, any right to claim
damages or to bring any suit, action or other proceeding against either the City or Vendor
because of any breach hereof or because of any of the terms, covenants, agreements or
conditions herein contained.
7. Waivers. No waiver of default by either party of any of the terms, covenants or
conditions hereof to be performed, kept and observed by the other party shall be construed, or
operate as, a waiver of any subsequent default of any of the terms,covenants or conditions herein
contained, to be performed,kept and observed by the other party.
8. Agreement Made in Colorado. The parties agree that this Agreement was made in
accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to
be exclusively in the courts of Pitkin County,Colorado.
9. Attorney's Fees. In the event that legal action is necessary to enforce any of the
provisions of this Agreement, the prevailing party shall be entitled to its costs and reasonable
attorney's fees.
10. Waiver of Presumption. This Agreement was negotiated and reviewed through the
mutual efforts of the parties hereto and the parties agree that no construction shall be made or
presumption shall arise for or against either party based on any alleged unequal status of the
parties in the negotiation,review or drafting of the Agreement.
11. Certification Regarding Debarment, Suspension Ineligibility, and Voluntary
Exclusion. Vendor certifies, by acceptance of this Agreement, that neither it nor its principals is
presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily
excluded from participation in any transaction with a Federal or State department or agency. It
further certifies that prior to submitting its Bid that it did include this clause without modification
in all lower tier transactions, solicitations, proposals, contracts and subcontracts. In the event
that Vendor or any lower tier participant was unable to certify to the statement, an explanation
was attached to the Bid and was determined by the City to be satisfactory to the City.
12. Warranties Against Contingent Fees, Gratuities, Kickbacks and Conflicts of Interest.
(A)Vendor warrants that no person or selling agency has been employed or retained to solicit
or secure this Contract upon an agreement or understanding for a commission,
percentage, brokerage, or contingent fee, excepting bona fide employees or bona fide
established commercial or selling agencies maintained by the Vendor for the purpose of
securing business.
(B)Vendor agrees not to give any employee of the City a gratuity or any offer of
employment in connection with any decision, approval, disapproval, recommendation,
preparation of any part of a program requirement or a purchase request, influencing the
content of any specification or procurement standard, rendering advice, investigation,
auditing, or in any other advisory capacity in any proceeding or application, request for
ruling, determination, claim or controversy, or other particular matter, pertaining to this
Agreement, or to any solicitation or proposal therefore.
(C)Vendor represents that no official, officer, employee or representative of the City during
the term of this Agreement has or one (1) year thereafter shall have any interest, direct or
indirect, in this Agreement or the proceeds thereof, except those that may have been
disclosed at the time City Council approved the execution of this Agreement.
(D)In addition to other remedies it may have for breach of the prohibitions against contingent
fees,gratuities,kickbacks and conflict of interest,the City shall have the right to:
1. Cancel this Purchase Agreement without any liability by the City;
2. Debar or suspend the offending parties from being a vendor, contractor or
subcontractor under City contracts;
3. Deduct from the contract price or consideration, or otherwise recover, the value of
anything transferred or received by the Vendor; and
4. Recover such value from the offending parties.
13. Termination for Default or for Convenience of City. The sale contemplated by this
Agreement may be canceled by the City prior to acceptance by the City whenever for any reason
and in its sole discretion the City shall determine that such cancellation is in its best interests and
convenience.
14. Fund Availability. Financial obligations of the City payable after the current fiscal
year are contingent upon funds for that purpose being appropriated, budgeted and otherwise
made available. If this Agreement contemplates the City using state or federal funds to meet its
obligations herein, this Agreement shall be contingent upon the availability of those funds for
payment pursuant to the terms of this Agreement.
15. City Council Approval. If this Agreement requires the City to pay an amount of
money in excess of$25,000.00 it shall not be deemed valid until it has been approved by the City
Council of the City of Aspen.
16. Non-Discrimination. No discrimination because of race, color, creed, sex, marital
status, affectional or sexual orientation, family responsibility, national origin, ancestry, handicap,
or religion shall be made in the employment of persons to perform under this Agreement.
Vendor agrees to meet all of the requirements of City's municipal code, section 13-98,pertaining
to nondiscrimination in employment. Vendor further agrees to comply with the letter and the
spirit of the Colorado Antidiscrimination Act of 1957, as amended and other applicable state and
federal laws respecting discrimination and unfair employment practices.
17. Integration and Modification. This written Agreement along with all Contract
Documents shall constitute the contract between the parties and supersedes or incorporates any
prior written and oral agreements of the parties. In addition, vendor understands that no City
official or employee, other than the Mayor and City Council acting as a body at a council
meeting, has authority to enter into an Agreement or to modify the terms of the Agreement on
behalf of the City. Any such Agreement or modification to this Agreement must be in writing
and be executed by the parties hereto.
18. Authorized Representative. The undersigned representative of Vendor, as an
inducement to the City to execute this Agreement, represents that he/she is an authorized
representative of Vendor for the purposes of executing this Agreement and that he/she has full
and complete authority to enter into this Agreement for the terms and conditions specified

to be duly executed the day and year first herein written in three (3) copies, all of which, to all
intents and purposes, shall be considered as the original.

Limited Warranty
Startrans Buses by Supreme Corporation,warrants each new product(excepting the"Body Structure”as herein defined)
for a period of one(1)full year after the initial date of retail purchase, or for twelve thousand (12,000)miles,whichever
occurs first, after the actual date of purchase by the product's first owner, and agrees to repair any defective part subject
to the items and limitations of this warranty agreement.
Startrans Bus warrants the"Body Structure"for five(5)years or seventy-five thousand (75,000)miles,whichever occurs
first,from the date of delivery to the product's first owner.
"Body Structure"is defined as floor, wall, and roof structure but does not include any part of the automotive chassis as
prepared by the automotive manufacturer. Items not considered body structure include (but are not limited to)the
following:
•doors > roof vents > paint >bumpers
•window >gel coat crack > interior wall covering panels > rub rail guards
•relays >switches > lights
LIMITATIONS
• Startrans bus retains the option to repair or replace.
• Startrans bus requires that all repairs performed under the terms of its limited warranty must be done at one of
Startrans dealers or at one of Startrans authorized service centers. In the event that this requirement presents an
undue hardship on the owner, Startrans requires that the owner call the Startrans factory service and warranty
manager and secure approval for the repair work to be done at a qualified repair station whose qualifications are
mutually agreed upon by both the factory service manager and the owner.
• Startrans requires that all warranty work performed under the terms of this limited warranty that exceeds two
hundred dollars ($200.00) in value of parts and labor combined must be approved by the Startrans warranty
manager before the warranty work is performed.The Startrans warranty manager is located at Goshen, IN
(Phone 877-258-1391).
• If the product has been previously used in dealer demonstration service,beyond four thousand (4,000)miles/one
(1)year, or as a dealer rental unit,the time used and the mileage accrued in the previous service above four
thousand(4,000)miles/one(1)years counted toward the twelve thousand (12,000) miles limit and one(1)year's
warranty,or in the case of the body structure, seventy-five thousand (75,000) miles or five(5)years warranty.
• Startrans retains the right under the terms of its limited warranty to void its limited warranty due to any of the
following items listed as exclusions:
a) Damage to product caused by an accident involving the vehicle.
b) Product failure caused by improper servicing.
c) Product failure caused by customer negligence.
d) Product failure caused by customer misuse.
e) Damage or product failure caused by freezing,flooding,fire, or any occurrences that may be termed an
"Act of God."

• Many component parts of the Startrans product are warranted by the manufacturer of these component parts, and
therefore are not covered by Startrans limited warranty.The list of items not covered by Startrans warranty
include, (but is not limited to)the following:
a) Automotive chassis as received from the chassis manufacturer
b) Wheel chair lifts and lock assemblies
c) Automotive air conditioners and heaters
d) Tires
e) Batteries
f) Air conditioners/heaters
g) Automotive cruise controls
h) Audio systems
i) Tag-axle suspension systems
j) Alternators and regulators
k) Seats/seating
• The manufacturer of these specific component parts offer a national network of service centers fully qualified to
handle customer service problems.
• Startrans does not take responsibility for normal maintenance items, adjustments past thirty(30)days(door
adjustment, lights, relays, switches, etc.)and any dealer, service center, or owner installation of equipment.
• Startrans does not undertake responsibility to any purchaser of its products for any undertaking, representation or
warranty made by dealers selling its products beyond those herein expressed.
• Startrans does not assume responsibility for loss of use of the vehicle, loss of time, inconvenience,expense for
gasoline,towing,telephone,travel, lodging, loss or damage to personal property or loss of revenues or the cost of
a replacement rental vehicle.
• Startrans limited warranty as stated herein and any implied warranties that may be expressed by Startrans are
limited to one(1)full year,or twelve thousand (12,000) miles,whichever occurs first, after the actual date of
delivery by the vehicle's first owner. Body structure as defined herein is limited to file(5)years or seventy-five
thousand (75,000) miles,whichever occurs first.The limited warranty extends to the original retail purchaser only
is not transferable. Original purchase means the first retail purchaser purchasing the Startrans product from a
Startrans dealer.
• Startrans limited warranty is applicable to any product registered and normally used within the United States and
Canada only.
With the exception of"body structure"as defined herein,which has a different stated warranty, the limited warranty
applicable to your product is for the duration of twelve thousand(12,000 miles or for the duration of one(1)full year after
the initial date of retail purchase,whichever occurs first. Startrans is required by law to maintain records pertaining to the
ultimate owner of each Startrans product. It is desirable for the warranty starting date to be registered properly at the
Startrans factory within ten (10)days after the purchase date.A warranty/pre-delivery registration page is enclosed with
each new product owner's manual package.The selling dealer should send this registration/pre-delivery page to the
factory at the time of your purchase.The absence of this registration in no way changes your limited warranty. However,
proof of date of purchase may be required at some future date should you need service attention under the terms of the
limited warranty.

AWARNING
• Your Ford van is considered a utility vehicle and as such utility vehicles have a higher Vertical Center of Gravity
(Vcg)than that of a passenger car. The Quigley 4x4 vehicle gives your utility vehicle increased ground clearance
which corresponds to an increase in Vcg.
• Vehicles with higher center of gravity have a higher rollover rate than other types of vehicles. As you add
passengers and cargo your center of gravity will increase.
• Higher center of gravity and 4 wheel drive vehicles handle differently than lower center of gravity vehicles. Utility
and 4 wheel drive vehicles are not designed for corning at speeds as high as passenger cars any more than low
slung vehicles are designed to handle off-road conditions satisfactorily. Avoid sharp turns, excessive speeds and
abrupt maneuvers in utility and 4 wheel drive vehicles. Failure to drive cautiously could result in an increased risk
of loss of vehicle control,vehicle rollover, personal injury or death.
• Unbelted passengers are significantly more likely to die than a person wearing a seat belt in a crash or rollover
crash.
A For safe operation of this vehicle please refer to your Ford's Operator's Manual for all warnings and operation
procedures.
QMCI will provide and ship all 4 wheel drive warranty parts at normal FedEx/ UPS rates. Additional charges for d
overnight, or 2 day, or special delivery will be the responsibility of the vehicle owner. Warranty repair claims must be
completed and submitted to QMCI within 60 days of QMCI shipping parts or labor will not be reimbursed.

LIMITED WARRANTY:
QUIGLEY MOTOR COMPANY, INC., designer and builder of"4 Wheel Drive" conversion system (hereinafter referred to
as QMCI), warrants the Standard 4x4 system to the original purchaser only and is not transferable. This limited warranty
shall be effective for a period of 36 months or 36,000 miles; whichever shall occur first and only when such labor and
installation are performed at a QMCI authorized service center. This warranty applies only to replacement parts and
repairs made necessary due to 4-wheel drive defects in materials or workmanship of any standard 4-wheel drive
components or their attaching parts, during normal use of the vehicle. Optional equipment&accessories are not covered
by QMCI warranty.
As per Quigley's SVE (Special Vehicle Engineering) agreement with Ford Motor Company all other parts of the Ford
vehicle and its original equipment components is the sole responsibility of Ford Motor Co. or other After-market Company
that alters or adds to the chassis.
QMCI will under certain conditions authorize repairs or replacement of the following components:
1. Front axle assembly or serviceable component of the front axle, (optional equipment not covered by QMCI.
2. Drive shaft assembly or any serviceable component of the drive shaft assembly; front-rear-intermediate.
3. Front springs and/or attaching parts as supplied by QMCI.
4. Standard front shock absorbers as supplied by QMCI, (optional shocks not covered by QMCI).
5. Front axle to frame-lateral track bar and torque arms (strut rods).
6. Steering:
• Drag link assembly or its components.
• Tie rod assembly or its components.
• Hydraulic damper assembly.
7. Exhaust system, portions as supplied or modified by QMCI (Vote: Defective or clogged catalytic converter pipe
assembly replacement must be obtained from Ford Motor Company by an authorized Ford Dealer. QMCI will
then reconfigure pipe as required for 4x4 component clearance at no charge.)
8. Shifter: Assembly or serviceable component thereof.
9. Transfer case assembly. Do not disassemble. QMCI warranty applies to complete transfer case assembly only.
10. Quigley fuel tanks.
11. Front Brake Calipers
All parts are to be returned to QMCI and subject to inspection by QMCI and or their SUPPLIERS. If parts are determined
non-defective the owner is responsible for the parts and labor costs.
Servicing dealer will be reimbursed at published Service Labor Time Standards at a rate to be determined prior to service.
Some repairs are not reimbursed completely. In these cases the owner is responsible for the difference between repair
costs and the amount approved by QMCI.
When the owner is in an area where there is no'AUTHORIZED"dealer or service center within a reasonable distance,as
determined by QMCI, and considering the nature of the service problem. Service may be arranged at a mutually
acceptable alternate service facility. If warranty work is performed at a service point other than authorized sales and
service location, QMCI's authorization does not constitute approval or endorsement of the service facility, its work, or any
replacement components involved.
QMCI will provide and ship all 4 wheel drive warranty parts at normal FedEx/ UPS rates. Additional charges for
overnight, or 2nd day, or special delivery will be the responsibility of the vehicle owner. Warranty repair claims must be
completed and submitted to QMCI within 60 days of QMCI shipping parts or labor will not be reimbursed.

LIMITED WARRANTY EXCLUSIONS OR LIMITATIONS:
QMCI will assume no liabilities for any personal injuries, repairs or damages, damages to the 4 Wheel Drive Conversion
and its components derived or incurred through the following;
• Overloading the GVWR or any axle weight rating is considered abuse and not warranted.
• Any wheels substituted for O.E.M. (original equipment mfg.)with an outward offset greater than %" will void
Quigley axle and steering warranties)
• Tires larger than OEM will adversely affect the braking and handling of the vehicle and may void warranty.
• Brake pad noises are not warranted since that is inherent in the design of the disc brake components.
• Front-end alignment is a routine maintenance item and is not a warrantable expense, unless, required by a
warranty repair and only then if vehicle is equipped with Quigley specified Ford F-Series wheels and tires.
• Conditions arising from abuse, negligence, overloading, accidents, modifications, lack of maintenance, alterations or
improper repairs, defects in or substitution of equipment (including wheels and or tires) not supplied as part of our
standard 4-Wheel Drive system.
• QMCI assumes no responsibility for incidental or consequential damages arising from loss of use, inconvenience,
loss of time, .loss or damage to any personal property, loss of income, commercial loss, and expense for alternate
transportation,telephone,food lodging, or cost for bringing the vehicle to a service point.
• Parts and labor required in routine maintenance and wear are also excluded from this warranty and are the owner's
responsibility. Examples are tires, tire rotation, wheel balancing, wheel alignment, brake pads, and lubrication and
fluid levels.
• This warranty does not apply to vehicles purchased from U.S. dealers, but registered /licensed for use in countries
other than the U.S. Vehicles operated outside the U.S. may exchange defective parts only for a period of 12 months
or 12,000 miles (whichever comes first). All labor and shipping /handling charges associated with such exchanges
become the responsibility of the owner.
Quigley Motor Company, Inc. hereby disclaims all other express or implied warranties of merchantability and use for a
particular purpose, to the extent the laws of the State of sale and Federal laws allow. This warranty gives you specific
legal rights and you may also have other rights under state laws. This is the only express warranty applicable to QMCI 4
wheel drive conversions. QMCI does not authorize any seller of our 4-wheel drive system to make any other
representations or warranty beyond those listed herein. The Quigley 4 wheel drive system may not be covered by
extended warranty or service plans. Check with your plan provider before purchasing.
QMCI will provide and ship all 4 wheel drive warranty parts at normal FedEx! UPS rates. Additional charges for
overnight, or 2nd day, or special delivery will be the responsibility of the vehicle owner. Warranty repair claims must be
completed and submitted to QMCI within 60 days of QMCI shipping parts or labor will not be reimbursed.

Parking brake must be applied or vehicle may move unexpectedly causing serious injury or death.
OPERATION:
The vehicle should only be engaged in 4 Wheel Drive for off-road operation or when road or weather conditions create poor traction.
When you are operating the vehicle on DRY roads keep the transfer case in 2H to prevent excessive tire wear and drive train damage.
Both hub lock selector knobs must be set in the same function to avoid excessive front differential wear and undesirable vehicle
handling characteristics.
ENGAGE FOUR WHEEL DRIVE WITH—MANUAL LOCK-OUT HUBS
1. Prepare your vehicle for 4x4 operations by turning the front wheel hub selector knobs, clockwise to the"LOCK"position. A slight
movement of the vehicle in either direction will complete the lock. Shift transfer case to 4H only when conditions require increased
traction.
2. 4WD High Range for Normal Highway Speed(4H) The TRANSFER CASE may be shifted between 2H and 4H while the vehicle
is in motion at speeds up to 55 mph,provided that hubs are in the"LOCK"position.
3. 4-Wheel Low(4L):This setting also engages your front axle for increased traction and the lower gear increases power. It should
be used only for off-road driving, there are 2 options for engaging 4L. NOTE: Speedometer will read nearly 3 times faster than
vehicle is traveling. Do not exceed 80 MPH indicated(30 MPH actual)speed in 4WD Low Range.
• Engine Off Apply brakes, shift TRANSMISSION in N (Neutral). Take foot off brakes to allow a slight movement and shift
TRANSFER CASE lever into 4L. Restart engine. If vehicle will not move or there is gear clashing then the lever was not fully
engaged in 4L position, repeat procedure. Use same procedure to disengage 4L into either 4H or 2H.
• Engine On: Slow the vehicle to about 1 to 3mph (2to 5 km/h)and shift TRANSMISSION into NEUTRAL(N).Shift the transfer case
shift lever in one continuous motion. Do not pause in NEUTRAL(N)as you shift the transfer case into 4-WHEEL LOW(4L),or your
gears could clash. If vehicle will not move or there is gear clashing then the 4L position was not fully engaged.Turn your engine off,
then proceed to shift into 4L. Use same procedure to return to 4H or 2H.
4. CAUTION: If the transfer case has been placed in Neutral, it will be necessary to SHUT THE ENGINE OFF before attempting to
select any other position or clashing of gears and resulting transfer case and or transmission damage will occur.
5. CAUTION: To avoid damaging the rear axle and drive shaft, never operate the vehicle with transfer case in low range and hub
locks in"FREE"position.
RETURN TO TWO-WHEEL DRIVE WITH—MANUAL LOCK-OUT HUBS
4H can be disengaged at any time by moving lever to 2H. For best fuel economy, less tire wear and quietest operation, turn both
hub lock selector knobs counterclockwise to the FREE position when the need for 4-wheel drive is no longer anticipated.
ENGAGE FOUR-WHEEL DRIVE WITH—"AUTOMATIC"LOCKING HUBS(OPTIONAL)
1. 4H. 4WD High Range for Normal Highway Speed -The vehicle must always be stopped when shifting into four-wheel drive if
hub locks are in"Auto"position. Move the transfer case lever to the 4H position. The hub locks will automatically engage when the
vehicle is driven. If the auto hub locks are in the"LOCK"position refer to manual hub#2 above.
2. 4L. 4WD Low Range for Off-road Use at Very Low Speed - To shift transfer case into or out of 4L, stop vehicle and shift
transmission into neutral,then move transfer case lever to 4L. (See #'s 3 &4 above.)
RETURN TO TWO-WHEEL DRIVE—"AUTOMATIC"LOCKING HUBS(OPTIONAL)
4H can be disengaged at any time by moving lever to 2H.Hubs will disengage automatically if in"AUTO"position.
