I understand that the City has adopted, via Ordinance No. , Series of 2011, review fees for Land Use applications
and the payment of these fees is a condition precedent to determining application completeness. I understand
that as the property owner that I am responsible for paying all fees for this development application.

For deposit cases only: The City and I understand that because of the size, nature or scope of the proposed
project, it is not possible at this time to know the full extent or total costs involved in processing the application. I
understand that additional costs over and above the deposit may accrue. I understand and agree that it is
impracticable for City staff to complete processing, review, and presentation of sufficient information to enable
legally required findings to be made for project consideration, unless invoices are paid in full.
The City and I understand and agree that invoices mailed by the City to the above listed billing address and not

I am the current President of the Aspenhof Condominium Owners Association. Pursuant
to a Settlement Agreement entered into between the Association and Cooper Street
Development, LLC the Association has agreed and authorized Cooper Street to amend the
Aspenhof Condominium Map to place the underground parking areas into separate fee units and
associated common elements.
This letter serves as formal authorization on behalf of the Association permitting Cooper
Street Development, LLC to act as the applicant for the proposed land use application, by and
through its representative Don Carpenter of Project Resource Company, LLC.

SETTLEMENT AGREEMENT
This SETTLEMENT AGREEMENT ("Agreement") is made and entered into September
2012, by and between Cooper Street Development, LLC a Colorado limited liability
company ("Cooper Street"), and the Aspenhof Condominium Association, a Colorado nonprofit
corporation ("Association") (singularly a "Party" and collectively the ".Parties").
RECITALS
A. Cooper Street is the owner of certain real property located at 508 E. Cooper
Street, Aspen, Colorado and is engaged in the redevelopment of that property, which will include
one residential condominium ("Condominium");
B. The Association is the community owner's association in charge of the common
areas in the building comprised of the Aspenhof Units located adjacent to 508 E. Cooper Street
at 520 E. Cooper Street, as further described and shown on the Map of Aspenhof recorded
November 27, 1970 in plat book 4 at page 136, and the First Amended Condominium Map of
Aspenhof (a Condominium) recorded July 29, 1977 in plat book 6 at page 10 (the "Aspenhof
Map"), and as set forth in the Condominium Declaration for Aspenhof recorded November 27,
1970 in Book 252 Page 49, as amended (the "Declaration");
C. Cooper Street owns the exterior rear parking area adjacent to the Aspenhof
building (the "Exterior Parking Area") along with the ramp and portions of the interior parking
area, (the "Garage Area") as more particularly described on the attached Exhibit A (the "Cooper
Street Aspenhof Property");
E. Pursuant to the Declaration, Cooper Street is obligated to reserve nine (9) spaces
in the Garage Area for the use of the residential owner
F. A dispute has arisen between Cooper Street and the Association concerning
Cooper Street's right to construct certain parking improvements within the Garage Area and to
be able to penetrate the west exterior wall of the Garage Area to provide access to the property
owned by Cooper Street at 508 E. Cooper and specifically to provide access to the future owner
(the "Condominium Owner") of the Condominium (the "Garage Area Dispute"); and
G. The Parties have reached an agreement to clarify and resolve the Garage Area
Dispute, including construction issues, the assignment of spaces, maintenance obligations of the
parties, access and easement issues, subject to the terms and conditions set forth herein, and, by
this Agreement, hereby intend to settle and compromise the Garage Area Dispute on the terms
hereof.
AGREEMENT
For mutual consideration, the receipt and sufficiency of which is hereby acknowledged
by each party, the Parties stipulate and agree as follows:

1. Breach of Wall.
As part of the redevelopment of 508 E. Cooper St., Cooper Street intends to breach the
west wall of the Garage Area to permit the Condominium Owner underground indoor direct
access to the Condominium in the approximate location shown on the attached Exhibit B. The
penetration and the access is only for the Condominium and it does not and will not provide
access to the rest of the units at 508 E. Cooper Street. Without any admission or denial by either
party that permission is or is not necessary, the Association hereby grants Cooper Street express
permission to perform such construction work as may be necessary to permit such access.
Contemporaneous with the execution of this Agreement Cooper Street (i) shall provide the
Association with plans and blueprints for the penetration issued by a licensed structural engineer
and approved by the City of Aspen, and (ii) add the Association as an additional insured to its
contractor's liability policy of insurance. Upon mutual execution of this Agreement Cooper
Street may proceed with construction. At all times during construction, Cooper Street shall (a)
indemnify and hold harmless the Association and the Aspenhof owners, including but not limited
to the owners of individual air space units, common elements and limited common elements
from any loss or damage resulting from the construction of the penetration within the Garage
Area; and (b) save, protect and indemnify the Association from all liens of contractors and
materialmen performing the work described herein, and shall post notices of non -responsibility
on the Association Property. Further, Cooper Street shall require its contractor to expressly
waive any claims it may have against the Association or Aspenhof owners for any proposed lien
which may arise from the construction of the penetration. A garage door and a lockable
pedestrian door shall be installed at the point of the penetration and, upon installation thereof,
costs of maintenance and repair thereof shall be borne solely by the Condominium Owner.
Ingress and egress through the Garage Area shall be limited to the owner of those parking spaces
and his/her licensees, invitees, and agents. During the period of construction Cooper Street will
facilitate the free temporary parking of any owner displaced by the construction on the property
owned by Aspen Core Ventures, LLC located on the corner of Hyman and Hunter Ave.
2. Conveyance of Garage Area.
The Parties agree to amend the Aspenhof Map to place the twelvP(12) nteriorparking
spaces in the Garage Area into separately defeasible legal interests and the remaining
indoor space, including the entry ramp and drive surface, into common elements of the Aspenhof
building. Within sixty (60) days of successful completion of the land use application(s), as
indicated by final, non -appealable approval(s) of the applicable governmental authorities with
jurisdiction thereover ("Closing"), Cooper Street will convey nine (9) numbered parking spaces
in the underground portion of the Garage Area to the Association for use by the Aspenhof
residential users and will convey the newly created common elements including the ramp and
drive surface. Such conveyances will be by special warranty deed, free and clear of any liens.
Cooper Street will retain three (3) spaces in the underground portion of the Garage Area as set
forth in Exhibit B to convey to the Condominium owner, and will retain all of the Exterior
Parking Area (collectively the 3 retained interiors aces and the Exterior Parkin Area are to be
known as the "Resultant oo er treet Interest"). The Parties agree to reasonably cooperate on
the form and manner of the land use process, although it is expected and understood that Cooper

Street may include any and all the Resultant Cooper Street Interest within the condominium map
for its project at 508 E. Cooper Street, and in no event shall the Resultant Cooper Street Interest
be included within the Association, nor will anything herein require or permit Cooper Street or
its successors or assigns to become an "Owner" as that term is defined in the Declaration.
Neither Cooper Street nor the Condominium Owner shall be permitted to block the ramp into the
Garage Area or the door and walkway to the Association common elements located in the
Exterior Parking Area.
Cooper Street shall forthwith retain an architect, structural engineer, or surveyor to
develop and submit the required land use application(s) to the City of Aspen within forty-five
(45) days of the date of execution of this Agreement.
All fees and costs of every nature associated with the necessary applications,
development plans, surveys, approvals and all other aspects of the land use approval efforts
described in this section shall be borne by Cooper Street. The Parties shall take such further acts
as are reasonably necessary to apply for any required land use approval, and shall sign any
application or other documents, in each case to the extent consistent with this Agreement, and as
record owner of the property or as otherwise required by any application or governmental entity
considering an application under this provision.
3. Storage Improvements.
At the time the construction of the penetration and related improvements are occurring,
Cooper Street will, at its cost and expense, remove the existing storage units that are currently
occupying the parking spaces proposed to be retained by Cooper Street. Cooper Street will then
install like -kind storage units within the Garage Area in the locations shown on Exhibit B, unless
otherwise mutually agreed to by the Parties. Upon execution of this Agreement, the Association
shall inform its members of the impending construction so that any personal property can be
removed from the storage units within ten (10) days. Cooper Street will convey the new storage
units to the Association by bill of sale, free and clear of all security interests and claims. Cooper
Street will also repaint the interior of the Garage Area after construction of the penetration and
related improvements is completed, with the paint to be of a standard and quality consistent with
the paint within the Garage Area as of the date of this Agreement.
4. Intentionally Omitted.
5. Lease of Outdoor Spaces.
ooper Street will lease on an annual basis for a period of up to fifteen (15) years up to
four (4) spaces of its choice on the Exterior Parking Area for the use of the Aspenhof
commercial tenants. pursuant to a V rking lease agreement in substantially the form attached
&reto as Exhibit C. Such four (4) spaces ily win addition to any eases gran iZ;'ttnra'partres-
David Fleisher and the Fitzgerald Family Partnership, Ltd. Such leases shall be at market rates,
as determined by Cooper Street; provided, however, that (a) if no Aspenhof commercial tenant
elects to lease one of the offered spaces, Cooper Street shall not offer for rent said space in the
Exterior Parking Area at a rate below that previously offered to the Aspenhof commercial
tenants, unless first providing the Aspenhof commercial tenants the right to lease a space at said

lower rate; and (b) Cooper Street shall not offer any space in the Exterior Parking Area to an
affiliate of Cooper Street (or any of the principals of Cooper Street) at a rate in excess of the
market rate so as to impair the benefit of this provision for the commercial tenants of the
Condominium. Upon expiration of any lease for one of said four (4) spaces, Cooper Street shall
re -offer the space in accordance with the provisions of this Section 5.
6. Easement.
The parties hereto covenant and agree to use good faith efforts to negotiate a mutually
acceptable form of Reciprocal Easement and Joint Maintenance Agreement, which shall provide
at a minimum as follows:
(a) Cooper Street shall grant to the Association a permanent easement permitting the
placement of, and access to, air conditioning equipment, coolers, electrical conduit, HVAC duct
work, dumpsters and other items similar to those as are currently located on and encroaching
onto the Exterior Parking Area. The easement shall allow for ingress and egress over the Exterior
Parking Area for repairs, maintenance, operation and future equipment upgrades and shall not
terminate due to a transfer of the property by Cooper Street. The Association shall pay for the
costs of surveying the proposed easement area, which shall be subject to Cooper Street's final
review and approval, and for preparing a proposed easement. The Association's proposed
easement, and the use and maintenance thereof, shall not interfere, to an extent greater than that
contemplated by the aforementioned grant, with the use and occupancy of any parking spaces not
rented by the commercial owners or tenants; provided, however, use of the parking space in the
Exterior Parking Area that otherwise impedes access to the Condominium dumpster shall be
limited to the hours of 8:30 a.m. through 10:00 p.m., Monday through Friday (with unlimited
hours Saturday and Sunday).
(b) Access through the Garage Area and the penetration for the benefit of the
Condominium Owner shall be evidenced by an easement or other instrument.
(c) The Association shall grant to Cooper Street such express easements as are
necessary to provide Cooper Street with permanent access to the Resultant Cooper Street
Interest.
(d) Each owner of the underground parking spaces in the Aspenhof building shall
share the repair, maintenance and other expenses for the Garage Area on a pro-rata basis. Such
maintenance will include any necessary repairs to the parking surface, striping of spaces, trash
and debris removal, repairs and maintenance to the garage door providing access to the Garage
Area, and any other necessary and required measures and to abide by such reasonable rules and
regulations as the Parties shall promulgate concerning the use of the parking spaces. Each party
shall have the right to notify the other of any infraction of the rules, and if such infraction is not
remedied within thirty (30) days, the complaining party shall have the ability to remedy the
infraction and invoice the other for any costs.
(e) As more fully set forth in the Reciprocal Easement and Joint Maintenance
Agreement, the Association, Cooper Street, and the Condominium Owner shall be jointly
responsible for the costs of maintenance and repair of the Garage Area in proportion to the

number of interior spaces allocated to each (provided that, for purposes hereof, the
Condominium Owner's separate space beneath 508 E. Cooper Street shall be considered a space
within the garage area. Accordingly, initially the Association shall bear 3/0 of the cost of
maintenance and repair of the Garage Area (based on a total number of 12 parking spaces), and
the Condominium Owner (or Cooper Street until such time as the Condominium is conveyed to
the Condominium Owner) shall bear 1/4t' of the cost of maintenance and repair (based on a total
number of 12 parking spaces).
(f) The Reciprocal Easement and Joint Maintenance Agreement will detail that in the
event of a building casualty or loss to the Aspenhof building the owner(s) of the Resultant
Cooper Street Interests will not oppose reconstruction of the building or portion thereof damaged
by the loss, so long as such reconstruction will also return the Resultant Cooper Street Interests
to their pre -loss condition.
7. Assignment of Rights.
The Parties represent and warrant that they have not sold, assigned, conveyed, or
otherwise transferred, prior to the final execution of this Agreement, any interest in or claim
concerning the matters contained in this Agreement.
8. No Admission of Liability/Waiver/Admission.
It is expressly understood and agreed that all promises, obligations, and/or payments
made or agreed to be made under this Agreement are to compromise and settle claims, and do
not constitute any admission of liability by the Parties, nor shall this Agreement, or any
proceeding hereunder, be deemed to be evidence of or an admission of any liability or
wrongdoing by the Parties. Additionally, nothing in this Agreement shall be deemed a waiver or
otherwise prohibit or limit Cooper Street from pursuing and enforcing its rights and remedies in
connection with asserting and/or proving ownership and control of any of the outdoor parking
spaces adjoining the Condomium, and this Agreement is not intended to resolve any such
dispute.
Successors and Assigns.
This Agreement shall be binding upon and inure to the benefit of all Parties hereto,
including their respective current and former trustees, trustors, beneficiaries, officers, elected
representatives, directors, employees, agents, partners, managers, members, subsidiaries,
affiliates, divisions, predecessors, successors, heirs, and assigns.
10. Voluntary Agreement.
The Parties agree and understand that this Agreement has been freely and voluntarily
entered into, and that no representations or promises of any kind other than those contained in
this Agreement have been made by any party to induce another party to enter into this
Agreement. The Parties have read and understand this Agreement in its entirety. The Parties
acknowledge that each of them has been represented by counsel in connection with the
negotiation, drafting, and execution of this Agreement.

11. Interpretation of Agreement.
Each party acknowledges and agrees that this Agreement shall not be deemed prepared or
drafted by any one party. In the event of any dispute between the Parties concerning this
Agreement, the Parties agree that any rule of construction, to the effect that any ambiguity in the
language of the Agreement is to be resolved against the drafting party, shall not apply.
12. Governing Law.
This Agreement shall be governed and construed in accordance with the laws of the State
of Colorado, and jurisdiction and venue for any action arising out of this Agreement shall rest
exclusively with the District Court for Pitkin County, Colorado.
13. Entire Agreement.
The Parties agree that this Agreement constitutes the final and entire agreement among
the parties and thereby supersedes and voids any and all prior agreements, letters, or
understandings, whether written or oral, which may have existed regarding the subject matter of
this Agreement.
14. Modification of Agreement.
No provision or term of this Agreement may be amended, modified, revoked,
supplemented, waived, or otherwise changed except by written instrument duly executed by the
parties hereto.
15. Counterparts.
This Agreement may be executed in counterparts, each of which shall be an original, and
all of which together shall constitute the Agreement. Electronically sent signatures are expressly
permitted under this Agreement.
16. Date of Agreement.
The date of this Agreement shall be the date upon which the last party signs the
Agreement.
17. Prevailing Party's Attorney Pees and Costs.
In the event that either of the Parties commences an action to enforce or interpret the
provisions of this Agreement, the prevailing party shall be entitled to an award of attorney fees
and costs incurred in prosecuting such enforcement action.
18. Representations and Authority

The Parties hereto warrant and represent that they are duly organized, validly existing and
in good standing under the laws of the State of Colorado. Any and all required corporate or
organizational approval, consents, resolutions, votes, notices or authorizations required in order
to enter into or perform the obligations of this Agreement have been undertaken, made, and
obtained. The undersigned has the right, power, legal capacity, and authority on behalf of the
named party to enter into this Agreement and when executed, this Agreement shall constitute a
valid and binding obligation of that party. Each Party represents to the other that it owns the
property attributed to it herein (with Cooper Street currently owning the interest that will become
the Condominium) and that such Party has the full power and authority to perform its obligations
hereunder. Contemporaneously herewith the Parties shall provide to each other a corporate
resolution or the equivalent approving and authorizing this Agreement.
19. Conditions of Closing.
The Parties obligation to complete this Agreement and proceed to Closing is expressly
contingent upon the satisfaction of all of the conditions set forth herein, including but not limited
to final approval by the City of Aspen of the land use approvals, and creation, execution and
recordation of an acceptable reciprocal easement and joint maintenance agreement, all upon
terms consistent with, and subject to the provisions of, this Agreement.
20. Mutual Releases.
Save and except for the obligations set forth in this Agreement, the Parties on behalf
themselves and their heirs, successors, and assigns, do hereby release, acquit, settle, cancel, and
forever discharge one another and their present and former predecessors, parent companies,
successors, assigns, subsidiaries, officers and directors, agents and employees from any and all suits,
actions, claims, debts, demands, payments, rights, rights of action, differences, obligations,
administrative proceedings, warranties (whether express or implied), covenants, dues, duties,
damages, laws, judgments, awards, liabilities, benefits, for any monetary amount, costs, fees
(including attorney' fees), interests and causes of action, whether known or unknown, contingent or
matured, and of any kind or description, which they have or may have in connection with the
Garage Area Dispute as of the date of this Agreement.
