A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN,
COLORADO, APPROVING A CONTRACT BETWEEN THE CITY OF ASPEN
AND PITKIN COUNTY AUTHORIZING THE CITY MANAGER TO
EXECUTE SAID CONTRACT ON BEHALF OF THE CITY OF ASPEN,
COLORADO.
WHEREAS, there has been submitted to the City Council a contract for
approval of a letter of agreement for installation of a secondary containment wall
in the Aspen Airport Business Center area, between the City of Aspen and Pitkin
County, a true and accurate copy of which is attached hereto as Exhibit "A";
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF ASPEN, COLORADO,
That the City Council of the City of Aspen hereby approves that Contract
for approval of a letter of agreement for installation of a secondary containment
wall in the Aspen Airport Business Center area, between the City of Aspen and
Pitkin County, a copy of which is annexed hereto and incorporated herein, and
does hereby authorize the City Manager to execute said agreement on behalf of the
City of Aspen.

RE: Agreement for Construction of a Secondary Containment Wall West of the Holy Cross
Substation,Aspen
Brian,
Thank you for taking the time to meet with our staff a couple of weeks ago regarding the above
improvements and for coordinating a Change Order to your contract in the AABC area to include this
secondary containment wall under your proposed concrete drainage ditch.
At that meeting we shared information about the City's and Pitkin County's(County's)interest in
installing improvements in nearly the same location from the north end of 200 Road to a point north of
the Holy Cross Substation. You have already competitively contracted to install a shallow concrete
drainage ditch through the very constricted corridor along the westerly edge of the Holy Cross property.
The City needs to place a flow-fill secondary containment wall between an existing 10-inch HDPE
wastewater reuse line and a 6-inch water service to the ACSD site. We agreed the most economical
way to construct these improvements would be to have one contractor perform all of the work. We also
agreed this would be the timeliest process and lead to the least disturbance of the area and access to the
adjoining properties.
With these benefits in mind,the County agreed to include the City's improvements in a Change Order
to your publicly solicited contract for this work, and the City agreed reimburse the County for all of the
costs related to the installation of the secondary containment wall. We also agreed to allow Merrick
Engineering(Dean Derosier)provide on-site inspection for and at the expense of the City.
The County's contractor, CEI,will perform the work on a time and materials basis. They have
provided a preliminary estimate of$130,000 to complete this work. The City agrees to reimburse the
County for all of the cost of this Change Order related to the installation of the secondary containment
wall.
Both the City of Aspen and the County recognize that there may be additional costs in this project
subsurface conditions that are unknown at this time.
Both the City of Aspen and the County shall agree in writing to any and all change orders that may
occur during the construction of this project.
I would like to express my appreciation to the County for the opportunity to participate in this joint
project. I am confident this cooperation will result in savings to our rate payers, By my signature
