(SERIES OF 2002)
A RESOLUTION OF THE CITY COUNCIL OF ASPEN, COLORADO, APPROVING A
CONTRACT OPTION FOR THE PURCHASE ONE BUS BETWEEN THE CITY OF ASPEN
AND NEOPLAN USA, AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID
CONTRACT OPTION ON BEHALF OF THE CITY OF ASPEN.
WHEREAS, there has been submitted to the City Council Contract Option between the
City of Aspen, Colorado and NEOPLAN USA a copy of which is annexed hereto and part
thereof.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ASPEN, COLORADO.
Section One
That the City Council of the City of Aspen hereby approves that Contract Option between
the City of Aspen, Colorado, and NEOPLAN USA regarding the purchase of one bus, a copy of
which is annexed hereto and incorporated herein, and does hereby authorize the City Manager to
execute said Contract Option on behalf of the City of Aspen.

Schedule:
The bus shall be delivered within 365 days of
receipt of order.

Neoplan USA agrees to provide the equipment identified above and in the Contract

accordance with the Contract Documents.

Dear Mr. Osier:
Pursuant to your request for pricing on a potential option bus to be purchased from your contract
with NEOPLAN USA under RFP#3117/00LFCB, we can accept this order with the following
provisions:
a. Due to production constraints, this bus must be tagged to an existing order from Baltimore
Washington International Airport for a quantity of buses in structurally the same configuration as
the 40 ft. bus proposed for ASPEN.
b. Receipt 000% downpayment to initiate the order, with balance to be paid within 30 days of
acceptance and delivery
c. Deletion of any Liquidated Damages or Bonding as stated in the current Contract.
d. All major componentry must remain the same as the larger order being tagged, unless a
change approval is received from senior management (V.P. Sales or higher). Interior and
Exterior Colors, Seat Type, etc. will be to ASPEN specifications.
Provided you are agreeable to the attached revised pricing, we will work this bus into a
_ production schedule as soon as we receive ASPEN's Purchase Order, Downpayment and Notice
to Proceed. We look forward to serving RFT A and ASPEN once again and deeply value our
long term relationship as a supplier of buses to this popular Colorado tourist community.

Federal Grant Contract
Contract Documents:
The coaches shall be delivered at a rate not to
exceed five (5) per day Monday through Friday. No
deliveries shall be made on weekends or holidays.
Delivery of all coaches shall be completed on or
before May 3], 2001.
RFTA is a sub-recipient of a grant awarded by the
Federal Transit Administration, which will be used
to fund, in part, the procurement of this equipment.
Approximately 80% of the contract amount will be
funded by the FT A.
1) This Contract Award and;
2) Request for Proposals for 35 Foot Low-Floor
Heavy-Duty Transit Buses issued March 17, 2000.
including: Introduction; Request for Proposals,
Offer & Award; General Contractual Provisions;
Quality Assurance Provisions: Warranty Provisions;
Technical Specifications; and Appendix, and
3) Addenda 1 da.ted March 22; 2000; and
4) Addenda 2 dated April 24, 2000, and
5) Manufacturer's Proposal dated April 28, 2000,
including Manufacturer's Technical Proposal and
Manufacturer's Price Proposal and the following
completed required submissions: Bid Form; ,
Taxpayer Identification, Certification Regarding
Lobbying; Buy American Certification; Bidder's
Acknowledgments and Representations Regarding
Contingent Fee, Bus Testing Certification,
Cooperative Purchasing Agreement, FMVSS
Compliance Certification, Motor Vehicle Pollution
Certification:
which are agreed to by Contractor, incorporated herein by this reference, and collectively
referred to as "Contract Documents."
Contractor's Agreement:
Neoplan USA agrees to provide the equipment identified above and in the Contract
Documents for the consideration stated herein. Your offer to provide the equipment
identified above is hereby accepted as offered in your proposal of April 27, 2000, in
accordance with the Contract Documents.

1.1.6.Il COOPERATIVE PURCHASING AMONG GOVERNMENTS
The successful Contractor, based on this Request for Proposals, is hereby requested to extend the
same prices, terms and conditions of this Request for Proposals to other governmental agencies,
contingent upon mutual agreement of these other governmental agencies and the successful
contractor; .u,d the availability of option buses. Should such agreements materialize, contracts would
be issued and administered by each individual agency, directly with the successful contractor.
Offeror is requested to indicate if a contract based on this Request fro Proposals will be extended to
other governmental agencies under the terms described above:
