WI4__EREAS, there has been submitted to the City Council mu Intergovermmental Agreement be~veen the City of Aspen, Colorado and Pitkin County, Colorado, a copy of which is annexed hereto and part thereof. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUIN'CIL OF THE CITY OF ASPEN, COLOR_ADO. Section One That the City Council of the City of Aspen hereby approves the Intergovernmental Agreement between the City of Aspen, Colorado and Pitldn County, Colorado, Regarding The Sharing Of Transit Facilities, a copy of which is armexed hereto and incorporated herein, and does hereby authorize the City Manager to execute said Intergovernmental Agreement substantially in the form as attached on behatf of the City of Aspen, including the documents appended thereto. INTERGOVEI:CNMENTAL AGREEMENT BETWEEN THE CITY OF ASPEN, COLORADO and PITKIN COUNTY, COLORg. DO REGAP, X)ING THE SHARING OF TRANSIT FACILITIES This Intergovermmental Agreement is made and entered into this day of , 2002, by and between the City of Aspen, Colorado ("Aspen" or "City") and Pitkin County, Colorado ("Pitkin County"). RECITALS WHEREAS, on September 12, 2000, the Roaring Fork Transportation Authority ("RFTA") was formed by Intergovernmental A~eement between the City of Aspen, Town of Basalt, Town of CarbondaIe, Eagle County, City o£ Glenwood Springs, Pitkin County, and the Town of Snowmass Village as a rural transportation authority pursuant to Colorado Rural Transportation Authority La,v, Title 43, Article 4, Part 6, C.R.S., as amended, which Agreement was ratified by the electors of RFTA, at the state general election conducted on November 7, 2000; and WHEREAS, Article VIlli o:~'the IGA provides for reorganization of the Roaring Fork Transit Agency (Transit Agency"), and merger into RFTA; during a period known as the RFTA Transition Period; and WHEREAS, Pitldn County, the City of Aspen, RFTA and the Transit Agency have entered into an agreement transferring assets and liabilities between the'panties, in accordance with the RFTA IGA; and WHEREAS, the RFTA IGA provided that transit system assets would be transferred from the Transit Agency, Pitkin County and Aspen, to P,~TA, excluding real property; and 5VI-tER.EAS, Pitkin County is the owner of a Bus Maintenance Facility located at 0051 Service Center Drive, Aspen, Colorado ("BMSr"), which will be leased to R.FTA to use for transportation purposes in providing regional service and contract service to governmental entities and private corporations; and WHEP._EAS, Aspen is the owner of a transit facility in the heart of Aspen which provides bus staging and administration for RFTA re~onaI transit service, as well as RFTA-provided contract service to the City of Aspen and the Aspen Skiing Company; known as Rubey Park; and WHEREAS, in the future, Aspen or Pitkin County may wish to provide their own local transportation service which would require access to a bus maintenance facility and a transit 1 H:kJune l0 Council Mcetin§ docs~a-spen-PitCo IGA on shared facility use.doc station in central Aspen; and WHEREAS, in the future, RFTA may dissolve or not be able to provide contract service to Aspen and Aspen and Pitkin County may wish to provide their own local service: and NOW, THEREFORE: Aspen and Pitkin County make the following agreement: 1. If Aspen deems it more efficient, or for any other reason, determines that it will provide its own transit service and requires access to a maintenance facility, Pitkin County agrees to lease space to Aspen in the BM.F for a pro-rated, fully allocated share of the costs of operating the BMF. 2. Pitkin County will not unreasonably withhold its permission for Aspen to lease a portion of the BMF. 3. IfPitldn County deems it more efficient, or for any other reason, determines that it would like to use Rubey Park for transit purposes, Aspen agrees to lease space to Pitkin County in Rubey Park for a pro-rated, fully allocated share of the costs of operating Rubey Park. 4 Aspen will not unreasonably withhold its permission for Pitkin County to lease a portion of Rubey Park. 5. The term of this agreement shall be for a period of three (3) years, conunencmg on the date this agreement is duly executed. Thereafter, said agreement shall be automatically renewed for successive three I3) year periods unless otherwise terminated by either parry g/ving notice to the other of its intent to terminate.
