receipt and sufficiency of which are hereby acknowledged, hereby assigns, sells and conveys to
OYSTER SHORES, LLC, a Colorado limited liability company ("Grantee"), whose mailing
address is c/o Curtis B. Sanders, Esq., Sherman & Howard L.L.C., 730 East Durant Avenue,
Suite 200, Aspen, Colorado 81611, one (1) TDR Certificate issued by the Pitkin County,
Colorado on July 31, 2009, bearing Transferrable Development Right Certificate No. IR-15-09-
SW, a photocopy of the same being attached hereto and incorporated herein by this reference,
arising from the "Preservation Site" legally described as:
THE VIRGINIA PET LODE, U.S. MINERAL SURVEY NO. 4533, according to
the United States Patent recorded in Book 175 at Page 285, Pitkin County,
Colorado (the "Property").
Grantor warrants and represents that it has good title to the TDR Certificate and will
defend title to the same against anyone claiming under Grantor.
IN WITNESS WHEREOF, Grantor has executed this Special Warranty Deed and
Assignment as of the date first written above.
