Re: Gorsuch Haus Project Ordinance 39, Series of 2016—Detailed Review Submission
Dear Jennifer:
Holland & Hart LLP represents the applicant, Norway Island LLC (“Norway Island”), in
connection with the Detailed Review Submission accompanying this letter.
Among other documents, the Detailed Review Submission includes a draft Street and
Easement Vacation Plat (the “Vacation Plat”) and a draft Final Plat of Gorsuch Haus
Subdivision/PD (the “Final Plat”).
As we believe you know, Norway Island has been and remains under contract (the
“PSA”) to purchase from Aspen Skiing Company (“ASC”) what will become Lot 1 of the Final
Plat. The Final Plat subdivides the ASC owned property into two platted lots: Lot 1 (to be
conveyed to Norway Island) and Lot 2 (which will be retained by ASC). The Vacation Plat and
the Final Plat are both drafted based on the PSA and both contemplate the structure that Norway
Island’s closing on the PSA will effectuate.
As you will note, the Vacation Plat is therefore set up for ASC to sign. ASC is also set
up to sign the Owner’s Certificate and Dedication of Easements & Reservations on the Final
Plat.
However, because Norway Island will be the developer, it will take title to Lot 1 subject
to the Detailed Review Submission Approvals and be responsible for performing the various
tasks contemplated under the Development Agreement, we have set up Norway Island to be the
signatory on the Development Agreement and other related developer agreements contemplated
by Ordinance 39, Series of 2016.
