RESOLUTION N0.007 SERIES OF 2026 A RESOLUTION OF THE CITY OF ASPEN CITY COUNCIL APPROVING A CHANGE ORDER FOR ARMORY HALL ADAPTIVE REUSE PROJECT,130 S. GALENA, BETWEEN THE CITY OF ASPEN AND SHAW CONSTRUCTION, AUTHORIZING THE CITY MANAGER TO EXECUTE SAID CHANGE ORDER ON BEHALF OF THE CITY OF ASPEN, COLORADO WHEREAS, there has been submitted to the City Council a change order between the City Council (the "Owner") and Shaw Construction (the "Contractor"), a true and accurate copy of which is attached hereto as "Exhibit A", and, WHEREAS, city staff, through a competitive bid process considered and approved a Contractor at Risk contract for preconstruction services in April 20250 and WHEREAS, the means and methods of installing a new foundation by lifting the building requires approval by the Historic Preservation Commission and precipitates the need for engineering design work associated with the building lift to be submitted to the Historic Preservation Commission; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN AS FOLLOWS: That the City Council of the City of Aspen hereby approves the Change Order, known as change order 2, to the agreement between Owner and Contractor, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager to execute said agreement on behalf of the City of Aspen. It is our understanding that, as part of a proposed renovation, the building will be lifted in-place to allow for the installation of a new foundation system. The proposed work also includes full replacement of the existing floors and partial replacement of the roof framing. It is our understanding that the existing floor and roof diaphragms will be in place during lifting of the building and construction of the new foundation system, and shoring of the exterior masonry walls is not required during this construction phase. Temporary bracing of the exterior masonry walls will be required during the replacement of the floor and roof framing, when the walls will lose their later support: Engineering services outlined in this proposal are related to the design of a temporary bracing system for the exterior walls during this phase of construction. It is also assumed that by the time the wall bracing is installed, the building will already rest on the new foundation and the steel beams used for lifting will have been removed. The following scope of work is based on correspondence between our offices. Aspen Armory Bracing Pg. 2 12/19/2025 Atkinson-Noland & Associates SCOPE OF WORK 1. Conceptual Bracing Design: ANA will develop a preliminary bracing plan based on the information available on the design drawings issued for permit1. The bracing plan will outline the bracing requirements to provide lateral support to the existing masonry walls during the removal of the existing floor and roof framing and the installation of the new interior framing system. A set of drawings including general notes will be provided for review describing materials and bracing procedures. It is anticipated that the bracing system will consist of structural steel braced frames on temporary concrete foundation. However, given the constraints with the construction site, micropiles may be needed to support the bracing system. It is assumed that micropiles will be designed by a specialty contractor. 2. Building Evaluation: Once the interior finishes have been removed and all structural elements are exposed, ANA will conduct a site visit to evaluate the existing condition of the masonry walls and other structural elements pertaining to the wall bracing design, confirm design assumptions, and finalize the bracing design. 3. Final Bracing Design: Following verification of existing conditions, a final bracing design and drawings will be provided. 4. Bracing Observations: ANA will conduct two site visits during the wall bracing installation to observe that the installation and conditions are in general conformance with the bracing design. Time is also included under this task for review of submittals and response to RFIs pertaining to the wall bracing design. 5. Miscellaneous Design Tasks: A total of 16 hours of engineering time is included in this proposal to design, detail, and specify work to address minor changes to the wall bracing design that may be needed during construction. 6. Site Visits (Optional). Should additional site visits be needed, they can be conducted at the direction of the client as an additional scope of work. Such site visits may be required to address unknown conditions encountered during construction, observe lifting operations, or to answer questions and resolve potential issues related to the bracing work. An ANA engineer will conduct half-day site visits and produce a brief summary report after each visit. PROJECT SCHEDULE Work on the project can begin within 2 weeks of receipt of a signed contract and a conceptual bracing design can be provided after 4-6 weeks. This proposal includes standard terms used by ANA, amendments to these terms or a different agreement for the work must be submitted to ANA at least three weeks prior to the planned project start date. ANA reserves the right to make travel arrangements and schedule the work only after the receipt of an executed agreement between ANA and the client. DELIVERABLE • As outlined in the scope of work. PROJECT COSTS Costs for the scope of work described above are as follows, including all labor, travel and equipment. EXCLUSIONS • Access; no ladder, scaffold, or man-lift charges are included. • Design of micropiles. • Building repair and strengthening design that may be needed during lifting operations. • Design of temporary shoring and bracing during lifting operations. • Design of temporary shoring for the installation of the new structural framing. • Cost for laboratory or field testing to characterize existing materials not already tested. Proper bracing design requires knowledge of existing material properties. (ANA) for the above-mentioned project: ANA shall provide engineering services as described in SCOPE OF WORK Payment terms are net 30. If payment is not received within 30 days of invoice date, the outstanding amount shall bear interest at 1-1/2 percent per month from the date of the invoice. SC shall be responsible for all expenses associated with collection of unpaid invoices, including but not limited, to attorney’s fees and court costs. Fees will be billed at current rates at the time of the work. SC shall provide full information as to the project requirements, including all information required by ANA for coordination with SC’s requirements. ANA shall be entitled to rely totally upon all information furnished by SC. To the fullest extent permitted by law, SC shall indemnify ANA, its officers, directors, partners, employees, and representatives, from and against losses, damages, and judgments arising from claims by third parties, including reasonable attorneys’ fees and expenses recoverable under applicable law, but only to the extent they are found to be caused by a negligent act, error, or omission of SC or SC’s officers, directors, members, partners, agents, employees, or subconsultants in the performance of services under this Agreement. In recognition of relative risks, rewards and benefits of the project to both SC and ANA, the risks have been allocated so that SC agrees that, to the fullest extent permitted by law, ANA’s total liability to SC for any and all injuries, claims, losses, expenses, damages or claim expenses arising out of this agreement, from any causes shall not exceed the total amount of $50,000, or the amount of ANA’s fee, whichever is greater.
