HomeMy WebLinkAboutresolution.council.058-26RESOLUTION # 058 (Series of 2026) A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, AUTHORIZING THE MAYOR TO EXECUTE AN ADDENDUM TO THE CITY ATTORNEY EMPLOYMENT CONTRACT WHEREAS, Katharine A. Johnson (hereinafter referred to as "Employee") is currently employed by the City as the City Attorney; and WHEREAS, pursuant to the terms of the Employment Contract entered on February 25, 2025 ("Contract") between the City and Employee, Council shall review Employee's performance each year; and WHEREAS, the City Council completed an annual review of Johnson's performance on April 14, 2026; and WHEREAS, pursuant to Section 2 of the Contract, any future adjustments to terms or compensation shall be reduced to writing and included in the Contract as an addendum; and WHEREAS, the City and Employee mutually agree to increase the compensation of Employee and desire to memorialize such increase in a written addendum to the Contract, the form of which is attached hereto as Exhibit "A". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, That the City Council of the City of Aspen hereby approves that First Addendum to the City Attorney Employment Contract attached hereto as Exhibit "A and authorizes the Mayor to execute said Addendum on behalf of the City. John Doyle, Mayor Prq�I'em I, Nicole Henning, duly appointed and acting City Clerk do certify that the foregoing is a true and accurate copy of that resolution adopted by the City Council of the City of Aspen, Colorado, at a meeting held, April 28th, 20260 r Nicole Henning, City -clerk FIRST ADDENDUM TO THE EMPLOYMENT CONTRACT FOR THE ASPEN CITY ATTORNEY This First Addendum ("Addendum") made this 28t1i day of April, 2026, modifies the Employinent Contract, Aspen City Attorney dated February 25, 2025 ("Contract") by and between the CITY OF ASPEN (hereinafter referred to as "City"), and Katharine A. Johnson (hereinafter referred to as "Johnson" or "Employee") as follows. WHEREAS, Employee is currently employed by the City as the City Attorney pursuant to the Contract; and WHEREAS, Sections 2 of the Contract contemplate an annual review of performance and compensation, and provides that any adjustment to compensation shall be reduced to writing and executed as an addendum to the Contracts and WHEREAS, the City and Employee desire to amend the Contract to adjust compensation and to authorize a one-time bonus on terms mutually agreeable to the parties, NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows. AGREEMENT l . Amendment to Salary. Section 3.1A (Salary) of the Contract is hereby amended to provide that Employee shall receive an annual salary of Two Hundred Sixty Thousand Dollars ($260,000.00) per year. The amended salary set forth above shall be effective as of March 9, 2026, and shall be paid in the same manner as other City employee compensation, subject to applicable withholdings and deductions. 2. Benefits Calculated on Amended Salary. Employee shall receive benefits calculated on the amended salary rate as of the effective date stated above, in accordance with the City of Aspen Policy Manual, as may be amended from time to time. 3. One -Time Bonus Authorization. In addition to the compensation described above, the City hereby authorizes aone-time bonus payment to Employee in the gross amount of One Thousand Dollars ($1,000.00). The bonus is non -recurring, shall not be considered base salary, and shall not be included 0n the calculation of future salary, severance, retirement contributions, or other benefits. 4. The difference between the increased salary and the pre -Addendum salary for the period of March 9, 2026, onward and the one-time bonus shall be paid with next occurring payroll after approval and execution of this Addendum by the City, subject to standard payroll withholdings. 5. No Other Amendments. Except as expressly modified by this Addendum, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect.
