Thru the City Council of~e City of Aspen hereby approves that a Professional Se~ice
A~eement between the City of Aspen, Colorado, ~d Lofts ~d Associates, regarding the Puppy
Smith Property Engineehng ~d Architectural Project, a copy of which is ~nexed hereto ~d
inco~6rated herein, ~d does hereby authorize the City M~ager to exe. cute said Ageement on
behalf of ~e City of Aspen.

First Amendment to the
AGREEMENT FOR. PROFESSIONAL SERVICES Da~ed 5-15-02
for work on the property know as "Puppy Smith"
This Agreement made and entered on the date hereinafter stated, between the CITY OF ASPEN,
Colorado, ("City") and Loris and Associates, INC.("Professional").
For and in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Scope of Work. Professional shall perform in a competent and professional
manner the Scope of Work as set forth at Exhibit "A" attached hereto and by this reference
incorporated herein.
2. Completion. Professional shall commence work immediately upon receipt
of a written Notice to Proceed from the City and complete all phases of the Scope of Work
as expeditiously as is consistent with professional skill and care and the orderly progress of
the Work in a timely manner. The parties anticipate that all work pursuant to this agreement
shall be completed no later than May 30, 2003. Up°n request of the City, Professional shall
submit, for the City's approval, a schedule for the performance of Professional's services
which shall be adjusted as required as the project proceeds, and which shall include
allowances for periods of time required by the City's project engineer for review and
approval of submissions and for approvals of anthorities having jurisdftction over the project.
This schedule, when approved by the City, shall not, except for reasonable cause, be
exceeded by the Professional.
3. Payment. In consideration of the work perforraed, City shall pay
Professional on a time and expense basis for all work performed. The hourly rates for work
performed by Professional shall not exceed those hourly rates set forth at Exhibit "B"
appended hereto. Except as otherwise mutually agreed to by the parties the payments made
to Professional shall not initially exceed $26,250.00. Professional sihall submit, in timely
fashion, invoices for work performed. The City shall review such imToices and, if they are
considered incorrect or untimely, the City shall review the matter with Professional within
ten days fi'om receipt of the Professional's bill.
All other provisions of this contract remain in full force and effect.

Design Service Fee Proposal
Dear Ben:
Thank you for asking us to submit a proposal for this project. For this project
we will be subcontracting Reno Smith Architects to provide Architectural,
Mechanical and Electrical engineering services on this projeat We
understand that the Civil Engineering services are being contracted out by the
City separate of this contract. Should additional Civil Engineering services be
reqtfired Loris will be happy to amend our proposal accordingly.
At present we envision the scope of this project as follows. The design team
shall provide construction documents to relocate an existing 700sf historic
structure to new location on the site. The western add/tinn to the structure
shall be demolished and a new 700sf basement shall be provided. The upper
(existing) level shall include a living room, kitchen, dining are~ one
bedroom, and one bath. The lower level shall include one bedroom and one
bath. The intent is that the mechanical and electrical systems will be supplied
based on a performance based contract.
The design intent is to maintain the 3 of the exterior walls and possible the
existing fenestration openings. The floor structure will be replaced and the
wall and roof structure will be repaired or replaced as necessary to maintain
structural integrity. The new residence will reflect the or/ginal historic
appearance if possible and will be compatible with the proposed duplex that
will share the site.
The design team will assist with modifications/drawings for the new duplex
based on drawings from the Owner on an hourly basis,

Loris and Associates' Lump Sum Fee for the~above services; is $26,250.
We will hffi reimbursable expenses including printing and copying at
cost.
Terms and Conditions will be as per our City of Aspen on-call services
contract.
Loris and Associates is looking forward to working with you on this project.
We have taken the liberty of beginning some of the preliminary design work
and site investigation. If acceptable, please return a signed copy of this
proposal to our office.
