HomeMy WebLinkAboutresolution.council.046-03 RESOLUTION N0. ~/~ (SERIES OF 2003) A RESOLUTION OF THE ASPEN CITY ~OUNC!~ APPROVING A MEMORANDUM OF UNDERSTANDING WITH THE ASPEN CONSOLIDATED SANITATION DISTRICT~ AsPEN~ pITKIN COUNTY~ COLORADO~ WHEREAS, the City is in a partnership with the Bar/X Ranch LLC; and WHEREAS, the City and the Bar/X Ranch LLC have filed an application to annex the Bar/X Ranch into City limits; and WHEREAS, the approval of the application for annexation is contingent on land use approvals to develop affordable housing by the City and free market housing by Bar/X Ranch, LLC; and WHEREAS, the construction of affordable and/or free market housing on the Bar/X Ranch and the Burlingame Ranch will impact the existing sanitary sewer system requiring mitigation; and WHEREAS, the ACSD currently has a contract with Western Slope (Contractor) to complete improvements to the sanitary sewer line in the adjacent vicinity of the Bar/X Ranch and Burlingame Ranch; and WHEREAS, the City would benefit from pricing achieved in the ACSD contract with Western Slope Utilities through a bidding process. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO THAT: Section One: That the City Council of the City of Aspen hereby approves that Memorandum of Understanding between the City of Aspen, Colorado, and Aspen Consolidated Sanitation District regarding a change order to its' existing contract with Western Slope Utilities to allow mitigation work required of the proposed Burlingame Ranch affordable and Bar/X Ranch, LLC flee market housing developments, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen to execute said contract on behalf of the City of Aspen. Ko~,'City Clerk MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF ASPEN AND THE ASPEN CONSOLIDATED SANITATION DISTRICT THIS MEM~)RANDUM OF UNDERSTANDING entered into at Aspen, Colorado, this 3 c.,~x day of ~3"-o- ~o ~'~ ,2003, by and between the CITY OF ASPEN, COLORADO, municipal corporation and home-rule city (hereinafter "City") and THE ASPEN CONSOLIDATED SANITATION DISTRICT, a quasi-mumcipal corporation (hereinafter "ACSD). WlTNESSETH: WHEREAS, the City is in a partnership with the Bar/X Ranch LLC: and WHEREAS, the City and the Bar/X Ranch LLC have filed an application to annex the Bar/X Ranch into the City limits; and WHEREAS, the approval of the application for annexation is contingent upon land use approvals to develop affordable housing by the City and flee market housing by Bar/X Ranch, LLC: and WHEREAS, the construction of affordable housing and/or free market housing on the Bar/X Ranch and the Burlingame Ranch will impact the existing sanitary sewer system requiring mitigation; and WHEREAS, the ACSD currently has a contract with Western Slope Utilities (Contractor) to complete improvements to the sanitary sewer line in the adjacent vicinity of the Bar/X Ranch and Burlingame Ranch; and WHEREAS, the City would benefit from pricing achieved in the ACSD contract with Western Slope Utilities: and WHEREAS, the panics hereto desire to memorialize the manner in which the ACSD will create a change order to it's exisfmg contract with Western Slope Utilities to allow mitigation work required of the affordable and free market housing developments above. NOW, TI-[EREFORE, the parties hereto agree as follows with respect to the change order to ACSD's contract with Western Slope Utilities: I. Terms of Change Order 1. The City shall have the opportunity to review and will approve or deny this and any subsequent change orders required to complete this sewer line mitigation work required for this affordable and free market housing. This review and approval or denial will occur prior to the issuance of this and any subsequent change orders. 2. Concurrently, the City shall have the opportunity to review and approve or deny any billing proposed for this and any subsequent change orders. 3. The City shall have the right to attend meetings, inspections, etc. as associated with this and any subsequent change orders. 4. If approval of this or any subsequent change orders is denied by the City, then the mitigation work associated with the proposed change orders may not completed and service to the affordable and or free market housing developments may be denied. 5. All change orders must be approved, in writing, by both the City and ACSD. 6. The scope of work and preliminary cost estimates are detailed in Exhibit A, which is attached. WHEREFORE, the parties, through their duly authorized representatives, have executed this Memorandum of Understanding upon the dates as set forth herein. ~yH~.. Generally, WSU's Proposal uses thc unit prices from Schedule 1 of the Roaring fork Projeet, but includes consideration of the smaller diameter pipe to be used on the Highlands T~n~.gli~e (18" verslls 24".) There are advantages to accepting WSU's Proposal. First, the replacement might be accomplished by iss~,ing a chaage order to the existing WSU contract (pending approval from Bob Tibbals), thereby saYhg the time artd expea~e of a new bid package. Second, some permits are already in place for the adjacent Roaring Fork Projeet which may be extended and/o~ modifiad to include the proposed work; this could also save time. Third, there is a potential for inercaaed loading oxt this section 0fpipc fxom the Burl~game Project. l~qtly, the Proposal seems reasonable. I've attached copy of the bid tabulation for the Road~g Fork Project which bid in Febxuary of 2002. The prices bid per foot for Schedule 1 ranged from $273/LF (WSU) to $470/LF (Gould). WSU's Proposal for tho Highlands Replacement is for $317/LF. Therefore, we believe that if budget allows, it makes sense for the District to accept the WSU Proposal. Some additional Considerations are: 1) A design should be prepared to account for flow criteria and consmmion quantities. This will also allow for accurate staking and help prevent problem during construct[on` 2) WSU's Proposal inchdes the construction ora gravel road over the pipe. A similaxroadwas rejected the USACE on Schedule 1 of the Roaring Fork Project. It is likely tl0at the District will not be able to construct the road without offsite wetlands mitigation. EgO should conduct a site visit to delineate wetlands prior to constractior~ 3) Easements have been a problem in this area, so all la,id owaers should be contacted, 4) We have not perfolmed any subsurface investigation in the area.
