A RESOLUTION OF THE CITY OF ASPEN. COLORADO, APPROVING AN
AGREEMENT BETWEEN THE CITY OF ASPEN, COLORADO. AND THE ASPEN
VALLEY COMMUNITY FOUNDATION, AND AUTHORIZING THE CITY MANAGER
TO EXECUTE SAID DOCUMENT(S) ON BEHALF OF THE CITY OF ASPEN.

WHEREAS. there has been subn'fitted to the City Council an Agreement between the City
of Aspen and the Aspen Valley Community Foundation. a copy of which contract is annexed
hereto and made a paX thereof.
NOW, WHEREFORE. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ASPEN, COLORADO:
Section One
That the City Council of the City of Aspen hereby approves an Agreement between the
City of Aspen. Colorado and Aspen Valley Community Foundation. a copy of which is annexed
hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen
to execute said contract on behalf of the City of Aspen.
I, Kathryn S. Koch. duly appointed and acting City Clerk do certify that the foregoing is
a true and accurate copy of that resolution adopted by the City Council of the City of Aspen,
Colorado. at a meeting held June 23. 2003.
EARLY CHILDHOOD EDUCATION INITIATIVE GRANT AGREEMENT
The Aspen Valley Community Foundation and City of Aspen/Kids First hereby enter into the following agreement:
I. All funds must be used for the purposes defined in the Community Foundation's attached document. No
changes or modifications may be made without the Community Foundation's knowledge and approval.
2. Funds of up to $120,000 will be granted annually to City of Aspen/Kids First for a period of five years (2003 -
2008). Each year a first half payment of $60,000 will be made on July I; the subsequent payment will be made
six months following. If each year's funds are not expended or committed for the purpose of the grant, City of
Aspen/Kids First will roll over said funds to subsequent year. Any funds not expended or committed at the end
of this agreement will be returned to the Aspen Valley Community Foundation.
3. To access each grant payment (excepting July I, 2003), City of Aspen/Kids First shall furnish to the Community
Foundation a complete report, describing how the grant funds were spent and the progress that was made in
accomplishing the purposes of the grant, current financial statements, and accounting of the granted funds.
4. The Community Foundation may, at its expense, monitor and conduct an evaluation of operations funded by this
grant, which may include visits by Community Foundation representatives to observe City of Aspen/Kids First
program procedures and operations and to discuss the program with City of Aspen/Kids First personnel.
S. The Community Foundation reserves the right to discontinue, modify or withhold any payments to be made as
part of this grant, to revoke this grant or to require a total or partial refund of all grant funds if, in the
Foundation's sole judgment, such action is necessary: (I) because the Grantee has not fully complied with the
terms and conditions of this contract; (2) to protect the purpose and objectives of this grant or any other
charitable or financial interest of the Foundation; or (3) to comply with the requirements of any law or
regulation applicable to the Grantee, the Foundation or this grant.
6. This grant has been approved by the Board of Directors of the Aspen Valley Community Foundation and is
accepted by City of Aspen/Kids First with the understanding that the Community Foundation is not obligated to
provide additional support.
City of Aspen/Kids First acknowledges that it has received and retained a copy of this Agreement. The undersigned
hereby certifies that he or she is duly authorized to accept this agreement on behalf of City of Aspen/Kids First and to
commit the said party to all of its terms and conditions.
