HomeMy WebLinkAboutresolution.council.028-90 RESOLUTION NO. ,.-f ~ (Series of 1990) WHEREAS, the City of Aspen has received a request from Elizabeth A. Gill, d/b/a The Aspen Branch, as lessee under a lease with the city for certain floor space in the Wheeler Opera House, to transfer and assign her legal rights, duties and interests under said lease to The Aspen Branch, Inc., a Colorado corporation; and WHEREAS, said lease only allows an assignment of the les- see's interests therein upon written consent of the City of Aspen as lessor; and WHEREAS, Elizabeth A. Gill and The Aspen Branch, Inc., have agreed to meet certain conditions as sought by the City in order to obtain the city's consent to the assignment of the lease; and WHEREAS, the assignment of the lessee's interests under the lease is appropriate and beneficial to all parties; and WHEREAS, the matter has been reviewed and approved by the Board for the Wheeler Opera House. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, THAT: 1. The city of Aspen does hereby grant consent to Eliza- beth A. Gill, lessee under a certain lease entered into with the City of Aspen for approximately 1,040 square feet of floor space in the Wheeler Opera House, to assign all of her rights, duties and interests under said lease to The Aspen Branch, Inc., a Colorado corporation, such consent conditioned upon the execution by Elizabeth A. Gill and The Aspen Branch, Inc., of a consent to assignment and acceptance of assignment and assignor's warranty as prepared by the city Attorney, copies of which are attached hereto as Exhibits "A" and "B" and incorporated herein. 2. The Mayor be and is hereby authorized to execute such document(s) as necessary to approve and effectuate the assignment of the lease. Duly adopted this ~ day of ~ , 1990. William L.
