n;SUE: The Aspen Consolidated Sanitation District (ACSD) and
pitkin County have applied to the City of Aspen for permission to
temporarily relocate the maintenance shed now sited between the
Community Center and Hunter Longhouse properties to the ACSD site
on Mill street. The site is zoned "Public" and is subject to an
approved SPA plan, adopted by city Council on June 23, 1986.
Additionally, a maintenance shop is listed as a conditional use
int the Public zone district.
FINDINGS: The following are pertinent issues to this review.
1. pitkin County commits that no operations will take place out
of the relocated shed until a permanent location is found
and final approval is obtained. Therefore, conditional use
review is not necessary since it will not be in operation.
2. The application is generally consistent with the criteria
for approval of an insubstantial SPA amendment. The only
issue which arises is that it appears that ground coverage
may be increased by more than 3%. The applicant should be
required tQ demonstrate that this building does not increase
coverage by more than 3%. If this criterion is exceeded, it
will be necessary to remove the structure.. or obtain formal
approval from the P&Z and Council.
3. From a review of the files and the records of the Pitkin
County Clerk and Recorder, it appears that the .SPA Plat and
Landscape Plan for the 1986 approval were never recorded.
These documents must be recorded to verify what has
occurred.
4.
Given the proposed location of the shed immediately
to the Rio Grande Trail, vegetative screening,
satisfaction of the Planning Office and Parks

ACTION: I hereby approve the applicants' request to temporarily
relocate the pitkin County maintenance shed to the location on
the ACSD site shown on the submitted site plan, subject to the
following conditions:

1. This temporary approval shall initially be in effect until
June 30, 1989. Continuation of this approval beyond that
date shall be subject to the applicant demonstrating
compliance with conditions 2, 3 and 4 below. If the
applicant is unable ~o. comply with anyone of these
conditions by June 30, the structure shall be removed from
the site. Provided, however, if a complete application for
SPA amendment is submitted, for review by P&Z and Council,
then the structure may remain in place during the period of
the review process.
2. The applicants shall submit calculations to the Planning
Office that site coverage has not been increased by more
than 3%.
3. ACSD shall submit 2 copies of mylars of the final site plan
and landscape plan for the 1986 approval to the Planning
Office, in a form acceptable to the Engineering Department,
for recordation with the County Clerk and City Engineer.
4. pitkin County shall install vegetative screening along the
edge of the building facing the Rio Grande trail, to the
satisfaction of the Planning Office and City Engineer.
5. In no case shall operations be permitted out of the facility
unless a conditional use permit is obtained for its use.
6. If the applicant is able to meet the above conditions, then
this approval may remain in place for. <';, period of six
months, to November 25, 1989. By that date the applicants
shall submit an application to the Planning Office for a
permanent location of the facility or it shall be removed
from this site.

RE: Maintenance Shed Move
Dear Alan,
This is in response to your message of May 22 requesting the
permitting of the Maintenance Shed move as we have discussed.
We are proposing to move the Maintenance Shed from its present
location adjacent to the Community Center to the Aspen
Consolidated Sanitation District Property on Mill Street. This
move is being carried out pursuant to the proposed permanent
relocation of the facility to the Sanitation District site. An
application for consummating this move on a permanent basis is
currently being prepared and will come before you in due course.
In the meantime, we are requesting immediate permission to move
the building on a temporary basis so that the Hunter Longhouse
expansion can occur.
Attached please find a site plan showing where we propose
locating the building and a document from Tom. Bracewell, the
Aspen Consolidated Sanitation District Engineer, giving us
permission to relocate the building on a temporary basis and to
apply for the permanent relocation.
It is important to note that no operations will take place out of
the relocated shed until the permanent relocation has been fully
reviewed and permitted. The building will simply be stored on the
site and used as a location for storage of unneeded equipment
(mostly snowblowers and other winter maintenance equipment) while
the full permitting process is pursued.
We have also attached a check for $100.00 to cover our permit
application fee.

Bud and I discussed our plans to move the Maintenance Shed from
the Community Center site to the Sanitation District site with
the Housing Authority Board on Wednesday morning. The Housing
Authority was appreciative of our efforts and had no objections
or concerns regarding this plan except for the potential loss of
an affordable housing site should we relinquish the County I s
property along the river to the Sanitation District. This concern
was alleviated when I explained that the proposed housing
development on that site was not being pursued, that it was the
staff's feeling that this parcel was best used for open space and
riparian habitat purposes and that by trading it to the
Sanitation District we would be enhancing their ability to
develop employee housing on more suitable sites elsewhere on
their property.
We also discussed the potential cost of both the move and the
restoration of the facility to full usefulness once the land
trade and permanent development have gone through the
appropriate land use reviews. We have estimated a cost of no more
than $10,000 for initial moving and site preparation costs and an
estimated cost of approximately $20,000 for full development (~
$10,000 for utility interconnections, ~ $10,000 for addition of
shower,toilet and sink facilities). The initial $10,000 is
available from Hunter-Longhouse bond proceeds and the Housing
Authority Board voted yesterday to "use other funds" to fund the
balance. In short, they were receptive to our plans and did not
seem to have any problem with making a commitment to fulfilling
their obligation under the terms of their General Submission
approval (Reso #88-150). By copy of this memo, I am recommending
to Cindy that this condition be considered fulfilled for Detailed
Submission purposes.
I also sent a memo and copy of my letter to the San District
regarding temporary storage of the maintenance shed to Bob
Anderson with a request that he put it on the next available City
council consent agenda. I don't think that there is a formal
action for the City to take regarding the temporary storage of
the building, but the permanent move will need to be carried out
through an amendment to the San District's Master Plan. Even so,
Alan advised, and I agree, that it would be prudent to inform the
city and give them a chance to voice any concerns that they might
have at this time. By way of this memo, I am notifying the

RE: Relocation of County Building Maintenance Shed
Dear Gentlemen,
I am writing on behalf of the Board of County Commissioners to
formally propose to you that the County and the Sanitation
District enter into discussions aimed at conveying 2.12 acres of
County land contiguous to your Mill Street parcel to the
Sanitation District in exchange for a parcel of Sanitation
District land that would accommodate a relocated County Building
and Grounds Maintenance Shop and for other considerations. This
letter is also intended to act as a temporary agreement which
will allow the County to relocate the existing Maintenance Shed
from its current location adjacent to the Community Center to the
Sanitation District parcel identified on the attached map.
The proposed terms of the temporary agreement are as follows:
1. The County will take full responsibility for site preparation,
moving and temporary relocation of the Maintenance Shed to the
site shown on the attached map. This work will be carried out
solely at the County's expense and will be coordinated with
Sanitation District staff so .as to assure minimal disruption to
Sanitation District activities.
2. The exact relocation site will be staked on the ground in
coordination with Sanitation District Staff. site preparation
work will be limited to topsoil and vegetation removal,
installation of a gravel pad and small concrete footers and
installation of cinder block supports. All site facilities and
materials will be removed and original contours and vegetation
restored should the parties determine at any time that this site
will not be the permanent location of the Maintenance Shed.
3. The County will name the Sanitation District as co-insured on
the County's comprehensive liability insurance policy and will
assume full responsibility for any accidents, injuries or
property damage arising from the location of the Maintenance Shed
on the identified parcel or activities resulting from same.
4. The Maintenance Shed will be used for storage purposes only
until such time as this Agreement is supplanted by a permanent

land-exchange agreement between the parties or such other
document as may be found appropriate. The Sanitation District
will give the County access to the Shed for maintenance and
materials and equipment transfer purposes during regular business
hours.
5. The term of this Agreement will be for six months from the
final date of execution as noted below, or until it is supplanted
by a permanent agreement between the parties, whichever comes
first. This Agreement may be extended at any time and for any
period by mutual agreement of the parties.
6. This Agreement may be terminated at any time by either party
for cause. The County will be allowed four weeks to remove the
Maintenance Shed and reclaim the temporary site should this
Agreement be terminated by the Sanitation District.
7. The County will take full responsibility for the development
and processing of any and all land use permits, utility
installation agreements, construction contracts or other actions
necessary to complete a permanent development of the Building and
Grounds Maintenance building on the identified site. The County
will assist the Sanitation District in any necessary amendments
to the District's Master Plan for their property. The Sanitation
District will be responsible for the appraisals of the County
Land and the proposed Maintenance Shed site.
We have established a target date of May 29th for the move of the
Maintenance Shed. Although that date may change depending on the
availability of a mover, we clearly require quick action to be
able to proceed as proposed herein. Please let me know if we need
to discuss this matter further, or, if these terms meet with your
approval, forward a countersigned copy of this letter back to me
at your earliest convenience.

SPECIALLY PLANNED AREA (SPA) AGREEMENT FOR THE ASPEN
CONSOLIDATED SANITATION DISTRICT, 565 N. MILL ST., CITY OF
ASPEN, COLORADO

This agreement, entered into this_ day of , 2000, by and between the
City of Aspen, Colorado, a Municipal Corporation (the City), and the Aspen Consolidated
Sanitation District, a quasi-municipal corporation of Pitkin County, Colorado (hereinafter
"the District" shall bind the certain real property (the Property) as described in Exhibit A
of this agreement.
RECITALS
WHEREAS, the Aspen Consolidated Sanitation District (ACSD or applicant)
submitted an application (development proposal) to the City for the development of
approximately 8,100 additional square feet for offices, general employee areas, the storage
and maintenance of equipment, and an on-site employee dwelling unit and for a Specially
Planned Area (SPA) overlay at the ACSD offices, 565 North Mill Street more accurately
described in Exhibit A of this agreement; and,
WHEREAS, after considering the application pursuant to all applicable Sections of the
Municipal Code of the City of Aspen, the Property has been zoned PUB-SPA pursuant to
Ordinance No. 10, series of1998; and,
WHEREAS, the requirements of Chapter 26 of the Municipal Code of the City of
Aspen require execution and recordation of a Final Plat and a written SPA Agreement between
the City and the District binding the Property to said documents; and,
WHEREAS, the City is willing to approve execute and accept for recordation the
Final Plat and SPA Agreement upon agreement of the District and their successors and assigns
to the matters hereinafter described, subject to the representations made in the application and
during public hearings conducted by the City, the conditions of approval as described in
Ordinance 10, series of 1998, tenns and conditions of the City of Aspen PUD-SPA regulations
as now in effect and such other laws, rules, and regulations as are or may become applicable;
and,
WHEREAS, under authority of the Municipal Code of the City of Aspen, the City is
entitled to assurances that the matters hereinafter agreed to will be recognized in good faith by
the District and their successors and assigns, and the District is willing to enter into such
agreements with, and provide such assurances to, the City.

NOW THEREFORE, it is mutually agreed as follows:
1. General.
It is hereby recognized that this Agreement and Final Plat heretofore executed and recorded
burdens the certain real property, as described in Exhibit A, in the following manner:
A. Land Uses and Dimensional Reouirements :
The land uses allowed on the property shall be those in the Public Zone
District and those approved pursuant to Ordinance No. 10, series of 1998.
The Dimensional requirements for the property shall be those depicted on
the Final SPA Plat, recorded in Book ---> Page , Pitkin County
Clerk and recorder.
B. Amendments:
Any amendment of this SPA shall be considered pursuant to all applicable
Sections of the Municipal Code, as amended, including Section 26.80.040,
as amended.
2. Aft"umation of Terms.
The terms and provisions of this Agreement and Final Plat are hereby confirmed by the City
and the District.
3. Miscellaneous.
A The provisions hereof sha11 be binding upon, and insure to the benefit of: the City and the
District to their respective successors, grantees, and assigns.
B. This Agreement shall be subject to and construed in accordance with the laws of the State
of Colorado.
C. If any section, subsection, seotence, clause, phrase, or portion of this Agreement, or
application thereof: is for any reason held inyalid or unconstitutional in a court of
competent jurisdiction, such portion sha11 be deemed a separate, distinct and indepeodent
provision and sha11 not affect the validity of the remaining portions thereof.
D. This Agreement and the Final Plat may be altered or amended from time to time only by
written instruments executed by all the parties hereto.

E. Notices to be given to the parties to this Agreement shall be considered to be given when
delivered or deposited in the United States Mail to the parties by registered or certified
mail, at the addresses indicated below or such other address as may be substituted upon
written notification of the parties or their successors, grantees, or assigns:
