""'" 'e. ~.. . \< <'It ~. . \ ., RESOLUTION No.c2l (Series of 1994)- A RESOLUTION APPROVING A TECHNICAL SERVICES AGREEMENT BETWEEN PITKIN COUNTY, COLORADO, AND THE CITY OF ASPEN, COLORADO, FOR THE RADIO AND TELEPHONE MAINTENANCE SERVICES AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AGREEMENT ON BEHALF OF THE CITY OF ASPEN, COLORADO. WHEREAS, there has been submitted to the City Council a technical services agreement between Pitkin County Colorado, and the City of Aspen, a true and accurate copy of which is attached hereto as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ASPEN, COLORADO: That the City Council of the City of Aspen hereby approves that technical services agreement between Pitkin County and the City of Aspen, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen to execute said agreement on behalf of the City of Aspen. the INTRODUCED, READ AND ADOPTED by the City Council of the City of Aspen on ;:tf' day of lhd./rj!--R 1994. ~ I 7>. /.fr ................./6 Joh S. "~ ( C(..{j c, CONTRACT FOR TECHNICAL SERVICES PITKIN COUNTY / CITY OF ASPEN THIS AGREEMENT, made as of the date last below signed, by and between PITKIN COUNTY, COLORADO ("County") and the CITY OF ASPEN, COLORADO ("City"). WHEREAS, the County operates a county radio and telephone maintenance department ("Department"), managed by the Director of Communications of the Aspen-Pitkin county Communications center; WHEREAS, the City requires certain technical services and whereas the County has the capability to provide those technical services; WHEREAS, the parties desire to enter into a contract so that the County will provide technical services to the City; NOW, THEREFORE, COUNTY AND CITY AGREE AS FOLLOWS: 1. This agreement shall replace and supersede all prior agreements between the parties concerning the maintenance of radio and telephone systems; 2. The parties agree that the Technical Services Department is a department of and under the supervision of the County. 3. All employees of Department are county employees. 4. The County hereby appoints its County Manager (or his designee) as the administrator responsible for 1:he Department. 5. The County, through Department, shall supply radio and telephone maintenance services to the city under the terms and conditions contained in this Agreement. The parties agree and understand that the operations of Department shall be managed by the Director of Communications of the Aspen-pitkin County Communications Center, who shall have the following authority, duties and responsibilities: a. Responsibility for day-to-day operations and long- range planning as directed and within the policy guidelines established. b. Employ and have the power to discharge all Depart- ment personnel, subject to the requirements of the county personnel system. c. Prepare and recommend to the County and city an annual operating budget and provide financial and activity reports. d. Apply for such grants as are deemed necessary and desirable for the operation or upgrade of the communications system(s) . e. Facilitate regular meetings of a City of Aspen Radio Users Group the purpose of which is to coordinate technical and operational communications issues and to share information about future technologies. 7. It is agreed and understood between the parties that Department shall perform the following functions for the city: a. Radio maintenance - will install, repair, and maintain all repeaters, base stations, mobiles, portables, pagers and related equipment owned by City, b. Telephone maintenance - will install, repair, and maintain all telephone sets, switches, PBX systems, paging systems, intercom systems, and related equipment owned by City (excluding Final 3/23/94 2 -- e e the Voice Mail system.) will act as a liaison with telephone company service providers regarding the ordering of additional lines, programming changes, and problems. c. Radio and Telephone acquisition - will function as coordinator and advisor to the city regarding the acquisition of radio and telephone equipment. d. Recordkeeping: (1) maintain inventory of all radio and telephone equipment in use by City, (2) Issue monthly statistical reports as requested, (3) other record keeping as negotiated between the Department, the county, and the city. 8. The County will assume costs up to $150 (excluding labor), per repair, related to the repair of any piece of radio or telephone equipment. 9. The city will reimburse the County for all costs over $150 related to the repair of any piece of radio or telephone equipment. 10. The acquisition of radio or telephone equipment, including budgeting and procurement issues, will be the responsi- bility of the city. The city will consult the Department prior to the acquisition of any radio or telephone equipment. The Depart- ment will have conceptual approval over the acquisition of any specific piece of radio or telephone equipment by the city. 11. The county will not be held responsible for the replace- ment or repair of any piece of radio or telephone equipment deemed economically unrepairable by the Department. Final 3/23/94 3 &Il.... Any major special projects (including, but not limited to remodeling or new construction) requiring more than 24 hours of Department staff time will be billed to the city at the rate of $45 per hour. 13. The city agrees to consult the Department during the earliest stages of the planning process for special projects. 14. For radio maintenance services as defined above, the City agrees to pay the County the sum of $30,000 annually payable in quarterly installments. 15. For telephone maintenance services as defined above, the City agrees to pay the County a sum equal to 50% of the direct costs for labor and 50% of the direct costs for equipment, materials and supplies. 16. This Agreement shall become effective on the last date of the signatures of all parties hereto. 17. It is the understanding of the parties that this Agreement may be renewed and/or modified on an annual basis by the adoption of an annual budget for each successive year. 18. The parties agree to review and, if necessary, revise this Agreement prior to February 1, 1995. 19. As a County-owned and -operated system, all costs not specified otherwise herein (insurance, administration, etc.) shall be the responsibility of the County.
