" '~. ~.~" ' '\. . ~, '<. l Resolution No, 1 5 (Series of 1995) A RESOLUTION APPROVING A PROFESSIONAL SERVICES AGREEMENT BETWEEN THE ROOT GROUP AND THE CITY OF ASPEN, COLORADO TO PERFORM TASKS REQUIRED TO IMPLEMENT A NEW DATA COMMUNICATIONS NETWORK FOR THE CITY OF ASPEN AND PITKIN COUNTY. WHEREAS, there has been submitted to the City Council a professional services agreement between The Root Group and the City of Aspen, a true and accurate copy of which is attached hereto as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ASPEN, COLORADO: That the City COUllcil of the City of Aspen hereby approves that professional services agreement between The Root Group and the City of Aspen, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen to execute said agreement on behalf of the City of Aspen. ("The Root Group") with its principal place of business at 4700 Walnut, Boulder, CO 80301 and The City of Asoen (legal name) with its principal place of business at City Hall. 130 S. Galena St., Asoen. Colorado 81611 (" Clienf). SERVICES The Root Group will provide to Client the Services specified on a Work order, under the terms of this Agreement. II DEFINITIONS 2.1 "Work Order" shall mean The Root Group standard form for ordering Services and shall specify the Services and applicable fees. Each Work Order shall be govemed by the terms of this Agreement and shall reference the Effective Date specified below. 2.2 "Services" shall mean work performed by The Root Group for Client pursuant to a Work Order, agreed to by the parties, under this Agreement. The schedule for Services will be agreed upon by the parties, subject to the availability of Root Group personnel. III CHARGES, PAYMENT AND TAXES 3.1 Fees for Services Unless otherwise expressly specified in the applicable Work Order, Services shall be provided on a time and material ("T&M") basis at The Root Group's T&M rates current when the Services are performed. If a dollar limit is stated in the applicable Work Order for T&M Services, the limit shall be deemed an estimate for Client's budgeting and The Root Group's resource scheduling purposes; after the limit is expended, The Root Group will continue to provide the Services on a T&M basis, if a Work Order for continuation; of the Services is signed by the parties. 3.2 Incidental Expenses Client shall reimburse The Root Group for reasonable travel, lodging, communications and out-of-pocket expenses incurred in conjunction with the Services. 3.3 Invoicing and Payment The Root Group will invoice Client monthly, unless otherwise expressly specified in the applicable Work Order. Charges shall be payable twenty (20) days from the date of invoice and shall be deemed overdue if they remain unpaid thereafter. Any amount payable by Client hereunder which remains unpaid after the due date shall be subject to late penalty fees of 1.5'7'0 per month from the due date until the amount is paid. Client shall issue a purchase order, or altemative document acceptable to The Root Group, on or before commencement of Services under the Applicable Work Order. 3.4 Taxes The charges do not include taxes. If The Root Group is required to pay any federal, state or local taxes based on the Services provided under this Agreement, the taxes shall be billed to and paid by Client; this shall not apply to taxes based on The Root Group's income. 3.5 Covenant Against Contingent Fees The Root Group, warrants that it has not been employed or retained any company or person to solicitor secure this contract, that it has not paid or agreed to pay any company or person, other than a bona fide Root Group, Inc. employee, any fee, commission, percentage, brokerage fee, gifts or any other consideration contingent upon or resulting from the award or making of this contract. For a breach or violation of this covenant, client may in its discretion deduct from the contract price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. IV TERM AND TERMINATION 4.1 Term This Agreement shall commence on its Effective Date. Either party may terminate this Agreement at any time by providing the other party with written notice. Any Work Order outstanding at the time of termination shall continue to be governed by this Agreement as if it had not been terminated. Services Agreement 4.2 Termination for Breach A party may terminate a Work Order if the other party is in material breach of the Work Order and has not cured the breach within thirty (30) days of written notice specifying the breach. Consent to extend the cure period shall not be unreasonably withheld, so long as the breaching party has commenced the cure during the thirty day notice period and pursues cure of the breach in good faith. 4.3 Effect of Termination The parties rights and obligations under Sections 3.3, 3.4 and 4.3 and Articles V and VI shall sUlVive tennlnation of this Agreement andlor any Work Order. Tennination of this Agreement andlor any Work Order shall not limit either party from pursuing any other remedies available to it, including injunctive relief, nor shall termination relieve Client of its obligations to pay all charges that accrued prior to such termination. V WARRANTY, REMEDY AND LIMITATION OF LIABILITY 5.1 Warranty The Root Group warrants that the SelVices will be perfonned consistent with generally accepted industry standards. 5.2 Limitations on Warranty Client must report any deficiencies in the SelVices to The Root Group in writing within sixty (60) days of completion of the SelVices in order to receive warranty remedies. The warranty herein is exclusive and in lieu of all other warranties, whether express or implied, including the implied warranties of merchantabiiity and fitness for a particular purpose. 5.3 Exclusive Remedy For any breach of the above warranty, Client's exclusive remedy, and The Root Group's entire liabiiity, shall be the reperfonnance of the SelVices. If The Root Group is unable to reperform the SelVices as warranted, Client shall be entitled to recover the fees paid to The Root Group for the deficient SelVices. 5.4 Limitation of Liability In no event shall either party be liable for any indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by either party or any third party, whether in an action in contract or tort, even if the other party or any other person has been advised of the possibiiity of such damages, The Root Group's liability for damages hereunder shall in no event exceed the amount of fees paid by Client, under lhe applicable Work Order, prorated over a five year term from the Effective Date thereof. 5.5 Indemnification Subject to the limitation of iiabiiity set forth in Section 5,4 above, The Root Group agrees to indemnify and hoid hannless the City, its officers, employees, insurers, and self-insurance pool, from and against all liability, claims, and demands, on account of injury, loss, or damage, including without limitation claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever, which arise out of or are in any manner connected with this contract, if such injury, loss, or damage is caused in whole or in part by, or is claimed to be caused in whole or in part by, the act, omission, error, professional error, mistake, negligence, or other fault of The Root Group, any subcontractor of The Rool Group, or any officer, employee, representative, or agent of The Root Group or of any subcontractor of The Root Group, or which arises out of any workmen'S compensation claim of any employee of The Root Group or of any employee of any subcontractor of The Root Group, The Root Group agrees to invesligate, handle, respond to, and to provide defense for and defend against, any such liability, claims or demands at the sole expense of The Root Group, or at the option of the City, agrees to pay the City or reimburse the City for the defense costs incurred by the City in connection with, any such liabiiily, claims, or demands. The Root Group also agrees to bear all other costs and expenses related thereto, including court costs and attomey fees, whether or not any such iiability, claims, or demands alleged are groundless, false, or fraudulent. If it is detennined by the final judgment of a court of competent jurisdiction that such injury, loss, or damage was caused in whole or in part by the act, omission, or other fault of the City, its officers, or its employees, the City shall reimburse The Root Group for the portion of the judgment attributable to such act, omission, or other fault of the City, its officers,or employees. 103095 Page 2 of 4 " ,"I ,1,,',_"',", 0... \~ "< 'It.,.',' ' 11.,' e \& '1,,_,'" '. Services Agreement VI GENERAL 6.1 Non-Assignability Both parties recognize that this contract is one for personal services and cannot be transferred, assigned, or sublet by either party without prior written consent of the other. Sub-Contracting, if authorized, shall not relif/ve The Root Group of any of the responsibilities or obligations under this agreement. The Root Group shall be and remain solely responsible to the City for the acts, errors, omissions or neglect of any subcontractors officers, agents and employees, each of whom shall, for this purpose be deemed to bean agent of The Root Group to the extent of the subcontract. The City shall not be obligated to payor be liable for payment of any sums due which may be due to any subcontractor. 6.2 Nondisclosure . The parties may disclose to one another information that is confidential ("Confidential Information"). Confidential Information shall be limited to information clearly identified as confidential. Confidential Information shall not include information which: (a) is or becomes part of the public domain through no act or omission of the other party; (b) was in the other party's lawful possession prior to the disclosure and had not been obtained by the other party either directly or indirectly from the disclosing party; (c) is lawfully disclosed to the other party by a third party without restriction on disclosure; (d) is independently developed by the other party; or (e) is disclosed by the operation of law. The parties agree to hold the othe~s Confidential Information in confidence while the Services are being performed and for a period of two years thereafter. 6.3 Software License The Services provided under this Agreement may be in support of Client's license to use computer software programs, owned or distributed by The Root Group, under a separate software license agreement. The software license agreement shall govem all use by Client of such programs. 6.4 Ownership and Use of Work Product The Root Group shall own all right and title to any new software written pursuant to this Agreement and to all intellectual property embodied therein. The Root Group grants Client a fully paid-up, perpetual, worldwide, non-exclusive license to use, modify, make copies of and distribute such new software. 6.5 Employee Conversion During the term hereof and twelve (12) months thereafter, Client may not convert a Root Group employee or contractor to Client's payroll. 6.6 Relationship between the Parties The Root Group is an independent contractor; nothing In this Agreement shall be construed to create a partnership, joint venture, or agency relationship between the parties. Each party will be solely responsible for payment of all compensation owed to its employees, as well as employment related taxes. 6.7 Governing Law This Agreement, and all matters arising out of or relating to this Agreement, shall be governed by the laws of the State of Colorado and shall be deemed to be executed in Aspen, Colorado. 6.8 Jurisdiction Any legal action or proceeding relating to this Agreement shall be adjudicated in the District Court of the County of Pitkin, State of Colorado or The United States District Court for the State of Colorado. The Root Group and Client agree to submit to the jurisdiction of, and agree that venue is proper in, the aforesaid courts in any such legal action or proceeding. 6.9 Notice All notices, including notices of address change, required to be sent hereunder shall be in writing and shall be deemed to have been given when mailed by first class mail to the address listed in the applicable Work order (if to Client) or to The Root Group address on the Work Order (if 10 The Root Group). 6.10 Severability In the event any provision of this Agreement is heid to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force, 103095 6.11 Waiver The waiver by either party of any default or breach of this Agreement shall not constitute a waiver of any other or subsequent default or breach. Services Agreement intellectual property rights, no action, regardless of form, arising out of this Agreement may be brought by either party more than one year after the cause of action has accrued. 6.12 Non~Discrimination; penalty No discrimination because of race, color, creed, sex, marital status, affectional or sexual orientation, family responsibility, nal'onal origin, ancestry, handicap, or religion shall be made in the employment of persons to perform, services under this contract. The Root Group agrees to meet all of the requirements of City's municipal code, Section 13-98, pertaining to non-discrimination in employment. 6.13 Execution of Agreement By City This agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. Notwithstanding anything to the contrary contained herein, this agreement shall not be binding upon the Client unless duly executed by the Mayor of the City of Aspen (or a duly authorized official in his absence) following a Motion of Resolution of the Council of the City of ASpen authorizing the Mayor (or a duly authorized official in his absence) to execute the same. 6.14 Entire Agreement This Agreement constitutes the complete agreement between the parties and, except as provided in Section 6.3 above, supersedes all previous and contemporaneous agreements, proposals, or representations, written or oral, conceming the subject matter of this Agreement. Neither this Agreement nor a Work Order may be modified or amended except in writing signed by a duly authorized representative of each party; no other act, document, usage, or custom shall be deemed to amend or modify this Agreement or a Work Order. It is expressly agreed that any terms and conditions of Clien!'s purchase order shall be superseded by the terms and conditions of this Agreement and the applicable Work Order. Introduction ' The Root Group is pleased to be able to offer this proposal for network and system services to the City of Aspen and Pitkin County (COA). It consists of a description of the current project, along with justi- fications, time estimates, and prices, of a network design and implementation project, one whose goal is to provide the City of Aspen and Pitkin County with a first class information sysfem optimized to meet their needs. 2. Executive Summary Project Overview The City of Aspen and Pitkin County are engaged in a network project to replace their old information systems with a new system that will provide an integrated, managed information structure. TIUs en- tails designing and implementing the network at all levels, from physical wiring to applications, The Root Group has been requested to assist in the design and implementation process. To date we have assisted with several design and implementation tasks for COA, this proposal is a comprehensive re- sponse to project design and implementation issues that were identified working with COA staff. Terminology We define, briefly, the network environment as the information structure that allows the user to create, access, store, distribute and test information products to support the activities of the end users. To summarize: operating systems and software, The network transport is defined as all the parts of the net- work that allow for the movement of information between host computers on the network. ill other words, software connectivity. The physical network is the tangible part of the network, consisting of ca- bling, patch panels, hubs and all devices allowing physical connectivity. ill other words, hardware connectivity. To date members of the Root Group staff have: . Worked with COA computer and network staff to determine functional requirements and net- work project goals, on all three levels: network environment, network transport and physical network. . Reviewed or proposed design solutions for physical cabling plant, network topology,equip- ment configurations, illtemetconnectivity and email system design. . Implemented a prototype Sun server configuration and setup a prototype PC with TCP connec- tivity. . Given a brief tutorial on network filesystem design goals with COA staff. This document makes recommendations for needed design and implementation tasks identified by COA staff for: Network Environment Tasks . The design and implementation of a multiplatform, multimedia email system that will transpar- ently connect all PC desktop systems, Unix servers and remote users together and all COA users to the illternet. About The Root Group Background The Root Group, Inc. was founded in 1989 to develop tolal network systems for government and private institu- tions. Using state of the art hardware and software products, The Root Group team of highly qualified profes- sionals has been able to cover all aspects of network and system analysis including design, implementation and integration. A significant strength of The Root Group has been its ability to design networks with special atten- tion paid to all aspects of the architectural process, from wiring at the physical level to software development at the application level. The tight integration of its specialized engineers has furthermore allowed the firm to pro- vide cost-effective expertise, resulting in the fast and reliable delivery of computing environments crafted from the ground up, with special attention to flexibility, maintenance, and ease of upgrade. The Root Group is partic- ularly strong in enterprise network design, routing issues, TCPIIP protocols, XII, and system and network ad- ministration in a diverse, distributed environment. Steady growth, along with the realization that some network administration tasks needed tools unavailable com- mercially, has led The Root Group to develop custom hardware and software solutions. These were soon devel- oped into commercial products as demand increased and creative experts were added to the team. In 1992 The Root Group entered product sales and, marketing and continued to round out the services of the company. The sales team now provides a wide range of hardware and software products for UNIX, PC and Macintosh network systems, including routers and hubs. As The Root Group has expanded its services, and in order to meet the needs of a growing client base, education and training programs have also been added. Network Management: SunNet Manager, HP Open View, IBM Netview/6000. Experience in setting up integrated network management systems in heterogenous (multi-vendor, multi-platform) environments. Network Operating Systems and Protocols: PC - TCPIIP (PC-NFS, pcrrcP), LAN Manager, IPXlSPX, Macintosh _ Appletalk, Unix - TCPIIP, DECNET & LAT. Network Transport: load and application traffic studies, topology designs, monitoring tools, routing and bridging analysis, designs, installation and maintenance, MAN and WAN connectivity, Internet links and ISDN connections. Network Physical: wiring specifications & design, unshielded twisted pair, coax, fiber optics, architecture, hardware specifications, network devices, TDR (time domain reflectometry), cable testing and certification for LAN use. 4. Detailed Task Descriptions 4.1 Email System This task encompasses setting up a master email server on a Unix host, configuring all other Unix hosts as subsidiary machines, installing a PC mail program on one PC and training COA staff so that they can add new users and machines to the system. . Install Sendmail 8 on all Unix servers Sendmail8 is a replacement for the stock sendmail transport agent, it is both more secure and much easier to configure. The items that need to be completed are: . Build software package. . Create configuration for master Unix internal email server. . Create configuration for all subsidiary Unix hosts. . Install on all hosts, test. . Train COA SA staff on installation of Sendmai18 (pre-configured COA subsidiary package) for future Unix servers in COA network. . Install Post Office protocol Daemon on master server The popper is a daemon that implements the Post Office Protocol. PC desktop email packages use this protocol to retrieve messages that are stored on the email server. The items that need to be com- pleted are: .,' Build software package. . Install Solarnet PC Admin management system. 4.5 Network Management System The scope of this task includes setting up an Integrated Network Management System (INMS) using SunNet Manager (SNM), customizing the INMS, adding new utilities and Simple Network Management Protocol (SNMP) Management Information Bases (MIBs), and training the appropriate staff. 4.5.1 Task Summary Setting up a solid Integrated Network Management System (INMS) is critical for the success of the overall City of Aspen network project. A good INMS offers several important advantages, including: . Graphical views of network elements, such as geographic views, logical groups, functional groups, etc. Automatic monitoring of important performance areas, including reachability of components, load factors, traffic I error rates, operational statns, and others. Showing current status of all elements. Elemeuts change colors, begin blinkiug, etc, when something note- worthy has happened. Access to ALL devices, regardless of vendor, platform, and access protocol; this is true for all but the "dumb" (no intelligence) devices. Simple Network Management Protocol (SNMP) will be the primary access method, but SunNet Manager supports a variety of other management protocols as well. A single point of control for all relevant network devices; hub ports can be turned off and on, routers Can be reconfigured, processes killed on individual hosts, etc. Providing an integrated platform for adding other management tools and applications, such as 'Optivity' from Bay Networks and 'Cisco Works' from Cisco; SunNet Manager cnrrently supports over 100 such applications from third parties. Gathering data for off-line analysis. The focus can be broad or narrow spectrum, and is useful for trouble- shooting, performance analysis, and trend analysis. J This project will include set up and customization of the Integrated Network Management System, as well as training for the operations staff. Customizing SNM to add new elements, include f1oorplans, incorporate additional vendor-specific MIBs, etc. Building the SNM database, including views, individual COA devices, connections, etc, Writing simple shell script tools to simplify and streamline SNM operation in the COA environment. Setting up the operational environment, including event-monitoring, data-graphing and data-gathering agents. Integrated Network Management System Set Up The goals of this phase are to make sure that SNM is installed & customized, and that additional resource,s and utilities are added to improve the system for the The City of Aspen's environment. When finished, the INMS will provide a solid platform for daily operations, performance analysis, and future utilities and applications. Specific goals include: o Install and set up the Sun system. Work to be done will include testing the hardware, partitioning the disk(s), loading the operating system, setting up some user accounts, configuring and testing the network connection, and setting up an appropriate name service. Other administrative issues such as backups, accessing network printers, and other ongoing items will be discussed. o Install SunNet Manager (SNM). This is basic off the shelf installation of SNM. o Install the latest patches. This includes patches for SNM and other relevant subsystems such as the window system. o Define new SNM element types. SunNet Manager allows the creation of new network elements (components, views, connections, etc); new elements to be added might include: o Bay Networks hubs. . Cisco routers. o PCs and Maes. o City views. o Building views. o Incorporate building floorplans and other maps into the SNM database. This effort may involve using the SNM Discover tool, using existing COA databases, or other tech- niques to build a database of views, components and connections. Components will be located in geographical hierarchical views to indicate physical location, in logical network views to indicate network position, and possibly in other groupings as well (by functions, by vendor, etc.). . Write shell script tools. This will simplify and streamline SNM operation in the COA envirorunent. These tools will assist in the day to day operations of network maintenance and will be customized for the needs of the City of Aspen. . Customize the Discover Tool. The SNM Discover Tool can be used to probe the network and empirically determine what ele- ments are there, determine their basic capabilities, and add them to the SNM database. Customiz- ing this utility will make it more accurate in determining the identity and nature of devices. . Define all event-monitoring agents. An event agent polls an individual target for performance/status information, then compares the returned value against a preset threshold; if the threshold is exceeded and event is generated. The first step of this section will be to talk to the operations staff and systems architect to determine which devices and performance thresholds should be monitored. Each agent also specifies the ac- tion(s) to be taken by the INMS. . Set up predefined agents. "Predefined agents" are agents which are already set up to poll data and to do useful things such as graph or log the data; all mundane details such as attribute names, polling intervals, etc. are al- ready set. These agents can be thus quickly deployed by operations staff to assist with troubleshoot- ing and other tasks. Besides individual predefined agents, groups of predefined agents will also be defined; these groups of agents can all be started at the same time to do larger tasks such as graph- ing performance on ALL routers simultaneously. . Set up the off-line data-gatheringsystem. These utilities, written by The Root Group, allow performance data to be logged on an onCgoing basis for later analysis; it uses the UNIX 'cron' utility to automate data collection and archival. Since it works independently of the GUI-based SNM console, it is not dependent upon the SNM-console being active, and is thus more robust. For example, this system might be used to gather specific per- formance data from key routers, hubs and hosts between the hours of 7:00AM and lO:OOPM, on weekdays. The logged data can be analyzed with the SNM browser and grapher utilities, or other third-party applications such a~ SAS CPE. . Develop a suite of automated analysis tools. These tools will greatly simplify the task of analyzing data gathered from the network. This infor- mation will be used as the basis to determine current network performance and to isolate network problems. Use of this information, analyzed over a period of time will help make COA staff aware of network limitations well in advance of reaching the functional limits of the network. This handbook will explain the customized reports that the INMS will produce, their monitoring schedule, give interpretation guidelines, and suggested future extensions. The reports and the handbook will combine to give COA network operations staff a simplified trend analysis capabili- ty. This will ensure that COA staff can predict when the network is running out of bandwidth and can proactively respond. . Produce a Project Summary Report. This report will outline what was accomplished, suggest areas for future work, and supply a "road- map" of the current INMS to indicate locations of files, descriptions of new utilities, etc. Training The City of Aspen's INMS will be a powerful, yet complex tool. Training for the appropriate staff is critical in order for it to be used effectively. The first three courses suggested below are very important; the last course would greatly improve the ability of the operations staff to use all of SNM's capabilities, especially in the COA environment. It is important that the operations staff receive the most important training (first two classes), even if COA elects to use someone other than The Root Group to provide the training. . SunNet Manager Basics This three-day class will occur onsite, using the COA Integrated Network Management System and production environment. Section sizes should be limited to six persons. This class covers all aspects of SNM 2.2.2 installation, customization and operation. See "Resources" section. . TCP/IP protocols This one-day class covers Ethernet, Token Ring and FDDI fundamentals, IP addressing, IP routing, detailed discussion of all lower-layer protocols, and functional descriptions of all upper-layer pro- tocols. See Appendix B ("TCP lIP Class Syllabus"). ' . Advanced SunNet Manager This option would empower the COA staff to further customize SNM to their particular needs as the network undergoes future expansion. This class is intended for the SNM "power user", and delves into little-known tricks and creating new utilities. Topics include: . Using SNM to troubleshoot "real world" problems. . Writing shell script utilities and incorporating them into SNM. . Modifying and using the startagents utility to routinely gather performance data. . Using the SNM browser and grapher utilities to analyze historical data to determine problem areas and establish performance baselines. 4.5.3 Deliverables Upon completion, The City of Aspen will have the following deliverables in hand: A fully customized and operational SunNet Manager-based Integrated Network Management System. A database containing all appropriate elements of the COlA network. Additional SNMP Mms integrated into the INMS to control other vendors' devices. Additional man pages for each new MIB. A simple work area, including a desk and chair; access to a phone would be greatly appreciated. If the work area is different than where the Sun is installed, an XII-window server system will also be necessary.' These things will be needed on the first day. A user account on all appropriate UNIX hosts. This will be needed within two days of starting. . Occasional root access to all UNIX hosts; this would ideally be handled through 'sudo' or a similar !utility; This will be needed immediately, and will be necessary throughout the project. Access to a CD-ROM drive and an 8mm or 1/4" tape drive on a Sun host. Telnet access to all Cisco routers; occasional 'enable' access will be necessary. This will be needed within three days of starting. SNMP access to at least one of each SNMP-capable devices. This means access to at least one Bay Network's hub, one cisco router, etc. This will be necessary within four days of starting. SNMP access to ALL SNMP-capable devices. This will be necessary within 10 days of starting. Access to electronic ASN.l-notation Management Information Bases (Mills) for any other desired devices. Access (for training) to a conference room or other suitable place where a suitable number (at least one for every two students) of desktop workstations or X-terminals can be located. The room should also have a whiteboard. FIP access to the Internet would be very helpful, but is not strictly necessary. The Root Group will supply: Sun, Bay Networks and cisco SNMP MIDs. Sun patches (via Sun). 455 Task Summary The Integrated Network Management System will be a critical component in the overall City of Aspen network project, and will have a major bearing on the overall success of the project. The INMS will provide feedback to the operations staff from virtually any part of the network, in real time or logged for future analysis; it will also automate and streamline many tasks, such as event monitoring. The INMS also acts as a platform for adding other utilities and applications in the future. Simply put, a good INMS in the hands of a properly-trained staff is a pow- Thll Root Group. Inc. " \S,< erful tool; a poorly installed or inadequate INMS can actually be a drain on the operations staff. 4.6 Remote Access System This system allows home users or other commercial or governmental entities to connect to the COA network, either by terminal sessions, or protocol level connections. The design of this system has been done and only implementation support is needed. . Implement remote access system . Tutor COA staff on the operation of the router and hubs. 5. Time Estimates The Root Group does not use fixed-price bids on projects of this sort. Instead, we offer reasonable estimates for each section as precisely as possible, and invoice only for the amount of work actually done. This approach has several benefits: The project costs honestly reflect the actual effort expended; COA does not have to pay for "padding~'. The more "fuzzy" the estimates, the more padding is necessary for a fixed bid. If, during the project, the effort looks like it will exceed the estimate, the Root Group will immediately notify COA so that more resources can be allocated, or the scope of the project altered. If the actual effort is less than the estimate, COA pays only for the actual effort. It is easy to alter scope or direction of the project in progress if that becomes necessary.
