If \' \~ RESOLUTION NO. ~ Series of 1995 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, APPROVING A CONSTRUCTION CONTRACT BETWEEN COPPER SCULPTURES - DENVER AND THE CITY OF ASPEN, COLORADO, AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AGREEMENT ON BEHALF OF THE CITY OF ASPEN, COLORADO. WHEREAS, there has been submitted to the City Council a construction contract between Copper Sculptures - Denver and the City of Aspen, a true and accurate copy of which is attached hereto as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ASPEN, COLORADO: That the City Council of the City of Aspen hereby approves that construction contract between Copper Sculptures - Denver and the City of Aspen, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen to execute said agreement on behalf of the City of Aspen. WHEREAS, the Owner has caused to be prepared, in accordance with the la.w, specifications and other contract documents for the Work herein described, and has approved and adopted said documents, and has caused to be PUbli~ the manner and for the time r uired by law, an advertisement, for the project titled: . r -1'4+ 5'r ~ lJ Q,.~ ~{( n' . d ' . ----- ,an , WHEREAS, Contractor, in response to such advertisement, or in response to direct invitation, has submitted to the Owner, in the manner and at the time specified, a sealed Bid in accordance with the terms of said Invitation for Bids; and,' - WHEREAS, the Owner, in the manner prescribed by law, has publicly opened, examined, and canvassed the Bids submitted in response to the published Invitation for Bids therefore, and as a result of such canvass has determined and declared the Contractor to be the lowest responsible and responsive bidder for the said Work and has duly awarded to the Contractor an Agreement therefore, for the sum or sums set foth herein; NOW, THEREFORE, in consideration of the payments and Agreement hereinafter mentioned: 1. The Contractor shall commence and complete the construction of the Work as fully described in the Contract Documents. 2. The Contractor shall furnish all of the material, supplies, tools, equipment, labor and other services necessary for the construction and completion of the Work described herein. 3. The Contractor shall commence the work required by the Contract Documents within seven (7) calendar days after the date of the NOTICE TO PROCEED and will complete the same by the date and time in!licated in the Supplemental Conditions unless the time is extended in accordance with appropriate provisions in the Contract Documents. 4. The Contractor agrees to perform all of the Work described in the Contract Documents and comply with the terms tIierein for a sum not to exceed _Ft. The Owner shall pay to the Contractor in the manner and at such time as set forth in the General Conditions, unless modified py the Supplemental Conditions, such amounts as required by the Contract Documcents. I 7. This agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. Notwithstanding anything to the contrary contained herein or in the Contract Documents, this agreement shall be subj~t to the City of Aspen Procurement Code, Chapter 3 of the Municipal Code, including the approval requirements of Section 3-11. This agreement shall not be binding upon the Owner unless duly executed by City Manager or the Mayor of the City of Aspen (or a duly authorized official in his/her absence) following a Resolution of the Council of the City of Aspen authorizing the Mayor or City Manager (or a duly authorized official:in his/her absence) to execute the same. 8. This Agreement and all of the covenants hereof shall inure to the benefit of and be binding upon the Owner and the Contractor respectively and their agents, representative:s, employees, successors, assigns and legal representatives. Neither the Owner nor the Contractor shall have the right to assign, transfer or sublet his or her interest or obligations hereunder without the written consent of the other party. 9. This Agreement does not and shall not be deemed or construed to confer upon or grant to any third party or parties, except to parties to whom Contractor of Owner may assign this Agreement in accordance. with the specific written consent, any rights to claim damages or to bring suit, action or other proceeding against either the Owner or Contractor because of any breach hereof or because of any of the terms, covenants, agreements or conditions herein contained. 10. No waiver of default by either party of any terms, covenants or conditions hereof to be performed, kept and observed by the other party shall be construed, or operate as,. a waiver of any subsequent default of any of the terms, covenants or conditions herein contained, to be performed, kept and observed by the other party. 11. The Parties agree that this Agreement was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be exclusively in the courts of Pitkin County, Colorado. 12. In the event that legal action is necessary to enforce any of the provisions of this Agreement, the prevailing party shall be entitled to its costs and reasonable attorney~s fees. One time cast aluminum mold. 2. 73 primary molds double = 146 The City desires 6 extra molds doubled = 12 Total cast moldings 158 3. Double sign faces .080 aluminum 4. Signage to be 6" following federal guidelines. Secondary signage dimensions to fit sign as discussed at the December 1st meeting. Amy Amidon will choose the lettering for the core signs. 5. Block number to be indicated on sign insert. 5. Sign inserts to be painted dark green with white reflective lettering. 6. Street signs to be painted the came color as the light polls. 7. Street signs to be installed on the south west corners and the north east corners of existing light polls. 8. Four secondary signs. 1) S. Mill and Main St. North East Corner (Aspen Art Museum) (A.C.E.S.) 2) Aspen St. and E. Main North East Corner ( Red Brick Center) 3) N. 6th Street and West Main North East Corner (Music Tent) (Aspen Historical Society) 4. E. Main and S. Hunter St. South West Corner (Gondola) 9. Aspen Leaf and finials to be painted gold. 10. Existing signs need to be. removed before installation of new signs. . 11. Bid to include cast street sign; sign insert and installation. Method of installation is riveted. I. Signs to face into the block instead of out towards the street due to the snow plow wings being 14 feet tall. 12. 13 . The work covered by these contract documents consists of the 158 manufactured street signs and installation of 146 street signs. The project is located in the City pf Aspen, Colo. 16. David Hauter, Asset Management will be the project manager. 17. Mock up of street sign. 18. Progress Schedule 5 weeks to make pattern 45 days to do mold 7 days to paint signs delivered and if weather permitting installed within 15 days. Koch, City Clerk~ THRU: THRU, FROM: Kathy Strickland, Chief Deputy Clerk RE: STREET SIGN AND INSTALLATION PROJECT ----------------------------------------------------------------- ----------------------------------------------------------------- SUMMARY: The CCLC has been working on the street sign project for the Commercial Core and Main Street for several years. This project is in two Historic Districts. Several designs were presented to the Commercial Core & Lodging Commission and to the Historic Preservation Commission. It was determined that a subcommittee would be appointed with representatives from CCLC and the HPC to design an appropriate street sign for Aspen. A bid package was prepared and Invitations to Bid were sent out in early November. Only one bid was received from Copper Sculptures Denver for $64,873. This bid includes 158 cast molds and aluminum double faced sign inserts. Street signs will be painted to matQh the existing light polls. Street signs will start at 7th Street and Main Street and continue around Original to Durant. Street signs will also be installed in the core area. CCLC has worked with the County and Communications regarding the sign inserts. The insert will be reflective white lettering to accommodate night driving and emergency vehicles. FINANCIAL IMPLICATIONS: $60,000. is budgeted for the proj ect. CCLC has agreed to use their 1995 year end balance of $4,973 to fund the balance of the project.
