'ib -7;2. 96 -/375 RESOLUTION~ 1996 JOINT RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF PITKIN, AND THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF EAGLE AGREEING TO THE APPOINTMENT OF AN ADVISORY DIRECTOR BY THE COUNTY OF EAGLE TO THE BOARD OF THE ROARING FORK TRANSIT AGENCY WHEREAS, by Intergovernmental Agreement dated November 21, 1983, as amended by that Supplemental Agreement dated November 21, 1983; as amended by that Amendment to Intergovernmental Agreement dated January 23, 1984; and as amended by that Amended Intergovernmental Agreemen.t for Transit Agency dated June 9, 1986 (all said Agreements and Amendments to be referred to herein collectively as the "RFTA Intergovernmental Agreement"), the City of Aspen and the Board of County Commissioners of Pitkin County formed and constituted the Roaring Fork Transit Agency ("RFTA") to establish an organizational framework to provide public transportation throughout Pitlcin County and its environs, and to create an operating and viable transportation service to assist in carrying out environmental and conservation policies for the benefit of the inhabitants, visitors and environments of the City of Aspen and the County of Pitkin; and . WHEREAS, RFTA and the County of Eagle have entered into an intergovernmental agreement whereby RFTA operates in and provides transportation services to the inhabitants and visitors of the County of Eagle; and WHEREAS, paragraph 2(b) of the RFTA Intergovernmental Agreement provides for a Board of Directors of RFTA comprising members and appointees of the City Council of the City of Aspen and the Board of County Commissioners of the County of Pitkin; and WHEREAS, the City Council of the City of Aspen and the Board of County Commissioners of the County of Pitkin deem it desirable and advisable to create an advisory director on the RFTA Board to be appointed by and to serve at the pleasure of the Board of County Commissioners of Eagle County; and WHERE1'-S, the Board of County Commissioners of Eagle Comrl:y desires to participate in the administration of RFTA through the appointment of an advisory director to the RFTA Board. NOW, THEREFORE, be it resolved as follows: 1. The City council of the City of Aspen and the Board of County Commissioners of the County of Pitkin do hereby establish the position of "Eagle Coun'ty Advisory Director" on the RFTA BOclrd of Directors to be appointed by and serve at the pleasure of the Board of County Commissioners of the county of Eagle. The Eagle Coun'ty Advisory Director shall attend and participate in all RPTA Board discussior~ and shall have an advisory, but not binding, vote on all matters voted on by the RFTA Board. 2. The initial term of the Eagle County Advisory Director e - :e '-;0.' shall be from the date of this Resolution until December 31, 1996. Taddune, RFTA General Counsel DATE: March 5, 1996 RE: Eagle County Advisor Director to RFTA This memorandum is in furtherance of your request for a resolution creating the position of Eagle County Advisory Director to the RFTA Board, to be appointed by and to serve at the pleasure of the Board of County Commissioners of Eagle County. RFTA was created in 1983 by Intergovernmental Agreement' between the City of Aspen and County of Pitkin pursuant to Colorado constitutional and statutory authority which authorizes political subdivisions and governmental entities to contract and cooperate with one another for the purposes of developing, maintaining and operating mass transit systems.' Thus, any amendments to the Inter-governmental Agreement to expand the RFTA Board will require the approval of the Aspen city Council and Pitkin County Board of County Commissioners. Paragraph 2(b) of the RFTA Intergovernmental Agreement provides that RFTA shall be governed by a board of directors comprised of: (i) one member of the Aspen City Council; (ii) one 1 RFTA was created by Intergovernmental Agreement dated November 21, 1983, as amended by that Supplemental Agreement dated November 21, 1983, as amended by that Amendment to Inter- governmental Agreement dated January 23, 1994, as amended by amended Intergovernmental Agreement for Transit Agency dated June 9, 1986 (all said agreements and amendments are referred to in this memorandum collectively as the "RFTA Intergovernmental Agreement") . 2 See e.g., sections 29-1-201, 30-11-101(1) (f), 31-15- 711(I)(g), C.R.S., and Article XIV, section 18 of the Colorado constitution. e - e member of the Board of County Commissioners; and (iii) three members of the general public, one appointed by the Aspen city Council, one appointed by the Board of County commissioners, and one jointly appointed and approved by majority vote of both the Aspen city council and Board of County Commissioners, each voting separately. The individual appointees of the Aspen city council and Board of County Commissioners serve at the pleasure of the body making the appointment and may be removed at any time by majority vote of the appointing body. The joint appointment serves at the pleasure of both the Aspen city Council and Board of County Commissioners and may be removed by a majority vote of the combined legislative bodies at a joint meeting. The terms of each appointment to the RFTA Board are as follows: (1) The term of the city Council member coincides with that member's City council term of office. (2) The term of the Board of County coincides with that member's Commissioners term of office. commissioners member Board of County (3) The general public appointments serve staggered terms of three (3) years each. Under Paragraph 2(d) of the Intergovernmental Agreement, the main responsibility of the RFTA Board is to provide for a safe, reliable and financially sound transportation sys.tem, both within and outside the corporate limits of the city and the County. wi thin the RFTA Board's overall responsibility to govern the operation of the transportation system are the following specific responsibilities: (1) Adopt policies and procedures; (2) Adopt a service plan, route structure, fares and levels of service; (3) Adopt policies and manuals to govern operations, personnel, and procurement; (4) Adopt the system's operating and capital budget; (5) Review and adopt minimum five (5) year financial plans for operation and capital needs; (6) Employ a general manager for the transportation system to administer the system and hire the necessary staff for the operation of the system; (7) Appoint an advisory committee to work with .the 2 e 'a ':~;:. A . transit board and advise the Board on transportation issues. The advisory committee may consist of representation, which includes the Town of Snowmass Village, among various other entities. Participation in RFTA by governmental entities the City and the County is addressed in Paragraph Intergovernmental Agreement which provides as follows: other than 7 of the "Any governmental entity may request that the Transit Agency assume the opera"tion of transportation services previously operated by said governmental enti ty. The Transi t Agency shall review such requests and make a recommendation to the city and County for approval or denial. The recommendation shall set forth such conditions to the assumption of operation of Transit Agency deems necessary including payment of a capital improvement investment fee. The Transit Agency recommendation shall be submitted to the city Council and Board of County Commissioners and additional participants to an Agreement shall be permitted upon any appropriate written amendment hereto as approved by city Council and the Board of County Commissioners." The Pitkin County BOCC and the Aspen city Counsel recently agreed to create the position of Snowmass Advisory Director, to be appointed by and serve at the pleasure of the Town Counsel of the Town of Snowmass village. The Eagle County Advisory Directors will be appointed by the Board of County Commissioners of Eagle county and service for one year terms.
