A RESOLUTION OF THE CITY OF ASPEN, COLORADO, ACCEPTING ROAD
DEDICATION DEEDS FOR THE NEW TIEHACK ROAD AND SOUTH UNDERPASS ROAD,
AND THE NEW STAGE ROAD AND NORTH UNDERPASS ROAD, AND AUTHORIZING
THE MAYOR TO EXECUTE SAID ACCEPTANCES ON BEHALF OF THE CITY OF ASPEN._
WHEREAS, there has been submitted to the City Council Road Dedication Deeds for. the
New Tiehack Road and South Underpass Road, and the New Stage Road and North Underpass
Road by the developers of the Maroon Creek Club Subdivision; and
WHEREAS, the aforementioned dedication deeds were approved by Pitkin County Board
of County Commissioners as part of the land use approvals received by the developers by the
County; and
WHEREAS the Maroon Creek Club Subdivision has been annexed into the City of Aspen
subsequent to the land use approvals granted by Pitkin County.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ASPEN, COLORADO:
That the City Council of the City of Aspen hereby accepts said road dedication deeds and
authorizes the Mayor of the City of Aspen to execute them on behalf of the City of Aspen.

In satisfaction of the requirements of eR.S. 943-2-20 I, MAROON CREEK
LIMITED LIABILITY COMPANY, a Colorado limited liability company ("Maroon
Creek"), whose address is 0010 Club Circle, Aspen, Colorado, 81611, for TEN
DOLLARS ($10.00) and other good and valuable considerations, in hand paid,
hereby sells and conveys to CITY OF ASPEN, COLORADO ("City"), whose address
is 130 South Galena Street, Aspen, Colorado, 81611, for public use, the road rights-
of-way (the "Roads") located in the City of Aspen, State of Colorado, and legally
described in Exhibit "A" attached hereto and made a part hereof, subject, however,
to the following terms, conditions, agreements and reservations: .
1 . Reserving any portions of the Roads previously dedicated to the State of
Colorado for State Highway 82 and any pOitions of the Roads and with respect to the
underpass, airspace above, supporting structures, adjacent areas and other
improvements hereafter to be dedicated to the State of Colorado for the widening or
realignment of State Highway 82.
2. There shall be no changes in the width or other specifications of the Roads
as built without the written consent of Maroon Creek and the City having been first
obtained.
3. All signage on the Roads shall be installed and maintained by Maroon
Creek including any signage required by the City.

4. No parking of vehicles .by members of the public shall be permitted on
the Roads.

~ 5. Rights are reserved in Maroon Creek to encroach upon, over or under the
Roads for utilities, signage or information structures, sidewalks and for other purposes
consistent with the following land use approvals: (i) Pitkin County Resolution 91-1 1 1
recorded in Book 657 at Page 306 and (ii) Pitkin County Resolution No. 91-112
recorded in Book 657 at Page 384.
6. The City hereby accepts the obligation to provide maintenance, repair and
snow removal to the Roads.
7. This conveyance is made subject to any existing easements, reservations,
restrictions or rights-of-way.'
8. This conveyance shall inure to the benefit of and .be binding upon the
parties hereto, their .heirs, successors, assigns and personal representatives.

In satisfaction of the requirements of C.R.S. 943-2-201, MAROON CREEK
LIMITED LIABILITY COMPANY, a Colorado limited liability company ("Maroon
Creek") whose address is 0010 Club Circle, Aspen, Colorado 81611, THE FRIEDL
PFEIFER ASPEN REAL ESTATE IRREVOCABLE TRUST NO. 1, DATED DECEMBER
20, 1988 ("Pfeifer"), whose address is c/o Walter Ash, Esq., Wade, Ash, Woods, Hill
& Guthery, 360 South Monroe, Suite 400, Denver, Colorado 80209 and the
ASPEN SKIING COMPANY, LLC, a Colorado limited liability company ("ASC")
whose address is P.O. Box 1248, Aspen, Colorado, 81612, as their interests appear
for TEN DOLLARS ($10.00) and other good and valuable considerations, in hand
paid, hereby sells and conveys to CITY OF ASPEN, COLORADO ("Grantee"), whose
address is 130 South Galena Street, Aspen, Colorado, 81611, for public use the road
rights-of-way (collectively the "Roads" or separately "New Tiehack Road" or "South
Underpass Road" as the context requires) located in the County of Pitkin, State of
Colorado and legally described in Exhibit "A" attached hereto and made a part hereof
by this reference, subject, however to the follO'.'Jing terms, conditions, agreements and
restrictions:
1 . Reserving any portions of the Roads previously dedicated to the State of
Colorado for State Highway 82 and any portions of the Roads and with respect to the
underpass, airspace above, supporting structures, adjacent areas and other
improvements hereafter to be dedicated to the State of Colorado for the widening or
realignment of State Highway 82.

2. There shall be no changes in the width or other specifications of the Roads

County having been first obtained.
3. All signage on the Roads shall be installed and maintained by Maroon
Creek including any signage required by the County.
4. Rights are reserved in Maroon Creek to encroach upon, over or under the
Roads for utilities, signage or information structures, sidewalks and for other purposes
,consistent with the following land use approvals for Maroon Creek Club (the
"Project"): (i) Pitkin County Resolution 91-111 recorded in Book 657 at Page 306
and (ii) Pitkin County Resolution No. 91-112 recorded in Book 657 at Page 384.
5. No parking of vehicles by members of the public shall be permitted on
the Roads excepting the following parking on New Tiehack Road by Community
Health Resources, Inc. ("ARU") as the owner of the property (the "ARU Property")
described in the Lot Line Adjustment Plat recorded in Plat Book 33 at Page 3:

A. ARU shall be allowed overflow parking along New Tiehack Road
for three special events per year which shall be held around the 4th of July,
Christmas, and at one other time during each calendar year ("New Event"). ARU
shall provide notice to Maroon Creek and the County* of the date and time of each
New Event not less than thirty (30) days prior to the date of such event.
*Now the City of Aspen
B. ARU shall also be allowed overflow parking along New Tiehack
Road or, at Maroon Creek's option, at another site on the Project (which site is on the
same side of Highway 82 known as the ARU Property) from which ARU may shuttle
its employees, patients and guests for weekly events not to exceed twice weekly and
not to exceed thirty-five (35) vehicles.
C. The parking rights allowed to ARU in SA. and 5B. above shall be
subject to reasonable restrictions which may be established from. time to time by
Maroon Creek; however, such restrictions will reasonably address the need for privacy
for the patients and guests of ARU and such restrictions will not require such patients
or guests to identify themselves by name.
D. None of the rights herein reserved to ARU to use New Tiehack
Road for parking shall be changed without the written consent of ARU having first

repair or snow removal to New Tiehack Road.
