A RESOLUTION APPROVING AN AMENDMENT TO A CONTRACT
BETWEEN THE CITY OF ASPEN'; COLORADO, AND UTILX
CORPORATION, SETTING FORTH THE TERMS' AND "CONDITIONS
REGARDING RENOVATION OF UNDERGROUND CABLING AND
AUTHORIZING THE CITY MANAGER TO EXECUTE SAID
AMENDMENT.
WHEREAS, there has been submitted to the City Council a contract
between the City of Aspen, Colorado, and Utilx Corporation, a copy of which
amendment is annexed hereto and made a part thereof.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF ASPEN, COLORADO:
Section 1
That the City Council of the City of Aspen hereby approves that contract
amendment between the City of Aspen, Colorado, and Utilx Corporation
regarding renovation of underground cabling, a copy of which is annexed hereto
and incorporated herein, and does hereby authorize the City Manager of the
City of Aspen to execute said amendment on behalf of the City of Aspen.

FIRST AMENDMENT TO THE SERVICE AGREEMENT
BETWEEN THE CITY OF ASPEN
AND UTILX® CORPORATION
Dated January 1, 2003
The contract and proposal for CableCURE® services dated January 1, 2003, ("Agreement") by and between The
City of Aspen ("Customer"), a Colorado Municipality, with offices located at 130 South Galena Street, Aspen,
Colorado 81611-1975, and the UTILX Corporation ("UTILX"), a Delaware corporation, with offices at 22820
Russell Road, Kent, Washington 98032 is hereby amended as follows:
Effective Date: March 1,2004
RECITALS
WHEREAS both Customer and UTILX desire to continue working together under the Agreement.
WHEREAS both Customer and UTILX desire to amend the pricing for the 2004 calendar year as
permitted under the Agreement, as amended.
WHEREAS the new pricing shall commence as of the Effective Date and remain valid through
December 31,2004.
NOW, THEREFORE, in consideration of the promises and the mutual covenants hereinafter contained
Customer and UTILX covenant and agree as follows:
1. The foregoing Recitals are incorporated by reference as if fully set forth herein.
Attachment A of the Agreement is hereby deleted in its entirety and is replaced with the provisions set
forth in Attachment A, dated March 1, 20041 attached hereto and incOrPOrated herein bY thiS reference;
and
Attachment B of the Agreement is hereby deleted in its entirety and is replaced With the Provisions set
forth in Attachment B, dated March 1, 2004, attached hereto and incorporated herein bY this reference;
The contract amount for 2004 is not to exceed $500,000.00
All other terms and conditions of the Agreement dated January 1, 2003 not addressed herein shall remain in full
force and effect. This amendment shall attach to and beCome part of the Agreement dated February 11,2003, as if
fully set therein.

ATTACHMENT A
Description of Work
Perform Proactive CableCURE Injection including craftwork. Proactive CableCURE Injection is defined as the
treatment of contiguouS segments of cable circuits where the majOrity Of the indiVidual segments have been in
operation without failure or Destructive Testing for at least 120 daYs prior tO injection. DestruCtive Testing includes
(1) any exposure of the cable to a voltage greater than 50 volts at any frequency below 50Hz or above 60 Hz or (2)
any exposure of the cable to voltages at any frequency above the rated voltage of the cable. Proactive CableCURE
Injection specifically excludes the injection of a single section of cable, which has failed and not been in continuous
operation for 120 days prior to injection. Any Destructive Testing performed on the cable segments following
Proactive CableCURE Injection shall specifically VOid the 20 yea~~ Unb0nditi~nal Warranty,
Special Documentation & Invoice Requirement-
Weekly progress invoicing. Due net 30-days from the date of invoice.
Feeder Cable Terminations
Upon addressing the reliability of feeder cable through the use of CableCLIRE/XL flUid injection it is StronglY
recommended that all termination devices be removed and rePlaced With hbW ~brnponents to ensure longevity.

* A pit is defined as a hole not to exceed four feet (4') wide by five feet (5') long by five feet (5') deep
equaling one hundred (100) cubic feet ("Pit"). Pits contiguous to one another exceeding one hundred (100) cubic
feet will be charged as an additional Pit to CUstomer and billed at the same rate as set out above in the Bill code.
(EXAMPLE: One hundred one (101) cubiC feet warrants tWo (2) PitS; tWo hundred one (201) cUbic feet
warrants three (3) Pits, etc.)
** Unforeseen conditions include but are not limited to buded objects and solid reck encountered during
excavation. If directed to continue by the Customer, Customer Shall be billed at the rates Set forth above in
"Unforeseen Conditions Charges".
Note: Injection length based charges are per unit conductor length. Injection and craft houdy charges are billed in
half-hour increments and are per crewperson. Hourly charges will not exceed 8 hours per crewperson per day,
unless authorized by customer representative.
Timing of the Project: UTILX will commence work on the projects for 2004 On or aboUt April 1, 2004 and
complete work on or about July 31, 2004.

U 1. Recording of all cable tracking data and daily field reports.
C 2. Providing any permits or licenses required by state, county, or municipal authorities, and handling
any required interface with government agencies.
C 3. Providing information and maps describing the physical characteristics, legal limitations, and
locations of the cable at least two weeks prior to the performance of the work.
C 4. Providing accurate circuit maps, which indicate the location of normal open points, circuit
phasing, and other information required to safely and efficiently operate.
C 5. Designating a Customer re presentative to act on the Customer's behalf in communicating with
the UTILX operating crew, including daily approval of prog tess recorded on the UTILX daily field
report.
C 6. Planning all switching to maximize efficiency and productivity and to minimize any additional time
or expense.
U 7. Planning all injection work to maximize efficiency and productivity and to minimize any additional
time or expense.
C 8. Handling all communications with utility customers prior to the start of operations at a given site.
C 9. Handling all communications with public agencies and the media
C 10. Providing qualified supervision to switch and vedfy the de-energized and grounded condition of
~ any cable segments which need to be worked upon and to reenergize the same upon completion
U 11. Testing the condition of the neutral prior to injection. If the cable has neutral damage exceeding
100% of the cable neutral's original ampacity, the condition will be repaired, the cable will not be
injected, orthe customer will issue a wdtten waiver to allow injection to proceed.
