A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO,
APPROVING A CONTRACT MODIFICATION BETWEEN THE CITY OF ASPEN AND
CHARLES CUNNIFFE ARCHITECTS PC AND A CONTRACT MODIFICATION
BETWEEN THE CITY OF ASPEN AND SHAW CONSTRUCTION AUTHORIZING THE
CITY MANAGER TO EXECUTE SAID CONTRACT MODIFICATIONS ON BEHALF OF
THE CITY OF ASPEN, COLORADO.
WHEREAS, there has been submitted to the City Council four (4) contract modifications for
Professional Services between the City of Aspen and Charles Cunniffe Architects PC and one (1)
contract modification for Construction between the City of Aspen and Shaw Construction. True
and accurate copies are attached hereto as "Exhibit I, Exhibit Il, Exhibit III, Exhibit IV and
Exhibit V".
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ASPEN, COLORADO,
That the City Council of the City of Aspen hereby approves the Contract Modification
#40, 41, 42 &47 between the City of Aspen and Charles Cunniffe Architects PC. That the City
Council of the City of Aspen hereby approves the Contract Modification #42 between the City of
Aspen and Shaw Construction. Copies of which are annexed hereto and incorporated herein, and
does hereby authorize the City Manager to execute said agreement on behalf of the City of
Aspen.

CIVIC SPACE RELOCATION PROJECT-ARCHITECT AND CONSTRUCTION CHANGE
ORDER RECOMMENDATION
Dear Jeff:
The purpose of this letter is to recommend that the City of Aspen accepts change orders from Charles
Cunniffe Architects (CCA) and Shaw Construction (Shaw) for additional design and construction services
relating to the Civic Space Relocation Project(CSRP-PD).
This request of City Council is for approval of change orders beyond the current approved project budget.
This IS a request for additional project funding.
BACKGROUND
During the Historic Preservation Commission(HPC) review of the project,HPC directed the project team to
move the three historic structures from the original Zupancis site to a site adjacent to the Holden-Marolt
mining museum. As part of the process,staff committed$30,000 towards the restoration of the interiors of
the house.The construction contract included an allowance of$150,000 for foundation,exterior restoration
and sitework.
Council acceptance is required for change orders above$25,000.
CCA Change Request#40 Historic Preservation Expert$4,500
CCA has engaged a historic preservation expert,Built Environment Evolution (BEE)who has worked with
and will continue to work with the project team,staff and HPC monitor to ensure the City's goals for the
preservation efforts are met.
CCA Change Request#41 Detailed Exterior Finish Analysis$6,407
Through CCA,BEE provided a proposal to perform a detailed analysis of the exteriors,including a paint
analysis with a spectrometer.
CCA Change Request#42 Interior Finish Conservation$7,213 ---�
Through CCA,BEE provided a proposal to perform conservation including removal,cleaning and storage of
existing finish material.

CCA has provided a fee proposal for Construction Administration services. Anticipated work includes, site
visits,consultant coordination and ongoing coordination with the HPC monitor.
The detailed fee proposals indicating all design consultants have been received from CCA and vetted by NV5.
Cognizant of the schedule, full consultant teams,nature of the facility NV5 feels the fee is reasonable and
appropriate and within industry norms.

Shaw Chan a Request#43 Marolt Work$$188,64 6
Shaw and their subcontractors provided a proposal for the construction associated with the placement of the
three historic structures at the Marolt site.Work includes,but not limited to grading the site,building three
foundations and set the three historic structures. In addition,Shaw and thea subcontractors will re-inforce
the structure of the historic house,re-install the siding and provide conduit for future installation of electrical
power to the house. Shaw and their subcontractors will install a driveway and path from the house to the
existing dirt trail.
FINANCIAL IMPACTS
This CCA and Shaw requests are NOT within the$21.5 mil budget that NV5 are currently tracking.
This recommendation IS a request to alter the budget or request additional current funding.
RECOMMENDATION
NV5 his reviewed the proposed change orders submitted by CCA and Shaw and we recommend Council
acceptance of CCA Change Orders #40,41,42&47 and Shaw Change Order 42.

Costs to incorporate the Marolt Historic Relocation drawings,dated 7.26.17, into the contract documents. Scope
includes site work, foundations and restoration of the historical structures. _
Clarifications:
-All interiors work excluded.
-Interior insulation excluded.
-Per Chris Thompson, porch roof is of historical significance and structurally sound and does not need to be
replaced. Pricing reflects this direction.
-With the exception of doors, columns and window sashes, no sealing, painting or finishing included.
-Barn is shown to receive double sill studs. Existing barn siding is shown to remain and will not cover the new sill
studs. Flashing can not be installed as currently drawn. .
-Electrical scope includes conduit and pull box install only.
-Electrical pull boxes have been included as an allowance-no detail/spec has been provided.
-Landscaping/revegetation has been included as an allowance.
-Native material on site to be used for backfill. Topsoil is excluded.
-Import of new boulders to the site is excluded. If boulders are uncovered during excavation,they will be placed in
the location as shown on A1.1.
-Foundation drains are not shown and therefore not included.
-soils conditions report has not been received to date and we are assuming all soil is adequate for excavation and
foundations. Unforeseen conditions excluded.
-Miscellaneous framing repairs has been included as an allowance.
-Cleaning of interior stud bays has been included as an allowance.

Sopris Engineering,LLC(SE)is pleased to submit the following proposal for survey related services associated with the Marolt Historic
Structure Relocation located within the City of Aspen.
We are in receipt of the following information which has been forwarded to us:
-Permit Plans dated March 16,2017. Should there be any plan revisions;SE reserves the right to revisit the Estimate.
-DWG file of the Plat prepared by Aspen Survey Engineers
Scope of Work
It is our understanding that we will be providing survey services for the following task which is further described below:
Task: Staking the proposed building pads.
Task:Construction Staking
The scope of work associated with this task is outlined below(restaking is not included):
a) Set up survey project base file,including import of CAD file for project(required)and drafting of building pads.
b) Prepare field crew for locating property corners,per digital copy of Apen Survey Engineer's Plat.
c) Field crew to locate existing property corners to confirm subject boundary(approximately 4 hours).
d) Field data downloaded and reviewed to confirm subject boundary.
e) Field crew to set points for excavation and project control per dimensions on SM-2.0(approximately 6 hours).
f) Field crew to set points for concrete and project control per dimensions on SM-2.0(approximately 6 hours).
g) Field crew to set points for the four drainage basins shown on C-102(to be staked with either'e'or'f above).
Excluded Services
The services not included in this proposal are monitoring,shoring wall layout,utility staking or locates,boundary survey,submittal
survey documents,soil or geological investigations,permitfoonstruction drawings,environmental studies,water rights research,
wildfire or wildlife studies,lighting,landscaping,geotechnical study,debris flow studies,traffic studies,the preparation of any survey
drawing for a closing,public meetings or any other special or unusual requirements. However,if any the above-mentioned
services are needed or requested,fees may be negotiated for those services on either a fixed fee or time and materials basis as
indicated on the enclosed Schedule of Rates dated January 2016.
Fee Structure
SE estimates the Scope of Work can be accomplished on a time and materials basis for the fees outlined below and would not be
exceeded without prior authorization. This fee is based on the field hours listed above,office hours required to prepare staking
points and does not include any staking other than listed above. This fee does not include the office time necessary to review any
plan revisions. This feel has also been developed based on a site cleared of both materials and/or snow.

AUTHORIZATION FOR PROFESSIONAL SERVICES
BY SOPRIS ENGINEERING,LLC

The services covered by this Authorization form shall be performed in accordance with the following provisions and the
enclosed Sopris Engineering,LLC(SE)proposal letter listed above unless otherwise specified.
1. Time Schedule: SE will make every reasonable effort to complete all services,which are specifically to be furnished
under this agreement,in a timely manner.
2. Professional Standards: SE shall be responsible,to the level of competency presently maintained by other
practicing professional engineers/surveyors in the same type of work in the Client's Community,for the professional
and technical soundness,accuracy,and adequacy of all work furnished under this Authorization. SE makes no other
warranty,expressed or implied.
3. Termination: Either CLIENT or SE may terminale this Authorization by giving twenty(20)days written notice to the
other party. In such event,CLIENT shall forthwith pay SE in full for all work previously authorized and performed
prior to the effective date of termination. If no notice of termination is given,relationships and obligations created by
this Authorization shall be terminated upon completion of all applicable requirements of this Authorization.
4. Legal Expenses: In the event legal action is brought by CLIENT or SE against the other to enforce the obligations
hereunder or arising out of any dispute concerning the terms and conditions hereby created,the losing party shall pay
the prevailing party such reasonable amounts for fees,costs and expenses as may be set by the court.
5. Payment: Monthly Involves will be Issued by SE for all work performed under the terms of this agreement. Time
accounting cuts off on the 25th of the month(invoice dale). Invoices will be sent out on or about the last day of the
month. They will be sent to the client at the address indicated at the bottom of this Authorization form. Invoices are
due and payable on receipt. Finance charges at 1 1/2%per month(18%Annual Rate)will be charged on all
amounts which are over 30 days past due. Cllent/Owner agrees to pay reasonable collection and attorney's fees in
the event of nonpayment.
6. Assignment of Agreement: This agreement shall be binding on the heirs,successors and assigns of the parties
hereto and is not to be assigned by either party without first obtaining the written consent of the other.
7. Ownership of Documents: All reports,plans,field data,field notes,calculations,estimates and other documents
prepared by SE as Instruments of service,shall remain the property of SE unless there are other contractual
agreements.
8. Limitation of Liability: SE's liability to the CLIENT for any negligent act,error or omission is,in the aggregate,
limited to an amount not to exceed the fee earned under this agreement,or$50,000,whichever is greater.

By this contract, Charles Cunniffe Architects (CCA) agrees to make payments to Built
Environment Evolution (BEE), by the following schedule in exchange for services listed in
the SCOPE OF SERVICES (above). This payment schedule is enforceable by law, and the
methods described below will be use in cases of delinquent payment.
By this agreement, it is agreed that a payment Not To Exceed (NTE) $4500 will be
surrendered to BEE until the total of the payment required has'been delivered.
Additional services may be requested with additional fees incurred.
This agreement is binding, and failure to meet its terms will allow BEE to take certain
recourse. First, late payments will incur a fee of 18%every 30 days past the due date.
Insufficient payment and bounced checks will incur a fee of$50. If payment should not
be delivered at all, BEE will be entitled to legal actions.

EXTERIOR FINISHES INVESTIGATION. I have attempted to respond to all the
requirements for the estimate. If you need additional services, edits or
adjustments, please do not hesitate to contact me. We can conduct a survey of
the exterior finishes during the same site visit as the Interiors removal and storage
phase, if required for a cost savings.Please note that I included the 1/2 day cost
for the XRF Spectrometer, as it should produce a cost savings over the individual
testing fee ($300 per test). Should there be a cost savings using the individual
test fee, I will be certain to change the invoice to reflect the lower cost.

The proposed ZUPANCIS HOUSE EXTERIOR FINISHES INVESTIGATION will include the
following:
Fieldwork
Exterior finishes will be examined, sampled and tested. Any paint found will be sampled
to be examined using cross-section microscopy in the BEE laboratory.Testing with the
XRF Spectrometer will be used to assess if there are point pigments in the wood grains of
the existing materials that would indicated a paint color that was present at one time,
but no longer visible to the naked eye.
Deliverables
A report with all findings of the investigation of the materials,with recommendations of
restoration colors of the original paint campaigns, where information and analysis
allows. Any additional information, such as treatments or repairs will also be listed in the
findings.

PROPOSAL
The proposed ZUPANCIS HOUSE INTERIOR FINISHES INITIAL CONSERVATION, CLEANING
AND STORAGE will include the following:
Fieldwork
Interior finishes will be removed, dusted, washed (if appropriate), and prepared for
storage using archival methods and materials. BEE on-site staff will include the
Architectural Conservator, and Assistant Conservator.
Wallpapers will be sandwiched between archival materials and plastic sheeting. All
materials will be wrapped around cardboard tubes (SonoTubes or similar), approx. 10' in
length.Tube and archival materials will be wrapped in bubble wrap and packing
blankets. It is anticipated that this will suffice for storage requirements for the limited
duration of construction, but the storage facility is unknown. A request for a wooden
storage structure can be an add-on service,with additional costs and labor.The project
General Contractor may also be contacted for a box to protect the stored items, or to
create a more intricate rack inside a box, so each SonoTube packaging may have a
place to rest individually.
For Project Value Engineering: Additional on-site staff may include contractors supplied
by the General Contractor, and/or the Aspen Historical Society staff or Volunteers.This
will reduce time for the BEE team on site.The Architectural Conservator will instruct the
team in how to prepare the interior finishes for storage.Those involved will need to be
prepared for environmental conditions- dirt, dust, allergens, etc.-
Deliverables
Wallpapers, fabric, and linoleum prepared for storage. GC or other will move all Interior
Finish items from the site and place at the designated location at the storage facility.
Final package dimensions are expected to be 10' x 2.5' x 2.5', requiring a pickup truck
or van for transportation. Delivery to the storage facility may be completed by BEE
upon the client's request, with the additional charge for a rental transport vehicle.

RECOMMENDED OPTIONS
FOR ZUPANCIS HOUSE INTERIORS CURATION*
The Zupancis House has many options for conservation and restoration. How to best tell
the stories of the families that lived in the house,while adhering to a budget is the
dilemma. Below are the recommendation intended to cover all requirements.
Recommendations may be adjusted when the total budget has been decided.
CABIN
The cabin represents the earliest period of settlement in Colorado's history. Old mining
cabins, often made by hand tools from the trees nearby, of materials that were brought
to the site by wagon. Set in the original 1885 mining era of Aspen, the original interiors of
this portion of the home would be fairly utilitarian, with few amenities. The period of
significance for this space would be the early mining era of Aspen.
The restoration of the interior of this portion of the Zupancis House would be fairly simple,
with only some paint at the window and door frames. Paint analysis shows that the
windows and doors match other areas of the house, and are not original to the period
of construction, but should receive the earliest color available- a warm white.The
flooring may have been painted, but there were no signs of paint. All decorative
features, including the wallpaper, bead board, baseboard, etc,were added at a later
date. Restoration for the Cabin would include the removal of any items not from the
period of construction, such as the wallpapers, closet, etc.

VICTORIAN HOUSE
The Victorian house represents a later period of Aspen's history, the 1890's, a period of
great prosperity as mining was booming. At this time the family enlarged the home,
adding the two rooms of the Victorian addition, creating a'public' area of the house,
added as a more permanent addition for a better home, which received more finish
upgrades, such as wallpapers, carpet, etc., to become the centerpiece of the home.
The period of significance would be the boom years of Aspen's Mining Period.
The restoration of the interior of this portion of the Zupancis House would be the most
extravagant of the interior finishes, and where the most funding would most likely be
allocated. We have the original wallpaper fragments that can be reproduced, but at a

high cost.The small samples would be redesigned and reproduced using the methods
used for the original papers, but this could easily take the majority of the budget.There
are several choices of excellent wallpaper manufacturers that produce wallpaper in
the some manor as the manufacturing process of the period of the original papers, that
Would be appropriate to the time and place of the Victorian addition. The wallpaper
would have metallic gold inks, and ideally be deep green in color, with trim at the
ceiling, and additional papers on the ceiling.The carpet currently in this portion of the
house, is from a later period. A new carpet could be added to the two rooms, that
would match the period and selection of wallpapers. Paint would return to the second
color, a deep, dark red.

LEAN-TO ADDITION
The later addition to the North served utility purposes in the 1920's/30's as Aspen was in
transition from mining to the 'quiet years'. This portion of the house was private.The
period of significance is the time of the Zupancis Family.
Restoration of this portion of the house would be to demonstrate how a family would
live in Aspen, how the kitchen would function, etc. Considerations could be made for
the materials to be utilitarian both as a reflection of how the family used the space
historically, but also for how the space may be used for the visitors that will be coming in
future years -will demonstrations take place in the space? How can we best represent
the family? It is in these areas that I would suggest any conservation efforts-leave the
paint as it is with the addition of a barrier coat, conserve one wall of wallpaper in-situ,
display a sample of the original materials, while replacing critical materials such as
flooring with similar items on the market today. Simpler, period appropriate wallpapers
can be used to replace any areas that are not to be conserved in-situ. Linoleum today
is very similar to what it was, until you investigate the adhesives we use today. Linoleum
is highly functional, resists wear, is easy to clean, etc. A period appropriate pattern can
be chosen from a modern linoleum to match any wallpapers selected. A carpet would
be new,with a period appropriate pattern, with a more simple design than other areas
of the house.

Per the Owner/Architect Agreement dated March 7, 2015,'the following services requested by the
Owner are beyond the scope of work defined by the aforementioned Agreement and the
following is a request for approval to supplement the Agreement:
DESCRIPTION OF ADDITIONAL ARCHITECTURAL CONSULTANT SERVICES:
Added scope services for the permanent relocation of the three historic structures to Marolt
Ranch (Construction administration):
Includes allowance for 81 total hours over 15 week duration during construction.
Assumption: CCA: 75 total hours; Civil: 3 hours; Structural: 3 hours; To include site visits,
coordination with consultants, building department (and Amy Simon), contractor,and owner.
Total Change Order#47: $12,150.00
