RESOLUTION NO. (Series of 2004) A RESOLUTION OF THE CITY COUNCIL OF ASPEN, COLORADO APPROVING AN AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF ASPEN, COLORADO, AND TURNER COLLIE & BRADEN INC. SETTING FORTH THE TERMS AND CONDITIONS REGARDING THE DESIGN OF THE S-CURVES IMPROVEMENTS AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AGREEMENT FOR PROFESSIONAL SERVICES WHEREAS, there has been submitted to the City Council an agreement for professional services between the City of Aspen, Colorado, and Tuner Collie & Braden Inc, a copy of which agreement is annexed hereto and made a part thereof. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO: Section 1 That the City Council of the City of Aspen hereby approves that agreement for professional services between the City of Aspen, Colorado, and Turner Collie & Braden Inc, regarding the design of the S-Curves Improvements, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the City Manager of the City of Aspen to execute said agreement on behalf of the City of Aspen. I~n S~ Koch, City Clerk ASPEN CITY COUNCIL WORK SESSION MEETING NOTES MEETING DATE: June 8, 2004 AGENDA TOPIC: PRESENTED BY: COUNCIL MEMBERS PRESENT: S-Curves Engineering Analysis, Mill & Main intersection options John Krueger and Lynn Bader, Transportation Helen Klanderud, Terry Paulsen, Rachel Richards, Tim Semrau, Torte SUMMARY OF DISCUSSION: At this meeting, City Council revisited the S-Curves Task Force recommendations and discussed potential pedestrian safety improvements to the intersection of Mill and Main. Staff from Turner, Collie & Braden provided the engineering analysis for both topics. 1. S-Curves Next Steps: Nick Senn with Turner Collie & Braden addressed questions that were brought up by Council at the previous s-curves work session, held on March 9. Specifically, these topics included: a comparison of the various Cemetery Lane options; a comparison of starting points for the proposed transit only lane; and a discussion of a 4-lane option through the s-curves. Several members of the S-Curves Task Force were in attendance and were actively involved in the discussion, which centered upon which recommendations should be forwarded to CDOT for approval. Council Members expressed a desire to try various options such as Cemetery Lane alternatives and street closures on a temporary basis, should CDOT allow. Also discussed were funding options, including potential EOTC contributions to the bus lane and 8th street improvements should they be approved by CDOT. Staff requested a supplemental appropriation of approximately $50,000 to finance the work needed to prepare s-curves proposals for CDOT approval. Council requested that the following items be submitted to CDOT for approval: 1. 8th Street crosswalk improvements 2. Main Street Transit lane 3. Cemetery Lane peak-period turn restrictions 4. Various street closures Council requested that the street closures, Cemetery Lane restrictions and transit lane be approved for temporary trial periods. Council felt that the trail connections and signing portions of the s-curve recommendations could be handled internally by the Parks and Streets departments, and therefore do not need to be forwarded to CDOT. In addition to these requests, Council also asked staffto move forward with open houses and to review the potential for replacing lost Main Street parking by adding spaces on side streets. 2. Mill & Main Improvements Council was presented with a variety of options that could improve the pedestrian experience at the Mill and Main intersection. These included: 1. Eliminating right tums on red from the south 2. Prohibiting pedestrians from crossing the west leg of the intersection 3. Changing the pavement surface to alert drivers 4. Increasing the pedestrian cycle 5. Creating a pedestrian-only phase for all pedestrian movements (Barnes Dance) Also discussed were audible signals, similar to those in Glenwood Springs as well as the retiming of the signal to provide pedestrians with a 5-second "head start". POLICY DIRECTION: 1. Move forward with CDOT approval process for s-curves 2. Request CDOT approval for Mill & Main intersection timing improvements 3. Begin public open house process for s-curves ACTION ITEMS: 1. Supplemental budget request for funding s-curve and Mill & Main CDOT submittals. 2. Public open houses 3. Report back to Council on potential replacement of Main Street parking spaces. AGREEMENT FOR PROFESSIONAL SERVICES This Agreement made and entered on the date hereinafter stated, between the CITY OF ASPEN, Colorado, ("City") and Turner Collie & Braden ][nc, ("ProfessionaI"). For and in consideration of the mumm covenants contained herein, the parties agree as follows: 1. Scope of Work. Professional shall perform in a competent and professional manner the Scope of Work as set forth at Exhibit 'A" attached hereto and by this reference incorporated herein. 2. Completion. Professional shall commence work Lmmediately upon receipt of a written Notice to Proceed from the City and complete all phases of the Scope of Work as expeditiously as is consistent with professional skill and c~re .and the orderly progress, of the Work in a timely manner. The parties anticipate'that all work pursuant ro this agreement shall be completed no later than per project agreement. Upon request of the City, Professional shall submit, for the City's approval, a schedule for the performance of Professional's services which shall be adjusted as required as the project proceeds, and which shall include allowances for periods of time required by the City's project engineer for review and approval of submissions and for approvals of authorities having jurisdiction over the project. This schedule, when approved by the City, shall not, except for reasonable cause, be exceeded by the Professional. 3. Payment. In consideration of the work performed, City shall pay Professional on a time and expense basis for all.. work performed. The hourly rares for work performed by Professional shall not exceed those hourly rares set forth at Exhibit "B" appended hereto. Except as otherwise mutually agreed to by the parties the payments made to Professional shall not initially exceed $50,000.00 . Professional shall submit, in timely fashion, invoices for work performed. The City shall review such invoices and, if they are considered incorrect or untimely, the City shall review the matter with Professional within ten days from receipt of the Professional's bill. 4. Non-Assignability. Both parties rec6gnize that this contract is one for personal services and cannot be transferred, assigned, or ~ublet by either party without prior written consent of the other. Sub-Contracting, if authorized, shall not relieve the Professional of any of the responsibilities or obligations under this agreement. Professional shall be and remain solely responsible ro the City for the acts, errors, omissions or neglect 'of any subcontractors officers, agents and employees, each of whom shall, for this purpose be deemed to be an agent or employee of the Professional to the extent of the subcontract. The City shall not be obligated to pay or be liable for payment of any sums due which may be due to any sub-contractor. 5. Termination. The Professional or the City may terminate this Agreement, without specifying the reason therefor, by giving notice, in writing, addressed to the other party, PS 1-971.doc Page 1 Specifying the effective date of the termination. No fees shall be earned after the effective date of the' termination. Upon. any termination, all finished Or unfinished documents, data, studies,' sm'veys, drawings, maps, models, photographs, reports or other material prepared by the Professional pursuant to this Agreement shall become the property of the City. Notwithstanding the above, Professional shall not be relieved of any liability to the City for dmnages sustained by the City by virtue Of any 'breach of tlzis Agreement by the Professional, and the City may withhold ~q~ny payments to the Professional for the purposes of set-off until such time as the. exact amount of damages due the City from the Professional may be determined. 6. Covenant A?fnst Conti.ngent Fees. The Professional warrants that s/he has not employed or retained any company or person, other than a bona fide employee working for the Professional, to solicit or secm'e this contract, that s/he has not paid or agreed to pay any company or person, other than a bona fide employee, may fee, commission, percentage, brokerage fee, gifts or any other consideration comingent upon or resulting from the award or making of this contract. 7. Tndependent Conrrac~mr Statns. It is expressly acknoYvledged and ttnderstood by the parties that nothing contained in this agreement shall result in, or be construed as establishing an employment relationship. Professional shall be, and shall perform as, an independent Contractor xvho agrees to use his or l~er best efforts to provide the said services on behalf of the City. No agent, employee, or servant of Professional shall be, or shall be deemed to be, the employee, agent or serwnnt of the City. City is interested only in the results obtained under this contract. The manner and means of conducting the work are under the sole control of Professional. None of the benefits provided by City to its employees including, but not limited to, workers' compensation insurance and unemployment insurance, are available from City to the employees, agents or servants of Professional. Professional shall be solely and entirely responsible for its acts and for the acts of Professional's agents, employees, servants and subcontractors during the performance of this contract. Professional shall indemnify City against all liability and loss in connection with, and shall assume full responsibility for payment of all .federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax law, with respect to Professional and/or Professional~ s employees engaged in the performance of the services agreed to herein. 8. Indemnification. Professional agrees to indemnify and hold harmless the City, its officers, employees, insurers, and self-insurance pool, from and against all liability, claims, and demands, on account of injury, loss, or damage, including without limitation claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever, which arise out of or are in any manner comaected with this contract, if such injury, loss, or damage is caused in xvhole or in part by, or is claimed to be caused in whole or in part by, the act, omission, error, professional error, mistake, negligence, or Other fault of the Professional, any subcontractor of the Professional, or any officer, employee, representative, or agent of the Professional or of any subcontractor of the Professional, or which arises out of any workanen' s compensation claim of any employee of the Professional or of any employee of any subcontractor of the Professional. The Professional PS 1-971. doc Page 2 agrees to investigate, handle, respond tO, and to provide defense for and defend against, any such liability, claims or demands at the sole expense of the Professional, or at the option of the City, agrees to pay the City or reimburse the City for the defense costs incurred by the City in cmmection with, any such liability, claims, or demands. If it is determined by the final judgment of a coUrt of competent jurisdiction that such injury, loss, or damage was caused in whole or in part by the act, omission, or other fault of the City, its offcers, or its employees, the City shall 'reimburse the Professiohal for the portion of the judgment attributable t© such act, omission, or other fault of the City, its officers, or employees. 9. Professional's Insurance. (a) Professional agrees to procm:e and maintain, at its own expense, a policy or policies of insurance sufficient to insure against all liability, claims, demands, and other obligations assm:aed by the ProfeSsional pursuant to Section 8 above. Such insurance shall 'be in additiOn to any other insurance requirements imposed by this Contract or by law. The Professional shall not be relieved of any liability, claims, demands, or other obligations assumed pursuant to Section 8 aboVe by reason of its failure to procure or maintain insurance, or by reason of its failure to procure or maintain insurance.in sufficient amounts, duration' or types. (b) Professional shall procure and maintain, and shall cause any subcontractor of the Professional to procure mhd mMntaln, the m/nimum insurance coverages listed below. Such coverages shall be procured and maintained with forms and insurance acceptable to the City. All coverages shall be continuously maintained to cover ail liability, claims, demands, and other obligations assumed by the Professional pursuant to Section 8 above. In the case of any claims- made policy, the necessary retroactive dates and extended reporting periods shall be procured to maintain such continuous coverage. (i) ~orkers' Compensation insurance .to cover' obligations imposed by applicable laws for any employee engaged in the performance of work Under this contract, and'. Employers' Liability insurance with minimmn limits, of FIVE HUND~D THOUSAND DOLLARS ($500,000.00) for each accident, FIVE HUNDRED THOUSAND DOLLARS ($500,000.00) disease policy limit, and FIVE HUNDRED THOUSAND DOLLARS ($500,000.00) disease each employee. Evidence of qualified self-insured..status may be substituted for the Workers' Compensation requirements of this paragraph. (ii) Commercial General Liability insurance with minimum combined single limits of ONE MILLION DOLLARS ($1,000,000.00) each occurrence and ONE MILLION DOLLARS ($1,000,000.00) aggregate. The policy shall be applicable to all premises and operations. The policy Shall include coverage for bodily injury, broad form property damage (including completed operations), personal injury (including coverage for contractual and employee acts), blanket contractual, independent contractors, products, and completed operations. The policy shall contain a severability of interests provision. (iii) Comprehensive AzttoMobile Liability insurance with. minimum combined single limits for bodily injury and property damage of not less than ONE MILLION PS1-971. doc Page 3 DOLLARS ($1,000,000.00) each occurrence and ONE MILLION DOLLARS ($1,000,000.00) aggregate with respect ro each Professional' s owned, hired and non- owned vehicles assigned to or used in performance of the Scope of Work. The policy shall contain a severability of interests provision. If the Professional has no owned automobiles, the requirements of this Section shall be met by each employee of the Professional providing services to the City under this contract. (iv) Professional Liability insurance with the minim.un limits of ONE MILLION DOLLARS ($1,000,000) each claim and ONE MILLION DOLLARS ($ t, 000,000) aggregate. (c) The policy or policies required above shall be.endorsed to include the City and the City's officers and employees as additional insureds. Every policy required above shall be primary insurance, and any insurance carried by the City, its officers or employees, or carried by or provided through any insurance pool of the City, shall be excess and not contributory insurance to that provided' by Professional. No additional insured endorsement to the policy required above shall contain any exclusion for bodily injury or property danxage arising from completed operations. The Professional shall be solely responsible for any deductible losses under any policy required above. (d) The certificate of insm:ance provided by the City shall be completed by the Professional's insurance agent as evidence that policies providing the required coverages, condi- tions, and minimum limits are in full force and effect, and shall be reviewed and approved by the City prior to commencement of the contract. No other form of certificate shall be used. The certificate shall identify this contract and shall provide that the coverages afforded under the policies shall not be canceled, terminated or materially changed until at least thirty (30) days p?ior written notice has been given to the City. (e) Failure on the part of the Professional to procure or maintain policies providing the required 'coverages, conditions, and minimum limits shall constitute a material breach of contract upon which City may immediately terminate this contract, or at its discretion City may procure or renew any such policy or any extended reporting period thereto and may pay. any and all premimns in connection therewith, and all monies so paid by City shall be repaid by Professional to City upon demand, or City may offset the cost of the premimns against monies due to Professional from City. (I) City.reserves the right to request and receive a certified copy of any policy and any endorsement thereto. (g) The parties hereto understm~d and agree that City is relying on,. and does not waive or intend to waive by. any provision of tlfis contract, the monetary limitations (presently '$150,000.00 per person and $600,000 per occurrence) or any other rights, irmrmnities, and protections provided by the Colorado Governmental Immunity Act, Section 24-10-101 et seq., PS1-971. doc Page 4 C.R.S., as from rime to time amended, or otherwise available to City, its. officers, or its employees. 10. City's Tnm~rmnce. The parties hereto understand that the City is a member of the Colorado Intergovernmental Risk Sharing Agency (CIRSA) and as such participates in the C~[RSA'Propeyty/Casualty pool. Copies of the CIRSA policies and manual are kept at the City of Aspen Finance Department and are available to Professional for inspection during normal business hours. City makes no representations whatsoever with respect to specific coverages offered by CIRSA. City shah provide Professional reasonable notice of' any changes in its membership or participation in CIRSA. 11. Compl_e_teness of Agreement. It is expressly agreed that this agreement contains the entire undertaking of the parties relevant to the subject matter thereof and there are no verbal or written representations, agreements, warranties or promises pertaining to the project matter thereof not expressly incorporated in this writing. 12. Notice. Professio. nal agees to meet all of the' requirements of City's municipal code, Section 1 ~-98, pertaining to non-discrimination in employment. 14. Waiver. The waiver by the City of any term, covenant, or condition hereof shall not operate as a 'waiver of any subsequent breach of the sanne or any other term. No term, covenant, or condition of this Agreement can be waived except by the written consent of the City, and forbearance or indulgence by the City in any regard whatsoever shall not constitute a waiver of any term, covenant, or condition to be performed by Professional to which the same may apply and, until complete performance by Professional of said term, covenant or condition, the City shall be entitled to invoke any remedy available to it under this Agreement or ~y law despite any such forbearande' or indulgence. 15. Execmion of Agreement hy City. This agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. Notwith- standing anything to the contrary contained herein, this agreement shall not be binding upon the PS1-971. doc Page City tmless duly executed by the Mayor of the City of Aspen (or a duly authorized official in his absence) following a Motion or Resolution of the Council of the City of Aspen authorizing the Mayor (or a duly authorized official in his absence) to execute the Same. 15. General Terms. (a) It is agreed that neither tkds agreement nor any of its terms, provisions, conditions, representations or covenants can be modified, changed, terminated or amended, waived, superseded or extended except by appropriate written instrument fully ekecuted by the parties. (b) If any of the provisions of this agreement shall be held invalid, illegal or unenforceable it shall not affect or impair the validity, legality or enforceability of any other provision. (c) The parties acknowledge and understand that there are no conditions or limitations to this understanding except those as contained herein at the time of the execution hereof and that after execution no alteration, Change or modification shall be made except upon a writing signed by the parties. (d) This agreement shall be governed by the laws of the State of Colorado as from time to time in effect. PS1-97t.doc Page 8 CITY OF ASPEN S-CURVE IMPROVEMENTS DESIGN SCOPE OF SERVICES I. PROJECT DESCRIPTION The planned improvements along the State Highway 82 corridor from the Maroon Creek Roundabout to the intersection of Main and Garmisch are those recommended by Aspen City Council during the June 8, 2004 council proceedings. The improvements will be presented to CDOT for permitting and approval in two packages separating the signal improvements from the geometric or access improvements. The signal improvements package will consist of the following improvements: · Peak period left turn restriction (3/4 access) at Cemetery Lane · Improvements to the Main and Mill pedestrian timing to improve safety The geometric/access improvements package will consist of following improvements: · Eighth Street closure and bus stop/crosswalk improvements · Seventh and Hallam access restriction and curve softening · Bleeker closure and striping improvements on Seventh · Seventh and Main access restriCtion and curve softening · Main Street transit lane striping, including parking replacement plan The consultant is responsible for the design survey, completion of access permits, final design of the improvements, utility locates, signing and pavement marking plans and construction phasing plans as well as any coordination with Colorado Department of Transportation (CDOT), City of Aspen and/or affected utility companies. Some additional work will be needed t° gather parking demand information for the parking spaces that will be displaced on Main Street to make room for the transit lane. New locations for parking displaced include potential angle parking along side streets off Main Street. These options will be explored and a preferred option for parking relocation will be selected and incorporated in the permit application. The work products consist of final plans (FOR) and final construction drawings, specifications, contract and bid documents. The drawings will be prepared to CDOT guidelines. Design criteria for all roadway items will be taken from CDOT's Roadway Design Manual. Standard drawings and specifications for construction will be those used by CDOT. TCB will review the City of Aspen specifications, design criteria, and construction details to determine where such items may be substituted in the plans and documents. CDOT nomenclatUre will be used for bid items, references to the work and the preparation of estimates and bid tabulations. 1 of 5 II. WORK TASKS A. Project Management and Coordination Initial Project Meeting. An initial meeting will be held and an on-site inspection will be made to ensure that the project team, CDOT, and the City of Aspen are familiar with the existing conditions as well as the project requirements. The consultant shall conduct this meeting. An additional meeting will be made with CDOT staff traffic prior to the submittal of the Access Permit to discuss to contents of the package. Progress Meetings. The Consultant and City of Aspen will meet twice a month to coordinate the work effort, resolve problems, update the schedule, and determine information or items required from other agencies. 3. Progress Reports and Billings. Progress reports and billings will be submitted on a four or five-week basis (12 times a year). B. Design Surveys The areas proposed for construction will need surveyed information to create tie-in points to the existing infrastructure. Locations for all existing storm drainage facilities, utilities, edges of pavement, curbs, sidewalks, signs, bridges, buildings, and trees (diameter >4") located within the project limits will be determined and included into the mapping. The horizontal and vertical control used for the State Highway 82 project will be uSed to obtain the necessary survey. C. Hydraulic Assessment In an effort to economize the design effort, a complete hydrological analysis will not be done for the project. It is assumed that the existing storm water system is adequate to handle the minor changes in driving surfaces. An effort will be made to ensure that all drainage affected by the street closures will be mitigated. No new drainage structures are anticipated within the design. D. Utilities Existing utility locations will be plotted on the base maps from field survey data, maps from the utility companies, and field locations. Locations of manholes, valves, poles, riser boxes, hydrants, and meters will also be shown. The plans will be sent to the City of Aspen and affected utility companies for location verification. The base maps will be revised as per comments from the utility companies and the City. Conflicts with existing utilities will be determined and relocations will be coordinated with the appropriate utility company. Utility drawings showing proposed horizontal locations of underground utilities will be inclUded in the plans for information only. 2 of 5 TCB understands the urgency to relocate the utilities in the area before proposed construction. Early design work will be undertaken to help coordinate and expedite this effort. Permits CDOT Access Permit - TCB has broken its design work into two components (signalization and geometric improvements) to expedite the permitting and construction packaging process. The Access Permits will quickly be submitted for review and approval based upon the previous work done for the City of Aspen in the S-Curve Analysis while some of the final design activities are taking place. Comments from the review and approval process will be incorporated into the construction plans and specifications. TCB will then submit to CDOT Region 3 Traffic the final construction plan sets for review to modify the intersections and change access points along SH 82. F. Construction Documents Final Design After the initial public meetings, final plans, specifications and estimates will be completed. Plan quantities will be calculated, tabulated and a summary of quantities prepared. A sealed set of plans will be submitted review by CDOT. A complete set of plans and specifications will also be submitted to the City of Aspen and any affected utility companies. It is estimated that there will be approximately 25 sheets of construction drawings. Special provisions will be written to supplement CDOT's Standard Specifications and Standard Special Provisions. An estimate of probable construction costs will be prepared using final quantities and bid prices from related construction projects. Bid Documents After the CDOT review of the access permit documents, final corrections will be made to the plans and specifications and reproduced for advertisement. The City of Aspen will be responsible for advertising the project. TCB will be able to answer contractor's questions regarding the project and prepare any addendum's that may be necessary to finalize the bid set. A pre-bid conference is recommended to review the proposed project with prospective contractors. G. Parking Displacement Analysis Parking Survey TCB will assist the efforts of the Aspen Parking Management staff in gathering data and surveys of impacted businesses on Main Street that will be affected by the loss of parking due to the transit lane. Businesses south of Main Street will be focused on, since these businesses will be losing permanent use of the parking on Main Street; businesses on the north side of the street will only lose parking during the afternoon peak period. 3 of 5 Parking Displacement Side streets north and south of Main Street with adequate width will be identified as potential areas for relocating the spaces lost on Main Street. Angle parking will only be allowed in front of commercial properties. Parking adjacent to residential properties will not be changed. Time and usage restrictions of the displaced parking shall be kept the same as the existing time and usage restrictions. Signing and Pavement Marking The plan sheets prepared for the Main Street transit lane restriping will also show the parking space relocation plan. Tabulations of the existing and proposed number of parking spaces will be provided in addition to the tabulations of signing and striping quantities associated with the transit lane improvements. H. Construction Phasing A final construction phasing with traffic control plan will be developed which integrates the construction of all project work elements into a practical and feasible sequence. This plan will accommodate the existing traffic movements during construction, and a final traffic control plan developed which will be compatible with the phasing plan. I. Landscaping and Urban Design Landscaping services will be include in a follow on task order if requested by the City of Aspen that would include the design of plantings, seeding, sod, decorative paving, and irrigation systems. Urban design services will consist of assisting in the selection of bollards, signage, and appropriate treatments of the Eighth Street crosswalk and bus shelters. TCB will work with the Parks and Recreation Department to aid their efforts if they elect to undertake these efforts. J. Pre-Bid Meeting A Pre-Bid meeting will be held on site to inform the prospective bidders of the details of the project. The Engineer will provide staff to answer questions or address concerns generated during and after the meeting with the City staff. The City of Aspen will be responsible for advertising/notifying the appropriate individuals, consortiums, or general public (via radio, newspapers, newsletter, etc.) of the meeting times and places. K. Public Outreach TCB will aid and provide display materials for up to two public meetings to display the efforts of the S-Curve Task Force in 2003 and the subsequent engineering analyses. These meetings are intended to disseminate the information produced in the last year's efforts to improve the S-Curves within the existing alignment. 4 of 5 III. DELIVERABLES 1. Exhibits, simulations and handouts for public meetings 2. Final design plans with final construction estimate 3. Access permits aPplications for CDOT 4. Bid documents for project advertisement with final quantities IV. COMPENSATION Payment for this work will be a payroll factor compensation for labor (See Attachment A for labor breakdown). The payroll multiplier for this labor is 2.85. Any direct costs incurred during the project will be reimbursed at their value and Sub-consultants will be reimbursed for their work, with an amount not to exceed amount, plus a mark up of 10% fee. The total cost for this scope of work is an amount not to exceed $49,318.72, unless otherwise directed by the client.
