4. Licensee is responsible for Elte maintenance and repair of the public right-of-way, together with
improvements constrllctec! therein, which Aspen, in the exercise of its discretion, shall determine to be
necessmy to keep the same in a safe and clcan condition. The liCensee shall obtain Right Of Way and
Building Permit as required Elte City Community Development Oepanment for any werle to be
performed in the public tigbt-of-way with design approvals for such work obtained from die City
Parks and Engineering Departments as apptopriate. licensee agrees to join any improvement district
formed for the putpose of constrllcting improvemeal3 in and to the public right-ot'-way.
S. Licensee shalla all times during the tenD. hereof, carry pubUc liability itlsur.lnce for the benefit
of tile City with limits of not less than thosc spec::ified by Section 24-10-114, CltS., (ClIIIllI1t1y
$150,QOO.per pe.rsOll and. $600,000 per oc:currence) as may be amended from time to time, aaming r,he
. City as co-insured. Licensee shaI1 maintain said coverage in fun force and =ffect during the te:lm of
this Lic;ense . and shall famish the City with a copy of such coverage or a certific:iIte evidencing such
covemge. All insurance policies maintained pur.;u:mt to this agreement shall contain the following
endorsement: "It is hereby understood and agreed that this insurance policy may not
be canceled by the surety until thirty (30) days after recdpt by the City, by registered
mai~ of a written notice oj such intention to cancel or not to renew." The Licensee
shall sb.ow proof of this insurance to the City before tllis agreement is filed.

6. Licensee sb.all save, defend an!! hold liarmless against any and all claims for damages, costs and
expenses, to persons or property that may arise out of. or De occasioned by the use, occupancy and
maintenance of said property by Licensee, or from any act or omission of any representative, agent,
customer and/or employee of Licensee.
7. This license may be tern1inated by Licensee at any time and for any re:ison on thirtY" (30) days
written notice of Liccnsee's intent to cll1lcel. This license may be terminated by Aspen at any time and
for any reason. 'Upon termi">ttion LicellSee shall, at Licensee's expellSe, remove any improvements or
encroachments from said property. The property shall be restored to a condition satisfactory to Aspen.
8. This license is subject to aU state laws, the provisions of the Charter of the City of Aspen as it
now exists or ll1ll.y hereafter be aIXletldec!, and tile ordinlulces of the City of Aspen now in effeet or
those which may hereafter be adopted.
!}. Nothing herein shall be construed so as to prevent Aspen from gtallting such addjtionallicenses
or property interests .in or affectin~ said property as it deems necessary. .
10. The conditions hereof imposed on the granted license of encroachment shall eoDStitute
covenants running with the land, and binding upon Licensee, Elteir heirs, successors and assigns.
11. In any legal action to enforce the' provisions of this Agreement, the prevailing patty shall be
entitled to its reasonable attorney's fees.
12. If the structare(s) for which this license was issued Ware removed for any reason, Licensee may .
not rd1uild in-the same location without obtaining anotbet' cnc:roaclmlent license prior to building. It is .
City policy to preserve public rights-of-way for the genC:rai public benefit, and it is not anticipated that
reconstruction of encroachments woald be pll!!tIitted. .
