QR OR CJTY_MAN4Q~E,.R TO EXECUTE ~Am MEMORANDUM ON BEHALF OF THE CITY OF ASPEN, COLORADO. WHEREAS, there has been submitted to the City Council a Memorandum of Understanding for mitigation services to relocate the existing sewer line away from the building envelope of the new Aspen Pitkin County Animal Shelter, between the City of Aspen and The Aspen Consolidated Sanitation District, a true and accurate copy of which is attached hereto as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ASPEN, COLORADO:' That the City Council of the City of Aspen hereby approves that Memorandum of Understanding for mitigation services to relocate the existing sewer line away from the building envelope of the new Aspen Pitkin County Animal Shelter, between the City of Aspen and The Aspen Consolidated Sanitation District, a copy of which is annexed hereto and incorporated herein, and does hereby authorize the Mayor or City Manager to execute said memorandum of understanding on behalf of the City of Aspen. Koch, duly appointed and acting City Clerk do certify that the foregoing is a true and accurate copy of that resolution adopted by the City Council of the City of Aspen," Colorado, at a meeting held on the day hereinabove stated, dj~r.. ~ TLO- saved: 9/28/2004-306-G:\tara~Resos~ACSD.sewer.doc MEMORANDUM OF ~E~TANDING ~ BETWEEN THE CITY OF ASPEN AND THE ASPEN CONSOLIDATED SANITATION DISTRICT THIS MEMORANDUM OF UNDERSTANDING entered into at Aspen, Colorado, this day of ,2004, by and between the CITY OF ASPEN, COLORADO, municipal Corporation and home-rule city (hereinafter "City") · and THE ASPEN CONSOLIDATED SANITAITON DISTRICT, a quasi-municipal corporation (hereinafter "ACSD). WITNESSETH: WHEREAS, the City is in a partnership with the Pitldn County: and WHEREAS, the construction of the Animal Shelter will impact the existing sanitary sewer system requiring mitigation; and WHEREAS, the ACSD has a contract with Lyon ConstrUction (Contractor) to complete the relocation of the sanitary sewer line; and WHEREAS, the City would benefit from pricing achieved in the ACSD contract with Lyon Construction; and WHEREAS, the parties hereto desire to memorialize the manner in which the ACSD will administer the contract with Lyon Construction to allow mitigation work required of the development above. NOW, THEREFORE, the parties hereto agree as follows with respect to ACSD's contract with Lyon Construction: I. Terms of the Contract ':. 1. The City shall have the opportunity to review and will approve or deny this and any change orders required to complete this sewer line relocation reqUired for the Animal Shelter. This review and approval or denial will occur prior to the issuance of any change orders. 2. Concurrently, the City shall have the opportunity to review and approve or deny any billing proposed for this and any change orders. 3. The City shall have the right to attend meetings, inspections, etc. as associated with this and any change orders. 4. ffapproval of this contract or any subsequent change orders is denied by the City, then the mitigation work associated with the proposed contract may not be completed and service to the Animal Shelter may be denied. 5. All change orders must be approved, in writing, by both the City and ACSD. 6. The scope of work and preliminary cost estimates are detailed in Exhibit A, which is attached. 7. The City agrees to pay all reasonable expenses incurred by the district for engineering development, surveying, construction observation, contract development and administration, easement costs, and CCTV surveys. Furnish and install 15" ASTM 3034 SDR 26 between Sta 0+00 and Sta 3+83, 0-15 ft depth, or approved equivalent sewer pipe for sanitary sewer main, including: pipe laying, jointing, bedding, compacted backfill; earth excavation for trench, excavation and compacted backfill; import fill material, ifnecessary; Iow pressure air ex fi l tration tests, flushing of sewer mains; transfen'ing all existing sewer services to new main including tees, wy, es, fittings, all necessary PVC service pipe and couplings necessary for transfer; total compensation to work within Pitkin County including traffic control, flaggers, obtaining all necessary permits, traffic control and traffic control .pimp, barricades, concrete barriers, signs, shoring; locating, and working around, existing utilities, local residents, and.businesses; prevent delays; removing, hauling, disposing of existing, asphalt pavement, concrete, and curb and gutter; trenchdewatering if necessary, including pumps, piping, screened rock sump; removing, hauling, and disposing of existing gravity · sewer pipe, service pipe (as required), manholes and other portions of the existing sewer system encountered during constructiofl to an offsite dump; abandoning existing gravity sewer and existing manholes in place including cOncrete plugs, removing and disposing of ring, cover and cone (or hauling to District yard, if required), plugging existing pipe inverts with flow fill, filling manholes with Class 6 base course and compacting, .and disposing of all remaining manhole parts; bypass pu'mping wastewater, if necessary, including pumps, piping, invert plugs; making all tie-ins required to the existing sanitary sewer main including preparing the pipe, making the connections, core drilling (if required), unclassified excavation, bedding, compacted backfill; supporting and working around existing utilities as they are encountered during construction; revegetation'of all disturbed areas; securing and maintaining staging area(s); and all miscellaneous work and materials, complete in place and ready for use, as shown on the.plans and called for in the specifications.
