Dear Mr. Wurl:
It has this date been brought to my attention thac
there is an annexation contest on the most recent annexation
to the city of Aspen. I have also been informed that the persons
residing within the area in question must be included in the
population figures of the City of Aspen in order for the
constitutional requirement of 2,000 persons to be met.
I discussed the annexation suit with ~harles F.
Stewart. who is representing the City, and he informs me that
it is impossible to predict the outcome of the suit. The
annexation is being challenged on basically two grounds; one,
that the annexation statute is unconstitutional, and second,
that absentee voting is not allowed. If they prevail on either
o:'these grounds the annexation will be declared null and void
and consequently the population of Aspen will dip below the
magic .2.,000 figure. without the 2,000 populatiOI),_ Aspen cannot
go home rule. Therefore" the entire question of home rule is
conditioned'on the outcome of the ,annexation suit.

if the annexation is upheld, there' is a possibility of a motion
for a new trial being filed and if denied. may be appealed to
the Colorado Supreme Court.
Accordingly, I would recommend that your ordinance
calling for the home rule question not be passed on second
reading and that all home rule proceedings be suspended pending
the outcome of the annexation litigation.

BY your letter of April 24, 1967, you forwarded for our considera-
tion and approval a Petition for Annexation ,of certain area more
spe<:ifically described in said P~ition..
Prior to Railroad's execution of this Petition, we would appreciate
a reply to the following questions:
1. Will the area to be annexed be supplied with Municipal
water to adequately support development of Railroad's
station grounds to a higher use?
2. Will adequate sewer lines be placed, and will the City
accept treatment for all sewerage. from these station
grounds? .

Dear Mr. Wurl:
The questions attached to your letter of October 16, 1967,
are answered as follows:
1. In answer to questions 1, 2, 4, 5, 6, 8 and 9, the county, the
city, the Sanitation District, the School District, Holy Cross Electric,
the Institute, and churches all have the right to cast one vote eech
prov~d they own any undivided fee interest in a surface estate in
the area proposed to be annexed. Since all said entities are corpora-
tions, or! quasi-municipal corporations, they may exercise their vote
by passing a resolution designating one of its officers to cast its
vote.
2. In answer to question 3, the Rio Grande Railroad Company
is entitled to one vote provided it owns an interest in fee in a surface
estate in the area proposed to be annexed.
3. In answer to question 7, each condominium owner within tne
are" proposed to be annexed ha,s a right to vote because by the terms
of the Condominium Ownership Act, Sec. 118-15-1, C.R.S.(1963)each
condo~~nium owner has an undivided fee simple interest in common
",Lements which include "the land on which a building or buildings are
located."
4. In answer to question 11, though we are not certain we under-

owners submitted in connection with the Petition for Annexocion, is
not public property, but rather for the sole use of the City of Aspen.

5. In answer to question 15, any property owner owning an
undivided fee interest in a surface estate in the area proposed to
be annexed is eligible to vote regardless of whether the payment
of 1966 taxes is delinquent.
6. In answer to that part of question 16 asking "who prepares
for printing of the ballots", either the City or the election
commissioners could, of course, prepare the ballots, but the cost
of doing so shall, in either event, be paid by the City. See Sec.
139-21-11(10). Sec. l39-2l-ll(8)provides:
"The ballot used in such election shall contain the words
'For Annexation' and 'Against Annexation'. At the time
of voting, each voter shall indicate his choice by placing
an 'X' opposite one or the other of said groups of words.
Voting machines may be used in the same manner as in
municipal elections."
Thus, it may be seen there should be no difficulty in preparing the
ballots.
7. In answer to questions 10, 12, 13 14, part of 16, and
17, all relating to absentee voting, we expressed the opinion in
our letter of October 16, 1967, and now reiterate, that there is
neither expressed nor implied authorization for absentee voting in
an annexation election. However, we went on to state that: "Neverthe-
less, out of an abundance of precaution, it may be desirable to permit
any person(landowner in the area proposed to be annexed)who desires
to vote an absentee ballot to do so upon compliance, and in accordance,
with the provisions of Sec. 49-14-1, et seq, to the extent the pro-
visions thereof are not inconsistent with the Municipal Annexation
Act of 1965", all to the end of precluding, to the extent possible,
any person from claiming he had been disenfranchised. On further
consideration, since in our opinion, absentee voting is not authorized
in an annexation election, and since there is no feasible or practical
nethcd of permitting absentee voting(the absentee voting provisions
of both the General Election Code, Sec. 49-14-1, et seq, and the
Municipal Election Code of 1965, 49-25-1, et seq, being entirely
inconsistent with absentee voting on an annexation election), we
recommend that no effort be made, nor procedure established, to permit

Dear Mr. Hurl:
You have advised that an annexation election will be held
December 5, 1967, under the provisions of the above entitled
Act, and have propounded the following questions for our opinion:

1. Who are qualified voters?
2. Hhere land is owned in joint tenancy, are all the
~oint tenants entitled to vote?
3. Can a corporate landowner vote and, if so, what is
the :;>rocedure?
4. Is there any right to absentee voting and, if so, what
is t~e procedure?
Sec. 139-21-21 of the Act contains the following applicable
definitions:
'(8) 'Landowner' means the owner in fee of any undivided
interest in a given parcel of land. If the mineral estate
is or has been severed, the landowner for the purpose of
this Article shall be the owner in fee of an undivided
interest in the surface estate, and not the owner in fee
of an undivided interest in the mineral estate. - - - - -
One who is purchasing land under a written contract duly
recorded shall be deemed the owner of the land which is
subject to the contra ct; provided, that he has paid the
taxes thereon for the next preceding tax year. - - - -
'(10) "Qualified elector' means a resident landowner of the
area proposed to be annexed, who is eligible to vote under
the gearal election, laws of the State of Colorado, as
evidenced by the rolls of registered voters of the county
in which such land proposed to be annexed is located.

Section 139-21-11, entitled "Election-Annexation Pursuant to
Election", provides in pertinent part:
"(2) Any landowner owning land in the area proposed to be
annexed may vote, irrespective of whether he is a qualified
elector. Any corporate landowner may by resolution designate
one of its officers to cast its votes; - - - -
'(5)Such(election)colnmissioners shall forthwith~ll an elec-
tion of all the qualified electors, or qualified electors and
landowners, as defined in Section 139-21-21."
Under the foregoing definitions, any person at least twenty-one
years of age, and corporations, owning an interest in fee in the
surface estate in any of the land proposed to be annexed is entitled
:::0 vote, irrespective of whether he is a "qualified elector" within
the meaning of the general election laws of the State of Colorado.
Persons owning land in fee in joint tenancy own undivided fee interests
~'ld, therefore, all such joint tenants are entitled to vote. Persons
purc~asing land under written contract duly recorded and who have
paid the taxes thereon for the next preceding tax year are deemed the
owner of the land and entitled to vote. A corporate landowner may
vote by passing a resolution designating one of its officers to cast
its vote.
The Act does not specifically authorize absentee voting.
\{hether absentee voting is authorized would appear to depend on
:::he construction of Section 139-21-22, entitled "Relation of this
Article to Other Laws" and which provides:
"The powers conferred and limitations imposed by this Article
shall be in addition and supplemental to, and not in substitu-
tion for, powers conferred by any other law."
The ",eaning of this Section is, to say the least, obscure. It
migh:l be argued that this Section(139-2l-22)was intended to incorporate
':.h(c ~rovisions of the "Colorado Election Code of 1963" to the extent
t:~e . rovisions thereof are not inconsistent with the Municipal Annexa-
E>c'c;:f 1965 and that therefore the absentee voti,ng provisions of the
Golcrado Election Code of 1963, Section 49-14-1, et seq, are applicable
to an annexation election. However, Section 49-1-2 provides:

Section 243; Bullington vs. Grabow, 88 Colo. 561, 798 p 1059. In
our opinion there is neither expressed nor implied authorization for
absentee voting in an annexation election. Nevertheless, out of an
abundance of precaution, it may be desirable to permit any person who
desires to vote an absentee ballot to do so upon compliance, and in
accordance, with the provisions of Section 49-14-1 et seq, to crle
extent the provisions thereof are not inconsisteo" with l:;le EUEicipal
Annexation Act of 1965. By permitting such absentee voting, you would
or should, preclude any person from claiming he has been disenfranchised.
If counting the absentee ballots does not affect the outcome of the
election, you have avoided a possible contest. On the other hand,
if counting the absentee ballots does affect the outcome of the election,
},t can then be deterruined whether absentee ballots should be counted or
~ot, and, in any event, there would be no need to hold a new election
~eC8~se of the failure to permit absentee voting.
The mechanics of determining who are i1landowners"\ar.d as such
,e:':ded to vote is not specified in the Act. It would appear that
,:>c three election commissioners appointed by the Court must determine
to 'C:leir o'~n satisfaction who are landowners at the time the votes are
cast. At least as to "non-resident landowners", the. election commis-
sioners can require that an affidavit be submitted by the "non-resident
landowner" reciting that he owns property in the area proposed to be
annexed and that he is twenty-one years of age, as provided for by
Sect:.on 139-21-21(11). As to "qualified electors", as defined by
Section 139-21-21, that is a resident landowner of the area proposed to
be annexed who is eligible to vote under the general election laws of
the State of Colorado, as evidenced by the rolls of registered voters
of the county in which such land proposed to be annexed is located,
there is no requirement for an affidavit of ownership but it would
seeffi that the election commissioners, in the exercise of their sound
c:~scretion, could require such voters to sign an affidavit that they
own ~n iuterest in fee in the land proposed to be annexed. Compare
Se~tion 49-25-14(2) of the Municipal Election Code of 1965 which
au;',::.rizes such affidavit on any question which has been submitted to
"taxpaying electors only".

The North Annexation case, ,Samuel W. Howell and Stanford
Bealm.ear vs. The City of Aspen, has been set for trial on
August 2nd and 3rd. In view of the manner in whichthi~
annexation was accomplished, it is my opinion that a suc-
cessfuldefense of this litigation is impossible. If the
Council wishes me to attempt-to do so, .I shall be happy
to proceed with ,the defense, ,but I believe that the pro-
blems involved should be explained to you beforehand.
They are as follows:
, 1. The statute in effect at the time of the
annexation provides that in determining territory eligible
for ana~tion and establishing the boundaries thereof,
"no territory owned by the same owner shall be divided in-
to separate parts without the written consent of the owner."
Property owned by Samuel Howell, The Denver
and Rio Grande Railroad, theR.E.A.,the Bradshaw Estate
and The Aspen Consolidated Mining Company was divided qy
the annexation line which was drawn. as an extension of
Galena street. I find nothing in the Council's minutes to
sUggest that this was the boundary authorized by the Council,
but as far as I am able to determine it was probably a line
determined by Davis Holder or J. D. McAlister. This I con-
sider to be the most serious defect in t,heproceedings,
since the courtsgenezally declare void an annexation pro,-
ceeding incorporating ineligible territory.
2. There is a difference of 125 feet between
one of the courses set forth in the legal description,at-
tached to the petition, and the distance for the same course
shown on the annexation maps.
A map drawn by thePlainti,ffs' engineer, in-
corporating this one error , ,shows a boundary far removed
from that' shown on o~ annexation maps, a boundary line
which crosses itself at one point, a description that fails
to close, and a lack of the required one-sizthcontiguity
between the old Aspen Townsiteandthe,territ:ory annexed.

matter of ammending the existing zoning regulations of the
City of Aspen to include the zoning of the territory
recently annexed under Ordinance No. 16, Series 1965,
an Ordinance providing for the annexation to the City of
Aspen, Colorado, of that certain territory of real estate
particularly described in this Ordinance" lying outside but
adjacent to said City of Aspen, Colorado and as, shown on
a map on file with the City Clerk of the City of Aspen,
Colorado, and also to discuss two (2) new zoning classi-
fications - T-l and R-30.

necessary for Your office to prepare an official annex-
aticn map. 'l'he !llap shall contdn tbe _tea and bounds
description on the map of the entire area annexed as
well as having the an~lEls. bearings. and distances of
each line of the newly-~e~ area. '!'he map prGpolj)ed
by you should dElO contain quit.e clearly theexist:ing
corporate lindt.s; and, U possihle, some of the sur-
rQunding area in the COlinty. It: mi,qht he a good idea
if you oould work f:rom the base map whioh has been
prepared as the official map of this area by Mr. G. E.
Buchanan.

the Attorney's opinion that a written description of
t.he annQxed area be so stated.

necessary for you. to prepare on you.r letterhead the
exact description of the annexed area. This letterhead
