A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO,
APPROVING A CONTRACT FOR GOLF COURSE IRRIGATION SYSTEM
RENOVATION, BETWEEN THE CITY OF ASPEN AND FORMOST
CONSTRUCTION CO, AND AUTHORIZiNG THE MAYOR OR CITY MANAGER
TO EXECUTE SAID CONTRACT ON BEHALF OF THE CITY OF ASPEN,
COLORADO.
WHEI~AS, there has been submitted to the City Council a contract for golf
course irrigation for the City of Aspen Golf Course irrigation system renovation,
between the City of Aspen and Formost Construction Co., a true and accurate copy of
which is attached hereto as Exhibit "A";
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY
OF ASPEN, COLORADO:
That the City Council of the City of Aspen hereby approves that Contract for golf
course irrigation system renovation for the City of Aspen Golf Course, between the City
of Aspen and Formost Construction Co., a copy of which is annexed hereto and
incorporated herein, and does hereby authorize the Mayor or City Manager to execute
said agreement on behalf of the City of Aspen.

CONTRACT FOR CONSTRUCTION
THIS AGREEMENT, made and entered into on
CITY OF ASPEN, Colorado, hereinafter called the "City", and
CO. , hereinafter called the "Contractor".

FORMOST CONSTRUCTION
WHEREAS, the City has caused to be prepared, in accordance with the law,
specifications and other Contract Documents for the work herein described, and has approved
and adopted said documents, and has caused to be published, in the manner and for the time
required by law, an advertisement, for the project: CITY OF ASPEN GOLF COURSE
IRRIGATION SYSTEM RENOVATION - PROJECT NO. 2005-032 , and,
WHEREAS, the Contractor, in response to such advertisement, or in response to direct
invitation, has submitted to the City, in the manner and at the time specified, a sealed Bid in
accordance with the terms of said Invitation for Bids; and,
WHEREAS, the City, in the manner prescribed by law, has publicly opened, examined,
and canvassed the Bids submitted in response to the published Invitation for Bids therefore,
and as a result of such canvass has determined and declared the Contractor to be the lowest
responsible and responsive bidder for the said Work and has duly awarded to the Contractor a
Contract For Construction therefore, for the sum or sums set forth herein;
NOW, THEREFORE, in consideration of the payments and Contract for Construction
herein mentioned:
The Contractor shall commence and complete the construction of the Work as fully
described in the Contract Documents.
The Contractor shall furnish all of the materials, supplies, tools, equipment, labor and
other services necessary for the construction and completion of the Work described
herein.
The Contractor shall commence the work required by the Contract Documents within
seven (7) consecutive calendar days after the date of "Notice To Proceed" and will
complete the same by the date and time indicated in the Special Conditions unless the
time is extended in accordance with appropriate provisions in the Contract Documents.
The Contractor agrees to perform all of the Work described in the Contract Documents
and comply with the terms therein for a lump sum not to exceed TWO MILLION~ THREE
HUNDRED NINETY-SEVEN THOUSAND~ ONE HUNDRED THIRTY-TWO DOLLARS
($ 2~397~132.00) as shown on the BID proposal.

The term "Contract Documents" means and includes the documents listed in the City of
Aspen General Conditions to Contracts for Construction (version GC97-2) and in the
Special Conditions. The Contract Documents are included herein by this reference and
made a part hereof as if fully set forth here. Additional contract documents include:
Exhibit "A": Estimated Quantities & Unit Prices - IR's 1 - 68 with Addendum #2. 12 pgs.
Exhibit "B": Bid Clarifications, dated 8/11/05. 2 pgs.
Exhibit "C": Lump Sum Bid Clarifications, dated 8/25/05 with contract breakdown. 2 pgs.
The City shall pay to the Contractor in the manner and at such time as set forth in the
General Conditions, unless modified by the Special Conditions, such amounts as
required by the Documents.
This Contract For Construction shall be binding upon all parties hereto and their
respective heirs, executors, administrators, successors, and assigns. Notwithstanding
anything to the contrary contained herein or in the Contract Documents, this Contract For
Construction shall be subject to the City of Aspen Procurement Code, Title 4 of the
Municipal Code, including the approval requirements of Section 4-08-040. This
agreement shall not be binding upon the City unless duly executed by the City Manager
or the Mayor of the City of Aspen (or a duly authorized official in his/her absence)
following a resolution of the Council of the City of Aspen authorizing the Mayor or City
Manager (or a duly authorized official in his/her absence) to execute the same.
This agreement and all of the covenants hereof shall inure to the benefit of and be
binding upon the City and the Contractor respectively and their agents, representatives,
employees. Successors, assigns, and legal representatives. Neither the City nor the
Contractor shall have the right to assign, transfer or sublet his or her interest or
obligations hereunder without the written consent of the other party.
This agreement does not and shall not be deemed or construed to confer upon or grant
to any third party or parties, except to parties to whom the Contractor or the City may
assign this Contract For Construction in accordance with the specific written consent, any
rights to claim damages or to bring suit, action or other proceeding against either the City
or the Contractor because of any breach hereof or because of any of the terms,
covenants, agreements or conditions herein contained.
No waiver of default by either party of any terms, covenants or conditions hereof to be
performed, kept and observed by the other party shall be construed, or operate as, a
waiver of any subsequent default of any of the terms, covenants or conditions herein
contained, to be performed, kept and observed by the other party.
The parties agree that this Contract For Construction was made in accordance with the
laws of the State of Colorado and shall be so construed. Venue is agreed to be kept
exclusively in the courts of Pitkin County, Colorado.
In the event that legal action is necessary to enforce any of the previsions of this
Contract for Construction, the prevailing party shall be entitled to its costs and
reasonable attorney's fees.

This Contract For Construction was reviewed and accepted through the mutual efforts of
the parties hereto, and the parties agree that no construction shall be made or
presumption shall arise for or against either party based on any alleged unequal status of
the parties in the negotiation, review or drafting of this Contract For Construction.
The undersigned representative of the Contractor, as an inducement to the City to
execute this Contract For Construction, represents that he/she is an authorized
representative of the Contractor for the purposes of executing this Contract For
Construction and that he/she has full and complete authority to enter into this Contract
For Construction for the terms and conditions specified herein.
IN WITNESS WHEREOF, the parties agree hereto have executed this Contract For
Construction on the date first above written.

FAILURE TO COMPLETE THE WORK ON TIME
The undersigned contractor declares his/her full awareness of the content and terms of this contract and
affirms that the contractual time is the period mentioned in the contract Specifications plus the time
extension(s), if any, granted by the City of Aspen for successful completion of project. The
undersigned contractor further acknowledges he/she understands and agrees to liquidated damages to
be deducted from moneys due to him/her for any delayed calendar day beyond the total time at the rate
of $100. OOper day. This amount and the total allowed time by the City shall not be negotiable under
any conditions.

Poor quality and workmanship shall not be paid for by the City.
Such work product must be removed immediately and replaced
properly at no cost to the City,
All quantities stipulated in the bid form at unit prices are
approximate and are to be used only as a basis for estimating the
probable cost of work and for the purpose of comparing the bids
submitted to the City. The basis of payment shall be the actual
amount of materials furnished and work done. The Contractor
agrees to make no c~aims for damages, anticipated profit, or
otherwise on account of any differences between the amount of
work actually performed and materials actually furnished and the
estimated amount of work.
The City reserves the right to increase or decrease the amount of
work to be done on the basis of the bid unit price and up to plus

Addendum #2
There is a conflict between page #5 of 8 pump station and the pump building design. The irrigation plans
should be modified to include the following:
I)
Pump discharge pipe will need to go West (toward the lake) and under the slteam before going
South as shown.
2)
The wet well canter will need to be r~vlsed from 21'-I" to 19'-0" as measured from the North
wall.
Thc pump dingram will need to rotate 180° with the discharge going North, not South ns
shown.
4)
An $', 90° flanged elbow will need to be added at the North discharge ofthe pump to redirect
the flow West.
5)
The notch for the pump "Zee" pipe will be in the concwte pad 30" x 24' to allow lhe pipe to
be set below the footings.
6)
The pump dischnrgc dogleg/Zee pipe will need to be extended to 10' deep from the 4'-8" ns
The pipe will need to extend up to 40' out from the building, under the ditch and transition
South.
8)
The revised pump hatch in the roofwifl need to be 72" x 72" center, measurod 19'-0" to
outside North wall and 9'-I" to outside West wall.

THE FOLLOWING BID CLARIFICATIONS WILL BECOME PART OF THIS PROPOSAL
ASPEN GOLF COURSE RENNOVATION
1) Cart Paths crossing replacement to be 6 inches on either side of the trench cut in lieu of excavating and
replacing to existing expansionjoints. '
2) If prevailing wage labor is required or requested, additional costs will be responsibility of Owner.
3) No vacuum excavating to expose existing utilities. Utilities will be exposed by hand using extreme caution.
4) If installation of irrigation system is stopped or delayed by Owner's representatives for a period of 10 (ten)
consecutive working days, Contractor to receive compensation to re-mobilize.
5) Bench mark dates are approximate. Dates to be reviewed if awarded contract.
6) Spoil and excess material will be disposed of on-site.
7) Retention on progress billings to be 5%.
8) This proposal is contingent upon agreeing on written contract language acceptable to Contractor & Owner.
9) Owner to provide on-site dumping area for excessive rock, debris or soil.
10) Prices include only two start-ups and two winterizings of system. No winterizing in '07 or startup in '08.
11) Prices include only 600 yardage markers on sprinkler tops.
12) Any dewatering of lake, wet well location etc., will be based on time and material plus 10%. Owner's field
representative shall verify.
13) Power meter at pump house location to be no more than 25' from pump station main disconnect.

Formost Construction is proposing a lump sum revised bid amount of $2,397,132.00 for the
installation of the irrigation system at Aspen GC. The following changes have been made to
the original proposal:
IR-8 has been removed from the bid.
IR-11 has been removed from the bid.
IR-12 has been removed from the bid.
IR-13 has been removed from the bid.
IR-14 has been removed from the bid.
IR- 15 has been removed from the bid.
IR-35 has been revised to two 8" connections at $1,600 each.
IR-37 has been removed from the bid.
IR-38 has been removed from the bid.
IR-39 has been removed from the bid.
IR-48 has been removed from the bid.
IR-49 has been removed from the bid.
IR-50 thru IR-60 & IR-67 have been combined into item IR-68 (revised qty.-4400'of 8")
IR-61 has been revised to a price of $135,300 because the Aspen GC will perform the
electrical work.
IR-62 has been removed from the bid.
IR-63 has been revised to connecting to 3 existing PRV's at a price of $400.00 each.
IR-64 has been revised to the Owner screening fill material at one location where
Formost Construction will pick it up.
IR-65 has been revised to an amount of $50,000. The other $35,000 is now in irrigation
labor.
IR-66 has been revised to a performance bond w/a cost of $47,350.
IR-66A has been added as a separate warranty bond for $100,000. The cost is
$3,000.
Formost Construction has removed $8,600 from the proposal in order to be paid for
stored materials on site.
Formost Construction has revised the unit prices. They will be used to add or deduct
from the lump sum bid amount.
Formost Construction has an allowance of $48,000 for housing. If the City of Aspen can
provide 5 - 2 or 3 bedroom apartments for 6 months for less than $48,000, all savings
will be returned to the City of Aspen.
The lump sum bid amount has the following breakdown:
