A RESOLUTION OF THE CITY OF ASPEN, COLORADO, AUTHORIZING THE CITY
ATTORNEY TO SETTLE CERTAIN LAW SUITS WITH THE MAROON CREEK LIMITED
LIABILITY COMPANY AND AUTHORIZING THE CITY MANAGER TO EXECUTE A
CERTAIN INTERGOVERNMENTAL AGREEMENT WITH THE COLORADO
DEPARTMENT OF TRANSPORATION RELATING TO THE INTERSECTION OF STATE
HIGHWAY 82 AND OLD STAGE ROAD.
WHEREAS, there has been submitted to the City Council a certain Settlement Agreement
and Mutual Release between the City of Aspen, the Maroon Creek Limited Liability Company,
the Music Associates of Aspen, and Burlingame Housing, Inc., and a related Intergovernmental
Agreement between the City of Aspen and the Colorado Department of Transportation; and
WHEREAS, these documents will resolve various lawsuits and administrative appeals
referenced within the said documents; and '-.
WHEREAS, the City Council desires to settle said law suits and administrative appeals as
set forth in said documents.
NOW, WHEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ASPEN, COLORADO:
Section One
That the City Council of the City of Aspen hereby approves: (a) the Settlement
Agreement and Mutual Release between the City of Aspen, the Maroon Creek Limited Liability
Company, the Music Associates of Aspen, and BUrlingame Housing, Inc. a copy of which is
appended hereto as Exhibit "A"; (b) the Termination Agreement appended as Exhibit A to the
Settlement Agreement; (c) the termination of License Agreement appended to the Settlement
Agreement as Exhibit B; and, (d) the Intergovernmental Agreement between the C, ity of Aspen
and the Colorado Department of transportation a copy of which is appended hereto as Exhibit
Section Two
That the City Attorney and the City Manager are hereby authorized to execute, on behalf
of the City of AsPen, the documents referenced hereinabove and such other sim/lar or necessary
documents to effectuate the settlement agreement contemplated.
Section Three
That the City Manager is hereby authorized to appropriate such sums as may be
necessary to accomplish and comply with the terms and provisions of the settlement agreement as
set forth ha the above referenced documents.
I, Kathryn S. Koch, duly appointed and acting City Clerk do certify that the foregoing is
a tree and accurate copy of that resolution adopted by the City Council of the City of Aspen,
Colorado, at a meeting held ~~~,
