ORDNIANCE NO. 45-
(Series of 1982)
AN ORDINANCE APPROVING AND AUTHORIZING THE MAYOR TO EXECUTE AN
AGREEMENT WITH THE COUNTY OF PITKIN PERTAINING TO THE CITY'S PAY-
MENT TO THE COUNTY OF TWENTY PERCENT (20%) OF THE LOCAL MATCH
SHARE UNDER THE COUNTY'S UMTA GRANT FOR THE PURCHASE OF SIXTEEN
(16) TRANSIT COACHES
WHEREAS, Pitkin County has been awarded a grant from the
Urban Mass Transit Administration (UMTA) providing eighty percent
(80%) of the funds needed for the purchase of sixteen (16) transit
coaches; and
WHEREAS, Neoplan U.S.A. Corporation has submitted a bid for
the sale of said transit coaches which meets the requirements of
the Pitkin County Procurement Code and the UMTA; which bid was the
lowest received from a responsible and reliable bidder; and
WHEREAS, the Board of County Commissioners of Pitkin County
(hereinafter "County") is desirous of entering into a contract
with Neoplan U.S.A. Corporation for the purchase of the transit
coaches under the terms and conditions set forth in the proposed
contract between the County and Neoplan U.S.A. Corporation en-
titled "Contract Purchase of Sixteen Transit Coaches", a copy of
which is annexed hereto (as an exhibit to Exhibit "1"); and
WHEREAS, the City Council of the City of Aspen has deemed it
to be in the best interest of the City to pay to the County the
twenty percent (20%) local match required to meet the full pur-
chase price, in consideration of the use of the aforesaid sixteen
(16) transit coaches, pursuant to the terms and conditions set
forth in the that contract between the County and the City en-
titled "Cooperative Agreement - Purchase of Buses", a copy of
which is attached hereto and incorporated herein as Exhibit "1",
and. f~rther desires to approve the terms of said contract and to
authorize and direct the Mayor to execute the same on behalf of
the City; and

WHEREAS, Section 10.8 of the Aspen City Charter permits and
authorizes long-term installment contracts and rental or leasehold
agreements, the terms of which shall be approved by an ordinance
duly enacted by the City.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE
CITY OF ASPEN, COLORADO:
Section 1
The City Council hereby approves the terms of that agreement
with the County of Pitkin entitled "Cooperative Agreement - Pur-
chase of Buses", a copy of which is annexed hereto and incorpor-
ated herein as Exhibit "1", pertaining to payments by the City of
Aspen of twenty percent (20%) of the local match of the County's
UMTA grant for the purchase of sixteen (16) transit coaches, and
hereby directs the Mayor to execute the same on behalf of the
City, subject, however, to approval of the aforesaid document as
to form by the City Attorney and execution by the County of Pitkin
and Neoplan U.S.A. Corporation of that Agreement entitled "Con-
tract - Purchase of Sixteen Transit Coaches" also annexed hereto.
Section 2
If any section, subsection, sentence, clause, phrase or
portion of this ordinance is for any reason held invalid or
unconstitutional by any court of competent jurisdiction, such
portion shall be deemed a separate, distinct and independent
provision and such holding shall not affect the validity of the
remaining portions thereof.
Section 3
A public hearing on the ordinance shall be held on the,-~
day of~, 1982, at 5:00 P.M. in the City Council
Chambers, Aspen City Hall, 130 South Galena Street, Aspen,
Colorado.
