HomeMy WebLinkAboutordinance.council.019-97 ORDINANCE NO. 19 (Series of 1997) AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO, AUTHORIZING AND APPROVING AN AGREEMENT FOR THE EXTRATERRITORIAL EXTENSION AND DELIVERY OF MUNICIPAL WATER SERVICES TO THE ASPEN HIGHLANDS BASE AREA DEVELOPMENT AND ASSOCIATED AREAS. WHEREAS, Section 11.3 of the Home Rule Charter for the City of Aspen provides that the extension of municipal water lines beyond the City's boundaries to provide extraterritorial treated water service shall only be approved by City Council by ordinance; and WHEREAS, Section 25-12-020 ofthe Municipal Code provides that any extraterritorial provision of municipal water services beyond the City's boundaries shall only be undertaken pursuant to a written agreement between the City and the person or entity desiring municipal water service; and WHEREAS, a request for municipal water services has been submitted to the City by the Highlands Water and Sanitation District ("District") on behalf of Hines-Highlands Limited Partnership, Aspen Highlands Mountain Limited Liability Company, the Aspen Highlands Skiing Corporation and H.I.L.P. Mountain Limited Partnership, to serve the Aspen Highlands Base Area Development and associated areas (including portions of the Aspen Highlands Ski Area) situated outside Aspen's municipal boundaries; and WHEREAS, the Board of County Commissioners for Pitkin County has granted land use and development approvals for the Aspen Highlands Base Area Development project; and WHEREAS, a water service agreement has been prepared and proposed specifying the nature and extent of municipal water services to be provided to the District for the Aspen Highlands Base Area Development and, upon dissolution of the District, to the Aspen Highlands Base Area Development and associated areas directly; and 1 --- ,-------... WHEREAS, The City Council finds the proposed agreement to be consistent with the terms and requirement of the Municipal Code and municipal water management policies as adopted by the City. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO: Section 1 That the Water Service Agreement between the City of Aspen and the Highlands Water and Sanitation District, the Hines-Highlands Limited Parnertship and the Aspen Highlands Mountain Limited Liability Company, the Aspen HigWands Skiing Corporation and H.I.L.P. Mountain Limited Partnership, for the extraterritorial extension and delivery of municipal water services to the development and associated areas commonly known as the Aspen Highlands Base Area Development, a copy of which water service agreement is attached hereto and fully incorporated herein as Attachment 1, be and is hereby approved and the Mayor and the City Manager are authorized to execute same on behalf of the City at such times as Pitkin County verifies payment of the amounts to be paid as set forth in paragraphs 6 and 7 of Resolution No. 26, Series of 1996. Section 2 This ordinance shall not have any effect on existing litigation and shall not operate as an abatement of any action or proceding now pending under or by virtue of the ordinances repealed or amended as herein provided, and the same shall be construed and concluded under such prior ordinances. Section 3 2 If any section, subsection, sentence and clause, phrase or portion of this ordinance is for any reason held invalid or unconstitutional in a court of competent jurisdiction, such portion shall be deemed a separate, distinct and independent provision and shall not affect the validity of the remaining portions thereof. Edwards, Jr., 502 Main Street, Suite 201, Carbondale, CO 81623 ("District"), HINES-HIGHLAL'1DS LIl\UTED PARTNERSHIP, a limited partnership organized under the laws of Delaware, whose address is 426 E. Main Street, Aspen, CO 81611, and ASPEN HIGHLANDS MOUNTAIN LIMITED LIABILITY COMPANY, a limited liability company organized under the laws of Colorado, whose address is Box 1248, Aspen, Colorado 81612, ASPEN HIGHLANDS SKIING CORPORATION, a Delaware corporation, whose address is c/o Hines Highlands Limited Partnership and H.LL.P. J.\tIOUi'liAIN LJl\tllTED PARTNERSHIP, organized under the laws of the State of Ddaware, whose address is 426 E. Main Street, Aspen, CO 81611, cumulatively referred to as "Developer".) WITNESSETH WHEREAS, the City owns and operates the City of Aspen water system in accordance with the laws of the State of Colorado, and in accordance with the charter, ordinances, rules, regulations, policies and resolutions of the City of Aspen, and except as otherwise provided herein, this Agreement is entered into in conformity with, and subject to, all such laws, charter, ordinances, rules, regulations, policies and resolutions; and WHEREAS, Developer is the owner of certain real property known as the Aspen Highlands Base Area Development comprising approximately 155.0 :t aGres situated in Pitkin County, Colorado (as described in Addendum 1 and referred to herein as the "Subject Property"), and Aspen Highlands Mountain Limited Liability Company owns real property contiguous to the Subject Property and holds a special use permit from the United States Forest Service covering approximately 2,163 acres both of which parcels comprise the Aspen Highlands Ski Area (also described in Addendum 1 and referred to herein as the "Ski Area"); and WHEREAS, on March 23, 1981, the following agreements were negotiated and entered into between the parties or their predecessors establishing the historic basis for water deliveries and use by and between the parties: 1. An Agreement between Aspen Highlands Ski Corporation (" AHSC") and the District recorded at Book 407 Page 648, Reception No. 232447 establishing rights to future taps for the Highlands Base Area Project (as therein described) and providing funds to the District (hereinafter" AHSCIDistrict Agreement"); . ('; ;i~i' 4~2r 2. An Agreement bctween AlISC and thc City recorded at Book 407 Page 651, Reception No. 232468, providing raw water to AIISC (hereinafter" AHSC/City Agreement"); and 3. An Agreement between the City and District providing wholesalc water deliveries to the District from the City recorded at Book 407, Page 655, Reception No. 232449, (hereinafter"the District Agreement"), all rccorded with the Pitkin County Recorder; and WHEREAS, the AIISC/District Agreement and District Agreement, among other things, provided that the City shall serve the District's existing users through existing taps within the District's service area without further tap or connection charges of any kind and Developer's predecessor provided consideration to the City in the form of valuable watcr rights, easements and monetary contributions (hereinafter "pre-existing tap credit"); and WHEREAS, AHSC and each of the parties cumulatively described as the Developer herein are parties to or successors of the Agreements described above, which \;>enefit the Project; and WHEREAS, Developer seeks to construct improvements and make certain uses on the Subject Property and the Ski Area described on Addendum 2 hereto (referred to herein as the "Project "); and , WHEREAS, the Subject Property and the Ski Area are located outside the corporate limits of the City, and the Subject Property is located largely within the boundaries of the District; and WHEREAS, portions of the Subject Property and the Ski Area presently receive water service from the District through the systems and facilities described on Exhibit A; and WHEREAS, Developer and the City entered into an agreement dated March 31, 1995 ("1995 Agreement"), which contains their agreements rcgarding certain aspects of the water service to be provided to the Projcct; and WHEREAS, pursuant to Option 1 of the 1995 Agreement, Developer seeks to obtain municipal water service directly from the City (or increased service from the District through increased wholesale water sales by the City) for the Project; and WHEREAS, Developer and the District submitted to the City an Application for Water Service Extension; and WHEREAS, conditional approval of the Application was granted by the City in Resolution No. 26, Series of 1996, on July 1, 1996, which resolution required, inter alia, submission of an amended application; and WHEREAS, the District and Developer have submitted their Amended Application and. have paid all fees required in connection with therewith, and the City, in entering into this Agreement, has relied on the representations contained in the Applications regarding th~ location - 2 - U'(Iur SOl';a Agrulllcllt (n..", dCI't:luI'IIIC11I) 06/96 ,----., WHEREAS, the City desires to encourage the use of raw water supplies for certain 44 outdoor irrigation where practical and feasible so as to reduce the dependence on treated water - 3 - ~-1 , . 3 4 5 6 ,7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 ----3 ,4 25 26 27 28 29 30 31 32 33 34 j 35 36 I I 37 I , 38 39 40 41 42 ~ 43 f:J..~;, ~ .~ for this pyrpose and to minimize the costs of providing treated water service to tIle Project, the Subject Property and the Ski Area THEREFORE, in consideration of the premises and the mutual promises and covenants contained herein, the parties agree as follows: PURPOSE OF AGREEMENT 1. Method for Providing Water Service. The partics acknowledge and agree that the District has considered and may pursue dissolution, whcreupon the City will provide direct water service to the Project as hercin provided, and Developer and City agree to use all reasonable efforts to encourage the District to dissolve. The parties also understand that dissolution of the District requires an election and an agreement for provision of water to the District's existing customers, and that the election has not been held, and there is presently no agreement for provision of water to the DiStrict's existing customers in the event of dissolution. The parties have therefore agreed that service to the Project shall be provided by means of increased wholesale sales to the District until such time as there may be a dissolution of the District. At such time as the District is dissolved, the City will provide municipal water service directly to the Project as herein provided. Should the District be dissolved, the District's rights and Obligations hereunder will be deemed assigned to the City and all references herein to the District shall be deemed deleted. 2. Water Service to Project. The City hereby agrecs with Dcveloper and the District to provide treated water for the Subject Property under the tcrms of this Agreement in such quantities and to the extent herein provided so as to serve the structures and uses au~llOrized by Pitkin County under the approvals granted to Developer as recorded at Reception No. summarized on Exhibit "D". The City further agrees with Developer and the District to provide treated water for certain portions of the Ski Area undcr the terms of this Agreement in such quantities and to the extent herein provided so as to serve the structures and uses (excluding snowmaking and certain open space common area irrigation which will be provided water under the City of Aspen Raw Water Agreements dated even date herewith) authorizcd by Pitkin County under the approval of the Aspen Highlands Ski Arca Master Plan and the approval of amendments thereto to be granted to Developer for the Ski Area as shown on Exhibit E, Table 1 and as allowed by the approvals described in the document recorded as Reception No. . Raw water for snowmaking and certain common area irrigation uses will be provided pursuant to Raw Water Agreements executed contemporaneously herewith among the parties, and treated water will not be used for irrigation of open space common areas where raw water is/available for irrigation under the Raw Water Agreements (irrigation), or under the Developer's Pearson Spring Ditch right as provi~ed in the Raw Water Agreements. The District and City authorize the private raw water irrigation and distribution system within the District's boundaries so long as constructed, pursuant to the more stringent of the City's and District's rulcs and regulations governing raw water irrigation systems, if any, - 4 - 1I'lIIa Senkl! J I I :~- 1 I ! i .~~.~ 'fIi# ,'. i;;' , Pursuant to this Agreement, the City shall provide treated watcr service adequate to meet the demands of the uses for the Subject Property and certain portions of the Ski Area for the Project as approved by Pitkin County and as limited and described in Exhibit E, Table 1 hereto. The Subject Property and certain portions of the Ski Area are estimated to require approximately 707 ECUs, and an assumcd maximum volume of treated water the City shall be required to provide pursuant to this Agreement of 277.1 acre-feet per year. Developer agrees that only those uses contemplated and approved in the P.U.D. Control Document for the Subject Property, and Ski Area to be approved.. by Pitkin County, may be served under this Agreement. This Agreement and those certain Raw Water Agreements entered into with the City of even date with Developers, supersede and replace that certain agreement dated March 23, 1981, between the City and Aspen Highlands Skiing Corporation, recorded at reception number 232448, Book 407 Pages 651-664 in the records of Pitkin County. Notwithstanding the foregoing, unless specifically revised or amended in this Agreement, the 1995 Agreement is not superseded by this Agreement, and Developer and the City acknowledge that this Agreement and the City of Aspen Raw Water Agreements implement Option 1 described in the 1995 Agreement. 3. Limitations of Time to Provide Service. The City's obligation to provide water service for the Project to unbuilt phases pursuant to this Agreement shall terminate if Developer has not commenced the first phase of construction of the water transmission and distribution mains, and related facilities described on Exhibit B-2 by December 31, 2004 or if the final phase of construction has not been substantially completed by December 31, 2010. This deadline shall only be extended with the mutual consent of the parties, which shall not be unreasonably withheld to serve those uses approved by Pitkin County which have become vested prior to December 31, 2010. For purposes of this paragraph, in determining whether to modify the foregoing deadlines, it shall not be unreasonable for the City to consider the economic impact on the City if further delays are permitted. CONSTRUCTION BY DEVELOPER 4. Water Related Mains. Lines and Facilities. Developer will design and construct the water transmission and distribution mains, tanks, pump stations, associated facilities and internal distribution lines for the Subject Property and Ski Area in accordance with and subject to the City's or the District's design, materials and construction specifications and approval, whichever are more stringent1, at Developer's own expense. In addition, the City and the District have requested certain upgrades and improvements as described on Exhibit B-1. To the extent either the City or the District desires any mains, lines or facilities other tiIan those described on Exhibit B-1 to be constructed with capacities larger than necessary to meet the needs of the . 1 If Developer is unable to determine the more stringent standard or specification in a particular case, or if standards or specifications appear inconsistent, Developer shall so advise the City Water Department and the District, and the District and the City Water Department shall determine together which standard or specification shall be applied. - 5 - \\iller Sen'ice Agrument (lieII' c1el'efol'mml) 06/96 ,~"..'... .; iJ~:i~ Subject Property and Ski Area, the requesting entity will be responsible for the incremental cost of such enlarged or additional mains or facilities. The line sizes described in Exhibit Care presumed for purposes of this paragraph to be the sizes necessary to serve the Subject Property and Ski Area. "Incremental costs" shall be defined as the difference between the total cost of a particular facility designed and constructed solely to meet the needs of the Project and the total cost of such facility as enlarged at the request of the requesting entity. 5. Preconstruction Exhibits. The following exhibits concerning the Project have been prepared by Developer 'and have been reviewed and relied upon by. the City and District in entering into this Agreement and shall not be substantially modified except by agreement between the parties. It is acknowledged that final determination on acceptable alignments, easements, PRY locations, and similar technical engineering elements of the design shall not be considered substantial modifications. Exhibit B: General Description of Facilities and Uses. Exhibit B-1: Off-Site Improvements. Exhibit B-2: Phasing Schedule for Project Construction. Exhibit C: a. Reduced-size copies of final plans for the water mains, interconnecting mains (loop system), lines, tanks, pump stations, and associated facilities to be constlUcted pursuant to this Agreement, as approved by th~ City and the District and shown on those drawings prepared by Schmueser-Gordon- Meyer entitled "Aspen Highlands Detailed Submission - Master Water Plan dated 3/17/97, "Maroon Creek Pipeline" dated 317/97,2 "Water Tank and Connection Plans" dated 1/15/97, and "Aspen Highland Mountain Utilities" (Pages 11 and U-I-U-8 dated 5/1/97 and Pages U-9-U-14 dated 12/96) 3. Exhibit D: Operational impact statement containing information necessary to permit the City to determine the operational impact of Developer's proposed extension of the City's existing facilities and water supply. Esti~ated gross water requircment (gpd) and water flow rei\uirements for the Project for in-building use at full development (including water requirements for any existing uses that will be continued upon completion of the Project), and estimatcd treated water irrigation requirements, including number of square feet to be irrigatcd with treated watcr. b. Fireflow provisions, including location, size and description of fireflow storage to serve the Subject Property. c. Description of general location of easements to be conveyed to the City or the District, as appropriate. 6. Final Plans. Immediately prior to commcncement of construction of any phase, the'City and the District shall approve the final plans and specifications for the water mains, lines, tanks, pump stations and facilities to serve the Subject Property and portions of the Ski Area if they comply with District's (or City's, if applicable), rules, regulations, standards and specifications and substantially conform to the water system configuration shown in Exhibit C.No substantial changes shall be made to the approved final plans and specifications without prior written approval of the Deveioper, City and the District. Developer's,registered professional project engineer shall inspect and certify the design and installation of all water system mains, lines and facilities to be constructed pursuant to this Agreement meet the more stringent of District's or City's standards and specifications. THE PARTIES ACKNO'VLEDGE AND AGREE THAT THIS WATER SERVICE AGREEMENT IS ENTERED INTO WITH THE ANTICIPATION THAT TilE CITY WILL ALSO ENTER INTO A WATER SERVICE AGREEMENT TO PROVIDE MUNICIPAL WATER SERVICE TO TilE JAMES E. MOORE FAMILY PARTNERSHIP LLLP PROJECT ("MOORE PROJECT"), AND THAT CERTAIN FACILITIES CAN TIffiREFORE BE SIIARED BY TIllS PROJECT, TIlE MOORE PROJECT AND TIlE CURRENT CUSTOMERS OF TIlE DISTRICT. TIlE DESIGN DRAWINGS AND PHASING SCIffiDULES APPROVED BY TIlE CITY AND TIlE DISTRICT FOR TIllS PRO.JEC'~ CONTEMPLATE SUCII SHARED FACILITIES. Bond Requirements. Prior to commencement of construction, Developer shall, obtain a completion bond, naming the City and/or District, as their interests may appear, as third party beneficiaries thereof, in the amount of one hundred percent (100%) of the water system construction costs (including those costs for lines or facilities to be constructed by the City or District as shown on Exhibit B-1; and those incremental costs, if any, to be borne by the City or District for enlarged or additional facilities not shown on Exhibit B-1); the portion of the bonding attributable to City or District constructed facilities shall be the responsibility of the City or District. Bonding may be provided on a phased basis to conform with the phases for which construction of the water facilities are scheduled to occur as set forth in Exhibit B-2. For any phase of construction, as set forth in the Schedule of Water Construction Phases described in Exhibit B-2, the bond amounts, by phase shall be increased by the amount reqlllred to meet the cost of any accepted bid. Such bonds shall ensure completion of and payment for each phase of construction; the form of the bond shall be mutually acceptable to Pitkin County, the City and Developer. Developer shall hold the City and the District harmless for payment to the contractor or any subcontractors, materialmen, or others involved in the construction of the water transmission and distribution mains, interconnecting mains (loop system), lines, tanks, pump stations and associated facilities, or for the provision of materials therefor. Developer shall also assign and the City and/or District shall accept all warranties from materialmen llnd suppliers which warrant the water system improvements constructed by Developer free and clear of defects for a period of two years from the date of installation. In addition, Developer shall obtain and assign to the City and District warranty bonds ensuring the proper operation of facilities construc~ed by Developer's contractors for a period of two (2) years from the date of completion of any phase. The parties acknowledge that the foregoing obligations shall be provided, to the extent that they are not duplicative of the security required under the Subdivision Improvements Agreement approved by Pitkin County. 8. Conveyance of Water Rights and Structures. Developer shall, upon execution of this Agreement, convey to the City (by quit claim deed) all of Developer's interest in all water rights, changes and exchanges decreed in Case Nos. 93CW322 and 93CW323, Water Division 5, as well as all of Developer's interest in lhe Stein-Arlian-Marolt Ditch. The specific water rights to be conveyed are described in Addendum III. The City and Developer agree that the water rights herein conveyed to the City, in addition to those previously conveyed by the District, are sufficient in quantity and quality to supply a quantity of water equivalent to that which will be provided by the City pursuant to this Agreement and the City of Aspen Raw Water Agreements. City shall have the obligation to use reasonable efforts to maintain and secure all findings of reasonable diligence or to make absolute all conditional water rights conveyed by Developer hereunder. Developer will also contemporaneously provide to the City all information in its possession, or available to it, regarding the historic use of said water rights, including well pumping records, diversion records, irrigation records, aerial photographs, affidavits, and all other available information concerning the historic use of the water rights that will be conveyed to the City, and shall cooperate, at no cost to Developer, with the City in all water court proceedings brought to change or defend said water rights. The City shall use all reasonable efforts to put the absolute water rights herein conveyed to beneficial use and to maintain diligence on the conditional rights. In the event of a termination of this Agreement, all wells, water, water rights, ditches, flumes, headgates or other structures and easements conveyed to the City shall be reconveyed by quit claim deed, at no cost, to Developer, in the condition received, unimpaired and undiminished, except as may be determined in a water court proceeding and reasonable wear and tear excepted as to the structures. The parties agree that the Pearson Spring Ditch, the Ste~plechase Mid-Mountain Water Supply and the Moment of Truth Water Supply , which water rights belong to Developer and are to be used for their decreed beneficial uses on the Subject Property and Ski Area will not be conveyed to the City. The rights that will be retained by Developer the location and manner of their use, and a map showing the location of use of these rights are included on Addendum m. Developer will assure that no cross-connections result from the delivery systems used for the retained water rights. 9. Construction by Developer. Upon completion of the prerequisites described in paragraphs 4 through 8 above, Developer shall proceed with due diligence to construct the water transmission and distribution mains, lines, tanks, pump stations and associated facilities in accordance with the plans and specifications and the construction schedule. No construction shall occur between November 1 and Aprill without written permission of the District and the City's Water Department, which shall not be unreasonably withheld. An automated meter reading system shall be installed for all new customers who will be included within the Project. Should Developer wish to pretap the distribution lines, for either phase shown on Exhibit B-2, a Pretapping Agreement for such phase will be required by the City, and the District may require a "Stub-Out Permit" pursuant to Section 2.6 of the District's regulations. "Pretapping" is defmed as connection of an individual service line to a main or distribution line when the main or distribution line is installed. The form of the Pretapping Agreement required by the City, shall be as that attached hereto as Exhibit F; the form of the District's Stub out Permit is attached hereto as Exhibit F-l. - 9 - 1Q Construction by City. To the extent provided in Exhibit B-1, the City shall have 1. constructed, at its own expense, the lines and other facilities described on Exhibit B-1. However, 3 the parties agree that the cost of modifications to the Meadowood pump station necessary to serve 4 the Project shall be borne jointly by Developer and the developers of the Moore Project, and such 5 costs will be allocated between said parties in proportion to their respective anticipated demands 6 on the pump station. 7 8 The City has determined that it is in its best interests to construct a raw water system from 9 the Thomas Reservoir to provide raw water service to Developer and others. This line will be 10 constructed at no cost to Developer or the District. If the raw water system is designed to cross 11 the Subject Property or Ski Area, Developer agrees to provide the easements necessary to permit 12 the City to place the raw water lines in trenches shared with portions of the infrastructure to be 13 constructed by Developer pursuant to this Agreement. The City will pay the costs of the raw 14 water system construction and installation, as well as one-half of the costs of such common 15 trenches (excluding piping costs) up to a maximum of $30.00 per lineal foot of common trench. 16 Developer shall provide the City with an itemized statement for such trench costs, and the City 17 shall remit its share of such costs to Developer within sixty (60) days of the date of the statement. 18 19 11.~. Developer shall timely pay all fees imposed by the City and the District in 20 connection with reviewing and approving this Agreement (excluding legal fees) the design 21 drawings and construction plans, as well as construction inspection fees. Developer shall also be responsible for timely acquiring and paying for all permits and permit fees from entities other than the City or District (such as Pitkin County and/or other regulatory agencies) necessary for 24 construction of the mains, lines and associated facilities. 25 26 12. Inspection of Construction. Developer shall provide at least five (5) days notice 27 to District and City of its intent to commence any phase of construction as described in Exhibit 28 B-2. Additionally, construction outside the District must be inspected by the City's engineers and, 29 if construction is within the District, the District's engineers (or other designated personnel of 30 either) prior to burial or final installation. To avoid duplicative inspection fees to Developer, 31 District and City shall use one inspector to perform joint inspection duties for any construction 32 occurring within the District. Developer shall give the City and the District reasonable advance 33 notice when the mains, lines and/or associated facilities are ready for burial or installation, and 34 the City's and the District's respective designated representatives shall inspect said mains, lines 35 and/or associated facilities within two working days of such notice. Subject to the foregoing, 36 Developer shall timely pay all construction inspection fees in accordance with the City's published 37 inspection fees and rates and the District's fees pursuant to the District's'rules and regulations; 38 if such inspections are conducted by City employees, and the actual cost of outside firms if such 39 inspections are conducted by outside firms. The City agrees to use reasonable business judgment 40 to minimize the cost to Developer of such inspections; the City shall not make a profit on such 41 outside inspections. ~ 13. Easements. Developer shall obtain at its own cost and convey to the District for 44 the duration of its existence, and thereafter to the City (in form reasonably acceptable to the City - 10 - W"'~r S~r\'iCt! A"rum~nl (n~1V tI~I'donm~n1J ()6/96 ---, 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 21_ ... 25 26 27 28 29 30 31 32 33 34 35 36 37 38 Attorney and the District's attorney), surveyed as-built non-exclusive easements for the water mains, lines, tanks, pump stations, and other water facilities constructed pursuant to this Agreement, including specifically an easement for a tank site on the Ski Area, along with all necessary access easements for maintenance and repair purposes, as well as easements for the City's raw water lines and facilities to the extent they cross the Subject Property or the Ski Area. (All such easements are herein referred to as the "easements" .)4 Unless otherwise approved in the drawings and plans attached hereto, or permitted by the Codes adopted by the City and/or District easements within the District will comply with the more stringent of District's or City's standards and specifications and, the water main and water line easements for both raw water and treated water mains and lines must be large enough to provide at least ten (10) feet on either side of water mains and lines and must specify that (1) sewer lines must be located at least ten (10) feet from any water main or line, and (2) other utilities must be located at least five (5) feet away from any water main or line. Access easements and easements for tanks and other facilities shall be of a size and nature mutually determined by the Developer, City and the District to be reasonably necessary for the operation, maintenance and repair of the tank or other facility to be located on such easement; such easement(s) shall be subject to the terms and conditions on access and use set forth in Exhibit G attached hereto. Each party shall be solely responsible for any injury or damages, including costs and attorneys' fees, to person or property arising from its own negligent acts or omissions occurring on or resulting from its use or occupation of any easement premises. As provided in Exhibit G, the City or District, as applicable, will promptly restore and reseed or resod, to the reasonably comparable pre-disturbance condition, any portion of any easement it disturbs in furtherance of its maintenance and repair activities. Nothing contained herein, however, shall constitute or result in any waiver or diminishment of any defense or limitation available to the City or the District under the Colorado Governmental Immunity Act or other applicable law. 14. Testin~ - Conveyance: As-Built Drawin~s. Upon completion of construction of each phase of construction, as described in Exhibit B-2, and before any water is delivered to that phase of the water system improvements pursuant to this Agreement, distribution and transmission mains and all associated water lines and facilities shall be tested and, upon approval by the City and the District, conveyed and accepted (excluding individual service lines) with all necessary non-exclusive easements to the District for the duration of its existence, and thereafter to the City, free and clear of all liens and encumbrances, by assignment and/or deed in form reasonably acceptable to the City Attorney and the District's attorney.5 Developer shall also convey to City, in form acceptable to the City Attorney, any interest it may have in the City's raw water pipeline and facilities constructed pursuant to the 1995 Agreement. The bonds provided by Developer pursuant to paragraph 7 above shall be adjusted to reflect the fmal actual construction costs. 'VATER SERVICE 15. Treated Water Service. Upon completion of construction and acceptance of each phase of the water distribution and transmission mains and lines, the associated facilities and easements by the City and the District, the City will provide treated water service for the Subject Property and Ski Area to such completed phases as herein provided to no more than the demands set forth in Exhibit E, Table 1 for the structures included in that phase. Any substantial modification in the treated water service requirements for the Subject Property or Ski Area will require approval by the City and the District, and amendment of this Agreement. The treated water to be delivered by the City pursuant to the terms of this Agreement may be used for all lawful municipal, commercial, residential and recreational purposes, and for fire protection, swimming pools and the normal and reasonable outside irrigation of trees, lawns and gardens for land uses approved by Pitkin County. Maximum outdoor irrigation using treated water shall not exceed a cumulative total of 10.0 acres within the Project. Developer agrees to adopt, in a form mutually acceptable to Developer, C~ty and Pitkin County, covenants.:~ich.~. restrict use of treated water delivered hereunder by single family units to no more than 5,000 square feet of lawn and garden irrigation by drip or sprinkler irrigation means. Notwithstanding the foregoing, all water use will be consistent with the City's Water Policy Resolution (Resolution No.5, (Series of 1993)), and water conservation ordinances, as well as the District's water policies and regulations. In the event of any conflicts between the policies or ordinances of the City and those of the District, the more stringent requirements shall be met. 16. Raw Water Service. The City will provide raw water for snowmaking as well as irrigation purposes on designated portions of the Subject Property and the Ski Area (other than lawns and gardens described in paragraph 15 above) as provided in the parties' Raw Water Agreements. The District has no objection to the City's provision of such raw water. 17. Tap Fees - Computation and Pavment: Scheduling of Taps. The City will establish a new billing area which includes the Subject Property and the Ski Area, together with the Moore Project, if approved. The new billing area will have tap fees and other charges which are no more expensive than those of Billing Area 5, provided, however that pumping charges will not be included in comparing the rates and charges of the new billing area with those of Billing Area 5 for purposes of this sentence. The City's standard pumping charges, as determined from time to time, will be assessed in the new billing area. All tap fees for treated water service herein provided shall be assessed utilizing the City's prevailing applicable tap fee at the time of application for a building permit for the structure for which service is sought, and, if the District is in existence at the time taps are made, the District's prevailing applicable tap fee at the time of application for building permits shall also be assessed. Notwithstanding the provisions of Sections 25.12.040 - 25.12.070 of the City Code or any District regulation, Developer's pre-existing tap fee credit is 150.69 ECU's, as shown on Exhibit E, Table 3, which credit may be applied or - 12- nilla SCf\'ice Agreemcnt (II~W dC\'f!!opmml) 06/96 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 1'2 ~-r- 25 26 27 28 29 30 31 32 33 34 35 36 37 38 39 40 41 42 exchangeq, on a ECU for ECU basis, for the tap connections or expanded tap connections made for the Subject Property or Ski Area, as part of any redevelopment or relocation of existing facilities whether such connections are temporarily disconnected or relocated for Project purposes, or not as described and explained more fully in Exhibit E, Tables 3 and 4, attached hereto and incorporated herein by reference. No other tap fee (also known as utility connection charge) or pro-rated well system improvement charge shall be assessed to such credited ECU connections, although the City's or District's standard hook-up charges will be assessed. Once an ECU credit has been applied to a new or expanded utility connection permit, as provided in Exhibit E, Table 4, no further credit will be available to that new utility connection permit toward a later request for a utility connection permit in the event the structures to which such ECU credits are applied are later remodeled, destroyed or demolished, rebuilt or moved. Except as provided herein, no water service shall be provided to any structure absent payment of the appropriate tap fees and any applicable hookup charges and pro-rated well system charges. Except as provided in this paragraph 17, no water service shall be provided to any new structure absent payment of the appropriate utility connection charges, pro-rated and well improvement system charges, and any applicable hookup charges. Such fees shall be paid at the time of building permit issuance. Unless controlled by the Pre-Tapping Agreement, the City Water Department (or the District, if it is in existence) shall determine scheduling of all physical taps or connections to the main lines, which scheduling shall be done in a manner which does not unreasonably interfere with Developer's construction schedule. 18. Service Lines. Each service line shall be metered in accordance with the more stringent of the District's regulations and the Code at the sole expense of the water user making the connection and necessary cross-connection and backflow prevention devices approved by the City and the District will be installed at the water user's expense. 19. Limitations on Provision of Water Service. This Agreement is only for the supply of treated water service as herein described and no material modification of uses, connections, or water service beyond those set forth herein and in the Addenda and Exhibits hereto is in any way authorized by this Agreement. The City is not by this Agreement prejudging, certifying or guaranteeing its ability to provide treated water service to any use or structure except as provided herein, nor may this Agreement be used as evidence of approval of any land use requests, or as evidence of approval of water service for any land use request, except as provided herein. Notwithstanding the foregoing, the City acknowledges that the Project is in substantial compliance with the Aspen Area Community Plan and the City's Water Policies. ! 20. Service Subject to the City Charter. Codes. Rules. ReiUlations and Policies: Water ~. Until dissolution of the District, the water service herein provided shall be subject to the District's bylaws, rules and regulations. In addition, all water service provided hereunder shall be subject to all applicable provisions of the Charter of the City of Aspen and the Aspen Municipal Code, as well as all applicable rules, policies or regulations of the City now in effect or as may be hereafter adopted. Provided, however, the parties hereto agree that this Agreement shall preclude any legislative, zoning, or land use action by the City or pursuant to an initiated - 13 - l\fat" .~pn1r' A",,,,m,nt (npw dpv,lnnnrlln/) f'JIt/OIi measure which would alter, impair, prevent, diminish the rights of Developer under this Agreement or otherwise delay the development or use of the Subject Property and Ski Area as 3 set forth in the Detailed Submission in Final Plat approval granted by the Board of County 4 Commissioners for Pitkin County by Resolution No. _ as recorded at Reception No. 5 with the Pitkin County Recorder's Office, except (a) with the consent of Developer, or (b) upon 6 the discovery of natural or manmade hazards on the property, which hazards could not reasonably 7 have been discovered at the time of the County approval, and which hazards, if not corrected 8 within a reasonable time frame, would pose a serious threat to the public health, safety and 9 welfare. In addition, provided that such does not conflict with the terms, benefits and obligations 10 of the parties set forth in this Agreement, this Agreement shall not preclude the application of 11 ordinances or regulations which are general in nature and are applicable to all property similarly 12 situated for building permit issues, including but not limited to, water service, building, fire, 13 plumbing, electrical and mechanical codes. (In this regard, the Developer shall abide by any and 14 all building, fire, plumbing, electrical, water service, and mechanical codes, unless an exemption 15 therefrom is granted in writing.) 16 17 Developer specifically understands and agrees that following dissolution of the District, 18 water rates for customers located within the Subject Property and receiving water service pursuant 19 to this Agreement will be set in the manner provided in the Code, as now in force or hereafter 20 amended. Developer and City understand that only the Subject Property and the Ski Area, along 21 with the Moore property, will be located in the new billing area, and that the rates for the new _22 billing area will be no more expensive than those of Billing Area No.5, that Section 25.08.080 ~ of the current Code sets forth the factors to be included in the water rates charged to City _4 customers, and that these factors will be used to establish rates to customers within the Subject 25 Property unless and until the Code is amended to provide a different method for determiping rates, 26 consistent with the terms of the i995 Agreement and this Agreement. 27 28 21. Source of Water SupplY. The parties to this Agreement recognize that the City's 29 water supply is dependent upon sources from which the supply is variable in quantity and quality 30 and beyond the City's reasonable control; therefore, no liability shall attach to the City under this 31 Agreement on account of any failure to accurately anticipate availability of water supply or 32 because of an actual failure of water supply due to inadequate runoff, poor quality, or other 33 occurrence beyond the City's reasonable control. 34 35 22. No Guaranty of Water Quality. Quantity or Pressure. The City makes no promise 36 or guarantee of pressure, quantity or quality of water supply for any purpose, including fire 37 suppression, except as specifically provided herein or as is required by applicable federal, state 38 and local laws and regulations. The City agrees to treat its water to meet all mandatory local, 39 state and federal potable water standards and to exercise reasonable care and foresight in 40 furnishing water hereunder reasonably comparable in quantity, pressure and quality to that 41 furnished inside the City. _42 3 23. Property Rights in Water. Water service provided under this Agreement does not include any right to make a succession of uses of such water, and upon completion of the primary use of the water on the Subject Property and Ski Area; to the extent allowed by law, all dominion over the water provided reverts completely to the City. Subject to the prohibition against waste and any other limitations on water use imposed in this Agreement, Developer is not required to create any particular volume of return flow form the water furnished under this Agreement. VIOLATIONS 24. Enforcement. The parties to this Agreement recognize and agree that the City and District have the right in addition to all other rights they may have to enforce their respective rules, policies, regulations and ordinances for the use of treated, delivered water hereunder and the terms of this Agreement by the disconnection of the supply of water to the offending party or connection. Additionally, in the event that Developer or any user who has purchased or leased a portion of the Project, the Subject Property or the affected portions of the Ski Area, violates the rules, policies, regulations or ordinances of the City or the District, the City and the District, as applicable, shall have all remedies available to them at law or in equity, or as provided in the Code and the District's rules and regulations. Without limiting the foregoing rights and remedies, Developer agrees that the City and the District may also enforce such violations by injunction, the parties agreeing that the damages from such violations are irreparable, and there is no adequate remedy at law for such violations. Notwithstanding the foregoing provisions of this paragraph 24, if an individual owner or lessee within the Subject Property or the Ski Area (other than Developer) commits a violation, only that individual owner's or lessee's water service shall be disconnected, and enforcement actions will be directed toward that violator and not toward those who are not violating this Agreement. Reciprocally, in the event the District or the City breach all, or any portion of their respective obligations under this Agreement or the 1995 Agreement (as herein revised and as revised in the Raw Water Agreements), Developer, or its successors and assigns, shall have all remedies available to them, at law or in equity. Without limiting the foregoing rights and . remedies, the City and District agree that Developer, or its successors or assigns, may also enforce their rights by injunction, that the City and District agree that the damages from such breach are irreparable, and that there is no adequate remedy at law for such breach(es). TERiVfiNATION 25. J'ennination. Except as provided to the contrary herein, this Agreement shall only be terminated in writing by mutual agreement of the parties and the term of this Agreement shall continue until such termination, provided, however, that following the District's dissolution, its consent to termination shall not be required. 44 - 15 - 26. Termination if Illegal. The parties agree, intend and understand that the obligations imposed by this Agreement are conditioned upon being consistent with state and federal laws, the 3 City Charter and Code, and the District's current bylaws, rules and regulations. The parties 4 further agree that if any provision of this Agreement becomes in its performance inconsistent with 5 the Code, the District's bylaws, rules and regulations (during the existence of the District) or state 6 or federal laws, or is declared invalid, the parties shall in good faith negotiate to modify this 7 Agreement so as to make it consistent with the Code, the District's bylaws, rules and regulations 8 or state or federal laws as appropriate, and if, after a reasonable amount of time, their negotiations 9 are unsuccessful, this Agreement shall terminate. 10 11 GENERAL PROVISIONS 12 13 27. Annexation. Following the dissolution of the District, and after [mal plat approval 14 of the Project and vesting of property rights in accordance with the final approvals granted by 15 the Pitkin County Board of County Commissioners, and upon the request of the City, at its sole 16 discretion, Developer, or its successors in interest, shall petition the City for annexation of the 17 Subject Property, provided such annexation is for the entire Subject Property, excluding Parcel 18 A as such is described on Addendum I) to the City of Aspen at such time(s) as determined by the 19 City (hereinafter "Property to be Annexed"). Contiguity may be established by the annexation 20 of one or more parcels within the Property to be Annexed, in a series contemplated in C.R.S., 21 31-12-104(1)(a). Such annexation shall not divest or diminish any land use approvals, grants of ~7. exemption, variances, designs, approvals or any other development rights awarded by Pitkin County for the Project or the Subject Property, to the extent such "approvals and rights are legally .k<t vested on behalf of Developer prior to annexation to the City. The owners of the property 25 comprising the Property to be Annexed upon written request shall provide to the City, within 26 seven days of recordation of the final plat, a list of all ow~ers and legal descriptions of the 27 property owned by each such owner within the Property to be Annexed to facilitate the 28 preparation and recording of an Agreement to Annex. Nothing herein shall be construed to 29 anticipate or require annexation of property owned by the United States of America or any agency 30 thereof. Failure of Developer and/or its" successors in interest to commence annexation 31 proceedings as herein required shall authorize the City to commence such annexation on their 32 behalf, in which event the City shall charge, Developer, or if such property has been transferred, 33 only its successors in interest shall pay, all costs and fees associated with such annexation. 34 Neither any provision of this Agreement or annexation shall require owners of the Property to be 35 Annexed to comply with: A) Any building, engineering or design standard or Code, or 36 interpretation thereof, which differs from the standards or variances under: which the Project was 37 approved by Pitkin County; and B) the provisions of Ordinance 30, Series of 1995, or any similar 38 ordinance. In the event annexation would result in any approval, design criteria or zoning 39 classification which would render the project, or any portion of the Project, non-conforming in 40 nature within the City, the City shall adopt such appropriate zoning, design criteria or other 41 regulations, for the Property to be Annexed which would render the Project or any portion thereof .--<1.2. conforming. The requirement to annex set. forth herein shall not impair, alter or modify Developer's intent and rights to form and operate one or more Colorado Special Districts for the 0;4 Subject Property; the City consents to the existence of such Special Districts. U.D. approvals granted by Pitkin County for the Property to be Annexed and the legislative requirements or policies of the City, the P.U.D. approvals shall control. 28. No Regulated Public Utility Status. The parties agree that by this Agreement the City does not become a regulated public utility compelled to serve other parties similarly situated. To the extent allowed by law, Developer agrees that neither it, nor its successors in interest or assigns shall at any time petition the Colorado Public Utilities Commission to acquire jurisdiction over any water rate set by the City. 29. No Waiver. Failure of a party hereto to exercise any right hereunder shall not be deemed a waiver of any such right and shall not affect the right of such party to exercise at some future time said right or any other right it may have hereunder. 30. Notices. All notices required to be given shall be deemed given upon deposit in the United States mail, first class postage prepaid, properly addressed to the person or entity to whom directed at its address shown herein, or at such other address as shall be given by notice pursuant to this paragraph. C., 205 South Mill Street, Suite 300, Aspen, Colorado 81611 and to Holland and Hart, LLP, 600 E. Main Street, Aspen" Colorado 81611, for Developer. and to Joseph E. Edwards, Jr., 502 Main Street, Suite 201, Carbondale, CO 81623, for District. 31. Force Ma;eure. No party shall be held liable for a failure to perform hereunder due to wars, strikes, acts of God, natural disasters, or other similar occurrences outside the reasonable control of that party. 32. Severability. If any provision of this Agreement shall be or become invalid or unenforceable, the remainder of the provisions shall not be affected thereby, and each and every provision shall be enforceable to the fullest extent permitted by law. 33. Amendment. Neither this Agreement, nor the obligations of any party hereto, nor the right to receive water service hereunder, may be amended without the written consent of the parties hereto, provided, however, that subsequent owners of any portion of the Subject Property or the Ski Area shall be subject to this Agreement and shall be entitled to receive water service pursuant to this Agreement without amendment to this Agreement and shall be considered beneficiaries hereof, and further provided, that the District's rights and obligations hereunder shall be assumed by the City upon dissolution of the District. 34. Inter:pretation. Title and paragraph headings shall not be used to alter the meaning of this Agreement. 35. Binding Agreement - Recording. This Agreement is binding upon the parties hereto, their successors and assigns, and is deemed to run with the Subject Property and Ski Area - 17 - -1 .;) 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 25 26 27 28 29 30 31 32 33 34 35 36 37 38 39 and to benefit and burden the owners of the Subject Property and Ski Area, or any portion thereof. This Agreement and the Addenda and Exhibits hereto shall be recorded with the Pitkin County Clerk and Recorder, and shall impose covenants running with the land upon all the Subject Property and shall impose additional conditions on Aspen Highlands Mountain Limited Liability Company's Master Plan for the Ski Area. 36. Governing Law: Venue: Attorneys' Fees. This Agreement and the rights and obligations of the parties hereunder shall be governed by and construed in accordance with the laws of the State of Colorado. Venue for all actions arising under this Agreement shall be Pitkin County, Colorado. In the event legal remedies must be pursued to resolve any dispute or conflict regarding the terms of this Agreement or the rights and obligations of the parties hereto, the prevailing party shall be entitled to recover costs incurred in pursuing such remedies, including expert witness fees and reasonable attorneys' fees. 37. Authorization of Signatures. The parties acknowledge and represent to each other that all procedures necessary to validly contract and execute this Agreement have been performed and that the persons signing for each party have been duly authorized to do so. 38. Counter:parts. This Agreement may be signed using counterpart signature pages, with the same force and effect as if all parties signed on the same signature page. The legal description for the United States Forest Service ski area permit boundary for the Aspen Highlands Ski Area is attached hereto. A legal description describing the private properties that are adjacent to the United States Forest Service property and that are included with the Project is attached hereto. '" - ~" \G~ EXHIBIT B General Description of Proposed New Facilities Attached as Exhibit C are updated schematic plans for the proposed Highlands Base Village water distribution facilities, The plans generally include a system of6 inch to 12 inch diameter ductile iron distribution mains as well as fIre hydra~ts, gate valves and related appurtenances, Recent changes to the Base Village system include the addition of a 0.5 million gallon storage tank and upper pressure zone to serve the upper parcels of the Base Village as well as providing the potential to serve several of the upper lots in the Moore property development. This tank will augment available storage in the Highlands/Meadowood area and serves to offer elimination of an independent storage tank initially proposed for the Moore Project. Related to the creation of an additional pressure zone, the plan incorporates a new pump station and pressure reduction valves, Storage will be designed to meet all existing and proposed needs within the District for fIre flow required and will be operated to meet and reserve such capacity for in-District needs. Should City and Moore development desire to combine storage required for out-of-District demands, such additional storage shall be paid for by such out-of-District users and storage operation shall not compromise in-District storage needs, Metering necessary to identify out-of-District use shall be installed at expense of such users. On-Mountain distribution will continue the historic level of service for existing on-,TIountain facilities provided by the City through the District which has been in place since prior to the 1981 Agreements, This Agreement contemplates additional on-mountain service non-snow making as follows: On-mountain vehicle maintenance and storage facility (12,400 sq. ft.) and increases in skier amenities as set forth in Exhibit E, Table 1. If the District is not dissolved at the time of such construction, the credit will be provided by the District to the extent of such charges, If the District is dissolved, the City shall provide this credit to Developer, 2. An eight inch connection from the City of Aspen's system will be made to the Highlands Water and Sanitation District (Lot 20) pump station from the City of Aspen system, The City will finance and construct this improvement. ASPEN HIGHLANDS SKllNG CORPORATION, a Delaware corporation whose address is c/o Hines-Highlands Limited Partnership, and H.I.L.P MOUNTAIN LIMITED PARTNERSIDP. a Delaware limited partnership whose address is 426 E. Main Street, Aspen, Colorado (collectively, "Developer"). WITNESSETH WHEREAS, the City owns and operates the City of Aspen water system in accordance with the laws of the State of Colorado, and in accordance with the chaner, ordinances. rules, regulations, policies and resolutions of the City of Aspen, and this Agreement is entered into in conformity with. and subject to. all such laws, charter, ordinances, rules, regulations. policies and resolutions; and '. WHEREAS, Developer is the owner of certain real property known as the Aspen Highlands Base Area Development comprising approximately 155 acres situated in Pitkin County, Colorado, as more particularly described in Addendum I, and referred to in this Agreement as the "Subject Property", and Aspen Highlands Mountain Limited Liability Company owns real property contiguous to the Subject Property and holds a Special Use Permit from the United States Forest Service covering approximately 2.163 acres, both of which parcels comprise the Aspen Highlands Ski Area (also described in Addendum 1, and referred to herein as the "Ski Area"); and WHEREAS, Developer plans to construct on the Subject Property and portions of the Ski Area the project described on Addendum 2 hereto (referred to herein ,as the "Project"); and WHEREAS, the Subject Property is located outside the corporate limits of the City. and is largely within the boundaries of the Highlands Water and Sanitation District ("District"); and WHEREAS. Developer is party to a Water Service Agreement dated with the City (the "Water Service Agreement") whereby the Developer has agreed to construct certain water mains, lines and associated facilities, and the City has agreed that, upon dissolution PRETJ\P OUTSIDE CITY ~6/22/'37 16:84 U:jW CFFICES ~ 925 6847 NO. 086 ~03 of the District, to provide municipal water service directly to the Subject Property and portions of the Ski Area on the terms and conditions contained in the Warer Service Agreement; and WHEREAS. in order to avoid future road cuts and other disruption. Developer wishes to install. contemporaneously with installation of such water mains, lines and facilities, water taps and service lines to individual parcels within the Subject Property and certain portions of the Ski Area; and WHEREAS, the Municipal Code of the City of Aspen, Colorado (the "Code'I), prohibits persons other than the Ciry of Aspen Water Department from making taps onto its system, prohibits making taps or installing individual service lines prior to payment of applicable utility connection charges (tap fees), and prohibits making such taps between November 1 and April 15, unless the City has executed a written pretapping agreement permitting such taps and installations, and including such requirements as the City deems necessary to protect its best interests; and WHEREAS, the City has determined that, contingent upon dissolution of the District, pretapping by Developer is appropriate in this case, and that this Agreement and all covenants herein are necessary to comply with the Code and with the City's policies and regulations; ~~ THEREFORE. in consideration of the premises and the mutual promises and covenants contained herein, the City and Developer agree as follows: 1. Water Service Agreement. The parties acknowledge that the City has contracted to provide treated water service directly to the Subject Property, upon dissolution of the District, under the terms of the Water Service Agreement in such quantities and to the extent therein provided so as [0 serve the structures and uses authorized by Pitkin County under the approvals granted to Developer. Pursuant to the Water Service Agreement, the City has committed to provide treated water service to the Subject Property in an amount estimated to require approximately 707 ECUs1, and the assumed maximwn volume of treated water the City shall be required to provide to the Subject Property pursuant to the Water Service Agreement shall not exceed 277.1 acre-feet per year. 2, Water Service bv the District. The Water Service Agreement also provides for water service to be provided to the Project on the Subject Property and portions of the Ski Area by the District unless and until it dissolves. If the District has not been dissolved before Developer wishes to make the taps as herein provided, Developer must obtain the District's approval for any pretapping it wishes to undertake. If the District p'c11I1its such. pretapping, Developer agrees that the portion of the tap fees due to the City for such pretapped parcels will be paid to the City at the earlier of (1) the time such tap fees would be paid pursuant to this Agreement, had the District dissolved prior to the pretapping; or (2) the time such tap fees must 1. Developer plans to construct the water transmission and distribution mains, lines, and related facilities for the Project as described in the Water Service Agreement As part of such construction, and provided that the District bas dissolved, this Agreement authorizes Developer to make individual tapsl to the mains being constructed for Phase of the Project, and to install individual service lines on the terms and conditions of this Agreem:-ent, as follows: a. Developer must obtain a utility connection permit (tap permit) for each prctap it desires to make. The permit and accompanying work order will state the size of the tap permitted. The size will be determined based on the City's minimum line size for the anticipated use of the parcel for which the tap is sought. Each parcel within the Subject Property or Ski Area for which a tap is requested pursuant to this Agreement is referred to in this Agreement as a "pretapped parcel". The service line fOr each tap will be the same size as the tap, except where a fIre line is required to supply a sprinkler system. b. Developer must give the City Water Department two working days notice before making a tap or installing a service line. The City shall provide an employee to supervise the tapping and to inspect the service line installation. Developer shall pay to the City its applicable hook-up charges and inspection chBrges at the time the tap is made. c. and may install Developer may make a total of _ taps for this phase of construction, service lines. d. All taps and. service lines must meet the following specifications: (1) At its cost, Developer must obtain from the City Water Department all approved tapping saddles and corporation cocks required for installation. (2) At its cost, Developer must obtain and install City-approved pipe, fittings, curb valve, curb box, thaw wire and clamp. The curb valve must be a Mueller brand. The curb box must be a one-inch Mueller brand with a rod and saddle. The thaw wire must be 4 gauge bare solid copper and must be installed from the corporation cock to the curb box. The thaw wire shall make contact with the water line at the corporation cock only. 3 A "tap" is defined as the physical co~tion of 3.11 individual water service line to the water ')'stem. All service lines 2" and smaller will be connected to the premises with "K" type copper. Required bacterial and pressure tests required for main line installations will include the service line up to and including the curb valves installed pursuant to this Agreement. (4) Identification tape must be laid the length of the service line a minimum of two feet above the service line. (The tape can be obtained from the Water Department at no cost.) (5) A common service line having a single penetration into a building will be used for fIre and domestic service. The line size for domestic service will be determined by the size of the meter and piping on either side. (6) Only one building or structure may be supplied by a single service line ucless the City Water Department gives advance written permission for the use of a common service line. If a common service line is approved, the curb valve and box must be installed to enable separate operation of each building or structure. (7) Each service line installed in connection with this Agreement shall be / . met.ered in accordance with the Aspen Municipal Code at the sole expense of Developer and cross-{:onnection and backflow prevention d.evices of the sort required by the City will be ~talled and tested at Developer's expense. e. j..ocating. All service lines and curb box locations must be mapped on the as- built drawings that are to be provided to the City pursuant to the Water Service Agreement on reproducible sepias with a maximum size of 24" x 36", and on an "auto cad disk data transfer fue" tied into one (1) set of state plane coordinates. Each service line and curb box must be located with reference toar. least three permanent surface structures so that the location of the curb box and service line em be readily identified on the ground. Moreover, each curb box shall be identified with a 4" by 4" blue post at least three feet in height. 4. Fees. Notwithstanding Code requirements, Developer shall not be required to pay utility investment charges (tap fees) as a condition to pretapping pursuant to this Agreement. although the City's prevailing inspection and hook-up charges shall be paid as required pursuant to paragraph 2(b) above. Except as othetvlise provided in the Water Service Agreement, all utility investment charges (tap fees) for pretapped parcels shall be assessed utilizing the City's prevailing applicable tap fee at the time of application for a building permit for the structure for which service is sought. Except as otherwise provided in the Water Service Agreement with regard to parcels given utility investment (tap fee) credits, all utility in"estment charges (tap fees), as well as any unpaid demand charges, must be paid by the owner of a pretapped parcel in order to obtain a building permit. Maintenance, Developer shall be responsible for maintaining the curb boxes and service lines until water service is initiated, provided, however, that any person who owns or acquires a pretapped parcel located within the Subject Property or Ski Area shall be responsible for maintaining any service line located on such parcel, before and after initiation of warer service, and the curb box to which the service line is connected. The City shall have no respoosibilicy for any leakage, or damage to or failure of the service line, curb box, corporation stop, or associated facilities. 6. Adiustment of Bonds. Perfonnance, payment and maintenance bonds, or other security provided by Developer pursuant to the Water Service Agreement will be increased if . necessary to include all costs of installing and mapping the preraps and service lines that are installed by Developer pursuant to this Agreement. 7. Initiation of Water Service: Abandonment of Service Line. Water service to a preupped parcel must be initiated within twenty years of the date tbe pretap is made. If water service is not initiated within this period, the owner of the pretapped parcel must, at his or her own cost, abandon the curb box and service line, and replace them, at the owner's cost, with fIxtures meeting the City's then-ex.isting standards and specifications. 8. Demand Char~es. "Demand charges" are charges assessed to water customers whose property is tapped to the City's municipal water system.' Owners of pretapped parcels shall be subject to demand charges commencing two years from the date the pretap is made if water service has not been initiated to the pretapped parcel by that date. 9. Deed Restrictions. All deeds conveying pretapped parcels shall state lhat the property owner is responsible for all of the City's utility connection charges (tap fees) and demand charges associated with the pretapped parcel, that demand charges shall be assessed to the pretapped parcel beginning two years from the date the tap is made, and that the curb box, service line and associated facilities must be abandoned and replaced at the owner's cost if water service is not initiated within twenty (20) years of the date the pretap is made. . 10. Annex.ation. Pursua..llt to the Water Service Agreement, and at the request of the City, Developer, or its successors in interest, have agreed to the annexation of the Subject Property. or those portions thereof as deemed appropriate by the City. Such annexallon(s) shall not affect the Developer's obligations hereunder, or the property owne~'s obligations to pay the required utility connection charges (tap fees) and unpaid demand charges prior to receiving water service. 11. No Waiver. Failme of a party hereto to exercise any right hereunder shall not be deemed a waiver of any such right and shall not affect the right of such party to ~xercise at some furore time said right or any other right it may have hereunder. All notices required to be given shall be deemed given upon deposit in the United States mail, first class postage prepaid, properly addressed to the person or entity to wham directed at his or its address shown herein, or at such other address as shall be given by notice pursuant to this paragraph. Copies of such notices shall also be sent in the same manner to the City Attorney, City of Aspen, 130 South Galena Street, Aspen. Colorado 81611 (for the City), and to Patrick & Stowell P.C., 205 South Mill Street Suite 300, Aspen, Colorado 81611. Notwithstanding the foregoing language of this paragraph 12, the notice required to be given to the City pursuant to paragraph 2(b) of this Agreement may be given to the Water Director in person or by telephone during regular business hours. 13. Force Majeure. No party shall be held liable for a failure to perform hereunder due to wars, strikes, acts of God, natural disasters, drought or other similar occurrences outside of the control of that party. 14. SeverabilitY.. If any provision of this Agreement shall be or become invalid or unenforceable, the remainder of the provisions shall not be affected thereby, and each and every provision shaH be enforceable to the fullest extent permitted by law. 15. Amendment: Assignment. Neither this Agreement, nor the obligations of either party hereto, may be amended or assigned without the written consent of the parties hereto provided, however, that purch<Uiers of individual parcels within the Subject Property shall be entitled to the benefits and subject to the obligation of this Agreement. 16. Interpretation. The titles to this Agreement shall not be used to alter the meaning of this Agreement. 17. Binding Agreement - Recordin~. This Agreement is binding upon the parti~s hereto. their successors and assigns. and any sale of the Project, the Subject Property. the Ski Area or any portion thereof shall be subject to this Agreement as provided herein. This Agree- ment and all attachments hereto shall be recorded with the Pitkin County Clerk and Recorder, and shall impose covenants running with the land upon all of the SUbject Property, and shall impose additional conditions on Aspen Highlands Mountain Limited Liability Company~s Master Plan for the Ski Area. Deeds to subsequent owners shall provide notice of this Agreement and the obligations contained herein. 18. Governin1! Law: Venue: Attorneys' Fees. This Agreement and the rights and obligations of the parties hereunder shall be governed by and constrUed in accordance with the laws of the State of Colorado. Venue for all actions arising under this Agreement shall be Pitkin Count)', Colorado. In the event legal remedies must be pursued to resolve any dispute or conflict regarding the tenns of this Agreement or the rights and obligations of the parties hereto, the prevailing party shall be entitled to recover costs incurred in pursuing such remedies, including expert witness fees and reasonable attorneys' fees. 19. Counterpans. This Agreement may be signed using counterpart signature pages, with the same force and effect as if all parties signed on the same signature page. Stub-out permits shall be valid for one year from date of issue and renewable for one year by application to the District. All stub-out taps shall be constructed according to District Standards and Specifications and/or the City of Aspen Water Department's Standards and Specifications, whichever is more comprehensive and all service lines shall be extended from the main to the curb stop on the property described below. No stub-out shall be backfilled prior to final inspection by the District. This stub-out permit is for construction purposes only and does not permit the use of any water from the service line until all system development charges (tap fees), line tapping fees and inspection fees have been paid to the District. The exercise of any of Grantee's rights hereunder shall not be performed, to the greatest extent possible, during the ski season or during the hours of operation of the Aspen Highlands Ski Area. In the event underground facilities must be removed. replaced, improved, maintained or otherv;ise accessed during the ski season or during the hours of operation of the Aspen Highlands Ski Area, Grantee shall use its best efforts to notify the Area M:anager for the Aspen Highlands Ski Area in order to coordinate such activities in order to minimize the impact on such operations of the ski area. 2. The location of all above ground facilities must be coordinated with the Area Manager of the Aspen Highlands Ski Area to insure that they are placed in a manner to minimize any adverse impacts on the operations of the ski area. .. 3. Grantee agrees that. to the extent practicable, it will use roads that provide access to the Aspen Highlands Ski Area in exercising its rights of ingress and egress to the facilities. In the event Grantee requires access to the facilities during the ski season or other hours of operation of the Aspen Highlands Ski Area, Grantee shall use its best efforts to notify the Area Manager for the Aspen Highlands Ski Area in order to coordinate such access and the method of access. By way of example. during the ski season, access shall be made by over the snow vehicle to the extent possible to exercise Grantee's rights hereunder. The Area }&nager shall coordinate the provi.sion of such transportation. 4. After the exercise of any of its rights hereunder, Grantee shall promptly grade, re-seed or re-sod as necessary to restore the sUrface of the groWld to its fonner condition and contour. Grantee shall promptly replace trees. gardens, and other vegetation, including bushes and brush, on the easement that are removecL damaged or destroyed by Grantee's activities on the easement, if the original placement of such tre~ gardens or other vegetation on the easement was previously approved in vvriting by Grantee and.Grantee agreed in writing to such replacement. In exercising its rights hereunder, Grantee agrees to use reasonable and apologize best efforts to minimize the adverse impact on the landscaping on the easement, whether approved or not. S.
