The Museum can put up a "temporary banner" with my approval but our current Municipal Code does not allow it to be permanent and as large as you want it to be. I suggest that you go ahead with a banner which meets the provisions in the code over your loading dock area and change it with every exhibit so that it is not considered a permanent sign..each new banner would technically need to come back for City Manager approval, however, if you give me a schedule up front, I could approve all the banners at one time and avoid unnecessary processing. Bill Dreuding can help you with the size requirements. You should also check with Amy Amidon for any historic requirements. I hope this meets your needs. Under the terms of our new lease in Paragraph 6.(f), you have the authority to authorize us to put up temporary or special event signs. The following language is from Anne Ballance, Director of Public Relations for the Art Museum: "The Aspen Art Museum is currently aggressively seeking new ways in which to upgrade our visibility within the community. One of the ideas which our board considers feasible and appropriate is to copy larger museums throughout the country by placing a banner announcing a new show in some prominent position on the Museum structure. The banner would be quite tasteful in appearance, in order to comply with any guidelines regarding historical structures in town. Specifically, we plan to place the banner over our loading dock area. This area is not the most attractive spot on the building anyway, and any opportunity to camouflage it would be considered beneficial. In the spirit of the banners featured on the facade of the Metropolitan Museum in New York, our banner would stretch from post to post across the loading dock. Approximate size would be 8' X 15'. While the banner would be visible from the road, the color scheme would be terracotta and teal to compliment the building. For each exhibition, the lettering would be replaced. The banner would therefore become somewhat of a permanent attachment to the building, yet would be completely removable for access to the dock area. We feel that the addition of the banner would serve to enhance our visibility within the community, and we urge you to consider Ms. Amy Margerum April 22, 1993 Page 2 our request. If you need more information, we'd be happy to provide you with sketches or anything else you would consider helpful". Will you please consider this and, of course, Anne Ballance will meet with you on the site and help you understand more fully, if necessary, the nature of the banner. WITNESSETH; WHEREAS, the City of Aspen is the owner of that certain building formerly known as the Holy Cross Electric Building .situ- ate at North Mill Street, Aspen, Pitkin County, Colorado; and WHEREAS, Lessee is a non-profit corporation which provides beneficial and munificent purposes for the community of Aspen, Colorado; and WHEREAS, the City Council of the City of Aspen has declared that it would be for the benefit of the City to make this space available at little or no rental cost; NOW, THEREFORE, for good and valuable consideration, and the mutual benefits to be derived, it is agreed by the parties hereto that: 1. Lessor does lease to Lessee that Duilding and premises located at North Mill Street, Aspen, Pitkin County, Colorado, for- merly known as the Holy Cross Electric building and more particu- larly described in Exhibit "A" attached hereto and made a part hereof by reference, for and during a term commencing June 1, 1979, and terminating at midnight, May 31, 1999, at an annual rental of Ten_ Dollars ($10.00) , payable on the first day of the next calendar month, and annually thereafter. - 2. No material repairs or alterations shall be-made by Lessee until all plans therefor have been approved by the City Manager and Lessee has satisfied all the pertinent building, hous- ing, zoning and health code provisions of the City of Aspen and State of Colorado. 3. It is understood and agreed that Lessee shall use and occupy the premises described in Exhibit "A" attached hereto and PN r, 1 made a part hereof by reference as a visual arts center, in accordance with Lessee's Charter and for no other purpose. 4. At the commencement of the term of this lease, Lessee shall acccept the deinised premises in their existing condition, and Lessor makes no representation, statement or warranty express or implied, as to the condition of the premises or its suitability for its intended use: latent or patent, in such property or for any limitation on its use. 5. Lessor shall insure the building in such manner and for such amounts as it deems desirable, at its expense. Lessee -Shall insure the contents and the art to be displayed therein iM a reasonable amount, and! shall obtain liability insurance in an amount of not less than $400,000 with Lessor as an additional named insured, at Lessee's expense. Lessee agrees to indemnify and hold harmless the Lessor from any and all claims for injury or property loss, or other causes of action, arising from the use and occupation of the premises by Lessee, its agents and employees. 6. It is understood and agreed that utility expenses cover- ing the premises shall be paid by the Lessee. 7. Lessee agrees to neither sublet the premises nor assign this lease. 8. No sign, advertisement or notice shall be affixed to the exterior of the leased premises by Lessee, except in such manner, and of such size, design or color as shall be approved in advance by the City Manager. 9. (a) bessee agrees to comply with all present and future federal, state and municipal laws, rules and regulations in its use and occupancy of the leased premises, and maintain the interior of the leased premises in good repair and in a clean and healthful condition at its own cost and expense during any periods of occupancy by it under this leake agreement whether the neces- sity for such repairs or maintenance arises by reason of wear and tear, fire, accident or any other cause (except to the extent that the costs for any such repairs or maintenance are covered by tls-~.44 6 0 insurance). With the exception or snow plowing the parking lot and driveway which plowing shall be the responsibility of the Lessor, the general maintenance of the grounds around the leased premises shall be the sole responsibility of Lessee at its own cost and expense. (b) Lessee agrees if reasonably possible to contract for the services of a mechanical contractor acceptable to the City Engineer of the City of Aspen for the general mechanical main- tenance of the leased premises at its own· cost and expense. In any event, Lessee shall be responsible for needed repairs there- to. - 10. The parties agree that upon default in the perfprmance of this Agreement, Lessor may, at its option, terminate this Lease by written notice to the Lessee. Furthermore, either party shall have tiie right to terininate this Lease upon six months ' advance written notice. 11. It is mutually understood and agreed that in case the premises shall become untenantable on account of damage by fire, flood, or act of God, this Lease may be thereupon terminated and all parties shall be thereafter released from further liability. 12. Upon the termination of this lease, Lessee shall remove all trade fixtures and personal property belonging to Lessee, repairing any damage caused in such removal, and all personal property not removed by Lessee shall be conclusively presumed to have been abandoned and may be appropriated, sold, destroyed or otherwise disposed of by Lessor. 13. At the option of the City Council, Lessor shall have a member of City Council or the City Manager serve as an ex-officio member of the Center's Board of Directors; said ex-officio member shall be invited to attend all meetings of the Lessee's Board and shall generally act as a liaison Detween Lessor and Lessee. See stteched drawing. 4. The entry portion of the Appen Art Museum was built iii the mid 70'8. However, I believe it was the architect'# sttempts to make this entry compatible with the existing 100 year old mill building which houses the @sllery speces and offices. The skylight certainly would not have existed intheoriginal building in the 1880'8. I feelstron#ly thst theremovelof theskylight makes the addition more compatible with the original mill building. While the entrance is in a mid 1970'0 eddition„ we feel the removal of that gkylight makes that addition more compatible with the 100 year old original mill building that houses the gallerys and offices. We hove consulted the Historic District end the Historic Lendmork Development guidelines that have been adopted by the City Council for use by RPC. We have met the criteria. .. MEMORANDUM TO: Ron Mitchell, Deputy City Manager From: Roxanne Eflin, Preservation Planner Re: Aspen Art Museum Development Proposal Date: October 17, 1988 Ron, I have attached a copy of the partial application we received from architect Michael Lipkin. Michael will be in touch with you this week to coordinate all the details to receive the necessary approval for the work to be completed. Michael appeared before the last HPC meeting, October 11, asking to be added to the agenda, for this development proposal. HPC approved the skylight modification/roof extension subj ect to him submitting a completed application to the Planning Office, which he stated he would do this week. I did not realize the Aspen Art Museum was a city-owned building when he came before the committee. HPC felt the proposal was minor and a necessary activity to help preserve the historic element of the structure. Their approval carries no other conditions. I will be out of town this entire week while I am attending the National Trust for Historic Preservation annual conference in Cincinnati. I am happy to follow up on this upon my return. Box 3004 Aspen, CO 81612 Re: Aspen Art Museum Development Proposal Dear Michael: In speaking with Deputy City Manager Ron Mitchell last Friday, he informs me that any building modifications to the city owned Aspen Art Museum must first be approved through City Council. I was not aware that the city in fact owns the building prior to you appearing before HPC at their last meeting on October 11, with your development request. Please consider this your notification to contact Ron Mitchell as soon as possible to meet all the requirements in making the changes to the building. Also, as stated at the HPC meeting, I will need a complete application before Chairman Bill Poss may sign off. The submittal requirements are detailed in the application packet, and three sets of plans must accompany the application as well. As I will be attending the National Preservation Conference all this week, Planning Office secretary Beverly Chance will be able to stamp the plans for Bill's signature, and you may wish to hand carry them over to him at his office on Main Street (once you have received all the proper approvals through Council and/or Ron Mitchell). Please do not hesitate to contact me next week should you need further assistance.
